About this file

This is a Justification and Approval (J&A) document for a non-competitive, sole-source Firm Fixed Price (FFP) Indefinite Delivery Indefinite Quantity (IDIQ) bridge contract with Invacare Corp (1 Invacare Way, Elyria, OH 44035-4190). The U.S. Department of Veterans Affairs (VA), Veterans Health Administration (VHA), Prosthetic & Sensory Aids Service (PSAS), executed through the Strategic Acquisition Center (SAC), is seeking to award this bridge contract to prevent a lapse in the In-Home Hospital Beds and Accessories requirement. The current contract with Invacare expires December 22, 2025, and a follow-on competitive acquisition is pending resolution of Court of Federal Claims (CoFC) protests. The contract value is estimated at $9,420,031.56 with a period of performance of six months (three-month base period plus one three-month option period).

The requirement encompasses specialized electric hospital beds with adjustable rails, foam pressure reduction mattresses, bedside rails, and trapeze bars designed for disabled and elderly individuals receiving in-home care. Specific line items include electric beds with full or half rails (models GBED-56, GBED-59, GBED-58), standalone beds (G5510), pressure reduction mattresses (SPS1084), and various rail configurations and trapeze bars with manufacturer part numbers specified. Nationwide delivery via FOB destination to all VA Medical Centers (VAMCs) and U.S. territories is required with commercial warranty per industry standards. The justification emphasizes the critical and urgent need for uninterrupted supply continuity, noting that Invacare is the only responsible source capable of meeting the 45-day onboarding requirement for new vendors. Market research confirmed no alternative vendors can become operational within the required timeframe, and without the bridge contract, VAMCs would resort to local procurement at open market prices, resulting in significant financial loss and delays in Veteran care. Five pre-award protests were filed; two were dismissed (GAO and CoFC), and one remains pending at CoFC. The acquisition is exempt from synopsis and award notice requirements under FAR 5.101(b)(2).

3) The bedside rails are safety devices used to reduce the risk of patients accidentally slipping or rolling off bed. These can be full or half-length and are positioned along the sides of a bed. They are connected to the headboard and the footboard and can be raised and lowered as needed.

4) Trapeze Bar is an item designed for use in the raising and lowering of the body without assistance; may consist of bed mounting screw, chain, and handgrip.

As part of the requirement, quick and reliable nationwide home delivery is essential because Veterans and their caregivers depend on timely delivery to ensure uninterrupted in-home care once Veterans are discharged. Prompt delivery upon order is critical to support ongoing medical and personal care services, helping Veterans maintain their independence and health in their home environment. Delays could disrupt essential care routines, impacting the well-being of Veterans who rely on these supplies for daily living and therapeutic needs.

The estimated value of this action is $9,420,031.56 with a period of performance of six

(6) months with a three (3) month base period and one (1) three (3) month option period.

Strategic Acquisition Center (SAC)

While other vendors can offer the required beds, the incumbent’s established delivery network uniquely positions it as the only responsible source, ensuring timely and reliable fulfillment of the agency’s requirements. This proven infrastructure supports uninterrupted supply continuity and minimizes risk of delay, factors critical to meeting the Veterans’ needs.

The contract requires delivery of specialized in-home hospital beds and accessories to the individual VAMCs, with free on-board (FOB) destination, in accordance with the specific delivery instructions contained within the delivery orders. The contractor shall deliver to any VAMC within the United States and its outlying Territories and areas to include the District of Columbia, Puerto Rico, Alaska, and Hawaii upon issuance of a delivery order. The contractor shall also provide a commercial warranty in accordance with industry standards. The contractor must guarantee their ability to provide an uninterrupted source of supply of the awarded devices to satisfy the Government’s requirements for the effective period of the contract. The current contractor has the required supply chain in place to fulfill orders on a nationwide basis. Onboarding a new vendor to fulfill this requirement and deliver the hospital beds and accessories before the expiration of the current contract is not possible and would introduce delays and increased costs that would prevent timely performance and compromise patient care and safety. A new vendor would require at least 45 days to become fully operational.

Therefore, Invacare is the only responsible source uniquely positioned to fulfill orders received from VAMCs in a timely manner.

Invacare has provided an uninterrupted source of supply and commercial warranty of the hospital beds and accessories since 2020 and has delivered to locations within the United States and US Territories. From July 2023 through March 2025, under the previously awarded 5-year contract 36C10G18D0018, Invacare provided over in-home hospital beds or accessories to Veterans across the nation, demonstrating the capability to fulfill both standard and large-scale orders. Invacare is immediately capable of meeting all requirements of the contract and has the required capabilities to deliver the necessary products without interruption in supply or degradation of quality of care to the Veteran.

Cost Savings:

Without a bridge contract, VA would lack a National Contract vehicle to provide in-home hospital beds and accessories to Veterans in the community and VAMCs will be required to purchase the items through local Network Contracting Offices (NCO’s), potentially at open market prices, which would result in major financial loss to the Government and significantly delay the time it takes for the Veteran to receive the clinically required items.

A notice of the proposed action will not be synopsized via the Government Point of Entry (GPE) as this action is exempt in accordance with FAR 5.101(b)(2) (Revised Aug 2025). Similarly, an award notice is not required as an exemption to the pre-solicitation notice requirement applies to the contract action.

(7) A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable.

No award shall be made until the Contracting Officer determines the cost to the Government to be fair and reasonable. This determination will be based on a comparison of current contract pricing, past proposal submissions (if available), other information made available, and an Independent Government Cost Estimate.

(8) A description of the market research conducted (see part 10) and the results or a statement of the reason market research was not conducted.

Additional market research was completed and it was determined no vendors can be operational in the timeframe needed, as a new vendor would require at least 45 days to become fully operational. A significant amount of market research was completed for the follow-on procurement which supports competition as a long-term strategy.

However, a bridge contract is necessary in the interim to avoid a lapse in the immediate availability of these unique supplies to Veterans.

The System for Award Management (SAM) Responsibility / Qualification (formerly Federal Awardee Performance, and Integrity Information System (FAPIIS)) was reviewed and SAM shows no reports for Invacare Corp that would indicate defective pricing, instances of contractor fault or recipient not- qualified, terminations for cause, default, material failure to comply, or non-responsibility of the contractor.

The NAICS code for this effort is 339113 Surgical Appliance and Supplies Manufacturing industry. These are commercial products.

(9) Any other facts supporting the use of other than full and open competition.

The Strategic Acquisition Center is actively working on a follow-on contract. In the interim, a bridge contract will prevent a disruption in the delivery of critical medical equipment to our nation’s Veterans. Ensuring that Veterans’ needs will continue to be supported while the follow-on contract is procured is essential to accomplishing the VA mission of delivering world class health care to our nation’s Veterans.

(10) A listing of the sources, if any, that expressed, in writing, an interest in the acquisition.

Invacare is currently contracted for In-Home Hospital Beds and Accessories and has expressed interest in a bridge contract to ensure the continuity of critical care. Additional sources are interested in the follow-on competitive acquisition as indicated by the market research.

(11) A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required.

All future requirements will be handled on a case-by-case basis. Currently the Government requires a short-term solution that will bridge the gap between the current contract and the new contract which has been competitively solicited.

(12) Evidence that any supporting data that is the responsibility of technical or requirements personnel (e.g., verifying the Government’s minimum needs or requirements or other rationale for an exception to fair opportunity) and which form a basis for the justification have been certified as complete and accurate by the technical or requirements personnel.

I certify that the supporting data under my cognizance, which are included in this J&A, are accurate and complete to the best of my knowledge and belief.
