C.2 VAAR 852.203-70 COMMERCIAL ADVERTISING (MAY 2018)

The Contractor shall not make reference in its commercial advertising to Department of Veterans Affairs contracts in a manner that states or implies the Department of Veterans Affairs approves or endorses the Contractor’s products or services or considers the Contractor’s products or services superior to other products or services.

(End of Clause) C.3 VAAR 852.215-70 SERVICE-DISABLED VETERAN-OWNED AND VETERAN-OWNED SMALL BUSINESS EVALUATION FACTORS (JAN 2023) (DEVIATION)

(a) In an effort to achieve socioeconomic small business goals, VA shall evaluate offerors based on their service-disabled veteran-owned or veteran-owned small business certification status and their proposed use of eligible certified service-disabled veteran-owned small businesses (SDVOSBs) and certified veteran-owned small businesses (VOSBs) as subcontractors.

(b) Eligible and certified service-disabled veteran-owned small businesses offerors will receive full credit, and offerors qualifying as veteran-owned small businesses will receive partial credit for the certified Service-Disabled Veteran-Owned and Veteran-Owned Small Business Status evaluation factor. To receive credit, an offeror must be listed at the time of submission of offers and at time of award, as a certified SDVOSB/VOSB in the SBA certification database on the SBA Veteran Small Business Certification Program portal at https://veterans.certify.sba.gov/ (see 13 CFR 128) and be otherwise eligible in accordance with SBA size standards for the acquisition and limitations on subcontracting requirements set forth in SBA regulations (see 13 CFR 121, 125 and 128.).

(c) Non-Veteran offerors proposing to use certified SDVOSBs or VOSBs as subcontractors will receive some consideration under this evaluation factor. Offerors must state in their proposals the names of the certified SDVOSBs and VOSBs with whom they intend to subcontract and provide a brief description of the proposed subcontracts and the approximate dollar values of the proposed subcontracts. In addition, the proposed subcontractors must be listed at the time of submission of offers and at time of award, as a certified SDVOSB/VOSB in the SBA certification database.

(d) Pursuant to 38 U.S.C. 8127(g), any business concern that is determined by VA to have willfully and intentionally misrepresented a company’s SDVOSB/VOSB status is subject to debarment for a period of not less than five years. This includes the debarment of all principals in the business.

C.4 VAAR 852.215-71 EVALUATION FACTOR COMMITMENTS (OCT 2019)

(a) The offeror agrees, if awarded a contract, to use the service-disabled veteran-owned small businesses (SDVOSBs) or veteran-owned small businesses (VOSBs) proposed as subcontractors in accordance with 852.215–70, Service-Disabled Veteran-Owned and Veteran-Owned Small Business Evaluation Factors, or to substitute one or more SDVOSBs or VOSBs for subcontract work of the same or similar value.

(b) Pursuant to 38 U.S.C. 8127(g), any business concern that is determined by VA to have willfully and intentionally misrepresented a company’s SDVOSB/VOSB status is subject to debarment for a period of not less than five years. This includes the debarment of all principals in the business.

C.5 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2018)

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001;

(2) Designated agency office means the office designated by the purchase order, agreement, or contract to first receive and review invoices. This office can be contractually designated as the receiving entity. This office may be different from the office issuing the payment;

(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests;

(4) Invoice payment has the meaning given in FAR 32.001; and

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:

(1) VA’s Electronic Invoice Presentment and Payment System at the current website address provided in the contract.

(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).

(d) Invoice requirements. Invoices shall comply with FAR 32.905.

(e) Exceptions. If, based on one of the circumstances in this paragraph (e), the Contracting Officer directs that payment requests be made by mail, the Contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for—

(1) Awards made to foreign vendors for work performed outside the United States;

(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;

(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or

(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

C.6 VAAR 852.242-71 ADMINISTRATIVE CONTRACTING OFFICER (OCT 2020)

The Contracting Officer reserves the right to designate an Administrative Contracting Officer (ACO) for the purpose of performing certain tasks/duties in the administration of the contract. Such designation will be in writing through an ACO Letter of Delegation and will identify the responsibilities and limitations of the ACO. A copy of the ACO Letter of Delegation will be furnished to the Contractor.

C.7 VAAR 852.246-71 REJECTED GOODS (OCT 2018)

(a) Supplies and equipment. Rejected goods will be held subject to Contractor’s order for not more than 15 days, after which the rejected merchandise will be returned to the Contractor’s address at the Contractor’s risk and expense. Expenses incident to the examination and testing of materials or supplies that have been rejected will be charged to the Contractor.

(b) Perishable supplies. The Contractor shall remove rejected perishable supplies within 48 hours after notice of rejection. Supplies determined to be unfit for human consumption will not be removed without permission of the local health authorities. Supplies not removed within the allowed time may be destroyed. The Department of Veterans Affairs will not be responsible for, nor pay for, products rejected. The Contractor will be liable for costs incident to examination of rejected products.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. E.1 52.201-1 ACQUISITION 360: VOLUNTARY SURVEY (SEP 2023)

(a) All actual and potential offerors are encouraged to provide feedback on the preaward and debriefing processes, as applicable. Feedback may be provided to agencies up to 45 days after award. The feedback is anonymous, unless the participant self-identifies in the survey. Actual and potential offerors can participate in the survey by selecting the following link: https:// www.acquisition.gov/360.

(b) The Contracting Officer will not review the information provided until after contract award and will not consider it in the award decision. The survey is voluntary and does not convey any protections, rights, or grounds for protest. It creates a way for actual and potential offerors to provide the Government constructive feedback about the preaward and debriefing processes, as applicable, used for a specific acquisition.

The following provisions are incorporated into 52.212-1 as an addendum to this solicitation:

E.1 INSTRUCTIONS TO OFFERORS

1. This is a brand name only procurement. This acquisition is to purchase Snap-On tools for a veteran working as an auto mechanic. This Veteran’s employer has provided him with a specific list of Snap-On tools, which is required for this veteran to maintain his employment.

2. QUESTIONS: Questions to this solicitation shall be submitted via electronic mail to the Contract Specialist (carol.roth@va.gov). Questions will be accepted until 03-11-2025, 4:00 PM. (ET). Please use the attached excel spreadsheet titled “S02 Automotive Mechanic Tools - Q_A.” to submit your questions. The Government is not obligated to respond to any questions received after that date and time. All questions received within the designated timeframe that the Government considers relevant, will be answered. Responses to questions will be provided as amendment to the Request for Quote (RFQ) that will be made available to all potential quoters. Telephonic inquires will not be responded to. All solicitation amendments shall be signed by the vendor and submitted with the solicitation response.

3. RFQ EXPENSES AND PRE-CONTRACT COSTS: This RFQ does not commit the Government to pay costs incurred in preparation and submission of quotes or for other costs incurred prior to award of a formal purchase order.

4. RFQ ACCEPTABILITY: Quoters are cautioned to strictly comply with all instructions within this solicitation to ensure submission of a complete quote. Failure to furnish a complete quote, at the time of quote submission, may result in the quote being unacceptable to the Government and eliminated from consideration for award. The Quoter is hereby advised that its quote is presumed to represent its best and final quote in response to this solicitation.

5. GENERAL RFQ PREPARATION INSTRUCTIONS:

5.1. These instructions prescribe the format of quotes and describe the approach for the development and presentation of the proposed data. The quote shall include all information requested in the specific instructions. Failure to include all information requested may adversely affect the evaluation. A quote that merely reiterates or promises to accomplish the requirements of the RFQ may be considered unacceptable. A quote that is orderly and sufficiently documented will enable the Government to easily understand and perform a thorough and fair evaluation.

5.2. Quoters are cautioned to submit enough information to enable the Government to ascertain each Quoter’s capability to provide the hand tools depicted within the attached list of hand tools of this RFQ. All commitments made in the quote may become a part of the resultant purchase order. The data submitted with each quote should be complete and concise, but not overly elaborate. Excessive reliance on promotional brochures is discouraged.

6. RFQ DUE DATE AND SUBMISSION INSTRUCTIONS:

6.1 Quotes are due no later than the date and time listed on the solicitation’s SF1449 document, first page, block 8. Quotes shall be submitted via email to carol.roth@va.gov. Email size shall not exceed 5 MB. If all required attachments exceed this limit, the quote will need to be sent in multiple emails. Vendors shall label each email as follows: “RFQ 36C10D25Q0062, Hand Tools; Email # of #.

7. RFQ INSTRUCTIONS, FORMAT, AND CONTENT

7.1. INSTRUCTIONS

7.1.1. These instructions prescribe the format of quotes and describe the approach for the development and presentation of the proposed data. The quote shall include all information requested in the specific instructions. Failure to include all information requested may adversely affect the evaluation. A quote that merely reiterates or promises to accomplish the requirements of the RFQ may be considered unacceptable. A quote that is orderly and sufficiently documented will enable the Government to easily understand and perform a thorough and fair evaluation.

7.1.2. The Quoter’s quote shall consist of three (3) volumes. The Volumes are:

· 1 – Technical;

· 2 – Price;

· 3 – Solicitation SF1449 Documents; including the completed first page, and any applicable amendment documents and Certifications/Representations.

7.1.3. Files shall not contain classified data. The use of hyperlinks in quotes is prohibited and any information contained within those hyperlinks will not be evaluated.

7.1.4. Please do not wait until the last minute to submit your quote! Late quotes will not be accepted for evaluation. To avoid submission of late quotes, we recommend the transmission of your quote file 24 hours prior to the required quote due date and time. Please be advised that timeliness is determined by the date and time a Quoter’s quote is received by the Government and not when a Quoter attempted transmission.

7.2. QUOTE FILE FORMAT

The submission shall be clearly indexed and logically assembled. Each volume shall be clearly identified and shall begin at the top of a page. Each volume shall contain a cover page consisting of the Volume number, RFQ number/title, Quoter’s name, SAM Unique Entity ID and CAGE Code. Each Volume shall contain a “Table of Contents” for that Volume. The “Table of Contents” will identify major areas, paragraphs and subparagraphs by number and title as well as by page number and volume locations. The Table below indicates the applicable maximum page count for each volume of the Quoter’s quote. Unless otherwise specified, all files must be submitted as either a Microsoft Word file or an Acrobat (PDF) file. Page size shall be no greater than 8 ½” x 11”. Times New Roman Font size shall be 11. Tables and illustrations may use a reduced font size not less than 8-point. Page layout can be portrait or landscape. Larger font can be used on the cover page.

7.3. QUOTE VOLUME CONTENTS: Each Quoter’s quote shall be submitted as set forth below and all information shall be confined to the appropriate part to facilitate independent evaluation. A cover page and Table of Contents are not included in the page counts below. Pages exceeding the total allowable page limit for a particular factor, will not be forwarded to the evaluation team for evaluation, and will not be evaluated.

7.3.1. VOLUME 1, TECHNICAL INFORMATION

7.3.1.1. The Technical quote shall be submitted in accordance with the instructions contained herein. In no case shall statements such as “we comply with the requirements of the purchase order” or its equivalent be acceptable to meet the requirements of this request for quote. A quote that merely promises to accomplish the requirements of the RFQ may be considered unacceptable. A quote that is orderly and sufficiently documented will enable the Government to easily understand and perform a thorough and fair evaluation. The Technical Volume of the Quote shall not include price or pricing information.

7.3.1.2. QUOTERS SHALL CLEARLY DESCRIBE ALL OF THE BRAND NAME HAND TOOLS, AT THE QUANTITIES LISTED, WITHIN THE ATTACHED LIST OF TOOLS OF THIS RFQ. ALL QUOTED HAND TOOLS SHALL BE SNAP-ON BRAND. QUOTERS SHALL INCLUDE A LIST OF EACH SNAP-ON PART NUMBER, DESCRIPTION, QUANTITY AND UNIT OF ISSUE.

7.3.2. VOLUME 2, PRICE

The Quoter shall complete the Solicitation’s section B, price schedule and shall provide an Excel Workbook as an attachment to this volume with a list of quoted hand tools. The list shall include each Snap-On part number, description, quantity, unit of issue, unit price, extended price and a calculated total price. All prices shall be fully burdened and represented in TWO DECIMAL POSITIONS ONLY. DO NOT JUST FORMAT THE CELL TO SHOW ONLY TWO DECIMALS, THE CELL MUST CONTAIN A PRICE WITH A TWO-DECIMAL POSITION. Example: $0.27, not $0.27458. Please double check your calculations. Quoters may add sheets to the Excel Workbook for price assumptions information. There is no page limit to this volume.

7.3.3. VOLUME 3, SOLICITATION, QUOTE AND AWARD DOCUMENTS AND CERTIFICATIONS/REPRESENTATIONS.

7.3.3.1. Executed RFQ: Quoters shall complete blocks 17a (block 17a must include a SAM Unique Entity ID number and Tax Identification number), 17b, 30a, 30b, and 30c, on the SF1449 as applicable and acknowledge all amendments issued by submitting signed amendment SF30 documents. An official having the authority to contractually bind your company must sign the SF 1449 in accordance with FAR 4.102.

7.3.3.2. Representations, Certifications, and Other Statements of Quoters: Include in your quote only the following completed Representations and Certifications – FAR 52.212-3 paragraph b (provided below). All other required representations and certifications are to be completed online, except for VAAR Clause 852.219-75 VA Notice of Limitations on Subcontracting—Certificate of Compliance for Services and Construction, contained herein.

(1) Annual Representations and Certifications. Any changes provided by the Vendor in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.

(2) The Vendor has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov. After reviewing SAM information, the Vendor verifies by submission of this quote that the representations and certifications currently posted electronically at FAR 52.212–3, Offeror Representations and Certifications—Commercial Products and Commercial Services, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard(s) applicable to the NAICS code(s) referenced for this solicitation), at the time this quote is submitted and are incorporated in this quote by reference (see FAR 4.1201), except for paragraphs________________________. Note: insert “None” in the blank area if everything is up to date in SAM.gov

7.3.3.3. Offerors must consider and complete the applicable Buy American or Trade Agreement Certificate included in the solicitation provisions. Offerors need to be aware that by leaving the certificate blank, they are representing to the government that they will supply exclusively domestic end products under the Buy American Act, or Designated Country or US-made end products under the Trade Agreement Act.

In addition to completing the applicable Buy American or Trade Agreement Certificate in the solicitation, offerors must also clearly indicate in their quote the country of origin and place of manufacture for each quoted end product for all line items
