About this file
This is Addendum #1 to Invitation for Bids (IFB) #3000012538 issued by the University of North Carolina at Chapel Hill Procurement Services for laboratory analyzer equipment and consumables. The addendum clarifies bidding requirements and responses to questions submitted by prospective vendors prior to the bid opening scheduled for November 10, 2025, at 3:00 PM EST. The procurement seeks five Piccolo Express Analyzers with associated laboratory supplies and equipment. Key clarifications provided include confirmation that drop shipments are permissible, manufacturers may perform installation rather than the offeror, freight charges should be displayed as a line item on bid packet page 15, and the bidder's standard warranty from manufacturers can be accepted provided warranty rights are passed through to the University. All bidders are required to return one properly executed copy of this addendum with their bid response by the bid opening date and time.
The addendum addresses contractual and operational questions regarding warranty terms, indemnification, intellectual property provisions, and insurance coverage requirements. The University's general terms and conditions for procurement of products and services apply to this solicitation; bidders unable to accept specific terms must draft an addendum noting the affected sections with their bid submission. Regarding insurance coverage, advance notice of policy cancellation or non-renewal is required, with notification provided either in advance or promptly upon cancellation, documented through a memo or Certificate of Insurance. Bidders must indicate their submission status and confirm whether changes resulting from the addendum are included in their bid response by executing the addendum form with authorized signature, name, and title.

INSTRUCTIONS:
1. Return one properly executed copy of this addendum with your bid response by the Bid Opening Date/Time listed above.
2. Please make the following change(s) in the bid referenced above due to questions submitted for clarification:
Q: Per the bid timeframe for vendor questions, I would like some direction about how you would like to see freight listed. Cardinal does not have the ability to control freight costs and I am unsure how to respond to this section. I have an estimated cost estimate from Abbott for the entire order, including consumable. Cardinal just passes along the freight various vendors charge, so is it fair to include this as a line item as: “Total estimated Freight Charges and the $ amount”?
A: Please display the total freight charges onto IFB_65-3000012538 bid packet page 15 (shown below).
Q: Page.9, 4.4 Delivery. Are drop shipments allowed under this solicitation? Additionally, is it permissible for the manufacturer, rather than the offeror, to perform the installation?
A: Yes, drop shipments are ok. And yes, the manufacturer can perform the installation, rather than the offeror.
Q: Page.9, 4.5 Warranty, GENERAL TERMS AND CONDITIONS FOR PROCUREMENT OF PRODUCTS AND SERVICES, 41. WARRANTY TERMS. Will the University accept the manufacturer’s standard warranty for products provided by non-manufacturer bidders, with warranty rights passed through to the University to the extent permitted by the manufacturer? This approach is consistent with standard commercial practice.
A: The bidder shall accept the University’s general terms and conditions for procurement of products and services. If there are specifics that the bidder is unable to accept, please draft an Addendum with your bid packet -- be sure to notate the Sections.
Q: GENERAL TERMS AND CONDITIONS FOR PROCUREMENT OF PRODUCTS AND SERVICES, 17. GENERAL INDEMNITY. Will the University consider limiting the basis for indemnification to losses arising from the bidder’s negligence or willful misconduct in performance of contract obligations, and not extend to losses resulting from the University’s own negligence or willful misconduct?
A: See above.
Q: GENERAL TERMS AND CONDITIONS FOR PROCUREMENT OF PRODUCTS AND SERVICES, 18. INTELLECTUAL PROPERTY WARRANTY AND INDEMNITY. Is the intellectual property warranty and indemnity section applicable to this contract? Our understanding is that no intellectual property will be provided under this contract.
A: The University’s general terms and conditions for procurement of products and services is applicable to all. For areas that does not apply, it can simply be omitted or disregarded.
Q: GENERAL TERMS AND CONDITIONS FOR PROCUREMENT OF PRODUCTS AND SERVICES, 15. INSURANCE COVERAGE. Is it acceptable for the bidder to provide prompt notice of any cancellation or non-renewal of an insurance policy, rather than advance notice?
A: Advance notice is always a good policy. Either provide a memo with the Certificate of Insurance is sufficient.
