This document is a Solar and Battery Site License Power Purchase Agreement (SLPPA) template executed between the Trustees of the California State University on behalf of California State University, Bakersfield (CSUB) and an SLPPA Provider. The project involves the design, financing, construction, ownership, operation, and maintenance of an integrated solar photovoltaic and battery energy storage system at the CSUB campus. The system consists of solar PV modules with an approximately 2.93 megawatt (MW) / 11.75 megawatt-hour (MWh) Tesla Megapack battery energy storage system. The Request for Proposals submission deadline is September 16, 2026, at 3:00 p.m., with technical questions due by August 5, 2026. The anticipated Notice to Proceed is November 25-26, 2026, and the guaranteed Commercial Operation Date and project completion deadline is December 1, 2027. The agreement term is twenty (20) years from the Commercial Operation Date. The project is being procured as an advanced shovel-ready microgrid project with non-confidential RFP Project Documents available through a designated Box link.
The SLPPA Provider's compensation is structured as a single 20-year power purchase price per kilowatt-hour ($/kWh) for all electricity generated or discharged by the system and delivered to the University, with specific pricing rates to be determined in the accepted proposal for each contract year. The SLPPA Provider must assume or reimburse the Bundled Project Advancement and Procurement Cost of $5,745,215.92, consisting of a Pre-NTP Project Advancement Payment of $1,996,087.70 and Post-NTP Vendor-Schedule Procurement Obligations of $3,749,128.22. Additionally, the SLPPA Provider shall pay a non-refundable Transaction Fee of seven percent (7%) of the Construction-Cost Base to the University for campus-related soft costs and administrative oversight. Liquidated damages are assessed at $3,500 per calendar day for delays beyond the guaranteed completion deadline.
