This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.
2. The Solicitation number of this Request for Quote (RFQ) is 285-22-RFQ-0023. The solicitation document, incorporated provisions and clauses are those in effect through Federal Acquisition Circular Publication 2022-05, March 07, 2022.
3. This is a combined synopsis/solicitation is 100% set aside for Indian Owned Small Business in accordance to HHSAR Subpart 326.6—Acquisitions Under the Buy Indian Act. The associated North American Industry Classification System code (NAICS) is 621399, offices of All Other Miscellaneous Health Practitioners, the small business size standard is $9 Million.

5. Description of Requirements
Pediatrician shall act as the attending pediatrician providing and managing patient care at the Catawba Service Unit Pediatric clinic(s) that currently operate in Rock Hill, SC. The services shall include but not limited to Well Checks, Sick Visits, Follow-up visits for medications, sports physicals, ADD and ADHD evaluations and medications, etc.
Subject to cancellation by the Chief Executive Officer, due to inclement weather, pediatric clinics shall be held once a month on a weekend that will include Friday and Saturday that will run consecutively and each such clinic session shall be during normal clinic workings hours of 8:00am to 4:30 pm, unless approved. If Pediatrician does not work a full day, then that day pay will be based on actual hours worked.
At the request of the Chief Executive Officer or there alternate, Pediatrician shall attend and complete all mandatory classes and trainings.
The Catawba Service Unit will not compensate Pediatrician for any services provided outside of those specifically identified in scope of services without prior authorization, evidences only be written change order or addendum to this agreement executed by Catawba Service Unit. Pediatrician shall be working at the Catawba Service Unit located at 2893 Sturgis Road, Rock Hill, SC 29730 or other locations mutually agreed upon by Pediatrician and Catawba Service Unit Chief Executive Officer.
Pediatrician agrees to maintain as required by law or the Catawba Service Unit accurate medical records, which sufficiently and properly reflect the services performed by the pediatrician. Such medical records shall be and remain the property of the Catawba Service Unit and shall be subject to retention by the Catawba Service unit in accordance with all federal, state and local laws applicable to medical records. Pediatrician shall also be responsible for handling all notifications in medical records in timely manner as set by Catawba Service Unit policies.
Insurance: For all of the services set forth herein and as hereinafter amended, Pediatrician shall maintain or cause to be maintained, in full force and effect during the term of this agreement, at his or her own expense, malpractice insurance, and keep on file with the Catawba Service Unit a current certificate of coverage. Notwithstanding anything to the contrary in this agreement, pediatrician irrevocable waives all claims against the Catawba Service Unit for all losses, damages, claims or expenses resulting from risks commercially insurable under this insurance.
In performing services under this contract, pediatrician shall operate as, and have the status, of independent contractor and shall not at as an agent, or be an agent of the Catawba Service Unit. In accordance with such status as independent contractor, pediatrician covenants and agrees that it will not hold herself or himself out as, nor claim to be an officer or employee of the Catawba Service Unit, or of any department, agency or unit thereof by reason hereof, and that he or she will not, by reason hereof, make any claim, demand or application to or for any right or privilege to an officer or employee of the Catawba Service Unit including, but not limited to Worker’s Compensation coverage, health coverage, unemployment insurance benefits, Social Security coverage or employee retirement membership or credit.
Clinical Supervision will be provided by the Catawba Service Unit Clinical Director, Administrative contractual oversight will be provided by Catawba Service Unit Chief Executive Officer and Nashville Area Office, Division of Extramural Affairs and Agreements.
Contractor shall be required to sign a Business Associate Agreement upon award.
6. Delivery
Performance location shall be at the Catawba Service Unit 2893 Sturgis Road, Rock Hill, SC 29730 or other locations mutually agreed upon by the contractor and Catawba Service Unit Chief Executive Officer
7. Provision 52.212-1, Instructions to Offerors – Commercial (NOV 2021), applies to this acquisition.
The Government shall not be required to pay or withhold any tax in respect of or out of the income of Contractor.
Contractor and Indian Health Service, Nashville Area, agree and acknowledge that the IHS, NAO are not providing and shall have no obligation to provide health, life, worker’s compensation, or disability insurance, pension benefits, vacation, or sick leave pay, training or any other personal benefit of any kind as request is for a contracted service.
Contractor understands that the government does not pay any IRS requirements (taxes), insurance or any other benefits for the contractor under this contract. This is in accordance with (FAR 52.229-3 FEDERAL, STATE, AND LOCAL TAXES (Apr 2003) and FAR 52.229-4 FEDERAL, STATE, AND LOCAL TAXES (NON- COMPETITIVE CONTRACT [APR 2003]). 7.1. Note, unless exempt per Federal Acquisition Regulation [FAR] Part 4.11, all contractors must be registered and have an active registration in the System for Award Management (SAM) to be considered for an award against this solicitation. For information please review the SAM website at https://www.sam.gov. A Data Universal Numbering System (DUNS) number is utilized for registration. To register go to https://www.acquisition.gov.
7.2 The Contractor shall be required upload invoices through https://www.ipp.gov/vendors/index, Indian Health Service, Nashville Area Office, Attn: Financial Management, 711 Stewarts Ferry Pike, Nashville, Tennessee 37214.
Each invoice shall include the following information:
(1) Contractor's name, tax identification number and Invoice Date;
(2) Contract Number or other Authorization for delivery of services;
(3) Description, price, quantity, and address of services actually rendered;
(4) Payment terms;
(5) Other substantiating documentation or information as required by the contract; and
(6) Name, title, phone number, and complete mailing address of official to whom payment is to be sent.

52.237-7 Indemnification and Medical Liability Insurance. (Jan 1997)
(a) It is expressly agreed and understood that this is a nonpersonal services contract, as defined in Federal Acquisition Regulation (FAR) 37.101, under which the professional services rendered by the Contractor are rendered in its capacity as an independent contractor. The Government may evaluate the quality of professional and administrative services provided, but retains no control over professional aspects of the services rendered, including by example, the Contractor’s professional medical judgment, diagnosis, or specific medical treatments. The Contractor shall be solely liable for and expressly agrees to indemnify the Government with respect to any liability producing acts or omissions by it or by its employees or agents. The Contractor shall maintain during the term of this contract liability insurance issued by a responsible insurance carrier of not less than the following amount(s) per specialty per occurrence: $1,000,000.00
(b) An apparently successful offeror, upon request by the Contracting Officer, shall furnish prior to contract award evidence of its insurability concerning the medical liability insurance required by paragraph (a) of this clause.
(c) Liability insurance may be on either an occurrences basis or on a claims-made basis. If the policy is on a claims-made basis, an extended reporting endorsement (tail) for a period of not less than 3 years after the end of the contract term must also be provided.
(d) Evidence of insurance documenting the required coverage for each health care provider who will perform under this contract shall be provided to the Contracting Officer prior to the commencement of services under this contract. If the insurance is on a claims-made basis and evidence of an extended reporting endorsement is not provided prior to the commencement of services, evidence of such endorsement shall be provided to the Contracting Officer prior to the expiration of this contract. Final payment under this contract shall be withheld until evidence of the extended reporting endorsement is provided to the Contracting Officer.
(e) The policies evidencing required insurance shall also contain an endorsement to the effect that any cancellation or material change adversely affecting the Government’s interest shall not be effective until 30 days after the insurer or the Contractor gives written notice to the Contracting Officer. If, during the performance period of the contract the Contractor changes insurance providers, the Contractor must provide evidence that the Government will be indemnified to the limits specified in paragraph (a) of this clause, for the entire period of the contract, either under the new policy, or a combination of old and new policies.
(f) The Contractor shall insert the substance of this clause, including this paragraph (f), in all subcontracts under this contract for health care services and shall require such subcontractors to provide evidence of and maintain insurance in accordance with paragraph (a) of this clause. At least 5 days before the commencement of work by any subcontractor, the Contractor shall furnish to the Contracting Officer evidence of such insurance.

352.232-71 Electronic submission of payment requests. (Feb 2022)
(a) Definitions. As used in this clause—
Payment request means a bill, voucher, invoice, or request for contract financing payment with associated supporting documentation. The payment request must comply with the requirements identified in FAR 32.905(b), “Content of Invoices” and the applicable Payment clause included in this contract.
(b) Except as provided in paragraph (c) of this clause, the Contractor shall submit payment requests electronically using the Department of Treasury Invoice Processing Platform (IPP) or successor system. Information regarding IPP, including IPP Customer Support contact information, is available at www.ipp.gov or any successor site.
(c) The Contractor may submit payment requests using other than IPP only when the Contracting Officer authorizes alternate procedures in writing in accordance with HHS procedures.
(d) If alternate payment procedures are authorized, the Contractor shall include a copy of the Contracting Officer's written authorization with each payment request.

52.232-40 Providing Accelerated Payments to Small Business Subcontractors (Nov 2021)
(a) Upon receipt of accelerated payments from the Government, the Contractor shall make accelerated payments to its small business subcontractors under this contract, to the maximum extent practicable and prior to when such payment is otherwise required under the applicable contract or subcontract, after receipt of a proper invoice and all other required documentation from the small business subcontractor.
(b) The acceleration of payments under this clause does not provide any new rights under the Prompt Payment Act.
(c) Include the substance of this clause, including this paragraph (c), in all subcontracts with small business concerns, including subcontracts with small business concerns for the acquisition of commercial products or commercial services.
