About this file
This document is the Standard Contract Terms and Conditions (Exhibit A) for RFP #26RFP19882 issued by the South Dakota Department of Education for a modern, state-hosted Content Management System (CMS) to replace legacy platforms supporting doe.sd.gov, history.sd.gov, and library.sd.gov. The RFP seeks a solution that improves accessibility, usability, content management efficiency, integration capabilities, brand cohesion, and technical compliance across state websites. Written questions must be submitted to Rochelle.kenzy@state.sd.us only, with a deadline specified in the RFP schedule. All questions and answers will be distributed to offerors who submitted Letters of Intent, questions, or requested the Q&A documentation prior to the proposal submittal date. Offerors and their agents are prohibited from contacting state employees other than the designated buyer of record during the solicitation and evaluation process. The contract term, renewal options, and specific response/award dates are referenced in the RFP schedule but not detailed in this exhibit.
The contract structure establishes a not-to-exceed total amount to be determined through negotiation, with payment contingent upon satisfactory completion of services and submission of itemized invoices referencing the agreement number and detailed service information. The consultant must maintain multiple insurance coverages including commercial general liability ($1,000,000 per occurrence), business automobile liability ($1,000,000 per accident), workers' compensation as required by South Dakota law, professional liability ($1,000,000), and cyber liability insurance ($1,000,000) to protect state data. All work products, technical data, drawings, software, and documentation become the property of the State, and the consultant is prohibited from using subcontractors without express prior written consent. The agreement is governed by South Dakota law with venue in Hughes County Circuit Court, and includes provisions prohibiting the consultant from engaging in boycotts of Israel, promoting divisive concepts, or maintaining ownership or control by foreign entities from specified countries including China, Cuba, Iran, North Korea, Russia, or Venezuela. Either party may terminate the agreement with thirty days' written notice, or the State may terminate for cause immediately upon breach.
