About this file
This is a Justification for Other Than Full and Open Competition (J&A) for a Simplified Acquisition Procedures (SAP) Commercial Item purchase order modification.
The Assistant Secretary of the Navy for Energy, Installations & Environment (ASN EI&E) seeks to extend the base period of performance for existing Purchase Order N00189-25-P-Z252 with The Meridian Group DC, LLC from eight months to eleven and one-half months. The current period expires February 28, 2026, and the extension will run through June 15, 2026, with no change to the scope of work. The modification will increase the contract value by $845,326.27, bringing the total Purchase Order value to $2,131,390.27, funded through Navy Operation and Maintenance Funds and working capital funds. The contractor provides commercial services supporting Navy energy policy, infrastructure resilience, facility control systems cybersecurity, energy efficiency initiatives, congressional testimony preparation, analytical support for utility and energy security projects, interagency partnerships, and executive-level support to Navy leadership.
The justification cites FAR 13.501(a)(1)(ii)—only one responsible source and no other supplies or services will satisfy agency requirements—as the statutory authority. The extension is necessary because multiple active work streams were delayed and disrupted by the October-November 2025 federal government shutdown, including analysis and mitigation planning for installation resilience, project execution and funding support for the Energy Resilience and Conservation Investment Program, and executive reporting and coordination. The Government argues that halting performance would disrupt active programs, interrupt statutory reporting cycles, and create unacceptable risk through loss of specialized institutional knowledge. The Contracting Officer is Sean Bennett (sean.m.bennett22.civ@us.navy.mil, 771-229-3256), and the Contract Specialist is Shanna Harris (shanna.c.harris.civ@us.navy.mil, 771-229-3622).

244.2 – SCH
J&A (SAP-CI): 26-041
JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION
(SIMPLIFIED ACQUISITION PROCEDURES – COMMERCIAL ITEMS)
1. Identification of Agency and Contracting Activity: The requiring activity is the Assistant Secretary of the Navy for Energy, Installations & Environment (ASN (EI&E)), Washington, DC;
the contracting activity is the Navy Supply Systems Command Fleet Logistics Center Norfolk, Philadelphia Office (NAVSUP FLCN).
2. Description of the Action Being Approved: The purpose of this justification is to provide the approval to extend the base period of performance of existing SAP Commercial Item Purchase Order N00189-25-P-Z252 with The Meridian Group DC, LLC from eight (8) months to eleven and one half (11.5) months. The period of performance under this Purchase Order expires 28 February 2026. The resultant modification will extend the period of performance through 15 June 2026 to allow for the continued performance of ongoing mission-critical work streams currently in progress. No change to the scope of work is contemplated. The modification is limited to extending the period of performance to ensure uninterrupted completion of existing requirements.
3. Description of Supplies/Services: ASN (EI&E) formulates Department-wide policies and procedures for Navy and Marine Corps energy; infrastructure sustainment, restoration and modernization; military construction; acquisition, utilization and disposal of real property and facilities; environmental protection, planning, restoration and natural resources conservation; and safety and occupational health. The contractor is providing commercial services in support of the following areas: 1) development of policy, guidance and legislation to address issues in achieving the DON installation resilience strategies; 2) high level support of ODASN(E) functions, including assisting with the Shore Energy Policy Board, The Energy Support Budget, Title 10 U.S.C 2912 program management and the SECNAV Energy Excellence Awards Program; 3) general technical and financial assistance in the fields of facility related control systems cybersecurity, energy resilience, facilities and utility infrastructure, energy, cybersecurity in energy and water in acquisitions, energy efficiency measures, Naval operations, deep energy retrofits, microgrids, long duration battery storage, and third party financing programs; 4) assistance in the preparation of leadership for public engagements, congressional testimony, and other public events to include Office of the Secretary of Defense (OSD); 5) analytical support to federal personnel in the development of project proposals, and/or execution in support of utility and energy security initiatives; 6) supporting partnerships with other federal agencies, Industry and state and local governments towards increasing community and installation resilience; 7) managing, analyzing, and synthesizing information in support of key decision briefs, policy options, and procurement actions for Navy utilities and energy security programs; and 8) providing high-level support to US Navy senior and executive leadership, including assisting in resolving project execution issues, developing and coordinating communications, meetings, and other special projects as it relates to water, and energy.
These services include multiple active work streams that were delayed and disrupted due to the October-November 2025 federal government shutdown and remain incomplete. Specific work streams currently in progress include:
• Analysis and Mitigation Planning: analyzing installation self-generation needs, grid dependency risks, and peak load growth; Developing immediate mitigation plans for identified utility capacity shortfalls; and Advancing pathways for nuclear and advanced reactor deployment via the Shore Nuclear Power Integrated Product Team (IPT) and Other Transactional Authority (OTA) efforts for nuclear energy resilience.
• Project Execution & Funding: Providing active execution support for the Energy Resilience and Conservation Investment Program (ERCIP); Developing project documentation for FY26 and FY27; and Managing current-year funding, award tracking, and data calls with NAVFAC.
• Executive Reporting & Coordination: Producing weekly reports and briefing materials for senior leadership; Coordinating statutory reporting and taskers with the Office of the Secretary of War (OSW); and Facilitating interagency coordination with the Department of Energy and Department of the Interior.
These efforts are interdependent and require continuity of performance by the current contractor to ensure proper completion. Halting performance would have immediate and significant negative consequences:
• Disruption to Active Programs: It would stop time-sensitive analysis, delay crucial resilience investment decisions, and halt ERCIP project execution tied to current-year funding.
• Failure of Reporting Cycles: Recurring statutory reports and leadership decision-making would be interrupted.
• Increased Risk: The transition would introduce unacceptable risk due to the loss of specialized institutional knowledge required to manage these concurrent and complex portfolios.
The Purchase Order is funded in part by Navy Operation and Maintenance Funds and in part by working capital funds. The resultant modification to Purchase Order N0018925PZ252 will increase the value of the contract by $845,326.27, including labor and travel, for the extended period of performance, resulting in a revised total Purchase Order value of $2,131,390.27.
4. Statutory Authority Permitting Other Than Full and Open Competition: The statutory authority permitting other than full and open competition is FAR 13.501(a)(1)(ii) – only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority: In accordance with the cited authority, the current contractor is the only responsible source capable of continuing these services without unacceptable disruption at this time due to:
• The contractor’s unique familiarity with the ongoing work streams, deliverables, and Government-specific processes.
• Work products that are already partially completed and require continuity to finalize accurately and efficiently.
• The risk of loss of program knowledge, data continuity, and momentum if performance were transferred mid-stream to a different source.
• The time required for a new contractor to onboard, gain access, and assume responsibility would significantly disrupt completion of work already underway.
The need is not based on a lack of competition in the marketplace, but rather on the practical reality that only the incumbent contractor can complete the existing work streams without mission impact.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable: This action does not preclude future competition. Market research was conducted at the time of the original award in accordance with FAR Part 13, and competition will be pursued for future requirements as appropriate. This modification is limited to the completion of existing, in-progress requirements and does not represent a new or expanded need.
7. Determination of Fair and Reasonable Cost: The contracting Officer will determine that the pricing associated with the extended period of performance is fair and reasonable prior to modification, using price analysis techniques in accordance with FAR 13.106-3, including comparison to previously awarded rates under this Purchase Order.
8. Actions to Remove Barriers to Future Competition: Market research supporting the original competitive SAP award conducted prior to issuance of the Purchase Order indicates that multiple responsible commercial vendors are capable of providing similar services. However, given the nature of this modification – limited to extending performance to complete work already in progress – additional market research is not practicable and would not mitigate the risks associated with transitioning performance mid-stream. Competition remains viable for future requirements.
9. Any Other Facts Supporting the Use of Other Than Full and Open Competition: The October-November 2025 federal government shutdown caused unavoidable delays to multiple work streams under this purchase order. Despite the contractor’s readiness to perform, progress was impacted by government unavailability and paused activities.
Extending the period of performance ensures the Government receives the full benefit of the services already contracted for and avoids the risk of incomplete deliverables or mission degradation.
This action is not a bridge contract and is not being executed due to acquisition planning delays.
It is solely to allow completion of existing work streams disrupted by circumstances beyond the control of both the Government and the contractor.
10. Contracting Point of Contact: The NAVSUP FLCN Contracting Officer is Mr. Sean Bennett, sean.m.bennett22.civ@us.navy.mil, 771-229-3256. The NAVSUP FLCN Contract Specialist is Ms. Shanna Harris, shanna.c.harris.civ@us.navy.mil, 771-229-3622.
