REQUEST FOR PROPOSALS

TO PROVIDE LOCAL NATURAL GAS DISTRIBUTION UTILITY WITH

ASSET MANAGEMENT SERVICES AND

ALL OR PART OF ITS REQUIRED FIRM NATURAL GAS SUPPLY

1.0 PURPOSE

NPU is soliciting contract proposals from qualified natural gas suppliers and asset managers in the natural gas industry to provide firm natural gas supply and capacity management for its Gas utility division.

It is intended that the contract with the selected firm will commence on 11/01/2026 and run through 10/31/2027 subject to negotiated contract renewals where the total contract term as amended/renewed is not greater than six years.

After the proposals are received, they will be reviewed and ranked in accordance with the established criteria as identified in Sections 4-6 of this document by the selection committee. NPU will subsequently reach out to the most qualified organizations to schedule a presentation of proposal, and value and structure of the Asset Management Payment. NPU reserves the right to ask for a best and final proposal of the Asset Management Payment and associated scope of work subsequent to this presentation. It is expected that this best and final proposal be returned to NPU within 48 hours of request, and NPU will award the scope of work to the selected organization no longer than 48 hours after receipt of all best and final proposals.

The scope of work shall be awarded to the most qualified and responsible organization whose proposal is determined to be the most advantageous to NPU, taking into consideration price and other evaluation criteria set forth in the request for qualifications.

2.0 BACKGROUND

NPU, which was established in 1904, owns and operates natural gas, electric, water and wastewater utilities for the City of Norwich. NPU is governed by a five-member Board of Public Utilities' Commissioners who are appointed by the City Council. The General Manager, who is appointed by the Commissioners, is responsible for NPU’s management and operations. NPU has roughly 155 employees and serves approximately 21,200 electric customers, 9,700 gas customers, 11,400 water customers and 7,700 wastewater customers. NPU supports general City activities by contributing 10% of its gross revenues (excluding wastewater revenues) to the City's annual Budget. NPU's budget of approximately $120 million is approved by the Commissioners and is then presented to the City Council for adoption.

Natural Gas System Operations: The City’s annual total natural gas requirements have averaged 1,186,500 MMBtu per year for the past three years.

NPU currently holds long-term service agreements for firm transportation on interstate pipelines: Algonquin Gas Transmission (AGT), Texas Eastern Transmission (TE), and Millennium Pipeline Company (MPC). NPU currently holds long-term service agreements for natural gas storage on interstate pipelines: Texas Eastern Transmission (TE) and Eastern Gas Transmission & Storage (EGTS). NPU currently also currently holds long-term operational balancing agreements (OBA) on interstate pipelines: Algonquin Gas Transmission (AGT).

Attachment C lists NPU’s upstream transportation capacity and storage entitlements. NPU has access to liquid receipt points. Additionally, NPU has contracts for delivered LNG to supply its storage tank/peaking facility located behind the meter at 10-12 Wisconsin Avenue, Norwich, CT 06360.

3.0 SCOPE OF SERVICES

The scope of requested services includes Natural Gas Asset Management and Firm Natural Gas Supply Services:

Proposals should address several aspects of asset management and natural gas supply services to be provided to NPU. NPU is seeking contracts: (a) for an Asset Manager that will optimize NPU’s natural gas supply, pipeline assets, storage assets, and operational balancing agreement for the benefit of NPU’s gas utility and its ratepayers, and (b) for firm delivery of physical gas supplies to Norwich at points of receipt into AGT/TE/MPC/EGTS.

The following is a list of the major components of the service that NPU is requesting. It is not intended to be exhaustive or exclusive, and NPU is open to considering innovative proposals by qualified organizations that provide the best mix of firm services for NPU and its retail customers. Respondents should feel free to propose how they would best meet NPU’s needs.

1. The Asset Manager shall provide NPU with full requirements gas supply service, i.e., all of the physical gas supply needs of the NPU system on a firm basis, provided that NPU may elect to substitute a fixed daily quantity (baseload quantity) to be purchased from another municipal entity that will diversify the supply portfolio.

2. The Asset Manager will work with NPU to ensure availability and reliability of swing natural gas supply at a reasonable and competitive price to NPU, to optimize the mix of base load, first-of-month and spot gas, and to optimize the use of NPU’s pipeline entitlements, storage entitlements, and operational balancing agreements.

3. The Asset Manager, as NPU’s Agent, shall nominate and schedule gas supplies to the receipt points on the

AGT/TE/MPC/EGTS systems daily. NPU will communicate information to the Asset Manager regarding its gas requirements no less than weekly in the summer, every other day in the shoulder periods, and daily in the winter.

4. Unless caused by NPU’s actions or omissions, the Asset Manager shall be responsible for all imbalances, overruns, penalties, and charges assessed by any interstate pipeline relating to service to NPU, including reimbursement to NPU for any net penalty revenue credit from an interstate pipeline that NPU does not receive because of a penalty that has been incurred.

5. The Asset Manager shall reimburse NPU for all costs incurred, including all gas replacement costs, transportation costs, and penalty costs, in the event the Asset Manager fails to deliver full requirements quantities, and shall pay an agreed upon amount per MMBtu to NPU as liquidated damages if NPU is unable to obtain all necessary replacement volumes.

4.0 RFP SUBMITTAL REQUIREMENTS

The response to the RFP shall include the following at a minimum:

1. Transmittal Letter: A transmittal letter signed by the appropriate officer of the organization which, at a minimum, includes statements:

a. Agreeing to the Scope of Services.

b. Offering the proposal and certifying that the proposal and any cost projection included will remain in effect for 14 days after the due date.

i. NPU understands market conditions impacting the Asset Management Payment change daily.

A final firm Asset Management Payment will be requested as discussed under Section 1.0 .

c. That the organization will comply with all of the Contract Conditions of this RFP.

2. Corporate Organization: Describe the organization structure, ownership, size, licensure, and history of your organization, including the location of the office/facility where most of the work will be performed, the location of corporate headquarters, and number of years in business.

3. Demonstration of Ability to Complete the Project: Describe the organization’s ability to perform the services as reflected by current workload and the availability of adequate personnel, equipment, and facilities to perform the service expeditiously.

a. Provide references to which the Respondent is providing similar services to those requested by NPU.

Provide the following information regarding any municipally or investor-owned local distribution company (“LDC”) systems to which the Asset Manager has provided service:

i. LDC’s Name

ii. Terms of Service

iii. Whether Asset Management Service was Provided

iv. On which Interstate Pipelines the Service was Provided

v. Contact Information for Reference

4. Management Options & Pricing: While NPU remains open to innovative proposals as outlined in Section 3.0 above, there are certain management options NPU requires respondents address in their initial proposal before offering any alternative scenarios:

a. Monthly Baseload Nominations: Prior to the delivery period, NPU shall notify the Asset Manager of the daily baseload gas requirement by supply contract path, not to exceed the MDQ (including retainage, shrinkage, and/or fuel retention).

i. Up to 4,762 MMBtu, priced at Appalachia, Texas Eastern, M-2 receipts plus all applicable variable costs.

ii. Up to 7,000 MMBtu, priced at Appalachia, Millennium, East receipts plus all applicable variable costs.

iii. Any remaining available AGT downstream capacity, priced at Northeast, Texas Eastern, M-3 plus all applicable variable costs.

b. Storage Contracts: TET/EGTS Storage capacity and contracts will be released to the Asset Manager;

however, NPU wishes to retain the use of its EGTS storage on paper:

i. From April 1 through October 31, the Asset Manager is expected to ratably “inject” daily volumes into our EGTS storage so that by November 1, the storage contract is at its maximum storage capacity (87,706 MMBtu).

A. Injected volumes will be priced at Northeast, Texas Eastern, M-3 plus all applicable variable costs.

ii. From November 1 through March 31, NPU will ratably nominate daily “withdrawals” from EGTS storage as part of its Monthly Baseload Nominations, so that by April 1, the storage contract volumes are near 0 MMBtu.

A. NPU shall reimburse Asset Manager for all applicable variable transportation costs on “withdrawal” volumes

c. Operational Balancing Agreement (OBA): NPU will designate the Asset Manager as agent for balancing under its OBA on AGT. It will be the responsibility of the Asset Manager to settle any outstanding balances due to/from AGT including any Operational Flow Order penalties/violations.

d. Daily Balancing, Swing/Buybacks: Since the Asset Manager will be designated as Agent and responsible for balancing under NPU’s OBA, NPU and the Asset Manager will balance/cash-out daily actual gas requirements that are in excess or deficient to the Monthly Baseload Nominations using a Least Cost Dispatch model.

i. Swing Supply: For days where actual pipeline supply is more than the Monthly Baseload Nominations, the remaining open capacity paths based upon contract (not to exceed the total MDQ) will be evaluated to see the supply paths available. The available supply paths used for swing supply will be prioritized based upon costs to NPU from lowest to highest, plus all applicable variable costs.

ii. Buybacks: For days where actual pipeline supply is less than the Monthly Baseload Nominations, NPU will sell back daily excess volumes to the Asset Manager priced at the Daily Midpoint for Northeast, Texas Eastern, M-3 plus all applicable variable costs. Supply paths used for buybacks will be prioritized based upon costs to NPU from lowest to highest.

5. Price Risk Management: The Respondent must provide NPU with the right to fix prices on the contracted supplies for future months, at the option of NPU, based on the NYMEX Henry Hub natural gas price or another representative natural gas Index price. The Respondent should define in detail the hedging mechanism(s) to be offered to NPU.

6. Supply Sourcing: The Respondent should provide details regarding the source(s) of its natural gas supply and its firm rights to that supply.

7. Reliability of Transportation: Because this service is to be utilized in large part for high-priority human needs, the Respondent should explain its capability to provide all of NPU’s physical gas supply needs in the absence of a force majeure event, how it will minimize force majeure, and how it will eliminate the likelihood of any force majeure events. The Asset Manager should explain whether it would obtain control of NPU’s upstream pipeline storage capacity through a capacity release or through an agency designation, and what cost, operational, and/or liability differences would result from these different methods of obtaining control. The Asset Manager should describe its strategy for utilizing excess capacity in such a way as to maximize the fee paid to NPU, and its ability to implement the strategy.

8. Asset Management Payment: Assuming NPU’s pipeline transportation assets, storage assets, and operational balancing agreements are controlled by the Asset Manager through a capacity release, when they are not needed to meet NPU’s requirements, NPU’s transportation capacity, storage capacity, and operational balancing agreements should be managed to maximize NPU’s financial benefit. The Asset Manager shall propose a monthly or annual fee to be paid to NPU for the right to manage and utilize NPU’s excess pipeline transportation capacity, storage assets, and operational balancing agreements when not needed to serve NPU’s requirements.

a. Additional Asset Management Payment Scenarios: In addition to the proposed Asset Management

Payment fitting the conditions and terms contained herein, NPU requests that other scenarios and modifications to the Asset Management Payment be presented for consideration. Be advised that each of the scenarios below are completely independent of each other and should be evaluated as such:

i. Two-Year Initial Contract Term: Provide an updated Asset Management Payment if the initial contract terms were extended to two-years ending on 10/31/2028.

ii. Deferred MPC Capacity: Provide an updated Asset Management Payment if MPC Contract #276952 does not come to fruition for the duration of the contract.

iii. TET Storage: Provide an updated Asset Management Payment if NPU wishes to maintain access to its TET storage capacity and contract(s) “on paper”, mirroring the model of its EGTS storage capacity

9. Sample Invoice: The Asset Manager shall include with its proposal a sample format for a monthly bill that would be rendered to NPU, including all gas supply, pipeline, and administrative and management fees and costs, charges, expenses, and refunds.

10. Miscellaneous Fees: The Asset Manager’s administrative and other fees should be addressed explicitly.

11. Draft Contract Required: The Asset Manager should provide a draft natural gas supply and asset management contract representative of its proposal.

a. Term: The Contract shall be for a single-year term from November 1, 2026, through October 31, 2027, subject to negotiated contract renewals where the total contract term as amended/renewed is not greater than six years

b. Assignment: The Contract may not be transferred in any way by or as part of any sale, merger, consolidation, assignment, or any other event without the prior written consent of NPU, which consent shall not be unreasonably withheld.

c. Financial Strength, Stability and Creditworthiness:

i. The Asset Manager should provide a description of how the Asset Manager plans to provide evidence of its continuing financial strength through the term of the Contract.

ii. A Guarantor is preferred.

iii. Unless it is a governmental joint action agency and unrated, absent the provision of acceptable financial assurances, the current credit rating of the Asset Manager and of any Guarantor of the Asset Manager, and the credit rating of the Asset Manager or its Guarantor during the term of the Contract, cannot be below any of the following minimum credit ratings: Moody’s – Baa3; S&P – BBB-; or Fitch – BBB-. As part of the proposal, the Asset Manager shall provide its current credit ratings, as well as copies of all rating agency reports that changed the entity’s credit ratings or that placed the credit rating on negative watch or negative outlook since October 2018.

d. Early Termination Provisions: NPU shall have the right to terminate the Contract in the event: (1) that the Asset Manager or its Guarantor files for bankruptcy or becomes unable to pay debts when due;

(2) that statutory, judicial, or regulatory orders materially alter the obligations and rights of the parties under the Contract or render either party subject to the jurisdiction of the Federal Energy Regulatory Commission; (3) of the Asset Manager’s material breach of the Contract or the Asset Manager’s failure to perform; or (4) of the Asset Manager’s failure to provide and maintain required financial assurances.

e. Warranties and Indemnifications by the Asset Manager:

i. Warranty that the Asset Manager has sufficient gas supply to meet its delivery obligations to

NPU.

ii. Warranty that delivered gas is of pipeline quality.

iii. Warranty that the Asset Manager has good title to the gas supply at the point of delivery to

NPU.

iv. Indemnification of NPU by the Asset Manager against all third-party claims for any and all of the Asset Manager’s actions and/or inactions or because of the use or non-use of any of NPU’s assets.

12. Pertinent Personnel: The Asset Manager shall identify key operations personnel, and should provide contact information, including office and cell phone numbers, 24-hour telephone dispatch, fax, and email addresses.

13. Main Contact Person: The Asset Manager shall designate customer contacts that would be responsible for NPU’s account and for negotiating the Contract anticipated under this RFP with NPU.

14. Alternative Contract Options, Scheduling, or Pricing Structures: Present any alternative contract arrangements or pricing structures independently from the requested proposal as an appendix or addendum. Alternatives should seek to optimize and maximize the value of the Asset Management Agreement while still providing the best mix of firm services for NPU and its retail customers and meeting the Scope of Services.
