PROPOSAL DETAILS
Madison District Public Schools (MD) located in Madison Heights, Michigan provides a standard, traditional curriculum to a student body ranging from pre-kindergarten through the 12th grade.
On November 5, 2024, the District’s voters passed a Sinking Fund which will run for 10 years until
December 1, 2034. The funds levied will be used to improve facilities and infrastructure over life of the Sinking Fund program. This project is a part of those Sinking Fund improvements.
Madison District Public Schools (hereafter referred to as “Owner”) has engaged Plante Moran
Realpoint (hereafter referred to as “PMR” or “Owner’s Representative”) to provide owner’s representation services for this project. Your firm is invited to submit a proposal for the services required in this request for proposal (RFP).
This RFP is being publicly advertised and includes minimum qualifications that must be met or exceeded. This RFP includes the following attachments:

This RFP does not commit Owner to award a contract or to undertake any financial obligation whatsoever with respect to the requirement referred to herein. Owner reserves the right to reject any proposal with or without cause, to not award a contract, or to award one or more contracts.

Owner further reserves the right to waive any irregularity or informality in this RFP process or any proposal. Owner reserves the right to accept or reject, without consideration, any proposal which arrives late. Owner reserves the right to request additional information from any or all firms. In addition, notice is hereby given of the possibility that award may be made without discussion of the proposal. In the event a firm’s proposal is accepted by Owner and the firm asserts exceptions, special considerations, or conditions after acceptance, Owner, in its sole and absolute discretion, reserves the right to thereafter reject the proposal and award another firm. Therefore, the firms should submit their best proposal initially from both technical and cost standpoints.
A. PRE-PROPOSAL
a. CONFIDENTIALITY — From the issue date of the RFP until a firm is selected and selection is announced, a prospective firm shall not communicate about the subject of the RFP or a firm’s proposal with Owner, its board, or employees, except as permitted by the requests for clarifications paragraph. Your proposal and any modifications thereto shall be submitted only to the person(s) listed on the front page. Failure to comply strictly with Owner’s instructions regarding the content and manner of submission of a proposal including, without limitation, disclosure of any information in the proposal or modifications thereof to any third party or other Owner’s staff without the express, prior written approval of the
Owner’s Representative, shall result, at owner’s sole discretion, in the immediate disqualification of the firm.

B. ADDENDA
Any addendum to this RFP will be issued in writing by PMR on behalf of Owner. No information or representation other than that contained in such an addendum, whether received from an employee of Owner or other person, will be considered to have been modified or be grounds for deviation from any stipulation or requirement of this RFP.
C. PROPOSAL FORMAT
Prepare and submit three (3) copies of your proposal package to the designee listed on the first page. Packages should be in 8.5" x 11" format.

SECTION 1 – PROPOSAL
• Utilize the proposal forms provided as attachments to this RFP. Editable electronic versions of these forms may be obtained at the location indicated on front page.
SECTION 2 – PROJECT SCHEDULE FOR DEFINED WORK SCOPE
• Provide three proposed project schedules as requested in Project Details attachment.
SECTION 3 – BID BONDS INFORMATION
• A bid security, cashier’s check or certified check in the amount of five percent (5%) of the bid amount is required to be included with your proposal submission and shall be made payable to Madison District Public Schools.
SECTION 4 - CLARIFICATIONS AND EXCEPTIONS
• Detail any clarifications, exceptions, or exclusions to this RFP (scope, schedule, fee, etc.)
• List any and all exceptions taken to the contract documents provided. For each exception, alternative language must be proposed. Owner reserves the right to reject any proposed alternative language.
• The prevalence of these exceptions will be considered in reviewing the proposal and in the final selection of the firm for the project. Proposals that do not acknowledge these agreements or do not provide specific alternative language may be rejected.
SECTION 5 – ADDITIONAL INFORMATION
• Please include any additional relevant information.
D. PROPOSAL SUBMISSION
Sealed proposals for the work as described by the RFP package will be received as noted on the front page. Please mark the envelope of all proposals with “Madison District Public Schools -

Proposal for Rooftop Replacement Contracting Services” and include your firm’s name as well.
Please also follow the specific instructions related to electronic submission.
E. RESPONSIVENESS
To be responsive, the proposal must set forth full, accurate, and complete information as required by this RFP and all attachments.
F. MINIMUM QUALIFICATIONS
In addition to the other requirements of this RFP, the following minimum qualifications must be met by your firm in order to submit a proposal:
• Firm has been in business for at least the last five (5) consecutive years.
• Firm is licensed to perform the required work in the State of Michigan.
• Firm is familiar with and has experience in the public sector, including have at least five (5)
Public sector clients in the last five (5) years.
1. Firm has completed RTU replacement projects of at least $250,000 for at least five (5) Public sector clients within the last ten (10) years.
G. FORM OF AGREEMENT
This is a request for proposal only. Proposals will be treated as offers to enter into contract with
Owner. Owner and successful firm shall memorialize their contractual relationship and obligations using the form of contract attached to this RFP (“Contract”). The Contract contains many details regarding the services required under this RFP, as well as the terms and conditions under which the services shall be provided by the successful firm. The Contract should be reviewed carefully by each firm prior to submitting a proposal. Any exceptions to the terms and conditions contained in the Contract, or any other special considerations or conditions requested or required by the firm relative to this RFP or the form of Contract, shall be expressly and specifically enumerated by the firm and be submitted as part of its proposal, together with an explanation as to the reason such terms and conditions cannot be met by, or, in the firm’s opinion are not applicable to, the firm, provided however, that exceptions or special conditions of the firm will not be binding upon Owner unless those exceptions or special conditions are expressly accepted by Owner and incorporated into the final Contract. Following the selection of the successful firm, if any, by Owner, the
Contract will be finalized by the parties. The final Contract shall be subject to the review and approval by Owner’s legal counsel.

H. DATA CONFLICTS
Where conflicts occur within this RFP, its contents, and addendum (including but not limited to the Standard Form of Agreement; general, supplemental, and other conditions; etc.) the more restrictive requirements shall govern — all in favor of the Owner.
I. UNSOLICITED TERMS AND CONDITIONS
Proposals which take exception to Owner’s terms and conditions as a whole and substitute the firm’s standard terms and conditions may be rejected.
J. EVALUATION OF PROPOSALS
Proposals will be evaluated based on overall best value to the District considering responsiveness, relevant experience, capacity, contract exceptions, and proposed pricing, and while price is an important factor and may be determinative where proposals are otherwise equal, the District reserves the right to award to the proposer whose proposal is determined to be most advantageous and in the District’s best interest.
Some considerations in the District’s best interest:
• Responsiveness and completeness
• Relevant experience with public-sector work
• Proposed pricing (lump sum and unit prices) is not the main determinate
• Capacity to perform work within required timeframes
• Number and scope of contract exceptions
Although issued as a Request for Proposal, this procurement is price-focused. Award may be made to the lowest responsive and responsible proposer, or otherwise in the best interest of the District as permitted by law.
K. FEES/TAXES
All proposals shall include all applicable taxes, including Social Security, unemployment, sales or use taxes, and any other taxes specifically levied on the work or on wages by local, city, state, or federal government, except real property taxes on the site. Proposals shall also include all premiums, assessments, and other like payments, charges, and costs incidental to the work covered by the contract documents.
L. PROPOSAL COSTS
Any recipient of this RFP, or any firm who chooses to respond to this RFP, is responsible for any and all costs and liabilities incurred by it, or others acting on its behalf, in (1) preparing or
Page 7 June 15, 2026 submitting a proposal, (2) otherwise responding to this RFP, or (3) negotiating any Contract incidental to its proposal.
M. IRREVOCABILITY OF PROPOSALS
All proposals submitted may not be withdrawn and shall be irrevocable for a minimum period of ninety (90) calendar days following the due date for receipt of proposals set forth on the front page.
N. AUTHORITY TO SIGN
Proposals must be signed by an officer of the firm who is authorized to enter into binding agreements.
O. OPENING OF PROPOSALS
At the specified location and due date stated on the first page, all submitted proposals shall be publicly opened, read aloud and dated. Any interested parties may attend. No immediate decision will be rendered.

Attachment A1: Project Details
PROJECT
DESCRIPTION:
To support the District's endeavor to provide a quality learning environment, the
District requires an immediate replacement of three (3) heating rooftop HVAC units at their Wilkinson Middle School building. Contractor to include, but not limited to all labor, materials, equipment, controls and handling for all mechanical, electrical, roofing and flashing, roof curbs, etc. for a complete scope of Work.
Some work will require contractors to work within or adjacent to occupied spaces dependent on the needs of each specific unit. Contractor may be required to erect temporary barricades to perform work in occupied spaces to meet assignment schedule or objectives. Contractor is expected to provide protection of adjacent surfaces/equipment to the work area and must properly clean areas of work and adjacent or impacted areas.
Contractor shall furnish all necessary labor, materials, equipment, transportation, supplies, travel, tools, insurance and waste removal
(disposal/removal/recycling/toilet provisions) rental for the work. Contractor must furnish adequate personnel as required to perform an assignment in a timely fashion. Contractor must include a bid bond of 5% of any one work scope package proposed. A Performance and Payment Bond will be required for any work exceeding $50,000.00 for either the Defined Work Scope or IDIQ work packages.
The District, in its sole discretion, may award one or multiple Contractors, to accept or reject any bid in whole or part, to waive any informalities in the bidding process, and to award to a contract to other than the lowest bidder.
Selected Contractor will be required to submit to background screening and comply with Madison District badging policies for all Contractor personnel who will work on District property.
All labor and materials/equipment as furnished and installed for the work must be warranted for a minimum of one-year from the assignment completion date.

Construction will comply with all applicable codes, ordinances, regulations, etc., as enforced by the local, county, state, or relevant federal agencies.
Selected Contractors will need to work with the District and District's other
Contractors and consultants, including District's Representative, A/E partners, etc.
in order to coordinate and integrate the different portions of the Project.
Where a conflict exists between any code and the design or standard, the
Contractor shall consult with the District and their A/E for clarification of conflicts.
There are no Prevailing Wage requirements for this program.
ASSIGNMENT
OF CONTRACT
It is the District’s intent to prepurchase the three rooftop units prior to procuring the labor for installation. The successful contractor shall assume the contract for that material purchase, payment to manufacturer, all applicable taxes and be responsible for its receipt and installation and warrantee.
SCHEDULES: Due to the currently unknown date of RTU delivery, no defined schedule can be specified. The successful contractor shall perform and close out the work in a
“block of time” not more than one week in duration. This block of time will be negotiated with the successful contractor. If equipment manufacturer’s production and delivery schedule permits, it will be prior to the start of school on September 2, 2026. If school is in session prior to delivery, work must be done in a manner not to interrupt the normal business operations of the school.
The District is amenable to allowing “make ready” work to be done prior to delivery during off hours, weekends, off school days/vacations/breaks, etc.

MECHANICAL DEMOLITION NOTES
1. THESE DRAWINGS ARE DIAGRAMMATIC AND INDICATE THE GENERAL EXTENT OF WORK TO
BE PERFORMED. THE EXACT EXTENT OF DEMOLITION SHALL BE AS REQUIRED BY THE NEW
WORK.
2. PRIOR TO COMMENCEMENT OF WORK, CONTRACTOR SHALL VISIT THE SITE AND BECOME
FAMILIAR WITH EXISTING SITE CONDITIONS, SYSTEMS, AND UTILITIES. NOTIFY ARCHITECT
OF ANY INTERFERENCES OR DISCREPANCIES.
3. REFER TO SHEET M000 MECHANICAL GENERAL INFORMATION.
4. THE CONTRACTOR SHALL BRACE ALL EXISTING STRUCTURES AND ALL STRUCTURAL
ELEMENTS AS NECESSARY DURING ENTIRE CONSTRUCTION PROCESS. CONTRACTOR
SHALL NOT CUT STRUCTURAL WORK IN A MANNER RESULTING IN A REDUCTION IN LOAD
BEARING CAPACITY OR LOAD DEFLECTION RATIO. COORDINATE WITH STRUCTURAL
ENGINEER AS NECESSARY.
5. VERIFY DEPTH, SIZE, LOCATIONS AND CONDITION OF EXISTING UTILITIES IN THE FIELD, INCLUDING POINTS OF CONNECTION PRIOR TO STARTING ANY WORK.
6. ANY INTERRUPTIONS OF EXISTING SERVICES AND/OR EQUIPMENT SHALL BE PERFORMED
AT A TIME APPROVED IN ADVANCE BY THE OWNER'S REPRESENTATIVE SO AS NOT TO
INTERFERE WITH THE PRESENT BUILDING'S OPERATION.
7. ALL ITEMS ON DEMOLITION PLANS SHALL BE CONSIDERED EXISTING UNLESS OTHERWISE
NOTED. ALL WORK INDICATED ON PLANS HAS BEEN LOCATED PER EXISTING DRAWINGS
AND/OR FIELD OBSERVATION AND REQUIRES FIELD VERIFICATION.
8. ALL ITEMS INDICATED WITH BROKEN LINES SHALL BE REMOVED COMPLETE, WITH ALL
RELATED ITEMS INCLUDING HANGERS, SUPPORTS, INSULATION, CONTROLS, ETC. CAP ALL

REPAIR AS REQUIRED TO MAINTAIN WEATHERPROOFING AND INTEGRITY. ALSO REMOVE THE

10. THE CEILING SPACE IS USED AS A RETURN AIR PLENUM. NO PLASTIC MATERIALS
INCLUDING PVC PIPING, CONDUIT, WIRING, ETC. SHALL BE USED. ALL MATERIAL IN THE
CEILING SPACE IS TO BE PLENUM RATED.
11. CONNECTION TO EQUIPMENT SHALL BE VERIFIED WITH MANUFACTURER'S CERTIFIED
DRAWINGS. TRANSITIONS TO ALL EQUIPMENT SHALL BE VERIFIED AND PROVIDED FOR
EQUIPMENT FURNISHED.
12 ROOF MOUNTED EQUIPMENT REQUIRING SERVICE SHALL BE LOCATED A MINIMUM OF 10
FEET FROM ROOF EDGES. WHERE EQUIPMENT CAN'T BE LOCATED AWAY FROM ROOF
EDGE AND GUARD RAILS ARE NOT PROVIDED, PROVIDE PERMANENT FALL ARREST
ANCHORAGE CONNECTION DEVICE THAT COMPLIES
HVAC KEYNOTES
H1 CONTRACTOR SHALL FIELD-VERIFY THE EXISTING CURB DIMENSIONS AND BELOW-ROOF
OPENING SIZES PRIOR TO ORDERING THE NEW RTU. MANUFACTURER SHALL SUBMIT
DIMENSIONED SHOP DRAWINGS THAT MATCH THE VERIFIED DIMENSIONS, SHOWING
UNIT BOTTOM VIEW, OPENING SIZES AND CURB DIMENSIONS. ANY DISCREPANCY
GREATER THAN 1″ SHALL BE REPORTED TO THE ENGINEER BEFORE FABRICATION FOR
DIRECTION. NO BELOW-ROOF DUCT MODIFICATIONS ARE PERMITTED. FOR
PLENUM-RETURN INSTALLATIONS, THE RTU RETURN OPENING SHALL SIT FULLY WITHIN
THE CURB PLENUM AND PROVIDE THE SAME EXISTING FREE AREA.
H2 CONTRACTOR SHALL INSTALL A NEW GAS REGULATOR, PIPE UNION, TEE AND 6" LONG
DIRT LEG WITH CAP FOR ALL RTU'S AND A MANUAL SHUTOFF VALVE (FOR RTU-7 & 12
ONLY) ON THE NEW GAS LINE SERVING THE RTU. VERIFY FINAL GAS CONNECTION SIZE
AND LOCATION WITH THE RTU MANUFACTURER. SUPPORT NEW PIPING ON MIRO PILLOW
BLOCK (OR APPROVED EQUAL) POLYCARBONATE, UV-RESISTANT ROOF PIPE SUPPORTS
(TYP.). WEATHERPROOF PAINT ALL GAS PIPING. REFER TO DETAILS ON SHEET M600.
H3 INSTALL NEW INDOOR ZONE TEMPERATURE SENSOR(S) AND CONNECT TO ASSOCIATED
NEW ROOF TOP UNIT. NEW TEMPERATURE SENSORS TO BE PLACED IN SAME LOCATION

4. COORDINATE THE NEW RTU SO SUPPLY AND RETURN OPENINGS ALIGN WITH THE EXISTING LOCATIONS. FIELD-VERIFY EXISTING DUCT OPENINGS/SIZES; REPORT ANY DISCREPANCIES BETWEEN THE DRAWINGS AND FIELD CONDITIONS TO THE ENGINEER PRIOR TO ORDERING THE NEW RTUS. NO BELOW-ROOF DUCT MODIFICATIONS ARE PERMITTED WITHOUT WRITTEN DIRECTION.
5. CONTROLS: PROVIDE FACTORY-INSTALLED UNIT CONTROLS CAPABLE OF INTEGRATION WITH THE EXISTING BUILDING MANAGEMENT SYSTEM (BMS). FACTORY-INSTALLED CONTROL DEVICES SHALL INCLUDE: SA & RA TEMPERATURE SENSORS, FREEZE-STAT/LOW-LIMIT THERMOSTAT, PHASE MONITOR/RELAY, UNIT STATUS LIGHTS, GFCI SERVICE RECEPTACLE WITH CONVENIENCE OUTLET, AND
UNIT-MOUNTED FUSED DISCONNECT. ALSO INCLUDE A SMOKE DETECTOR INTERLOCK INPUT FOR FIELD-INSTALLED DUCT SMOKE DETECTORS. PROVIDE A COMPLETE CONTROL POINTS LIST FOR BMS INTEGRATION.
6. DUCT SMOKE DETECTORS ON SUPPLY & RETURN SHALL BE FIELD INSTALLED ACCORDING TO LOCAL AHJ'S REQUIREMENTS AND MUST BE COMPATIBLE WITH BOTH THE EXISTING NOTIFIER FIRE ALARM PANEL AND THE RTU CONTROLS. DETECTORS SHALL BE PROVIDED UNDER DIVISION 28. TCC SHALL PROVIDE INTERLOCK WIRING FROM THE SMOKE DETECTOR TO THE RTU UNIT SHUTOFF.
7. INSTALL NEW RTU ON EXISTING ROOF CURBS. MAINTAIN PROPER WORKING CLEARANCES (REFER TO MANUFACTURERS REQUIREMENTS). CURB ADAPTERS ARE PERMITTED BUT MUST BE SPECIFICALLY REVIEWED AND APPROVED IN WRITING BY THE ENGINEER PRIOR TO FABRICATION/ORDERING.
8. PROVIDE SUPPLY FAN VFD FOR SOFT-START AND AIR BALANCING;
9. UNITS SHALL HAVE BOTTOM DISCHARGE AND RETURN. FOR PLENUM-RETURN INSTALLATIONS, THE RTU RETURN OPENING SHALL LAND FULLY WITHIN THE CURB PLENUM AND PROVIDE THE SAME AS THE EXISTING FREE AREA.
10. ECONOMIZER DAMPERS: PROVIDE LOW-LEAK OA, RA, AND RELIEF (EA) DAMPERS WITH MODULATING BELIMO-TYPE ACTUATORS;
11. CASING: PROVIDE 18-GA EXTERIOR CASING AND 20-GA ALUMINUM INTERIOR SOLID LINER FOR ALL RTU'S.

1. VISIT THE SITE PRIOR TO SUBMISSION OF BID TO EXAMINE THE EXISTING CONDITIONS AND
THE EXTENT OF DEMOLITION WORK.
2. EXAMINE THE DRAWINGS OF OTHER TRADES, BE FAMILIAR WITH THE DEMOLITION
REQUIRED BY OTHER TRADES.
3. PERFORM ALL INCIDENTAL ELECTRICAL DEMOLITION AND/OR RELOCATION OF DEVICES
AND EQUIPMENT REQUIRED TO FACILITATE THE DEMOLITION WORK OF OTHER TRADES.
4. COORDINATE WITH NEW WORK PLANS, ONE LINE, AND RISER DIAGRAMS FOR EXTENT OF
DEMOLITION WORK.
5. COORDINATE ANY SHUTDOWN OF EXISTING SERVICES AND EQUIPMENT REMAINING IN USE
WITH OWNERS' REPRESENTATIVE. WHERE EXISTING BUILDING SERVICE IS REQUIRED TO
BE SHUT DOWN, INCLUDE ALL ASSOCIATED OVERTIME COST TO PERFORM THIS WORK
DURING EVENING AND WEEKENDS.
