About this file
This document is a Justification for Sole Source Acquisition for the Department of Defense Education Activity (DoDEA). The sole-source contract is awarded to ALPHA Facilities Solutions LLC for Facility Asset Management (FAM) services for Fiscal Year 2026, with a total estimated value of $4,950,000.00 for a 12-month period from October 1, 2025, through September 30, 2026. The contract covers inspecting 64 schools and related facilities in Europe, including environmental health and safety support such as Asbestos Hazard Emergency Response Act (AHERA) inspections and facility safety condition assessments.
DoDEA initially sought a competitive procurement but encountered delays that compressed the timeline. The sole-source justification is based on ALPHA's unique qualifications, including their decade-long contract history, proprietary data collection process, existing security clearances, and immediate ability to perform the required inspections. The agency has identified 13 potential sources for future competitions, with 10 being 8(a) program participants, but none could meet the expedited October 1 timeline. DoDEA plans to recompete the FAM requirements for FY2027 by synopsizing the procurement early, conducting outreach to potential offerors, and making sample data available to promote competition.

DEPARTMENT OF DEFENSE EDUCATION ACTIVITY
JUSTIFICATION
For
FAR 13.501(a) SOLE SOURCE ACQUISITION
1. Agency & Contracting Activity
Department of Defense Education Activity
2. Description of Action
This justification provides the rationale for awarding a sole-source contract in accordance with FAR 13.501(a) for facility asset management (FAM) services as a firm fixed price contract HE1254-26-C- E0XX with ALPHA Facilities Solutions LLC (ALPHA) with a total estimated value of $4,950,000.00.
The period of performance is for a planned 12-month contract term beginning on October 1, 2025, through September 30, 2026, with no option periods. Because performance will begin in Fiscal Year (FY) 26, Operation and Maintenance (O&M) funds are currently not available, and this action will proceed subject to the availability of funds in accordance with Federal Acquisition Regulation (FAR) 52.232-18 Availability of Funds. ALPHA is the incumbent FAM contractor supporting the Department of Defense Education Activity (DODEA) through 8(a) Contract W91236-19-D-0002 with the U.S. Army Corps of Engineers (USACE).
3. Description of Supplies/Services Required to Meet the Need
This contract is to provide FY26 FAM support services to DoDEA to inspect 64 schools and related facilities in Europe. FAM services include (1) facility environmental services to provide environmental health and safety support to include Asbestos Hazard Emergency Response Act (AHERA) inspections and abatement planning; and (2) facility safety condition assessments to focus repair and preventative maintenance efforts.
4. Statutory Exception
The statutory authority permitting the sole-source award is 10 U.S.C. §3204 (a)(1) – Only One Responsible Source and No Other Suppliers or Services will Satisfy Agency Requirements. (See also FAR 13.501(a) and FAR 6.302-1)
5. Demonstration of Unique Qualifications or Nature of the Acquisition
The rationale supporting the award of a sole-source contract is as described below.

a. DoDEA’s FAM requirements have historically been fulfilled through interdepartmental support where USACE managed the ALPHA support contract and conducted oversight of FAM data collection and management. FAM support was delivered through USACE contract W91236-19- D-0002 with a period of performance from September 27, 2019, through September 25, 2025.
This USACE contract was an 8(a) contract coordinated through the Small Business Administration (SBA).
b. DoDEA is required to inspect all schools and school-related facilities at least once every three years pursuant to the AHERA legislation, codified at 15 U.S.C. §§ 2641-2463, with implementing Environmental Protection Agency (EPA) regulations at 40 CFR 763. United States EPA regulations are enforced on U.S. military installations – to include dependent education facilities – in accordance with the NATO Status of Forces Agreement (SOFA) Article 54A.
c. DoDEA has 64 schools in Europe due for inspection in FY26, required to commence in October 2025. DoDEA is legally required to have FAM services performed at these 64 schools. AHERA inspections are certified for three years. This year, the AHERA certifications for all European DoDEA schools will expire.
d. DoDEA’s FAM services are non-severable, and all 64 schools must be inspected as a single sustained effort because of the logistics of maintaining inspection teams in the field. Typically, inspections for all schools are an 8–9-month process with an additional 3-6 month transitioning period. Due to the security clearances and availability of school access, ALPHA being the incumbent has access and the clearances to support this requirement immediately. A new contractor could take up to 6 months to obtain these clearances.
e. ALPHA has a unique knowledge base of all DoDEA facilities and the ability to conduct facilities assessments and AHERA inspections for all DoDEA schools and other facilities worldwide.
Alpha has had the contract for the last 10 years where they have developed a database blueprint of all training, inspections, findings and analysis of all 64 schools. A new contractor would need to start from scratch as the process that ALPHA uses to finalize FAM reporting is proprietary. This bridge will include all data to be supplied to the government upon completion. A new contractor engaged to support FY26 FAM requirements would need additional training and familiarization with DoDEA’s operations to be effective in the limited time available to mobilize for FAM inspections. A process that would take an additional 30 to 90 days to obtain. This process would not include the security clearances for base access, which could include an additional 6-month process.
f. As the incumbent contractor under the USACE effort, ALPHA is uniquely positioned to continue these urgent and critical FAM support services in the immediate future. Until DoDEA completes development of its follow-on procurement initiative, ALPHA is the only available source of support for DoDEA’s immediate FAM operations.
6. Efforts to Obtain Competition
In order to promote future competition, DoDEA will post this Justification and Approval to SAM.gov.
Prior to this procurement DoDEA has been pursuing a strategy of a competitive FAM support services award through the SBA 8(a) program. DoDEA had intended to award a single, five-year FAM support contract and this effort was initiated through RFP HE1254-15-R-E025. To this end, DoDEA posted a http://farsite.hill.af.mil/reghtml/regs/far2afmcfars/fardfars/far/02.htm#P10_600 http://farsite.hill.af.mil/reghtml/regs/far2afmcfars/fardfars/far/03.htm#P41_5833
Request for Information (RFI) on December 23, 2024, notifying potential offerors of the FAM procurement. DoDEA received responses from 13 interested parties, 10 of whom are 8(a) program participants. In addition, the FAM requirements were synopsized in a second posting under HE1254-25- R-E010 to SAM.gov on March 19, 2025.
However, delays in compiling existing FAM data and extended discussions with SBA significantly compressed the available time to complete the FAM follow-on procurement as a competitive procurement. As a result, on June 26, 2025, DoDEA cancelled RFP HE1254-25-R-E015 for the single award competition for a five-year contract. The DoDEA FAM requirements have been reconstituted as a single-award one-year contract for the immediate upcoming FAM requirements in Europe as a sole-source under Solicitation HE1254-25-R-E030 in September 2025. DoDEA will immediately begin recompete efforts to ensure a new award is made to allow for a successful transition to a new contractor.
7. Determination of Fair and Reasonable Cost
The anticipated costs will be considered fair and reasonable. FAM contract cost data has been available from the USACE contract supporting DoDEA for the past 5 years. DoDEA is confident that ALPHA’s FY26 cost level will be consistent with the prior year’s effort based on the agency’s experience in administering the FAM contract. In addition, DoDEA has refined FAM requirements into manageable elements and scrutinized IGCE data to establish cost control limits.
8. Market Research
DoDEA conducted market research through the issuance of a RFI on December 23, 2024, notifying potential offerors of the FAM procurement. DoDEA received responses from 13 interested parties, 10 of whom are 8(a) program participants. The results of the RFI and other program queries were compiled into a Market Research Report. This Market Research Report was updated in July 2025 to incorporate additional data from March 19, 2025, posting.
DoDEA has identified several potential sources of FAM support services for future contracts. Upon inheritance of this requirement from another agency, DoDEA found through research that the planned requirement could not commence with a new contractor due to the timelines and clearances that would need to be obtained prior to 1 October. The timeline of 3 to 6 months would be needed to satisfy safety and security requirements for all 64 schools. The new contractor would have to assume responsibility for FAM support by October 1, 2025, with no time available for transition-in after the completion of the solicitation and award process. An award to a contractor other than ALPHA will result in unacceptable delays in FAM support services.
9. Other Supporting Facts
Upon DoDEA’s request, on June 17, 2025, SBA approved a one-year follow-on contract for award to ALPHA for FAM support. The FAM sole-source procurement for FY2026 will focus only on Europe facility assessment and safety requirements. Thereafter, DoDEA will recompete the FAM requirements.
10. Interested Sources
As stated above, DoDEA has identified 13 potential sources to support FAM requirements, 10 of whom are 8(a) program participants. All potential sources would not be able to meet DoDEAs expediated timeline of 1 Oct.
11. Removing Barriers to Competition
DoDEA will take positive action to ensure competition for the FY2027 FAM requirements:
a. Synopsizing the procurement in SAM.gov with sufficient lead-time to allow potential offerors an opportunity to bid on the work.
b. Conduct outreach to potential offerors to advance market understanding of the inspection and safety requirements and promote higher-quality proposals.
c. Make FAM sample data available to potential offerors to demonstrate the scope of data to be collected.
CERTIFICATION
Contracting Officer: I certify that the justification is accurate and complete to the best of my knowledge and belief. In addition, I hereby determine that entering a one-year sole-source contract with ALPHA Facilities Solutions will result in a price that will be fair and reasonable to the Government.
