This is a Request for Proposal (RFP) issued by the Housing Authority of the City and County of Denver (DHA) for Independent Audit and Tax Services, solicitation number 25-023, dated August 15, 2025. The RFP seeks a contractor to perform comprehensive audit services, including an annual Denver Housing Authority financial audit with Single Audit, DLIHDC Development Corporation tax returns, and attestation on HUD Real Estate Assessment Center (REAC) Financial Data Schedule. The contract term is one year from the award date, with the option to extend for four additional years. The RFP includes a detailed fee schedule with estimated quantities for various audit and tax return services, covering DHA audits, Low Income Housing Tax Credit (LIHTC) partnership audits, tax returns, not-for-profit audits, renewable energy audits, and other entity tax returns. The pricing structure allows for potential separate contracts for DHA Audit and Partnership Audit and Tax Returns. Proposers must provide hourly rates for different staff levels and out-of-pocket expenses. The RFP emphasizes the importance of small business and Section 3 business participation, with aspirational goals of 25% for each category. Proposers must complete various forms including a Vendor Qualification Form, Worker Status Affidavit, Business Status Affidavit, and a Non-Disclosure Agreement to access confidential partnership audit information.

SECTION C
DESCRIPTION/SPECIFICATIONS/STATEMENT OF WORK
I. BACKGROUND
The mission of the Housing Authority of the City and County of Denver (DHA) is to provide a variety of affordable housing opportunities for low- and moderate-income people within the City and County of Denver. DHA was created in 1938. DHA is a quasi-municipal corporation governed by a nine-member Board of Commissioners appointed to terms by the Mayor of Denver. This is funded through the Department of Housing and Urban
Development (HUD). DHA currently provides rental assistance to over 14,000 households in the City and County of
Denver. All pertinent information about DHA is posted on its website: www.denverhousing.org. DHA’s annual budgets and audited financial statements can be accessed on the website under the “About” tab.
DHA requires a Certified Public Accounting firm to perform the audit of its financial statements for the fiscal year ending December 31, 2025, with the option of auditing its financial statements for each of the four subsequent fiscal years. These audits are to be performed in accordance with HUD regulations and in accordance with generally accepted auditing standards, the standards set forth for financial audits in the U.S. General Accounting Office's
(GAO) Government Auditing Standard, and the provisions of the “Uniform Administrative Requirements, Cost
Principles, and Audit Requirements for Federal Awards”, 2 CFR 200. In addition, it is DHA’s policy to require the accounting firm to have specific experience in auditing governmental entities and experience with the Government
Finance Officers Association “Certificate of Achievement for Excellence in Financial Reporting” program.
II. NATURE OF SERVICES REQUIRED
A. General
DHA is required by the Federal Single Audit Act, and it’s Annual Contributions Contract with HUD to have yearly independent audits. In addition, DHA’s various instrumentalities are General Partners in numerous Low Income Housing Tax Credit (LIHTC) Partnerships. DHA is also responsible for having audited financial statements and for filing Federal and State tax returns for these limited Partnerships.
B. Scope of Work to be Performed
The auditor will be expected to express an opinion on the fair presentation of its general purpose financial statements in conformity with generally accepted accounting principles (GAAP) for DHA, limited partnerships, non-profit entities, limited liability corporations, and renewable energy entities.
The auditor will be expected to prepare tax returns for the LIHTC partnerships, non-profit entities, HOA’s, C-Corps and renewable energy entities. Additional LIHTC partnerships will be added during the contract term. A separate contract may be awarded for this function to another offeror if it is advantageous for DHA to do so based on this Request for Proposal.
The auditor is not required to audit the supporting schedules contained in the annual comprehensive financial report. However, the auditor is to provide an "in-relation-to" report on the supporting schedules based on the auditing procedures applied during the audit of the general purpose financial statements and the combining and individual fund financial statements and schedules. The auditor is not required to audit the statistical section of the report.
The auditor will be expected to consider its internal control structure as part of planning and performing the audit and to report on the internal control structure. The Federal Register 2 CFR Part 200 requires the auditor to test and report on the DHA's internal control structure and compliance with applicable laws and regulations. The auditor's report on compliance should include an opinion on DHA's compliance with applicable laws and regulations of each of its major programs.
http://www.denverhousing.org/
In accordance with HUD’s Uniform Financial Reporting Standards (UFRS) originally published in the
Federal Register on September 1, 1998 DHA also desires attestation by auditors on hard copy and electronically submitted data as to its “fair presentation in relation to audited basic financial statements” in accordance with the audit provision of the American Institute of Certified Public Accountants (AICPA)
Statement on Auditing Standards (SAS) No. 137, The Auditor’s Responsibilities Relating to Other
Information Included in Annual Reports, and agreed-upon procedures under AICPA Statement on
Standards for Attestation Engagements (SSAE) No. 19, Agreed-Upon Procedures Engagements where the auditor compares the electronically submitted data in HUDS’ REAC staging database to the hard copy of the audit report and Financial Data Schedule.
As a part of this contract DHA may require the auditor to perform other accounting, auditing, reviews, attestations, agreed upon procedures, tax preparation, consulting comfort letters or bond/debt/equity financing related functions for any entity owned, managed, operated or participated in by DHA. Fees will be negotiated at the time the services are requested. Billable rates will be based on those provided in the initial fee proposal. This is a requirements and labor hour contract and excludes any Low Income Housing
Tax Credit cost certifications.
C. Auditing Standards to be Followed
To meet the requirements of this contract, the audit shall be performed in accordance with:
Generally accepted auditing standards as set forth by the American Institute of Certified Public
Accountants, the standards for financial audits set forth in the U.S. General Accounting Office's
Government Auditing Standards, the provisions of the Single Audit Act and the provisions of the Uniform
Administrative Requirements, Cost Principles, and Audit Requirements for Federal Awards. Changes in accounting standards, audit standards or requirements due to Federal Regulation changes may cause changes to the requirements of this contract.
D. Reports to be Issued
Following the completion of the audit of the fiscal year's financial statements, the Auditor shall issue:
1. A report on the fair presentation of the financial statements, in conformity with generally accepted accounting principles.
2. A report on the internal control structure based on the audit of the financial statements.
3. A report on compliance with applicable laws and regulations.
4. A report on supplementary schedule of federal financial assistance.
5. A report on the internal control structure used in administering federal financial assistance programs.
6. A report on compliance with laws and regulations related to major and non-major federal financial programs. This report shall include an opinion on compliance with specific requirements applicable to major federal financial assistance programs, a report on compliance with general requirements applicable to major federal financial assistance programs, and a report on compliance with laws and regulations applicable to non-major federal financial assistance program transactions tested.
7. Attestation on Financial Data Schedule as to its “fair presentation in relation to audited basic financial statements” and auditor involvement in the electronic submission process under HUD’s
Uniform Financial Reporting Standards (UFRS) for Public Housing Authorities.
8. At the conclusion of the examination, the Auditor shall submit to DHA a management letter including a statement of audit findings, recommendations affecting the financial statements, internal control, accounting, accounting systems, legality of actions, program and financial performance, financial policies, and any other material matters. Prior to final submission of the final management letter, the Auditor shall review a draft of the proposed letter with persons named by DHA's representative.
In addition to the reports listed above, the Auditor shall also, prepare all required Internal Revenue
Service Tax forms and Colorado State Tax forms for DHA’s various Limited Partnerships and entities.
In the required reports on internal controls, the auditor shall communicate any reportable conditions found during the audit. A reportable condition shall be defined as a significant deficiency in the design or operation of the internal control structure, which could adversely affect the organization's ability to record, process, summarize, and report financial data consistent with the assertions of management in the financial statement.
The reports on compliance shall include all instances of non-compliance, irregularities and illegal acts. Auditors shall be required to make an immediate, written report of all irregularities and illegal acts or indications of illegal acts of which they become aware to the following parties:
1. Chief Executive Officer
2. DHA Audit, Finance, and Pension Committee
3. Board of Commissioners
4. Department of Housing and Urban Development (HUD)
E. Special Considerations
1. DHA has determined that HUD will function as the cognizant oversight agency in accordance with the provisions of the Single Audit Act and Uniform Administrative Requirements, Cost Principles, and Audit Requirements for Federal Awards”, 2 CFR 200.
2. The schedule of expenditures of federal awards and related auditor's report, as well as the reports on the internal control structure and compliance and HUD Financial Data Schedule are to be issued as part of the annual comprehensive financial report.
All working papers and reports must be retained at the auditor's expense, for a minimum of three (3) years, unless the firm is notified in writing by DHA of the need to extend the retention period. The auditor will be required to make working papers available, upon request, to the following parties or their designees:
The Housing Authority of the City and County of Denver (DHA)
Department of Housing and Urban Development (HUD)
U.S. General Accounting Office (GAO)
In addition, the firm shall respond to the reasonable inquiries of successor auditors and allow successor auditors to review working papers relating to matters of continuing significance.
Engagement partners, managers, other supervisory staff and specialists may be changed if those personnel leave the firm, are promoted or are assigned to another office. These personnel may also be changed for other reasons with the express prior written permission of DHA. However, in either case, DHA retains the right to approve or reject replacements.
Consultants and firm specialists mentioned in response to this request for proposals can only be changed with the express prior written permission of DHA which retains the right to approve or reject replacements.

SECTION E
EVALUATION FACTORS FOR AWARD
The Authority has issued this RFP to identify Offerors who have a proven track record and the experience performing the services requested in Section C –DESCRIPTION/SPECIFICATION/STATEMENT OF WORK. Based on submittals, an evaluation panel assembled by the Authority will review, score, and rank the Offers according to the evaluation factors set forth below and in Section D, Paragraph 3 (Proposal Preparation Instructions) and determine which Offerors are the most responsive.
Federal procurement regulations require that each Offer be evaluated on the content of the Offer submitted in response to this RFP. Consequently, even if Offeror has performed services for the Authority in the past, Offeror must still respond to the RFP in detail, as though Offeror has never provided services to the Authority. If necessary, the
Authority will conduct interviews to determine which firm(s) have the qualifications to best meet the Authority’s needs. Subsequently, the evaluation panel will recommend one or more Offerors to the Board of Commissioners, who will vote to accept or reject the recommendation.
AWARD WITHOUT NEGOTIATIONS
If, after the initial evaluation of proposals, there is an Offer(s) that is ranked above all other Offers, and there is no need to negotiate or obtain further clarification or information from the Offeror (e.g., the price is reasonable), the Contracting
Officer may proceed directly to award.
CONFLICT OF INTEREST
The Authority, in its sole and absolute discretion, may disqualify an Offer if the Offeror has a real or apparent conflict of interest.
Federal procurement regulations require that each Offer be evaluated on the content of the Offer submitted in response to this RFP. Consequently, even if Offeror has performed services for the Authority in the past, Offeror must still respond to the RFP in detail, as though Offeror has never provided services to the Authority.
Utilizing the following factors and others as identified in HUD Form 5369B, paragraph 5(a) and (b), the panel will evaluate and score each Offer as follows:
