About this file

This document is a Non-Disclosure Agreement (NDA) between the California Department of Food and Agriculture (CDFA) and an unnamed contractor. The NDA establishes strict confidentiality protocols for the contractor, its employees, and representatives who may encounter confidential or proprietary information during the course of their contract work. The agreement defines confidential information broadly, including business-related data, customer information, administrative practices, enforcement activities, personnel matters, licensing information, system specifications, financial transactions, and emergency response details.

The NDA stipulates that the contractor does not receive ownership rights to the information and remains obligated to maintain confidentiality even after the contract concludes. Any unauthorized disclosure could result in civil, criminal, or administrative actions and potentially lead to immediate contract termination. The contractor must immediately report any suspected or actual breaches of confidentiality to the Department. By signing, the contractor commits to preserving the confidentiality and privacy of all proprietary information, agreeing not to copy, share, or disclose such information to any party not similarly bound by a confidential agreement with the Department.
