About this file
This document is a Justification and Approval (J&A) for a sole source contract award to Vadum Inc. for research, development, and platform integration for AEW (Airborne Early Warning) projects in the Spectrum Warfare Department at the Naval Surface Warfare Center, Crane Division (NSWC Crane).
The contract will consist of a one-year base period and four one-year option periods, for a potential total period of performance of up to five years. The estimated total value is $7 million in Research, Development, Test, and Evaluation (RDT&E) funding. Vadum Inc. is the only responsible source that can fulfill the requirement, as they possess the unique knowledge and experience necessary to satisfy the agency's needs. A sources sought notice was issued, but the Government determined that no other companies had the required capabilities. The Contracting Officer has determined the anticipated cost will be fair and reasonable. The Government does not currently have plans to compete future contracts for these services, but will assess the feasibility if another potential source emerges.

4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C. 3204(a)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority.
In accordance with FAR 6.302-1, Vadum Inc. is the only responsible source which can fulfill the requirement.
No source other than Vadum Inc. currently has the requisite knowledge and experience to satisfy the agency’s requirements. It is estimated that the Government would incur a duplication of cost totaling $16,954,661 if the Government had to develop another source to a point where the source has an intricate knowledge of the software, source code, threat systems, and integration required
The Government is not expected to recover this duplication of cost through competition.
Furthermore, it’s estimated that the Government would incur a schedule delay of 36 months to develop another source to conduct this effort, For the foregoing reasons, Vadum Inc. is the only responsible source with the unique capabilities necessary to perform the required research and development for the project IAW FAR 6.302-1(a)(2)(iii).
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
A Sources Sought notice was issued and uploaded to the SAM.gov website on 06 October 2023, to which three responses were received. responded to the Sources Sought with company information and/or capability statements. Upon review of the capability statements of all three vendors, the Government determined that none of the companies had the capability to satisfy the requirement.
The solution proposed to interface with existing sensors using open architecture standards they support; however, the target system for integration does not have those interfaces and significant hardware and software changes would be required to implement them.
capability statement showed that they primarily offer network infrastructure, which was not responsive to the RFI.
No mention was made of an existing solution or the lead time for a solution.
offered measurement capabilities for radar and electronic warfare systems. The RFI requested development of EW systems, not test capability for them. In their response, they noted that they may fit as a subcontractor providing test capability on the effort. Because their capabilities are tangential (test related) to what the Government is requesting Vadum to develop, this If test capability were required, a separate, likely open competition contract action would be initiated.
A synopsis of the proposed action and intent to sole source the requirement was published on the SAM.gov website on 17 October 2023. There have been no responses received to the synopsis.
No additional market research was performed because Vadum is the only source that can meet the Government’s current requirements. It is not practicable, for the reasons discussed in section 5 above, for any company other than Vadum to provide the required supplies/services.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this J&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition.
For the reasons set forth in section 5, NSWC-CD has no plans at this time to compete future contracts for required services covered by this document. If another potential source emerges, Naval Surface Warfare Center, Crane Division will assess whether competition for future requirements is feasible.
As this is a follow-on for services previously awarded on a non-competitive basis, in accordance with DFARS PGI 206.304(a)(S-70)(i), the prior J&A was provided to the approval authority for review. Approval of this J&A signifies the approval authority has made the determination required by DFARS PGI 206.304(a)(S-70)(ii).
