About this file
This is a Class Justification and Approval (CJ&A) document from the Naval Surface Warfare Center (NSWC) Crane Division justifying a sole-source Basic Ordering Agreement (BOA) to Raytheon Company (RTX) for the JANUS II system. The BOA covers initial design, development, prototype, and production of the Multi-Mission Optical Sensor (MMOS) and MTS Pedestal Enclosure System (MPES) along with supporting hardware and software.
The 5-year BOA will run through September 29, 2029, using a combination of Firm-Fixed Price and Cost Plus Fixed Fee orders. The systems leverage RTX's Multi-Spectral Target System (MTS-B) sensors and DIA-developed command and control systems, continuing work from previous contract HHM402-18-C-0025. Key services include engineering, field services, integration, maintenance/repair, prototyping, R&D, software services, and technical support. RTX is deemed the only capable source due to their proprietary data rights and unique technical capabilities, with estimated schedule delays of 48-66 months and significant cost duplication if competed. A December 2023 RFI and February 2024 synopsis received no responses from other potential sources. The Navy has established organic depot repair capabilities at Fleet Readiness Center Southeast and NSWC Crane expected to reduce repair costs by 30-40%.

J&A Number: CR-24172
Code: 0231 P.R. Number: N0016424GJQ19
CLASS JUSTIFICATION AND APPROVAL (CJ&A)
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity
Naval Sea Systems Command (NAVSEA), Naval Surface Warfare Center, Crane Division (NSWC Crane) Expeditionary Contracts Division (Code 023).
2. Description of the Action Being Approved
Execution of a Basic Ordering Agreement (BOA) on a sole source basis to Raytheon Company (hereinafter referred to as RTX), 1100 Wilson Blvd. 20th Florr, Suite 2801-D, Arlington, VA 22209 (CAGE: 3F408). This BOA will provide the initial design, development, prototype, and initial production of the JANUS II system which includes the Multi-Mission Optical Sensor (MMOS) and MTS Pedestal Enclosure System (MPES) and ancillary hardware and software to support the systems.
The BOA will have a five (5) year ordering period. Specific delivery dates and/or periods of performance will be set forth in each individual order placed under the BOA. A variety of orders are anticipated including a combination of Firm-Fixed price (FFP) and Cost Plus Fixed Fee (CPFF).
Authority to act under this J&A expires five years after BOA award, estimated to be 29 SEP 2029.
3. Description of Services
MMOS and MPES sensors are semiautonomous electro optical/Infrared (EO/IR) collection systems.
MMOS and MPES leverage RTX developed Multi-Spectral Target System (MTS-B) sensors along with Defense Intelligence Agency (DIA) developed command and control, and concealment systems.
This is a continuation of efforts previously contracted through another agency under Contract Number: HHM402-18-C-0025, and currently being executed under BOA N0016422GJQ65, Order:
N0016422FJ183.
Efforts will include the sustainment of the current design (JANUS I) and the design and upgrade path from JANUS I to JANUS IIthe sustainment of currently fielded systems, continued engineering research and development for upgrades and integration of new EO systems, upgrades of designs for
An unacceptable schedule delay would result from the time required to develop a competitive TDP, non-recurring engineering by a new vendor, production startup, system integration and operational test verification across all Field Segments to the Control Segment. These delays would occur in fulfilling the Government requirements, the ability to meet aircraft upgrade schedules and cause fielded systems to be unsupportable.
Table 3 Schedule Delay
Redundant Effort/Task Timeframe Duration
Non-Recurring Engineering Development including software 9-12 months
System integration, certification for multiple control and field segments 12-18 months
New Source Productionization 9-12 months
Develop, Validate and Verify; TDP, Maintenance and Depot Manuals 18-24 months
Total Delay Time 48-66 months
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable
NSWC Crane Special Warfare and Expeditionary Systems Department, Code JXQL representatives maintain a close working relationship with the EO industry throughout the world. This consistent interaction with industry facilitates continuous knowledge of the available technologies and manufacturing capabilities throughout the industry.
Over the 20 plus years of procuring MTS systems and supplies along with support services from RTX, multiple synopses have been posted at the Government point of entry and no other firms have voiced interest in competing with RTX for the MTS requirements.
On 20 DEC 2023 a Request for Information (RFI) N0016424SNB28, for the repair, maintenance, upgrade, technical support, and procurement of MTS Systems including spare parts, specialized support and test equipment, and associated line items was issued. The RFI provided a technical description of the Government’s requirements and requested that potential Offerors provide a white paper describing their systems technical requirements. No responses were received in response to the
RFI.
The proposed action was synopsized via posting on SAM.gov in accordance with (IAW) FAR 5.2 on 06 FEB 2024. The synopses included a statement that all responsible sources may submit a proposal, which shall be considered by the agency. No additional market research was conducted because it is not practicable, for the reasons discussed above, for any company other than RTX to provide the required supplies and services. To date no responses have been received in response to the synopses.
Based upon the lack of responses to the RFI, synopsis, and the other facts included in this justification document, there are no known sources other than RTX capable of performing the requirements described in this document without substantial duplication of cost to the Government.
The costs to complete this procurement and the unacceptable delays in fulfilling agency requirements are not expected to be recovered through competition.
7. Determination of Fair and Reasonable Costs
The Contracting Officer has determined that the anticipated cost to the Government for the supplies and services covered by the J&A will be fair and reasonable.
8. Actions to Remove Barriers to Competition
For the reasons set forth in Paragraphs 5 and 6, NSWC Crane has no plans at this time to compete future contracts for the types of supplies and services covered by this document. If another potential source emerges, NSWC Crane will assess whether competition for future requirements is feasible.
However, the MTS technical data currently owned by the Government is suitable for the Government to pursue competitive acquisitions related to certain MTS tasks and items, including some engineering analyses and organic sustainment support and limited subcomponents direct source procurements. NSWC Crane has been and will continue to establish contracts directly with RTX subcontractors. In addition, an organic Navy Depot repair facilities have been established at Fleet Readiness Center Southeast (Jacksonville, FL) and NSWC Crane that significantly reduces the reliance on the Original Equipment Manufacturer for system repairs. The organic depot capability is forecasted to reduce repair costs by approximately 30 to 40 percent.
The circumstances surrounding the need to obtain the required supplies and services without providing for full and open competition will be reviewed annually by the Procuring Contracting Officer.
