SECTION B - SCHEDULE

1.1 Purpose

The purpose of this Request for Quotation (RFQ) is to establish a Firm-Fixed Price contract between the Office of Personnel Management (OPM)/Office of Chief Information Officer (OCIO) and the Emeritus Institute for Management in partnership with the Wharton School of Business for Executive Leadership Training in Artificial Intelligence and Analytics. This acquisition is being conducted in accordance with FAR Part 12 -Acquisition of Commercial Items in conjunction with the policies and procedures for solicitation, evaluation and award prescribed in FAR Part 13.

1.2 Background

This requirement is for Executive Leadership Training in Artificial Intelligence and Analytics described in the Statement of Objectives (SOO) in Section C.

1.3 Method of Acquisition

OPM anticipates awarding a single Firm Fixed Price contract in accordance with FAR 13.5. The solicitation will be issued under the applicable NAICS code 611430 – Professional and Management Development Training. There is no set-aside.

1.4 Number of Awards

OPM anticipates awarding one sole source contract to The Emeritus Institute for Management as a result of this solicitation.

1.5 Date of Award

It is anticipated that award will be made on or before December 31, 2024.

1.6 Acceptance Period

Unless otherwise specified, the Contractor's quote must be valid for at least fourteen (14) days from the solicitation due date.

1.7 Period of Performance or Required Delivery

The award will be for a one-year period beginning January 6, 2025.

1.8 Commitment of Public Funds

The Contracting Officer is the only individual who can legally commit the Government to the expenditure of public funds in connection with the proposed acquisition. Any other commitment, either explicit or implied, is invalid.

1.9 Communications Prior to Award

1.10 Preparation Costs

This RFQ does not commit the Government to pay for the preparation and/or submission of a quotation.

SECTION C – SOO

Statement of Objec ves (SOO) for the Wharton Execu ve Training program

The Wharton Execu ve Training Program is essen al to OPM’s mission as it equips leaders with the exper se in Analy cs, AI, and strategic decision-making needed to modernize IT systems, eliminate fragmenta on, and align investments with mission priori es. It also supports OPM’s goal to expand innova on and iden fy 25 leading prac ces in human capital management by FY 2026, providing execu ves with data-driven tools to pilot new ini a ves and drive workforce transforma on across federal agencies. This training ensures OPM’s leadership can effec vely lead moderniza on efforts and set the standard for innova on in federal workforce management.

Statement of Objec ves (SOO)

Title: Execu ve Leadership Development Training through Wharton Execu ve Program (Emeritus Management Ins tu on)

1. Purpose

The purpose of this procurement is to provide execu ve leadership training to the organiza on’s senior leaders through the Wharton Execu ve Training program offered by Emeritus Management Ins tu on.

This program is intended to enhance strategic decision-making, leadership capabili es, and overall organiza onal performance, equipping leaders with the skills needed to address complex business challenges in a dynamic global environment.

2. Scope

The program must deliver cu ng-edge execu ve training designed to address the following areas:

Strategic leadership and innova on.

Enhancing business acumen and decision-making skills.

Developing a global perspec ve to navigate diverse markets and industries.

Introduce and develop new emerging technologies.

Strengthening organiza onal leadership capabili es to improve performance and achieve long-term goals.

The training is tailored to meet the specific needs of senior execu ves in analy cs and ai and delivered in a flexible format that accommodates their demanding schedules.

3. Objec ves

1. Strengthen Strategic Leadership Skills:

Equip execu ves with advanced leadership frameworks and tools to navigate complex decision-making processes, manage risk, and lead with vision.

2. Drive Organiza onal Innova on:

Enable leaders to iden fy opportuni es for innova on and create strategies to maintain a compe ve advantage in evolving industries.

3. Enhance Business Acumen:

Provide training in key areas such as financial analysis, opera onal efficiency, and market dynamics to improve execu ves' ability to make data-driven decisions.

4. Foster Global Competence:

Cul vate a global perspec ve by exposing execu ves to diverse business environments, best prac ces, and interna onal case studies.

5. Support Team and Organiza onal Development:

Develop leaders’ abili es to build high-performing teams, improve communica on, and align team efforts with organiza onal goals.

4. Program Deliverables

The program provider must:

1. Deliver a curriculum designed and taught by Wharton faculty, tailored for experienced execu ves.

2. Provide a hybrid delivery model (online and in-person) to ensure accessibility and flexibility.

3. Include case studies, prac cal exercises, and applied learning projects relevant to the organiza on’s business challenges.

4. Offer ac onable insights and resources that can be applied to leadership roles immediately.

5. Provide follow-up support or resources to reinforce training outcomes and ensure long-term value.

5. Performance Measures

The success of the program will be evaluated based on the following:

Par cipant feedback on the relevance and quality of the training.

Improvement in leadership performance, as measured through pre- and post-training evalua ons.

Enhanced decision-making capabili es and strategic contribu ons by par cipa ng execu ves.

Demonstrated applica on of learning to real-world organiza onal challenges.

6. Period of Performance

The acquisi on is an cipated to have a base period and two op onal periods. The base period is scheduled to start in January of 2025. Certain aspects of the training program must be delivered within 6 months, while others must be delivered within a 12 month period, on a schedule that aligns with execu ve availability.

7. Special Considera ons

The provider has a proven track record of delivering execu ve training at the highest level of academic rigor and relevance.

The program is tailored to align with the organiza on’s strategic priori es and leadership development goals.

(d) Comptroller General Examination of Record. (2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)

OPM Specific Clauses

1752.209-74 - Organizational Conflicts of Interest (Jul 2005)

(a) The Contractor warrants that, to the best of the Contractor’s knowledge and belief, there are no relevant facts or circumstances which could give rise to an organizational conflict of interest (OCI), as defined in FAR 9.5, Organizational and Consultants Conflicts of Interest, or that the Contractor has disclosed all such relevant information.

(b) The Contractor agrees that if an actual or potential OCI is discovered after award, the Contractor shall make a full disclosure in writing to the Contracting Officer. This disclosure must include a description of actions, which the Contractor has taken or proposes to take, after consultation with the Contracting Officer, to avoid, mitigate, or neutralize the actual or potential conflict.

(c) The Contracting Officer may terminate this contract for convenience, in whole or in part, if it deems such termination necessary to avoid an OCI. If the Contractor was aware of a potential OCI prior to award or discovered an actual or potential conflict after award and did not disclose or misrepresented relevant information to the Contacting Office, the Government may terminate the contract for default, debar the Contractor from Government contracting, or pursue such other remedies as may be permitted by law or this contract.

(d) The Contractor must include this clause in all subcontracts and in lower tier subcontracts unless a waiver is requested from, and granted by, the Contracting Officer.

(e) In the event that a requirement changes in such a way as to create a potential conflict of interest for the Contractor, the Contractor must:

(1) Notify the Contracting Officer of a potential conflict, and;

(2) Recommend to the Government an alternate approach which would avoid the potential conflict, or

(3) Present for approval a conflict of interest mitigation plan that will:

(i) Describe in detail the changed requirement that creates the potential conflict of interest;

and

(ii) Outline in detail the actions to be taken by the Contractor or the Government in the performance of the task to mitigate the conflict, division of subcontractor effort, and limited access to information, or other acceptable means.

(4) The Contractor must not commence work on a changed requirement related to a potential conflict of interest until specifically notified by the Contracting Officer to proceed.

(5) If the Contracting Officer determines that it is in the best interest of the Government to proceed with work, notwithstanding a conflict of interest, a request for waiver must be submitted in accordance with FAR 9.503.

1752.232-75 - Electronic Submission of Invoices (May 2021)

(a) The Office of Personnel Management (OPM) will only accept electronic invoices submitted through the Delphi eInvoicing system.

(b) Payment system registration. All persons accessing the Delphi eInvoicing web-portal shall have a unique user Delphi eInvoicing ID and be authenticated through login.gov.

(1) Vendors must provide opmisupplieraccess@opm.gov the full name, valid email address, and current phone number of users who require access to the Delphi eInvoicing web-portal for invoice submission and payment tracking purposes. Each email address must be unique for each user.

(2) To make changes to vendor users who will have access to the Delphi eInvoicing web-portal, the vendor must notify opmisupplieraccess@opm.gov and include the full name, valid email address, and current phone number of any new vendor users.

(3) Vendors are responsible to contact the Delphi Help Desk when their firm's points of contacts will no longer be submitting invoices so they can be removed from the system. Instructions for contacting the Delphi Help Desk can be found at http://einvoice.esc.gov.

(4) Designated vendor users will be notified via e-mail when the account is created. The vendor user will be provided detailed instructions for logging into their Delphi eInvoicing account.

(5) Electronic authentication. Click on the following link to create a login.gov account:

(6) To create a login.gov account, the user will need a valid email address and a working phone number. The user will create a password and establish a secondary authentication method to keep their account secure.

(c) Training on Delphi. To facilitate use of DELPHI, comprehensive user information is available at http://einvoice.esc.gov.

(d) The Delphi eInvoicing system is managed by the Enterprise Services Center (ESC). In order to receive payment and in accordance with the Prompt Payment Act, all invoices and required supporting documentation must be attached in the Delphi eInvoicing web-portal and must contain the information specified in the appropriate clause in the vendor’s contract, for example, FAR 52.212-4 or 52.232-25.

(e) If the contract includes allowances for travel on a reimbursable basis, all invoices for charges pertaining to travel expenses must catalog a breakdown of reimbursable expenses with the appropriate receipts to substantiate the travel expenses.

1752.233-70 - OPM Protest Procedures (Jul 2023)

(a) An interested party who files a protest with OPM has the option of requesting review and consideration of the protest by either the Contracting Officer (CO) or the Senior Procurement Executive (SPE). The protest must clearly indicate the official to whom it is directed.

(b) If the protest is directed to the SPE, a copy of the protest must be sent to the Head of the Contracting Activity at the same time the protest is filed with the CO in accordance with FAR 52.233-2. The address of the Head of the Contracting Activity is:

SECTION E - SOLICITATION PROVISIONS

52.212-2 Evaluation -- Commercial Items (Oct 2014)

(a) The Government will award a contract to ---. once its quotation conforms to the solicitation. The following factor shall be used to evaluate the quotation:

Factor 1: Technical Capability - Evaluation will be based on the extent to which your quote demonstrates an ability to meet the specifications of the SOO. The quote will be reviewed to determine if the product(s)/service(s) offered meet the Government’s stated requirements. The evaluation criteria used for this element shall be either ACCEPTABLE or NOT ACCEPTABLE. If the proposed product(s)/service(s) meet the requirements, it will be rated ACCEPTABLE. If the proposed product(s)/service(s) do not meet the requirements, it will be rated NOT ACCEPTABLE.

Factor 2: Price: –

(a) Price evaluation will be based on the extent to which price is quoted in accordance with the terms and conditions of the solicitation and is determined to be both fair and reasonable. Price will not be given a specific rating, but it will be evaluated and provided to the Contracting Officer as part of the integrated assessment.

(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Volume 1: Technical - The Quoter shall provide course descriptions that meet the requirements of the

SOO.

Volume 2: Pricing – The Quoter must submit Firm-Fixed pricing inclusive of all costs associated with providing the services described in the SOO.

GENERAL INFORMATION

(1) The Offeror's quote must show--

(i) The solicitation number;

(ii) Unique Entity Identifier (UEI)

(iii) The name, address, telephone and e-mail address of the Offeror;

(vi) Names, titles, telephone number and e-mail address of person(s) authorized to negotiate on the Offeror's behalf with the Government in connection with this solicitation; and

(vii) Name, title, and signature of person authorized to sign the quote.

(viii) All quotes must be submitted via email directly to OPM.

(ix) Verification of compliance with FAR 52.222-35 or 52.222.37. Verification shall be in the form of information from Veterans Employment & Training Services (VETS) 4212 Service Desk.

(x) In accordance with FAR Clause 52.212-3; contractor must show completion of reps and certs

(2) Unless otherwise permitted in the solicitation, quotes submitted must be on an all or- none basis, e.g., quotes that propose to provide any item or combination of items shall be determined to be nonresponsive.

(3) Quotes submitted in response to this solicitation shall be in English and in U.S. dollars.

(4) Quoters may submit modifications to their quotes at any time before the solicitation closing date and time, and may submit modifications in response to an amendment, or to correct a mistake at any time before award.

(5) Quoters may submit revised quotes only if requested or allowed by the Contracting Officer.

(6) Quotes may be withdrawn at any time before award. Withdrawals are effective upon receipt of notice by the Contracting Officer.

(7) Quotes in response to this solicitation will be valid for a period of 30 calendar days.

(8) Restriction on disclosure and use of data. Quoters that include in their quotes data that they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall:

(i) Mark the title page with the following legend: This quote includes data that shall not be disclosed outside the Government and shall not be duplicated, used or disclosed--in whole or in part--for any purpose other than to evaluate this quote. If, however, a purchase order is awarded to this Quoter as a result of--or in connection with-- the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting purchase order. This restriction does not limit the Government's right to use information contained in this data if it is obtained from another source without restriction. The data subject to this restriction are contained in sheets [insert numbers or other identification of sheets]; and

(ii) Mark each sheet of data it wishes to restrict with the following legend: Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this quote.

(9) Contract award.

(i) The Government may reject any or all quotes if such action is in the Government's interest.

(ii) The Government may waive informalities and minor irregularities in quotes received.

(iii) The Quoter's initial quote should contain the Quoter's best terms from a cost or price. Quoters may be given the opportunity to clarify certain aspects of quotes (e.g., the relevance of a Quoter’s past performance information and adverse past performance information to which the Quoter has not previously had an opportunity to respond) or to resolve minor or clerical errors, but not rising to the level of discussions.

(iv) The Government reserves the right to make an award on any item for a quantity less than the quantity quoted, at the unit cost or prices quoted, unless the Quoter specifies otherwise in the quote.

(v) Exchanges with Quoter's after receipt of a quote do not constitute a rejection or counteroffer by the Government.

(vi) The Government may determine that a quote is unacceptable if the prices quoted are materially unbalanced between line items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A quote may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

Basis for Selection

The Government will make a sole source award once the quoted price is determined to conform to the solicitation at a fair and reasonable price.
