About this file

This document consists of a Justification and Approval (J&A) for Other Than Full and Open Competition, a Market Research and Acquisition Planning Report, and related Sources Sought and Special Notices for a federal contract opportunity.

The Department of Veterans Affairs Wilkes-Barre VA Medical Center has a requirement for a 5-year, sole source, Indefinite Delivery Indefinite Quantity (IDIQ) Contract for Healthcare for Homeless Veterans (HCHV) services. The incumbent contractor, Our Orangeville Manor, is the only source capable of providing the required services within the designated 55-mile radius of the medical center. The contract is estimated at $1.6 million over the 5-year ordering period, with a per diem rate structure. A sole source award is justified due to the need for continuity of care for the 3 Veterans currently residing at the Orangeville Manor facility, which would be disrupted by transitioning to a new provider. The VA conducted market research, including posting sources sought and special notices, which did not identify any other capable providers within the required geographic area.

A sole source to Our Orangeville Manor is required for Veteran care and continuation of the HCHV Program Mission because the incumbent is currently providing care to homeless Veterans. Relocation of these Veterans would be detrimental to the care that is being provided in their current facility.

DEPARTMENT OF VETERANS AFFAIRS

Justification and Approval (J&A) For

Other Than Full and Open Competition (>SAT)

Acquisition Plan Action ID: 36C244-24-AP-2157

1. Contracting Activity: Department of Veterans Affairs, VISN 4, NCO 4, Wilkes-Barre VA Medical Center (WB VAMC) at 1111 E End Blvd, Wilkes-Barre, PA 18711. Funding is provided for the first ordering period under 693-24-2-892-0006 in the amount of $303,780.00.

2. Nature and/or Description of the Action Being Processed: The WB VAMC has a requirement for a 5-year, sole source, Indefinite Delivery Indefinite Quantity (IDIQ) Contract for Healthcare for Homeless Veterans (HCHV) services. The services are currently provided under an IDIQ contract that expires on 05/18/2024 and a new 5-year IDIQ contract is being pursued to maintain the continuity of Veteran care. The facility is Our Orangeville Manor, located at 210 Mill Street, Orangeville, PA 17859-0157. The HCHV services are still required in this location as there are still Veteran beneficiaries who are residents at this facility. A new replacement IDIQ procurement is being pursued to maintain continuity of care for the Veteran residents.

3. Description of Supplies/Services Required to Meet the Agency’s Needs: The Department of Veteran Affairs and the WB VAMC, located at 1111 East End Blvd, Wilkes-Barre PA 18711 requires a contractor to provide services as part of its HCHV program, in accordance with VHA Handbook 1162.09. The IDIQ will be for a 5-year ordering period, estimated at $1.6 million with task orders to be written annually dependent upon funding availability. The goal of the HCHV program is to remove homeless Veterans from the street or habitation unfit for Veterans and place them in community-based, residential environment with sufficient therapeutic services to meet the needs of those Veterans.

The contractor shall provide services to Veterans for whom such care is specifically authorized by the VA. The contractor shall provide residential placement and personal care home services for 10 veterans per day under the HCHV program, for a 5-year period, in accordance with all terms and conditions, provisions and requirements listed in the Performance Work Statement (PWS) for the all-inclusive rate. This rate is inclusive of all services as may be necessary in the treatment of the Veteran to include transportation to healthcare appointments and meetings. The contractor facility will not be used for detoxification or other hospital level treatment. The contractor facility shall be located within the catchment area of a 55-mile radius from the WB VAMC at 1111 E End Blvd, Wilkes- Barre, PA 18711.

VHAPG Part 806.3 OFOC Page 2 of 5

Acquisition ID#: 36C244-24-AP-2157

The price schedule will be written for a per diem rate per occupied bed per night with one set of pricing for the entire 5-years. Pricing structures should include the vendors adjustments for normal economic inflation for the entirety of the 5-year ordering period.

The contract period 5/19/2024 through 5/18/2029 has 1826 days. 10 beds per day qual 18,260 beds for the 5-year period. Monthly invoicing will be dependent upon the number of used beds per day in accordance with the PWS.

VAAR 852.216-71 Economic Price Adjustment of Contract Price(s) Based on a Price Index (MAR 2018) will be included in the contract for situations that may require a price adjustment for unusual and extenuating circumstances related to changes in Wage Determinations and high levels of inflation.

4. Statutory Authority Permitting Other than Full and Open Competition:

(x ) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements per 41 USC §3304(a)(1) as implemented by FAR 6.302-1;

( ) (2) Unusual and Compelling Urgency per 41 USC §3304(a)(2) as implemented by FAR 6.302-2;

( ) (3) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert Services per 41 USC §3304(a)(3) as implemented by FAR 6.302-3;

( ) (4) International Agreement per 41 USC §3304(a)(4) as implemented by FAR 6.302-4 ( ) (5) Authorized or Required by Statute per 41 USC §3304(a)(5) as implemented by FAR

6.302-5;

( ) (6) National Security per 41 USC §3304(a)(6) as implemented by FAR 6.302-6;

( ) (7) Public Interest per 41 USC §3304(a)(7) as implemented by FAR 6.302-7;

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):

The HCHV program is dependent on location and bed availability, to fulfill the program mission. HCHV Personal Care homes must be within 55 miles of the main WB VAMC, located at 1111 E End Blvd, Wilkes-Barre, PA 18711. The facility for these services must be within this catchment area to allow for easy transport to the WB VAMC as well as the Community Based Outpatient Clinics (CBOC). Relocation of currently placed Veterans is a last resort to all other contractual options. There are 3 Veteran beneficiaries that are currently residents at Our Orangeville Manor, located at 210 Mill Street, Orangeville, PA 17859-0157, and it would be detrimental to their care to relocate them to another facility. Our Orangeville Manor currently houses 3 Veterans and has an ability to increase those available beds for up to 10 needed, with a history of positive performance under the current contract they hold.

A contract with the incumbent, Our Orangeville Manor, is necessary due to a continued need for the highly specialized HCHV services for our homeless Veterans. Re-soliciting and procuring a new contractor with a new facility will be detrimental to the care the Veterans in Orangeville Manor are receiving. The commercial marketplace for these highly specialized services is greatly limited according to market research and previous contractual experience across the state of Pennsylvania.

VHAPG Part 806.3 OFOC Page 3 of 5

Acquisition ID#: 36C244-24-AP-2157

Accordingly, Our Orangeville Manor is the only firm capable of providing the services described in Section III above without the Veteran’s Health Administration experiencing a disruption to the care of this unique, delicate population of homeless Veterans. Moving the Veterans from the Our Orangeville Manor facility may cause Veterans stress, anxiety and potential abandonment that is otherwise avoidable allowing them to continue focusing on the care plan provided by the HCHV program services.

6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: Routine market research efforts were made to promote competition proving a limited commercial market for the HCHV Personal Care Home services in the requested catchment area. The CO and program staff have experience and knowledge of the local facilities already existing to provide services and again confirm only one facility at Our Orangeville Manor. If a solicitation was opened for competition, it is expected that a new contractor would need to have to build or alter a building. The time it would take to do so would interrupt services as well as increase the pricing substantially.

A sources sought notice was posted to SAM.gov Contract Opportunities under 36C24424Q0554 with no responses other than the incumbent. Following the sources sought, a Special Notice was also posted under 36C24424Q0554_1 providing the marketplace with the Government’s intent to sole source. At close of the posting period there were no objections to the acquisition plan.

7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable: The pricing with Our Orangeville Manor on contract 36C24418D0125 was determined fair and reasonable at the time of award. Additionally, annual review of those prices was reviewed to determine that pricing is still accurate. The most recent ordering period on the above contract is $98.76 per occupied bed per day. The IGCE from the program office estimates per diem rate somewhere between $83.00 and $90.00. There has been much change in commercial pricing of such services due to inflation and other unavoidable situations, including the financial market after COVID-19 Pandemic. There is no reason to believe that after the several years and positive relationship with Our Orangeville Manor that they would not quote fair and reasonable pricing for the next 5-years.

8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: As described in Section 6 above, market research, in accordance with FAR Part 10, was conducted with a sources sought and special notice with the intent to sole source, advising industry of the pending acquisition. Additional Market Research has been conducted and is included in the Contract Briefcase.

9. Any Other Facts Supporting the Use of Other than Full and Open Competition: A contract with Our Orangeville Manor is required for Veteran care and continuation of the HCHV Program Mission because the incumbent is currently providing care to homeless Veterans. Relocation of these Veterans is not practical and may cause Veterans stress, anxiety, and potential abandonment, that is otherwise avoidable, allowing them to continue

VHAPG Part 806.3 OFOC Page 4 of 5

Acquisition ID#: 36C244-24-AP-2157 focusing on the care plan provided by the HCHV program services. A contract with this provider is also required to maintain services in this geographic location.

10. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition: The incumbent, Our Orangeville Manor, a small business was the only interested party following market research.

11. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required: The VA is unable to take any further steps to remove or overcome any barriers to competition at this time due to current Veteran care and geographically based provider needs.

Contracting is concurrently working on several other acquisitions for the HCHV services across the state of Pennsylvania and NCO4. The Contracting Officer is promoting competition for those contracts in which market research provides reasoning for solicitation.

12. Requirements Certification: I certify that the requirement outlined in this justification is a Bona Fide Need of the Department of Veterans Affairs and that the supporting data under my cognizance, which are included in the justification, are accurate and complete to the best of my knowledge and belief.

PART I –

I. Authority.

Market research and acquisition planning are required in accordance with:

FAR 7.102, Acquisition Planning Policy FAR 7.103(u)(1) and (2), Agency-Head Responsibilities FAR 10.001, Market Research Policy and VAAR 810.001-70 (Class Deviation) VAAR 813.003-70(c), Policy (Class Deviation) FAR 19.202-2, Locating Small Business Sources and VAAR 819.202 (Class Deviation) FAR 25, Foreign Acquisition

II. Procurement Information.

A. Procurement History.

Through the HCHV program, the VA provides case management services to Veterans and facilitates their access to a broad range of medical, mental health, and rehabilitative services. The contractor provides care, treatment and rehabilitative services to veterans suffering from serious mental illness, including veterans who are homeless, in community-based treatment facilities offering a safe and secure environment that supports their rehabilitation goals. The contractor provides therapeutic and rehabilitative services but are not required to provide detoxification or other hospital level treatment – those services will be provided by the VA at VA facilities. The contractor needs to be located no more than 50 miles from the main VA Medical Center in Wilkes-Barre in order for the Veterans to receive the specialized medical and mental health services they require. The homeless Veteran population typically require podiatry and dentistry services which can only be provided at the main facility. Also, the social workers who coordinate services and provide major support for these Veterans, must meet with them on a monthly basis at minimum. In the interest of effective time management, the social worker cannot travel farther than 50 miles from the main facility, on a regular basis, to meet with these Veterans.

B. Procurement Background.

The current IDIQ contract, 36C24418D0125 with Our Orangeville Manor, ends 05/18/2024 and the need for residential placement and personal care home services still exists. A new 5-year IDIQ contract is being pursued as a sole source to the incumbent. The services require a facility within 55 miles of the Wilkes-Barre VA Medical Center and the ability to shelter 10 Veterans and Orangeville Manor has the ability to meet those needs. The scope of the work has not significantly changed since inception of the program in 2011.

VII. Description of the Commercial Marketplace and Prevalent Business Practices

The marketplace is very limited. Sine the inception of the program, history and experience has proven there are very few contractors that can provide all of the needs required for this acquisition. Currently Veterans are housed at Our Orangeville Manor and services are at the least Satisfactory. It is recommended that the IDIQ contract be sole sourced to the incumbent.

VIII. Pricing and Market Issues

The pricing would be subject to inflation and Wage Determinations.

IX. Other Considerations

Our Orangeville Manor has been providing these services with a Satisfactory performance rating. The medical center HCHV team has confidence that the services will continue to be provided at the same level or higher.

X. Market Analysis Summary

Market research has confirmed a limited commercial marketplace with Orangeville Manor being the sole contractor within the required distance to provide these services.

XI. DETERMINATION: In the best interest for the Government and the Veterans within this program, it is suggested that the requirement at hand be sole sourced to the incumbent, Our Orangeville Manor.

Of the 33 business found on the DSBS search, none of them responded to the Sources Sought post 36C24424Q0554. The majority of those 33 businesses did not list their capabilities as services that would satisfy the needs of the requirement.

C. For acquisitions above the SAT, describe considerations for a set-aside or sole source award under the following small business program set-asides:

A sources sought notice was posted on SAM.gov Contract Opportunities (36C24424Q0554) to gain further research in the commercial market. The response was underwhelming, resulting in only the incumbent, a small business providing interest.

D. When a total small business set-aside seems appropriate, describe why a set-aside is not appropriate for:

A set-aside is not appropriate. The contract will be sole sourced to Our Orangeville Manor in the best interest of the Government and the Veterans within the HCHV program.

IV. PROPOSED PROCUREMENT METHOD

Based on the market research conducted, no two or more VetCert verified and capable SDVOSBs or VOSBs were identified and appeared capable of performing the requirement. The incumbent, a small business is the only contractor that is able to provide the Wilkes-Barre VAMC HCHV services and a sole-source to Orangeville Manor is ideal.

This market research information is not more than 18 months old.
