STATEMENT OF WORK

FOR

MAINTENANCE OF LL-7000 HEAT EXCHANGER AS RELATED TO WATER QUALITY

1. SCOPE

This statement of work (SOW) specifies services and maintenance as they relate to water quality for the Engineered Environments, Inc. LL-7000 Pure Water Heat Exchanger, located in the Mechanical room (Room 58) of Building 3168 at Naval Surface Warfare Center (NSWC), Crane, Indiana.

The RF Power Module Sustainment Branch of the Radar Technologies Division requires high purity, de-ionized water for cooling high-voltage, microwave devices being operated in Building 3168. A critical part of the system performing the required cooling and water purification is the LL-7000 Heat Exchanger (hereafter referred to as the LL-7000) manufactured by Engineered Environments, Inc. The LL-7000 requires periodic filtration service through routine maintenance to ensure the water it purifies is supplied to the point of use with minimal presence of dissolved oxygen and mineral ions.

Tasks specific to maintaining and /or improving the quality of the de-oxygenated and de-ionized water within the LL-7000 are the focus of this SOW. Time lost to maintenance and repair of the LL-7000 is very costly. It is important that the services be performed quickly and efficiently or during hours that least impact normal operations.

In general, system maintenance and repairs shall be performed between 0700 - 1500 hours Monday through Friday.

On occasion, it may be necessary to schedule maintenance around critical system operations between 1500 - 0700 hours Monday through Friday or on the weekend.

2. APPLICABLE DOCUMENTS

The following document of the exact issue shown forms a part of this SOW to the extent specified herein. In the event of conflict between this document referenced herein and the contents of this SOW, the contents of this SOW shall be considered a superseding requirement.

2.1 Federal Specifications

O-I-1279B Ion Exchange Resins, 30 Jun 93 (Excluding Sections 3.1, 4.2.3, 4.3, 4.4, 5.2.1, 5.3.1, 5.4, 5.5.1, 5.6, 6.2(c), 6.2(d), 6.2(g), 6.2(i) and 6.2(k))

3. REQUIREMENTS

3.1 General

3.1.1 Unless otherwise stated, the contractor shall provide all equipment, materials, and labor necessary to safely and thoroughly fulfill each task described in this SOW.

3.1.2 The contractor shall supply appropriate personal protective equipment and associated training to all personnel sent to perform work on the LL-7000. Only personnel trained and actively practicing mitigation of the job related hazards shall perform work on the LL-7000. Contractor personnel shall not work alone on the LL-7000.

The work is highly physical in nature and the environment can be above 80 degrees Fahrenheit. All personnel shall be qualified and willing to administer Cardiopulmonary Resuscitation (CPR). Each employee that performs work on the LL-7000 shall provide proof of current CPR certification upon request of the Government representative. At the discretion of the Government representative, the contractor may be required to replace those on-site employees who cannot provide proof of current CPR certification.

3.1.3 All workmanship and repairs to the LL-7000 and/or associated equipment shall conform to professional industry standards.

3.1.4 Contractor shall be proficient in performing the processes for installing contractor provided materials, equipment, and make-up water.

3.1.5 Each maintenance and/or repair task shall restore associated components and/or equipment of the LL-7000 to like-new or better performance condition. In cases where material substitutes are required, the Government or Authorized Government Representative must approve in writing those substitutions prior to contractor purchasing and/or the installation thereof. The substitutions shall not alter the operational performance and/or specification listed herein of the LL-7000.

3.1.6 The contractor supplying services or performing maintenance shall fully understand and comply with proper operating procedures associated with the LL-7000. Damage caused by the contractor to the LL-7000 or associated piping and connected equipment, shall be the sole responsibility of the contractor to replace and/or repair at no additional cost to the Government. All such repairs shall be accomplished by the contractor in the shortest time possible and prior to payment for scheduled services.

3.1.7 Following each service, the contractor shall supply and install, at no additional cost, enough make-up water to fully replenish what was lost from the system during maintenance. The contractor shall take an initial reading of the water level from the sight glass at the reservoir while the system is operational. When maintenance is completed, and all system valves are returned to their normal positions, the contactor shall be responsible for supplying enough make-up water to return the system to this initial operational level. If the initial operational level is not pre-determined by the contractor, enough makeup water shall be supplied to fill the reservoir to five feet. All sight glass measurements shall be made with the system in operation, circulating water throughout the piping that supplies the Vacuum Electron Devices laboratory and while five lbs. of pressure is measured on M20 of the system reservoir. Prior to installation, the contractor shall demonstrate that their supplied make-up water does not contain particles larger that 0.5 micron. The contactor shall demonstrate the conductivity of their supplied water as metered by a calibrated standard is less than one micromho/cm (or resistivity greater than 1 megohm-cm). The contractor shall demonstrate, using a calibrated pH meter that the pH of the make-up water is between 6.0 and 8.0. Any make-up water not meeting these criteria will be exchanged by the contractor for water which does.

3.1.8 The contractor shall repair any air or water leaks that develop in components of the LL-7000 that have been physically disturbed during maintenance and/or services performed. This requirement shall be binding for any leaks that develop in fittings or components disturbed by the contractor through the tenth calendar day following the work performed by the contractor. All such repairs shall be accomplished by the contractor in the shortest time possible, at no additional cost to the Government and prior to payment for scheduled services.

3.1.9 All cleanup and disposal of materials associated with completing the requirements of this SOW shall be the responsibility of the contractor. The contractor shall remove and dispose of all loose debris on the system and floor that was a direct result of the maintenance performed. Cleanup shall be accomplished to prevent debris from being swept or washed down floor drains and beyond the exterior doors of the Mechanical room (Room 58). All material waste and by-products associated with maintenance and/or services performed shall be removed by the contractor from NSWC Crane and shall be disposed of in accordance with Federal, State, and Local Regulations.

3.1.10 The contractor shall prepare a written report following the completion of each work order. The purpose of each report is to document services provided. Each report shall list the date(s) services were performed, specify the initial meter readings of the system, (sight-glass level of water in reservoir while system is operational, conductivity/resistivity, pH and dissolved oxygen), summarize the services and/or maintenance, identify each component serviced or replaced (manufacturer’s nomenclature, part/model number, and quantity), explain why service/maintenance was needed, describe specific findings, specify the meter readings of the system at completion of service, list contractor personnel involved in the maintenance performed, and list associated concerns and/or recommendations for further consideration. Specific details as prescribed in Paragraph 3.2 as they relate to a performed task are to be included in each report. These detailed reports are to be completed and submitted on company letterhead to the designated Government representative prior to payment for services rendered.

(a) For other than firm fixed priced contract line item numbers (CLINs), the Contractor agrees to segregate costs incurred under this contract/task order (TO), as applicable, at the lowest level of performance, either at the sub line item number (SLIN) or CLIN level, rather than at the total contract/TO level, and to submit invoices reflecting costs incurred at that level. Supporting documentation in Wide Area Workflow (WAWF) for invoices shall include summaries of work charged during the period covered as well as overall cumulative summaries by individual labor categories, rates, and hours (both straight time and overtime) invoiced; as well as, a cost breakdown of other direct costs (ODCs), materials, and travel, by technical instruction (TI), SLIN, or CLIN level. For other than firm fixed price subcontracts, subcontractors are also required to provide labor categories, rates, and hours (both straight time and overtime) invoiced; as well as, a cost breakdown of ODCs, materials, and travel invoiced. Supporting documentation may be encrypted before submission to the prime contractor for WAWF invoice submittal.

Subcontractors may email encryption code information directly to the Contracting Officer and Contracting Officer Representative (COR). Should the subcontractor lack encryption capability, the subcontractor may also email detailed supporting cost information directly to the Contracting Officer and COR; or other method as agreed to by the Contracting Officer.

(b) Contractors submitting payment requests and receiving reports to WAWF using either Electronic Data Interchange (EDI) or Secure File Transfer Protocol (SFTP) shall separately send an email notification to the COR and Contracting Officer on the same date they submit the invoice in WAWF. Section 4.0 - Clauses & Other Full Text Information

CLAUSES INCORPORATED BY FULL TEXT

52.204-19 INCORPORATION BY REFERENCE OF REPRESENTATIONS AND CERTIFICATIONS (DEC

2014)

The Contractor's representations and certifications, including those completed electronically via the System for Award Management (SAM), are incorporated by reference into the contract.

52.204-21 BASIC SAFEGUARDING OF COVERED CONTRACTOR INFORMATION SYSTEMS (JUN 2016)

(a) Definitions. As used in this clause--

Covered contractor information system means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.

Federal contract information means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public Web sites) or simple transactional information, such as necessary to process payments.

Information means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).

Information system means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).

Safeguarding means measures or controls that are prescribed to protect information systems.

(b) Safeguarding requirements and procedures.

(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:

(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).

(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.

(iii) Verify and control/limit connections to and use of external information systems.

(iv) Control information posted or processed on publicly accessible information systems.

(v) Identify information system users, processes acting on behalf of users, or devices.

(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.

(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.

(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.

(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.

(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.

(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.

(xii) Identify, report, and correct information and information system flaws in a timely manner.

(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.

(xiv) Update malicious code protection mechanisms when new releases are available.

(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.

(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.

(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial items, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.

52.211-6 BRAND NAME OR EQUAL (AUG 1999)

(a) If an item in this solicitation is identified as “brand name or equal,” the purchase description reflects the characteristics and level of quality that will satisfy the Government's needs. The salient physical, functional, or performance characteristics that “equal” products must meet are specified in the solicitation.

(b) To be considered for award, offers of “equal” products, including “equal” products of the brand name manufacturer, must--

(1) Meet the salient physical, functional, or performance characteristic specified in this solicitation;

(2) Clearly identify the item by--

(i) Brand name, if any; and

(ii) Make or model number;

(3) Include descriptive literature such as illustrations, drawings, or a clear reference to previously furnished descriptive data or information available to the Contracting Officer; and

(4) Clearly describe any modifications the offeror plans to make in a product to make it conform to the solicitation requirements. Mark any descriptive material to clearly show the modifications.

(c) The Contracting Officer will evaluate “equal” products on the basis of information furnished by the offeror or identified in the offer and reasonably available to the Contracting Officer. The Contracting Officer is not responsible for locating or obtaining any information not identified in the offer.

(d) Unless the offeror clearly indicates in its offer that the product being offered is an “equal” product, the offeror shall provide the brand name product referenced in the solicitation.

(End of provision)

52.211-8 TIME OF DELIVERY (JUN 1997)

(a) The Government requires delivery to be made according to the following schedule:

REQUIRED DELIVERY SCHEDULE

14 days ADC

The Government will evaluate equally, as regards time of delivery, offers that propose delivery of each quantity within the applicable delivery period specified above. Offers that propose delivery that will not clearly fall within the applicable required delivery period specified above, will be considered nonresponsive and rejected. The Government reserves the right to award under either the required delivery schedule or the proposed delivery schedule, when an offeror offers an earlier delivery schedule than required above. If the offeror proposes no other delivery schedule, the required delivery schedule above will apply.

OFFEROR'S PROPOSED DELIVERY SCHEDULE

Within Days

After Date

Item No. Quantity of Contract

(b) Attention is directed to the Contract Award provision of the solicitation that provides that a written award or acceptance of offer mailed, or otherwise furnished to the successful offeror, results in a binding contract. The Government will mail or otherwise furnish to the offeror an award or notice of award not later than the day award is dated. Therefore, the offeror should compute the time available for performance beginning with the actual date of award, rather than the date the written notice of award is received from the Contracting Officer through the ordinary mails. However, the Government will evaluate an offer that proposes delivery based on the Contractor's date of receipt of the contract or notice of award by adding (1) five calendar days for delivery of the award through the ordinary mails, or (2) one working day if the solicitation states that the contract or notice of award will be transmitted electronically. (The term "working day" excludes weekends and U.S. Federal holidays.) If, as so computed, the offered delivery date is later than the required delivery date, the offer will be considered nonresponsive and rejected.

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JUN 2020)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code(s) and small business size standard(s) for this acquisition appear elsewhere in the solicitation.

However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation.
