Combined Synopsis/Request for Quotation (RFQ)

(i) This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6 as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.

(ii) Solicitation No. 2032H323Q00085 is hereby issued as a Request for Proposal (RFQ) and incorporates provisions and clauses in effect through Federal Acquisition Circular 2005-99. The Government anticipates awarding a Firm Fixed Price Contract. The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) FAC 2005-99, effective July 16, 2018. This acquisition is unrestricted and open to all sources. Period of Performance is twelve (12) months starting October 1, 2023 with four (4) 12-month option years. The North American Industry Classification System code is 523210 – Securities and Commodities Exchange. Product Service Code is DA10 - IT and Telecom - Business Application/Application Development Software As A Service.

(iii) This acquisition is unrestricted and open to all sources.

(v) The Department of the Treasury, Office of Treasury Procurement Services intends to issue a Firm Fixed Price (FFP) contract to obtain corporate bond characteristics to be used to compute Treasury yield curves and related statistics as specified in the attached Statement of Work (SOW).

(vi) The period of performance for this acquisition is as follows:

SECTION I: STATEMENT OF WORK (SOW)

Corporate Bond Characteristics

1. INTRODUCTION

The purpose of this contract is to obtain data on corporate bond characteristics to be used for the HQM Corporate Bond Yield Curve and related yield curves.

The contractor must provide continuous access to these characteristics data for substantially all bonds in the entire U.S. market for corporate bonds.

2. BACKGROUND

The Pension Protection Act of 2006 (PPA) mandates that the Treasury Department produce a corporate bond yield curve. This yield curve is called the High Quality Market (HQM) Corporate Bond Yield Curve. The HQM yield curve pertains to corporate bonds in the top three qualities AAA, AA, and A. Additional related yield curves using the same methodology are computed in conjunction with the HQM curve. These yield curves are used in important applications in addition to the PPA.

In order to produce these yield curves, the Office of Economic Policy buys appropriate data and licenses. The required data include characteristics data for substantially all bonds in the entire U.S. corporate bond market. Such data are purchased from one or more data providers.

3. SCOPE

The objective of this contract is to obtain data on bond characteristics for substantially the entire U.S. market for corporate bonds. These data are to be used for the HQM Corporate Bond Yield Curve and related yield curves.

4. SPECIFIC TASKS

Task 1: Provide data on corporate bond characteristics for substantially every bond in the entire U.S. corporate bond market. This task is specified in Subpart 5, Characteristics Data.

5. CHARACTERISTICS DATA

5.1. The contractor must provide characteristics data at any time of day and for every day during the Period of Performance specified in Section 8. The specific characteristics data items are described below. At any time, the group of corporate bond characteristics data are provided must include all data in the current files for the Period of Performance up to that time.

5.2. The Group of Bonds

5.2.1. The group of bonds for which characteristics data are available from the contractor at any time must include substantially all bonds in the entire U.S. corporate bond market that exist or could be traded at that time. The number of bonds in this group is in the thousands, since small samples of bonds are not sufficient to reflect the market. This implies that the group of bonds for which data are available will change over time as bonds in the market change. The contractor must describe in detail the methodology employed for selecting the group of bonds.

5.2.2. In addition to bonds in the market at any time, the contractor must also provide historical characteristics data for bonds that have matured or expired. For any previous point in time, all bonds that were included in the contractor’s provided characteristics data at that time must be included in the historical data. At any time, the historical data must go back at least one year; the contractor must document how far back characteristics data are available.

5.2.3. For this contract, a corporate bond is defined to be a debt security issued by a corporation, U.S. or foreign, denominated in dollars and trading in the United States, with maturity at issue of greater than one year. Corporate bonds include medium term notes, long-term CDs, and equipment trusts, and include listed bonds and over-the-counter bonds. The contractor must show that the bonds for which characteristics data are supplied include bonds consistent with this definition of corporate bond. Moreover, if the contractor supplies a set of characteristics data that also includes some noncorporate bonds, the contractor must provide indications as to which bonds are corporate and which are not.

5.2.4. Because the yield curve computations using the characteristics data from the contractor may be distributed to the public, the contractor’s terms of use of the characteristics data must allow for public distribution.

5.3. Characteristics Data Items

5.3.1. The characteristics data items must include items that help select bonds for the yield curves. Therefore, the characteristics data must provide enough information to determine whether each bond is the type of bond that is used in the yield curves. In general, the yield curves currently use bonds that have similar characteristics to Treasury coupon issues, including fixed semiannual coupons and a fixed maturity date. However, the types of bonds used in the curves could change in the future, and the characteristics data items must be sufficiently extensive to allow for this. In addition to choosing bonds for the curves, the characteristics data are also used in the construction of the curves.

5.3.2. All bonds for which data are provided by the contractor must be identified by CUSIP (Committee on Uniform Securities Identification Procedures) number, either eight or nine characters. The CUSIP numbers must be officially assigned by the CUSIP bureau when such assignments exist; if an official CUSIP number is not available and another number is substituted (such as a CUSIP number assigned internally by the contractor), there must be an indicator that the number is not official.

5.3.3. Characteristics data items must be provided that indicate whether each security is a corporate bond (versus asset backed or some other type of security). The issuer of the bond must be provided, the country of incorporation of the issuer, and the currency of the bond. The data items must include items that describe the market and the industry of the bond.

5.3.4. Characteristics data items must be provided that describe the coupon of each bond. The items must indicate whether the bond has a fixed coupon, or whether the bond has a zero coupon, or whether the coupon can change and whether the bond has a floating or variable coupon, or whether the coupon is adjustable. The items must indicate whether the coupon is semiannual or paid at some other interval, and whether the bond is payment-in-kind. Moreover, the items must indicate whether the coupon is inflation-indexed or affected by any other index or other data, and whether the coupon payments are performance sensitive.

5.3.5. Characteristics data items must be provided that describe the maturity of each bond. The items must indicate whether the bond has a fixed unchanging maturity, or whether the maturity of the bond may change, whether the bond is extendible, or is perpetual. The data items must indicate the amount of the bond to be redeemed at maturity. Also, data items must indicate whether the amount redeemed at maturity is inflation-indexed.

5.3.6. Characteristics data items must also be provided that describe any embedded options in each bond. Items must indicate whether the bond has a call option, a put option, or a sinking fund, and must describe the features of these options if any are present. In particular, the characteristics data items must indicate whether any call option is make whole, and whether the bond has a call schedule, and must describe the features of any such call schedule.

5.3.7. Characteristics data items must be provided that indicate whether each bond is a medium term note, whether it is a CD, and whether it is a private placement. The items must indicate whether the bond is convertible or reverse convertible, whether the bond is a structured note or has any synthetic features, whether it is exchangeable, whether it has warrants attached, whether it has an original issue discount, and whether it is credit-linked. And items must indicate whether the bond is a capital security or any other type of hybrid security.

5.3.8. The characteristics data items must provide additional information for computing the yield curves, including each bond’s coupon rate, issue date, issue amount, dated date, date of the first coupon payment, maturity date, and day count convention, and must provide sufficient information to derive the dates of the coupon payments of the bond. The data items must indicate whether each bond’s price is quoted as a percent of par.

5.3.9. The characteristics data items must provide additional information for each bond about any characteristics that are different from the characteristics of Treasury securities, as noted in Section 5.3.1.

5.3.10. The contractor may also provide additional data items describing other features of each bond that may affect its price. Additional data items showing more detail for embedded options may be included.

6. DELIVERABLES AND DELIVERY SCHEDULE

6.1. The characteristics data must be available at any time of day for all days in the Period of Performance specified in this RFP including weekends and holidays.

6.2. The contractor must propose the method of delivery of the characteristics data to Treasury, but the method should be easy to use, fully documented, and permit rapid and repeated queries by Treasury for characteristics data for bonds identified by CUSIP numbers. Most queries by Treasury for characteristics data should typically receive the requested data within a few minutes.

6.3. The characteristics data must be provided to Treasury in the form of one or more electronic text files that are in a human readable format. One acceptable method of delivery is for Treasury to upload a text file with CUSIP numbers and a list of characteristics data items to the contractor, with the contractor responding with a file containing the CUSIP numbers and characteristics items and providing it for download. All files to be uploaded or downloaded must use a transfer approach that is secure and acceptable to Treasury.

7. PERIOD OF PERFORMANCE

The Period of Performance for this contract is October 1, 2023 through September 30, 2024, plus four 12-month Option Periods.

8. GOVERNMENT FURNISHED EQUIPMENT AND GOVERNMENT FURNISHED

9. PLACE OF PERFORMANCE

Files will be available online via the Contractor website.

10. SUPPORT

10.1. The contractor must provide support in resolving any problems or questions in connection with the supplied data. Problems might include, but may not be limited to, missing or erroneous data or information. Questions could arise with regard to data items or sets of data which may be anomalous, and the contractor must be able to answer the questions and explain the anomalies.

10.2. As part of the support, the contractor must provide complete documentation about the data supplied, including definitions of all items in the files and the technical layout of the files.

10.3. The contractor’s support must include a telephone number that is available to be called for help every business day between 9 a.m. ET and 6 p.m. ET. Any problem or question must be resolved and any replacement or corrected data or files must be received by Treasury within 48 hours from the time that the telephone call was placed alerting the contractor to the problem or question or need for replacement or correction.

11. INSPECTION AND ACCEPTANCE

11.1. The purpose of the data supplied by the contractor on this contract is to construct the Treasury yield curves described above. Therefore, all provided data must be accurate and complete for producing the Treasury yield curves.

11.2. The Contracting Officer’s Representative (COR) will perform inspection to ensure that the provided data fulfill the requirements of this contract.

11.3. Treasury will make best efforts to work toward resolution of any problem or question as quickly as possible, so that the resulting data can be accepted.

12. WORK HOURS

Online service is available 24 hours a day, 7 days a week.

13. SECURITY

Information is unclassified and does not require DD Form 250.

14. SECTION 508 COMPLIANCE

This service must meet industry standards to comply with 508 regulations.

The Contracting Officer, in accordance with Subpart 1.6 of the Federal Acquisition Regulation, is the only person authorized to make or approve any changes in any of the requirements of this contract, and notwithstanding any clauses contained elsewhere in this contract, the said authority remains solely with the Contracting Officer. In the event the Contractor makes any changes at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in cost incurred as a result thereof.

(b) Performance of work under this contract is subject to the technical direction of the COR identified above, or a representative designated in writing. The term “technical direction” includes, without limitation, direction to the contractor that directs or redirects the labor effort, shifts the work between work areas or locations, and/or fills in details and otherwise serves to ensure that tasks outlined in the work statement are accomplished satisfactorily.

(c) Technical direction must be within the scope of the contract specification(s)/work statement.

The COR does not have authority to issue technical direction that:

(4) Changes any of the terms, conditions, or specification(s)/work statement of the contract;

(5) Interferes with the contractor's right to perform under the terms and conditions of the contract; or

(6) Directs, supervises or otherwise controls the actions of the Contractor's employees.

(d) Technical direction may be oral or in writing. The COR must confirm oral direction in writing within five workdays, with a copy to the Contracting Officer.

(e) The Contractor shall proceed promptly with performance resulting from the technical direction issued by the COR. If, in the opinion of the Contractor, any direction of the COR or the designated representative falls within the limitations of (c) above, the Contractor shall immediately notify the Contracting Officer no later than the beginning of the next Government work day.

(f) Failure of the Contractor and the Contracting Officer to agree that technical direction is within the scope of the contract shall be subject to the terms of the clause entitled “Disputes.”

The Contractor shall provide a Project Manager for this contract who shall have the authority to make any no-cost technical, hiring, and dismissal decisions, or special arrangement regarding this contract. The Project Manager shall be responsible for the overall management and coordination of this contract and shall act as the central point of contact with the Government.

The Project Manager shall have full authority to act for the Contractor in the performance of the

3.0 INVOICE SUBMISSION REQUIREMENTS

(a) Invoices shall be submitted electronically to www.ipp.gov.

(b) An electronic copy shall also simultaneously be submitted to the COR and the Contracting Officer.

(c) Submission of proper invoices shall be rendered on a fixed monthly amount paid after each month.

(d) Each invoice submitted shall be supported by appropriate documentation. Documentation necessary to substantiate an invoice shall include, but is not limited to project name and number, invoice number, percent complete, original contract amount, modification amounts, retainage amount and percent cumulative), cost of materials used this invoice, value of work in place, contractor name, and contract number. Such documentation shall meet the approval of the Contracting Officer.

DTAR 1052.232-7003 Electronic Submission of Payment Requests (Apr 2015)

(a) Definitions. As used in this clause -

(1) “Payment request” means a bill, voucher, invoice, or request for contract financing payment with associated supporting documentation. The payment request must comply with the requirements identified in FAR 32.905(b), “Content of Invoices” and the applicable Payment clause included in this contract.

(b) Except as provided in paragraph (c) of this clause, the Contractor shall submit payment requests electronically using the Invoice Processing Platform (IPP). Information regarding IPP, including IPP Customer Support contact information, is available at www.ipp.gov or any successor site.

(c) The Contractor may submit payment requests using other than IPP only when the Contracting Officer authorizes alternate procedures in writing in accordance with Treasury procedures.

(d) If alternate payment procedures are authorized, the Contractor shall include a copy of the Contracting Officer's written authorization with each payment request.

(d) Comptroller General Examination of Record. The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. (e) Definitions.

(2) As used in this clause, "Commercial supplier agreements" means terms and conditions customarily offered to the public by vendors of supplies or services that meet the definition of commercial item set forth in FAR 2.101and intended to create a binding legal obligation on the end user. Commercial supplier agreements (CSA) are particularly common in information technology acquisitions, including acquisitions of commercial computer software and commercial technical data, but they may apply to any supply or service. The term applies¬

(i) Regardless of the format or style of the document. For example, a CSA may be styled as standard terms of sale or lease, Terms of Service (TOS), End User License Agreement (EULA), or another similar legal instrument or agreement, and may be presented as part of an offer or quotation responding to a solicitation.

(ii) Regardless of the media or delivery mechanism used. For example, a CSA may be presented as one or more paper documents or may appear on a computer or other electronic device screen during a purchase, software installation, other product delivery, registration for a service, or another transaction.

(u) Unauthorized Obligations

(1)Except as stated in paragraph (u)(2) of this clause, when any supply or service acquired under this contract is subject to any CSA, that includes any language, provision, or clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti-Deficiency Act violation (31 U.S.C. 1341), the following shall govern:

(i)Any such language, provision, or clause is unenforceable against the Government.

(ii) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the CSA. If the CSA is invoked through an "I agree" click box or other comparable mechanism (e.g., "click-wrap" or "browse-wrap" agreements), execution does not bind the Government or any Government authorized end user to such clause.

(iii) Any such language, provision, or clause is deemed to be stricken from the CSA. (2) Paragraph (u)(1) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.

(w) Commercial supplier agreements -unenforceable clauses. When any supply or service acquired under this contract is subject to a CSA, the following language shall be deemed incorporated into the CSA. As used herein, "this agreement" means the CSA:

(1) Notwithstanding any other provision of this agreement, when the end user is an agency or instrumentality of the Government, the following shall apply:

(i) Applicability. This agreement is a part of a contract between the commercial supplier and the Government for the acquisition of the supply or service that necessitates a license (including all contracts, task orders, and delivery orders under FAR 12).

(ii) End user. This agreement shall bind the Government as end user but shall not operate to bind a Government employee or person acting on behalf of the Government in their personal capacity.

(iii) Law and disputes. This agreement is governed by Federal law.

(A) Any language purporting to subject the Government to the laws of a U.S. state, U.S.

territory, district, or municipality, or a foreign nation, except where Federal law expressly provides for the application of such laws, is hereby deleted.
