About this file

This is a Justification and Approval (J&A) document for a sole-source contract award by the United States Transportation Command (USTRANSCOM). The contract, identified as HTC711-26-R-E132 with Control Number 25-27, is being awarded to General Dynamics Mission Systems, Inc. (GDMS) for continued software development support, IT security, administration, and expertise for the Transportation Visualizer (Trans Viz) application and the CoMotion platform. The contract type is Firm Fixed Price (FFP) with Time and Material (T&M) for travel and other direct costs. The period of performance consists of a six-month base period (April 1, 2026 – September 30, 2026) plus four 12-month option periods extending through September 30, 2030. The total estimated lifecycle cost is redacted in the document.

The justification for sole-source procurement is based on GDMS's exclusive ownership and control of the CoMotion proprietary platform, which Trans Viz fundamentally depends upon. The Government version of CoMotion is unique and cannot be obtained from any other vendor; while commercial licenses exist, they do not provide access to the source code essential for Trans Viz functionality. An RFI posted to SAM.gov on September 16, 2024, yielded five respondents, but only three submitted white papers; technical assessment confirmed none could obtain the modified CoMotion version with source code access. Prior competition attempts also resulted in GDMS receiving the award (2015 and 2020 contracts). The contracting officer will conduct a price analysis using non-certified cost or pricing data, comparing proposed prices to historical costs and published price lists. USTRANSCOM has directed a Course of Action analysis to evaluate alternatives for future acquisitions, including replacing CoMotion software or the Trans Viz tool entirely.

Transportation V,sua/,izer (Trans Vi~

HTC711-26-R-E132

Control Number 25-27

1. CONTRACTING ACTIVITY.

United States Transportation Command (USTRANSCOM), TCAQ-D 508 Scott Drive, Building 1900W, Scott AFB IL 62225-5357

2. NATURE AND/OR DESCRIPTION OF ACTION BEING APPROVED.

The Program Executive Office - USTRANSCOM (PEO-T) requires other than full and open competition to provide continued software development support, IT security, administration and expertise for Trans Viz and the Co Motion platform.

The proposed action will result in a new Sole-Source award to General Dynamics Mission Systems, Inc. (GDMS). The planned contract type is Firm Fixed Price (FFP) with Time and Material (T&M) for Travel and Other Direct Costs (ODCs).

3. DESCRIPTION OF THE SUPPLIES/SERVICES REQUIRED TO MEET THE

AGENCY'S NEEDS.

The Trans Viz requirement provides software development support, IT security, administration and expertise for Trans Viz and the CoMotion platform. This includes all software code and associated components and integrations. Software development support shall include any phase of the Software Development Lifecycle (SDLC), including concept development, planning, requirements elicitation and analysis, systems design and development, coding and testing, deployment, implementation, integration, troubleshooting, security posture, documentation, and software application maintenance. This support shall include expertise with CoMotion Application Development Kit Framework (the CoMotion platform that contains various tools such as charts, tables, and customized appliances specific to the application), Java Software Development Kit (SDK), Oracle Procedural Language/Structured Query Language (PL/SQL), Type Script, Java Script, React/Redux, Websocket, Cesium Maps, and Selenium.

Trans Viz was approved to be implemented as the data visualization tool for Defense Travel System (DTS) in February 2005. Trans Viz provides a graphical data display with the capabilities necessary to satisfy USTRANSCOM/DTS needs and initiatives for a graphical data display that is capable of operating in the collaborative environment necessary to facilitate strategic and contingency planning.

The Trans Viz software, crucial to USTRANSCOM, relies on the proprietary platform CoMotion, which is solely owned and developed by GDMS and was approved for use by USTRANSCOM in 2008 and has been exclusively used since. While possible to license CoMotion software commercially, these licenses do not provide access to the Co Motion source code, which in the case of USTRANSCOM, is necessary for the Trans Viz program.

Prior attempts were made by USTRANSCOM to compete the Trans Viz requirement; however, the ultimate contract award remained with GDMS. In re-assessing a possible competition for the current requirement, the situation has not changed, and because GDMS exclusively controls the CoMotion licenses and, critically, the underlying source code, no other vendor can meet the requirements. Even if another provider purchased commercially available CoMotion licenses, these would not grant access to the specialized source code integral to the Government's version ofTransViz. As a result, GDMS was awarded the contract in 2015 (HTC711-15-F-D047) and again in 2020 (HTC711-20-F-D075) as a sole-source provider.

Because this unique Government version of CoMotion is essential for TransViz's functionality, and no other entity possesses the necessary access to this source code, GDMS is therefore the sole provider capable of supporting and developing Trans Viz.

The period of performance is for a base period of six months, plus four 12-month option periods.

The total estimated lifecycle cost for TransViz support is approximately

Anticipated Period of Performance:

Base Year: 01 April 2026 - 30 September 2026 Option Period 1: 01 October 2026 - 30 September 2027 Option Period 2: 01 October 2027 - 30 September 2028 Option Period 3: 01 October 2028 - 30 September 2029 Option Period 4: 01 October 2029 - 30 September 2030

4. STATUTORY AUTHORITY PERMITTING OTHER THAN FULL AND OPEN

COMPETITION.

10 USC 3204(a)(l), the agency's need is available from only one responsible source, and no other type of property or services will satisfy the needs of the agency.

5. DEMONSTRATION THAT THE PROPOSED CONTRACTOR'S UNIQUE

QUALIFICATIONS OR THE NATURE OF THE ACQUISITION REQUIRES USE OF

THE AUTHORITY CITED.

In accordance with (IA W) Federal Acquisition Regulation (FAR) 6.103-1 ( c )(2)(ii) - For DoD, NASA, and the Coast Guard, services may be deemed to be available only from the original source in the case of follow-on contracts for the continued provision of highly specialized services when it is likely that award to any other source would result in unacceptable delays in fulfilling the agency's requirements.

GDMS is the sole proprietor/owner of the intellectual property of CoMotion® which is the platform on which Trans Viz is based. The CoMotion version utilized by Trans Viz is unique to the Government and intrinsically linked to the application's functionality. GDMS is the only entity that has access to the source code for Co Motion. Currently, there are no authorized resellers of the Co Motion software or the Trans Viz software tool version. These unique features are the necessary components that create the collaborative environment that optimizes DTS strategic and contingency planning capabilities. Trans Viz is designed to communicate with the Joint Operation, Planning and Execution System (JOPES) Data Network Services (JDNETS) interface, making it uniquely adaptable to support various Combatant Commands and units that require access to the JOPES database for planning and execution events. No other commercial transportation visualization software tool has these unique capabilities, with emphasis on providing a tailorable view of transportation effects. The commercial software (CoMotion) provides visualization capabilities into the real-time transportation planning processes that are critical to our warfighter' s mission.

Because GDMS is the only entity that has access to the source code and the unique version of CoMotion (the Trans Viz software tool version) on which Trans Viz was built, there is no reasonable expectation that a technically acceptable offer with fair and reasonable pricing will be obtained from any offeror besides GDMS. Procuring the CoMotion license directly from GDMS is the only viable option to ensure continued, uninterrupted functionality of the mission-critical Trans Viz application in its current state. GDMS's restriction on modernization support through third-party licenses solidifies their position as the sole source. The uncertainties and risks associated with relying on the wrong version of Co Motion are substantial because of the incompatibility that would arise from using an incorrect Co Motion version today. Even for the current version, any deviation or mismatch between CoMotion and Trans Viz will immediately cause the Trans Viz system to become non-operational, disrupting critical operations. This is because Trans Viz is intricately built on the specific underlying version of CoMotion, and any divergence will lead to system failure. Direct procurement from GDMS provides the most efficient, cost-effective, and low-risk approach to meeting USTRANSCOM's current requirements.

6. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE

SOLICITED FROM AS MANY POTENTIAL SOURCES AS IS PRACTICAL.

Sources Sought. A request for information (RFI) was posted to SAM.gov on 16 September 2024 seeking information from industry on the Trans Viz requirement. Five companies responded to the RFI; however, only three of those respondents provided a white paper as requested. A technical capability assessment was conducted by the Contracting Officer Representative (COR) and the Functional Services Manager. Based on the RFI technical capability assessment and

CUI

GDMS's email response to the fact-finding questions, the Government determined that none of the RFI respondents are currently capable of obtaining the modified version of CoMotion and maintaining it without access to the source code. GDMS is the only entity that has access to the unique source code that is vital to the Trans Viz application.

Synopses of Proposed Contract Actions. This action will be posted to SAM.gov IA W FAR 5.l0l(a) as the proposed contract action is expected to be greater than $20,000 and no exemption at FAR 5.lOl(b) applies.

Other Actions. On 06 August 2024, the Contracting Officer emailed GDMS with fact-finding questions regarding CoMotion, which, in conjunction with other market research, confirmed there are no authorized resellers of the CoMotion license at this time. GDMS has sole rights to CoMotion, and although they are willing to sell licenses to other vendors at the current commercial list price (without discounts) subject to the license agreement, these licenses do not include access to the source code. As a result, another vendor is not able to support any modernization or updates to the existing Trans Viz system.

The CoMotion version utilized by Trans Viz is unique to the Government, which requires the CoMotion software license and TransViz application to be maintained concurrently. TransViz functionality requires the CoMotion software; any diversion that results in CoMotion and Trans Viz being out of sync will cause disruption to Trans Viz availability. Market research suggests relying on a 3rd party to obtain an object-code-only CoMotion license for Trans Viz significantly increases performance risk to an unacceptable level.

Currently, maintaining the concurrency and compatibility between the CoMotion software license and the Trans Viz application is critical to ensuring system availability and functionality because of the uniqueness of the Government's version. As GDMS is the only company with access to the source code, no other vendor can fulfill this requirement.

7. DETERMINATION BY THE CONTRACTING OFFICER THAT THE

ANTICIPATED COST TO THE GOVERNMENT WILL BE FAIR AND REASONABLE.

The Contracting Officer will use other than certified cost or pricing data, conducting a thorough price analysis IAW FAR 15.404-l(b)(2)(ii). This analysis will also include comparing the proposed prices to historical prices paid for similar items and reviewing published price lists for comparable products or services. These approaches, combined with an evaluation of the technical proposal, will enable the Contracting Officer to determine that the anticipated cost to the Government is fair and reasonable.

8. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED AND THE

RESULTS OR A STATEMENT OF THE REASONS MARKET RESERACH WAS NOT

CONDUCTED.
