COMBINED SYNOPSIS/SOLICITATION

SOLICITATION NUMBER: 127EAU24Q0123

This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in

Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested based on the requirements outlined in this combined synopsis/solicitation. A written solicitation will not be issued.

This solicitation is issued as a Request for Quotation (RFQ), for a firm fixed price contract. This solicitation document and incorporated provisions and clauses are those in effect through Federal

Acquisition Circular 2024-05. This procurement is being issued as a 100% SMALL BUSINESS SET-

ASIDE utilizing the NAICS and size standard listed below. The Government will award a Base Contract with 2-EA 1-year options (subject to the availability of Government Funding resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government based on price and past performance of the firm as described in Section M of the attached solicitation document.

The United States Forest Service (USFS) intends to award one firm-fixed-priced contract for the acquisition of items listed below. The Government intends to select one contractor; however, the

Government reserves the right to award no contract at all, depending on the quality of the quotes and prices submitted.

2024 Apache-Sitgreaves National Forest Water and Wastewater Testing

Base Year: October 1, 2024 – September 30, 2025

Option Year 2: October 1, 2026 – September 30, 2027

Water and Wastewater Environmental Testing.

1. STATEMENT OF WORK: Selected Water Testing Laboratories will receive and test water and waste-water samples according to EPA SWA guidelines, and Arizona Revised Statutes. The lab(s) will provide written test results and will invoice the Apache-Sitgreaves National Forests.

The testing laboratories must be a certified Testing Laboratory approved by the State of Arizona.

2. TESTING SAMPLES: The Forest Service will transport all samples to the testing laboratories. Testing samples will fall into two categories – Drinking Water and Wastewater:

Listed in the tables below are the typical tests required with the typical yearly amounts. The numbers and types are not guaranteed as agency, state, federal requirements may change, or there may be contingencies requiring additional tests.

2. PROCEDURES:

a. One of the Apache-Sitgreaves Zone Utility Operators or a person they designate will be responsible to deliver samples, properly labeled and cooled, to the Laboratory’s receiving location in accordance with Lab delivery policies.

b. The Lab(s) will perform the required tests as indicated by the Zone Utility Operator and or as further testing may require.

c. The Lab(s) will promptly notify and forward test results to the Zone Utility Operator. In the case of

Positive BACT for Drinking Water Systems, the Lab(s) will notify the Zone Utility operator as soon as possible by email, text message, phone message or other means approved by the Zone Utility Systems

Operator.

3. The physical act of delivering samples to the lab for testing is notice to the lab that the Forest Service requires testing and will pay for the testing upon receipt of a valid invoice submitted to the Forest through the

IPP System.

(a) Definition. "Acceptance," as used in this clause, means the act of an authorized representative of the Government by which the Government assumes for itself, or as an agent of another, ownership of existing and identified supplies, or approves specific services, as partial or complete performance of the contract.

(b) Notwithstanding inspection and acceptance by the Government or any provision concerning the conclusiveness thereof, the Contractor warrants that all services performed under this contract will, at the time of acceptance, be free from defects in workmanship and conform to the requirements of this contract.

The Contracting Officer shall give written notice of any defect or nonconformance to the Contractor within 30 days. This notice shall state either--

(1) That the Contractor shall correct or reperform any defective or nonconforming services; or

(2) That the Government does not require correction or reperformance.

(c) If the Contractor is required to correct or re-perform, it shall be at no cost to the Government, and any services corrected or re-performed by the Contractor shall be subject to this clause to the same extent as work initially performed. If the Contractor fails or refuses to correct or re-perform, the

Contracting Officer may, by contract or otherwise, correct or replace with similar services and charge to the Contractor the cost occasioned to the Government thereby, or make an equitable adjustment in the contract price. If the Government does not require correction or re-performance, the Contracting

Officer shall make an equitable adjustment in the contract price.

SECTION F – DELIVERIES OR PERFORMANCE

Period of Performance – 1 Year from date of award for the base year. Options may be awarded at the discretion of the Government and are subject to the availability of Government funding.

SECTION G – CONTRACT ADMINISTRATION

The Contracting Officer is Geraldine M. Carrasco who will be responsible for administering all aspects of a contract resulting from this solicitation.

SECTION H--SPECIAL CONTRACT REQUIREMENTS

SCR1 Proposed preparation costs are at the expense of the offeror and will not be reimbursed.

SCR2 Contractor Access: If the contractor must unlock a gate, the Contractor is required to relock the gate upon entry and egress.

SCR3 CONTRACTING OFFICER AUTHORITY: The Awarded Contractor is hereby notified that ONLY the

Contracting Officer, acting within the scope of the contract, and after consultation with any CORs, has the authority to make changes which affect:

• Contract prices and pricing issues;

• Schedule terms and conditions;

• Terms of the contract

In no event shall any understanding, agreement, modification, or change order between the Contractor and a

Government person or any individual other than the Contracting Officer be effective or binding upon the

Government. Contractor shall not proceed with change unless that change is reduced to writing and agreed upon and signed by the Contracting Officer.

This agreement is the entire agreement, terms and conditions, between the Government and the Contractor; any dispute that arises over the performance of this agreement shall be decided in order of precedence by the Schedule, the Statement of Work, the Clauses, and Provisions.

The Contractor shall, without additional expense to the government, be responsible for obtaining any necessary licenses and permits, and for complying with any Federal, State, and municipal laws, codes, and regulations applicable to the performance of the work. The Contractor shall also be responsible for all damages to persons or property that occurs as a result of the Contractor's fault or negligence. The

Contractor shall also be responsible for all materials delivered and work performed until completion and acceptance of the entire work, except for any completed unit of work which may have been accepted under the contract.

When inclement weather sets in, and the work is impractical, upon written request by the contractor, the

Contracting Officer may authorize a total suspension until such weather has passed, and work can proceed.

During period of total suspension, the calendar days elapsed will not be charged against the contract time specified.

FAR 52.217-8 Option to Extend Services (Nov 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The

Contracting Officer may exercise the option by written notice to the Contractor within 30 days of contract expiration.

AGAR 452.237-74 Key Personnel (FEB 1988)

(a) The Contractor shall assign to this contract the following key personnel: Water Systems

Operator.

(b) During the first ninety (90) days of performance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment. The Contractor shall notify the Contracting Officer within 15 calendar days after the occurrence of any of these events and provide the information required by paragraph (c) below. After the initial 90-day period, the Contractor shall submit the information required by paragraph (c) to the Contracting Officer at least 15 days prior to making any permanent substitutions.

(c) The Contractor shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the Contracting Officer. Proposed substitutes should have comparable qualifications to those of the persons being replaced. The Contracting Officer will notify the Contractor within 15 calendar days after receipt of all required information of the decision on substitutions. The contract will be modified to reflect any approved changes of key personnel.

Personal Identity Verification of Contractor Employees

(a) The contractor shall comply with the personal identity verification (PIV) policies and procedures established by the Department of Agriculture (USDA) Directives 4620-002 series.

(b) Should the results of the PIV process require the exclusion of a contractor's employee; the

Contracting Officer will notify the contractor in writing.

(c) The contractor must appoint a representative to manage compliance with the PIV policies established by the USDA Directives 4620-002 series and to maintain a list of employees eligible for a USDA LincPass required for performance of the work.

(d) The responsibility of maintaining a sufficient workforce remains with the contractor.

Contractor employees may be barred by the Government from performance of work should they be found ineligible or to have lost eligibility for a USDA LincPass. Failure to maintain a sufficient workforce of employees eligible for a USDA LincPass may be grounds for termination of the contract.

(e) The contractor shall insert this clause in all subcontracts when the subcontractor is required to have routine unaccompanied physical access to a Federally-controlled facility and/or routine unaccompanied access to a Federally-controlled information system.

(f) The PIV Sponsor for this contract is a designated program point of contact, which in most cases is the COR, unless otherwise specified in this contract. The PIV Sponsor will be available to receive contractor identity information from * (hours and days) to * (hours and days) at * (office address for registration). The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

FAR 52.217-5 Evaluation of Options. (July 1990)

Except when it is determined in accordance with FAR 17.206(b) not to be in the Government’s best interests, the Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options will not obligate the Government to exercise the option(s).

FAR 52.204-26 Covered Telecommunications Equipment or Services-Representation (OCT

2020)

(a) Definitions. As used in this provision, "covered telecommunications equipment or services" and

"reasonable inquiry" have the meaning provided in the clause FAR 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management

(SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services".

(c) (1) Representation. The Offeror represents that it □ does, □ does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument

(2) After conducting a reasonable inquiry for purposes of this representation, the offeror represents that it □ does,

□ does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services.

FAR 52.204-24 Representation Regarding Certain Telecommunications and Video

Surveillance Services or Equipment (NOV 2021) (Provision)

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at FAR 52.204-26, Covered Telecommunications

Equipment or Services—Representation, or in paragraph (v)(2)(i) of the provision at FAR 52.212-3, Offeror

Representations and Certifications-Commercial Products or Commercial Services. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at FAR

52.204-26, or in paragraph (v)(2)(ii) of the provision at FAR 52.212-3.
