B.1 PURPOSE

The purpose of this contract is to provide services that fall within the scope of the work specified in Section C for the project entitled, “Services to Support the Activities Conducted by the Office of the Director, Branches, and Program of Environmental Hazards and Health Effects” administered by the Centers for Diseases Control and Prevention (CDC), National Center for Environmental Health, Division of Environmental Hazards and Health Effects (NCEH/DEHHE). The Contracting Officer (CO) will request the work through the issuance of task orders during the ordering period as specified in Section F of the contract.

B.2 CONTRACT TYPE AND SERVICES

This is a competitive TOTAL SMALL BUSINESS SET-ASIDE procurement. This acquisition is being competed in accordance with FAR Part 15 - Contracting by Negotiation. The NAICS Code is 541990, All Other Professional, Scientific and Technical Services, with an average annual receipt of $14.0 million dollars size standard.

This is an Indefinite Delivery Indefinite Quantity contract (IDIQ) utilizing individual task orders to provide scientific and technical assistance services. As defined in FAR Part 16, Type of Contracts, the Government will issue task orders or contract line item numbers (CLIN) that are Firm-Fixed-Price (FFP) except when Section B.7 Travel Pricing (see below) is applicable.

Obligation of funds will be done by the issuance of individual task orders by the Contracting Officer in accordance with the clause titled “Award of Task Orders” in Section H and FAR clause 52.216-18 titled “Ordering” in Section I-2. The Contractor shall not exceed the amount negotiated for each individual task order without prior written approval of the Contracting Officer.

In addition, the Contractor shall not commence work until a task order or other written notification for a specific assignment is issued by the Contracting Officer. Only a CDC Contracting Officer is authorized to issue a task order request to the Contractor or issue finalized task orders under this contract. The Government is not obligated to reimburse the Contractor for any costs that it incurs before issuance of a task order or other written notification by the Contracting Officer.

CDC/NCEH/DEHHE intends to issue several task orders (see Attachments 5, 6, 7 and 8 and Section L herein) upon award of this IDIQ. This is not a multiyear contract as defined in FAR Part 17.1. Task Orders will be issued with specific performance periods.

B.3 PERFORMANCE-BASED PREFERENCE

Pursuant to FAR 37.102(a) (1), the Contracting Officer will use performance-based acquisition methods to the maximum extent practicable. Pursuant to FAR 37.102(a)(2), a firm-fixed price performance-based contract and/or task order will be awarded.

B.4 MINIMUM AND MAXIMUM ORDERING AMOUNTS

Minimum Order Amount: $10,000 Maximum Order Amount: $4,000,000 The ceiling price for this IDIQ contract (i.e. cumulative value of all task ordres) is $20,000,000. The maximum aggregate dollar value of the task orders awarded cannot exceed the contract ceiling.

B.5 MINIMUM GUARANTEE

This contract guarantees that task order(s) amounting to a minimum of ten thousand dollars ($10,000) will be issued during the base period ONLY. In the event that during the base period, the contractor receives obligations of less than this minimum, the Government will fund the difference between the actual obligation and the guaranteed minimum. There is NO guaranteed minimum for the option periods.

B.6 TASK ORDER PRICING

Pursuant to FAR 15.4, Pricing, and FAR 16.2, Fixed-Price Contracts, the Firm-Fixed Price for each task order will be negotiated based on the price to complete the work. After acceptance of a fixed price task order by the Contractor, the task order price will only be adjusted to reflect changes in scope or conditions.

B.7 TRAVEL PRICING

Travel will be reimbursed at actual cost in accordance with the limitations set forth in FAR 31.205-46. Profit shall not be applied to travel costs. Contractors may apply G&A to travel in accordance with the Contractor’s usual accounting practices consistent with FAR 31.2. Travel expenses will be identified under a separate CLIN which will be cost reimbursable CLIN on the specific task order with the rest of the items being priced as firm-fixed price.

B.8 PLACE OF WORK AND GOVERNMENT-FURNISHED EQUIPMENT

Work under the contract may be performed on-site at CDC locations in Atlanta, Georgia OR may be conducted off-site at Contractor locations. On-site meetings with CDC staff may be required. Each task order will specify the location requirements.

If the work is to be performed primarily on-site at a CDC location, due to the nature of the work, CDC will provide IT equipment (i.e., desktop computer), telephone, and other office equipment and supplies as needed for the Contractor to perform required tasks. If the work is to be performed primarily off-site at the Contractor’s locations, where the Contractor needs to access CDC’s network, the CDC will not provide IT equipment. The computers used by Contractor personnel shall meet CDC’s standard software and security configuration before logging onto CDC’s network.

B.9 NON-PERSONAL SERVICES CONTRACT STATEMENT

This is a non-personal services contract as defined in Federal Acquisition Regulation (FAR) 37.101. The Government will evaluate the quality of support services provided but the Contractor retains control over its employees or agents. The Contractor is solely responsible and liable for and expressly agrees to indemnify the Government with respect to any liability producing acts or omissions by it or by its employees.

Section C - Description/Specification/Work Statement

Title of Project: Services to Support the Activities Conducted by the Office of the Director, Branches, and Program of the Division of Environmental Hazards and Health Effects

C.1 Background and Need. The Centers for Disease Control and Prevention, National Center for Environmental Health, Division of Environmental Hazards and Health Effects (CDC/NCEH/DEHHE) promotes health and quality of life by preventing or controlling diseases or deaths associated with exposure to air pollution, radiation, and other toxicants, as well as health problems resulting from natural, technological, or terrorist disasters. This mission is supported in part by epidemiologic studies and surveillance activities conducted by the four Branches and one Program that comprise CDC/NCEH/DEHHE (“DEHHE”): Health Studies Branch (HSB), Air Pollution and Respiratory Health Branch (APRHB), Radiation Studies Branch (RSB), Environmental Public Health Tracking Branch (EPHTB) and the Climate and Health Program (CHP). The results of activities the DEHHE conducts are used to develop or improve national public health programs and policies for preventing disease.

It is the nature of DEHHE to continually design, implement, analyze, interpret and disseminate epidemiology studies and surveillance activities. It is one of the primary functions of DEHHE to engage in these activities to some extent every year. Rather than initiate multiple contracts throughout the year to address needs and requirements that arise many times each year, DEHHE proposes establishing an IDIQ task order contract to facilitate procurement of regularly and repeatedly needed services.

DEHHE’s scientific activities are often far-reaching, long-term, and require resources outside the scope or capacity of the DEHHE. To address the DEHHE’s limitations in specific areas of function or expertise, DEHHE will procure services to support its mission and goals.

C.2 Project Objective. The primary objective of this contract is to obtain services and deliverables that support the full range of activities related to epidemiology science, studies, and surveillance for DEHHE’s Office of the Director, its four Branches and a Program. Such procurement assistance will result in faster execution and implementation of scientific efforts that are likely to improve the public’s health.

C.3 Scope of Work. DEHHE requires support for the planning and implementation of epidemiology studies and surveillance, and for the dissemination and translation of study/surveillance results. DEHHE has identified several areas of support requirements. These requirements range from scientific expertise for study design and protocol development to dissemination of results to participating study populations, public health professionals, and the scientific community.

C.4 Technical Requirements. The paragraphs below contain a general description of the tasks required. Each individual task order will identify specific requirements within the scope of the general Task Area(s).

CDC/NCEH/DEHHE requires the following task areas to be addressed. Specific tasks that the Contractor(s) shall perform include those listed in each task area:

b. Depending on the nature of each task order, regularly scheduled meetings, conference calls, and/or written project updates may be required.

C.6 Special Considerations.

a. Generally:

i. CDC will obtain all appropriate regulatory approvals and/or clearances prior to executing a task order.

ii. All data generated under the contract/task orders are the property of CDC.

iii. The contractor must protect the confidentiality of proprietary, sensitive, and Personally Identifiable Information (PII).

b. Travel: The Contractor shall coordinate all travel requirements with the CDC Contracting Officer’s Representative (COR) and obtain written approval from the COR prior to beginning such travel. The Contractor shall comply with FAR 31.205-46 Travel Costs. Accordingly, travel costs shall not exceed the maximum per diem rates set forth in the Federal Travel Regulation (FTR) unless written approval is obtained from the Contracting Officer before incurring travel costs in accordance with FAR 31.205-46 procedures. The FTR per diem rates and regulations are available at the following web site:

http://www.gsa.gov/Portal/gsa/ep/contentView.do?contentId=17943&contentType=GSA_BASIC Unless the task order stipulates otherwise, travel will be included in a separate CLIN and will be cost reimbursable (i.e. actual costs, no profit). Accordingly, the Contractor shall submit receipts for airfare, lodging, car rentals, and other incidental expenses as applicable when submitting invoices which include travel costs.

c. Security: To perform the work specified herein, the Contractor’s personnel may require access to sensitive data, regular access to HHS-controlled facilities, and/or access to HHS information systems.

In order to gain access to any sensitive data, HHS-controlled facilities and/or HHS information systems, the Contractor shall comply with Homeland Security Presidential Directive 12, Policy for a Common Identification Standard for Federal Employees and Contractors, and with the personal identity verification and investigation procured contained in HHS Information Security Program Policy, http:/www.hhs.gov.read/irmpolicy/121504.html and HHS Office of Security and Drug Testing, Personnel Security/Suitability Handbook dated February 1, 2005 as may be revised or replaced, http://www.hhs.gov/ohr/manual/pssh.pdf.

The minimum Government investigation for a non-sensitive position is a National Agency Check and Inquiries (with fingerprinting), which consists of searches of records covering specific areas of a person’s background during the past five years. Those inquiries are sent to current and past employers, schools attended, references and local law enforcement authorities. More restricted positions, above non-sensitive, require more extensive documentation and investigation.

Contractors should ensure that the employees whose names they submit have a reasonable chance for access approval. Delays associated with rejections and consequent reinvestigations may not be excusable.

Typically, the Government investigates personnel at no cost to the Contractor, but the expense of multiple investigations for the same position is difficult to justify. Consequently, multiple investigations for the same position may, at the Contracting Officer’s discretion, justify reduction(s) in the contract price of no more than the cost of the extra investigation(s).

Language similar to this Security section and any applicable clauses in the contract shall be included in any subcontracts which require subcontractor personnel to have access to an information system, access to sensitive data, regular or prolonged access to an HHS-controlled facility, or any combination of these items.

Inquiries, including requests for forms and assistance, should be directed to the Contracting Officer or her designee, listed in Section G of this contract.

Upon final acceptance of the work specified herein and as a condition precedent to final payment, the Contractor shall return all identification badges to the Contracting Officer or her designee.

d. Severability. Severability will be determined at the task order level.

e. Section 508 Compliance. Section 508 compliance will be determined at the task order level.

C.7 Government Furnished Property. The determination of whether there will be Government-furnished property will be made at the task order level. The Government will furnish property (e.g., office space, computer hardware and software, etc.) as required to accomplish the task order requirements when performance on-site at CDC is required.

C.8 References. References will be provided at the task order level.

C.9 Deliverables. Deliverables will be determined at the task order level and will vary with each task order. They will usually include a monthly progress report and final report describing the implementation and results of the task.

C.10 Quality Assurance Surveillance Plan (QASP). The QASP will be used to ensure that systemic quality assurance methods are used in the administration of the Performance-Based Service Contract (PBSC) standards included in this contract. The QASP will be defined at the task order level. The Contractor is responsible for management and quality control actions necessary to meet the quality standards set forth in the task order. The Performance Standards and Surveillance Activity Checks defined in the QASP at the task order level shall be used by the COR in the technical administration of this QASP.

C.11 Contractor’s Assessment Performance Reporting System (CPARS). The Government will evaluate the Contractor’s performance at least annually, if not more frequently, in the Contractor’s Assessment Performance Reporting System (CPARS), www.cpars.gov, with such evaluation being entered on the contract level. The Contractor must provide the Government with a point of contact for CPARS and ensure that its contact information is kept up-to-date. (See Section K provision “CDC42.0001 Contractor Performance Assessment Reporting System (CPARS) Requirements (April 2003)”).

C.12 Schedule of Milestones for Performance-Based Payments. In accordance with FAR 52.232.32, Performance-Based Payments (April 2012), upon successful completion of an event, the Contractor may request performance-based payments. The determination of eligibility for receipt of payment will be made by the Contracting Officer upon written certification from the COR that the performance milestone has been met. It is anticipated that each milestone payment will approximate the estimated timeline included in the individual task order but variation is anticipated and eligibility for payment could occur sooner or later depending upon the time of completion of the designated milestone. Milestone payments are subject to the terms of FAR 52.232-32 as incorporated in Section I of this contract.

The Contractor will be asked to propose a Milestone Payment Schedule for each task order. As part of the negotiated process, however, the CDC may provide a different Milestone Schedule for the task order. The final Milestone Payment Schedule will be negotiated between the parties and included in the task order award.
