About this file

This document contains a justification for awarding a sole source contract. The contract is for wheelchair transportation services for the Department of Veterans Affairs Puget Sound Health Care System from March 30, 2020 to March 29, 2021. The incumbent contractor ATS Trans LLC will provide the services for $307,280.07. ATS Trans LLC currently manages dispatching and coordination of transportation resources to ensure adequate coverage. They also have extensive knowledge of the requirement and can continue performing essential services during the COVID-19 pandemic. Two other small businesses, Medstar Cabulance and Yellow Cab, were considered but could not cover the entire catchment area or manage the requirement. The justification cites the need to maintain uninterrupted critical patient transportation services during the pandemic as the reason for awarding a sole source contract to the incumbent.

VHAPM Part 806.3 Other Than Full and Open Competition (OFOC) SOP Attachment 2: Request for Sole Source Justification Format >SAT

OFOC SOP Revision 08 Page 2 of 4 Original Date: 03/22/11 Revision 08 Date: 04/18/2018

4. Statutory Authority Permitting Other than Full and Open Competition: The authority for applying the Simplified Procedures for Commercial Items of FAR 13.5 is 41 U.S.C. 1901 and is implemented by for restricting competition on this procurement via FAR 13.106 1(b)(2).

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): Wheelchair Transportation Services are essential to the daily operations of the VA Puget Sound Health Care System and cannot be interrupted without causing major disruption to patient care. ATS Trans LLC is the incumbent contractor currently providing these services and possesses a current Business Associate Agreement (BAA) with the facility.

Market research of the Puget Sound area revealed that ATS Trans LLC is the only known contractor with the operational capacity to provide services to the entire required catchment area. Even if another capable vendor was identified, there is not enough time to perform background checks, establish a BAA and onboard a new contractor before the period of performance is required to start.

ATS Trans LLC currently manages all ofall the dispatching and coordination of resources to facilitate that adequate coverage is accomplished. If multiple smaller contracts were issued to piece this requirement together, the VA would have to do all required dispatching and coordination.

Currently, the VA does not have these capabilities or resources.

Furthermore, ATS Trans LLC has extensive knowledge of this requirement and can continue to perform these essential transportation services during the current COVID 19 international pandemic. It is imperative that the VA Puget Sound Health Care System continue to provide transportation services without interruption during these difficult and unprecedented times and mitigate risk by continuing to do business with the incumbent.

Therefore, in order to maintain these critical services, it is the determination of the Contracting Officer that ATS Trans LLC is the only source reasonably available to provide these services from 3/30/2020 – 3/29/2021 in the midst of the COVID 19 pandemic and while a new long term agreement is properly solicited, evaluated and awarded.

6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: Two other small businesses, Medstar Cabulance and Yellow Cab, were considered for this requirement and contacted for their capabilities. However, neither of these two businesses can cover the entire catchment area and do not have the operational capacity to successfully perform and manage this requirement.

7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable: The pricing proposed by ATS Trans LLC is considered to be fair and reasonable IAW FAR

13.106 (a)(2)(ii), based on historical and current pricing provided in procurements 36C26019P0134, 36C26020D0014 and VA260 14 D 0005, which have all been determined as fair and reasonable.

Furthermore, a formal and detailed fair and reasonable pricing analysis will be documented and included in the contract file before award.

8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: Pursuant to FAR part 10, appropriate market research was

OFOC SOP Revision 08 Page 3 of 4 Original Date: 03/22/11 Revision 08 Date: 04/18/2018 conducted given the circumstances. In accordance with Class Deviation Veterans First Contracting Program (VFCP 2016), VHAPM Part 810.001, and PPM 2016 05, the determination has been made by the Contracting Officer that two or more veteran owned small business are not readily available to perform the services required by this procurement.
