JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity.
Naval Air Systems Command (NAVAIR) Headquarters
2. Description of the Action Being Approved.
This Justl'fication and Approval (J&A) authorizes and approves the issuance of a delivery order with fixed-price and cost-reimbursement line items under Basic Ordering Agreement (BOA) N00019-11-G-0001, hereinafter referred to as the Boeing Corporate BOA, on asole source basis for the procurement of supplies and services in support of the T-45 Training System (T45TS) Retrofit Integration Testing (RIT) program.
3. Description of Supplies/Services.
The RIT Program includes flight test and aircraft maintenance support for VX-23 test aircraft based at Naval Air Station (NAS) Patuxent River, MD during FY11-FY12. The estimated total value of this delivery order is $21.2M.
4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutorv Authoritv.
The Boeing Company is the Original Equipment Manufacturer (OEM) for the T-45 aircraft and is the current provider of these services. As the sole designer, developer, manufacturer and supplier of T-45 aircraft and its systems, The Boeing Company is the only company that can provide these services within the desired timeframe until acompetitively awarded contract can be put in place. Currently, data rights and drawing packages are being analyzed to determine the Government's capability to conduct a source selection that will combine the test and maintenance services for the VX-23 test aircraft with the larger T-45 Aircraft Contractor Logistics Support (CLS) effort which covers 201 aircraft based at Naval Air Stations Meridian, MS, Kingsville, TX and Pensacola, FL. The current T-45 CLS contract expires in September 2013. The Government will try to leverage the data collection and analysis effort to conduct acompetition for the RIT effort for award in September of 2012. However, a minimum of eighteen (18) months will be reqUired to complete the above described data review and source selection process.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
In accordance with FAR 3.201, preliminary market research was performed. Apresolicitation notice was issued on the Federal Business Opportunities (FedBizOpps) website on April 23, 2010. No responses were received.
The Contracting Officer will evaluate any responses received prior to award. Additionally, any interested parties will be referred to The Boeing Company Subcontracting Manager for possible subcontracting opportunities.
7. Determination of Fair and Reasonable Cost.
In accordance with FAR 15.402(a), the Contracting Officer must ensure that all supplies and services are procured at a fair and reasonable price. The Contracting officer will evaluate cost and pricing data in accordance with FAR 15.403 for the FY11·FY12 T·45 RIT effort. Experienced technical analysts and contract specialists, with the aid of necessary field pricing support, will perform analyses of the contractor1s proposed cost in accordance with FAR 15.404. The Defense Contract Management Agency and Defense Contract Audit Agency, at Boeing will be requested to provide input. The Contracting Officer will use these analyses and historical actuals to determine and negotiate a fair and reasonable price.
8. Actions to Remove Barriers to Future Competition.
NAVAIR intends to compete future requirements for the supplies and services that are the subject of this Justification and Approval. Acompetitive source selection is underway that will combine the test and maintenance services for these VX·23 test aircraft with the larger T-45 Aircraft Contractor Logistics Support (CLS) contract or a stand alone competition. This decision is dependent upon availability of data and the most efficient and effective method of satisfying this requirement.
