This document is a justification and approval for other than full and open competition on a federal contract opportunity. The Navy seeks annual preventative maintenance for FARO equipment from FARO Technologies as the original equipment manufacturer. FARO is the only vendor that can perform the work while meeting the Navy's standards, as the system requires FARO's proprietary software and repair information that has never been released. A sources sought notice posted in January 2021 found no other capable firms. The contracting officer determined costs to be fair and reasonable based on rates from FARO's previous contract. While no plans exist to compete future maintenance, another notice was posted and no other responses received. The Navy will assess competition if another potential source emerges. The Department of the Navy awarded contract N3225321C0004 for the maintenance to an unknown vendor for an unknown amount on March 2, 2021.

4. Statutory Authority Permitting Other Than Full and Open
Competition
10 U.S.C. 2304(c)(1) as implemented by FAR 6.302-1- Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority FARO Technologies is the Original Equipment Manufacturer (OEM). FARO was found to be the only vendor that can perform this type of work while meeting the military/Navy’s standards and expectations. Repair of the system requires proprietary software information. FARO has never released this information to anyone, including the Government.
6. Description of Efforts Made to Solicit Offers from as Many
Offerors as Practicable
A sources sought notice was posted in the Contract Opportunities in the beta.SAM.gov website on 27 Jan 2021 and closed on 29 Jan 2021 and determined that no other firms are capable of satisfying the requirement.
7. Determination of Fair and Reasonable Costs (Required if over $250,000; otherwise delete)
The Contracting Officer has determined that the anticipated cost to the Government for the supplies/services covered by the J&A will be fair and reasonable. The Contracting Officer will rely on the technical expertise of the project team. Upon validation of a technically acceptable proposal, the Contracting Officer will apply rates as settled in the basic award for the previous contract N32253-17-F-0049 that was the resultant contract from the previous J&A approval.
8. Actions to Remove Barriers to Competition (Required if over $250,000; otherwise delete)
For the reasons set forth in Paragraph 5, PHNSY&IMF has no plans at this time to compete future contracts for the types of supplies/services covered by this document.
