About this file

This document is an on-call services contract template issued by the City of Gresham, Oregon. The contract establishes a non-exclusive on-call arrangement whereby a selected contractor will provide services on an as-needed basis at the City's discretion. The specific services to be rendered are detailed in Exhibit A-1 (Statement of Work, Deliverables, and Payment Schedule), which must be completed prior to contract execution. The contract term is flexible, with an effective date to be determined and an expiration date to be specified, with provisions for renewal for additional one-year terms not to exceed a total contract period to be defined. Work authorization occurs only upon receipt of a written Authorization to Commence Services (Exhibit A-2), and the City bears no obligation to issue purchase orders or utilize the contract if no service requirements exist.

Compensation under the contract shall not exceed a maximum amount to be specified, with payment terms negotiable among lump-sum completion payments, monthly progress payments based on time and materials, or deliverables-based compensation. The City processes all contractor payments via automated clearing house (ACH) electronic funds transfer. Contractors must maintain comprehensive insurance coverage, including Workers' Compensation in compliance with Oregon Revised Statutes 656.017, Commercial General Liability with a combined single limit of not less than $1,000,000 per occurrence, Commercial Automobile Liability with a combined single limit of not less than $1,000,000 per accident, and Professional Liability insurance (if required) with a combined single limit of not less than $1,000,000 per claim. All insurance must designate the City and its officials as Additional Insureds, and contractors must provide proof of coverage prior to commencing work. The contract incorporates by reference the City's Standard Terms and Conditions and Oregon Statutory Provisions, which supersede any conflicting contract language.
