About this file

The document is a Request for Proposals (RFP) issued by the San Antonio Independent School District (SAISD) for the lease of vacant school district buildings. The RFP No. 25-030 invites qualified organizations to submit proposals for leasing and repurposing five specific properties: Brewer, Douglass, Gonzales, Lamar, and Pickett. Potential lessees must align with community priorities identified through a repurposing survey, provide a sustainable long-term solution, and offer tangible benefits to San Antonio residents. Site tours are scheduled for September 16-25, 2025, with proposals due by October 17, 2025. The evaluation process will be two-step, involving initial qualifications screening followed by interviews/presentations for shortlisted firms during the week of October 25 - November 3, 2025.

The proposal evaluation will be based on four key criteria: Community and District Alignment (40%), Feasibility and Sustainability (30%), Organizational Capacity (20%), and Completeness and Clarity (10%). Lessees will be responsible for all financial and operational costs, including utilities, insurance, regulatory compliance, and maintenance. The district offers three lease types: Full Facility Lease, Full Facility Lease with Sub-Leasing Option, and Ground Lease Agreements. Proposals must include detailed sections such as an executive summary, organizational information, project description, timeline, community alignment statement, financial plan, and maintenance and security plan. The properties will be leased on an "AS IS" basis, with lessees expected to conduct their own inspections and rely on provided Facility Conditions Assessments.

SAN ANTONIO INDEPENDENT SCHOOL DISTRICT

REQUEST FOR PROPOSALS

FOR THE LEASE OF VACANT SAISD BUILDINGS

RFP No. 25-030

The San Antonio Independent School District (“SAISD” or the “District”) is soliciting proposals1 from qualified organizations (“Offeror”) for the lease and repurposing of designated SAISD’s vacant buildings and grounds (“Property” or “Properties”).

SAISD and Offeror may be collectively referred to as “parties”. SAISD will only consider timely submitted proposals. SAISD may select the proposal which was timely submitted, responsive to the RFP specifications, and most satisfies the interests of SAISD, as determined by SAISD in its sole discretion. However, SAISD is not required to select or accept any proposal and may reject all submissions.

Properties. Community-based partners are being afforded an opportunity to submit proposals to lease the Properties so long as the use of the Property also serves the community interests and furthers a District purpose. The primary goal is to transform the Properties into productive assets that address community needs and advances a District purpose, as identified through extensive public engagement. The following will be considered:

Purpose and Objectives The SAISD seeks to partner with organizations that will:

• Align with community priorities: Your proposed use must be in sync with the community's feedback gathered through our repurposing survey. The repurposing objectives are considered to also advance a District purpose, that being the support or facilitation of community, District, parent, and student interests;

• Provide a sustainable and long-term solution: Proposals should include a comprehensive business plan that demonstrates the project's long-term viability and ability to cover all operational costs; and

• Benefit the community directly: The proposed use of the property should offer a tangible and lasting benefit to the residents of San Antonio, particularly those in the immediate neighborhood of the site.

Available Properties The available Properties are listed below and linked to the fact sheets and site layouts. We encourage all interested parties to review the list and assess the properties' suitability for their intended use. Please note that property details, including square footage and specific conditions, are listed on each page.

• Brewer Fact Sheet | Site Layout

• Douglass Fact Sheet | Site Layout

• Gonzales Fact Sheet | Site Layout

• Lamar Fact Sheet | Site Layout

• Pickett Fact Sheet | Site Layout

• Facilities Condition Assessment for the locations listed above

“AS IS” Transaction. The proposed transaction (stemming from acceptance of a proposal and execution of a lease) is an arm’s-length agreement between the parties. The lease terms for the Property are made on the basis of an “AS IS, WHERE IS” condition of the Property and reflects the agreement of the parties that there are no representations, disclosures, or express or implied warranties, except those in the lease and this RFP. Further, Offeror is not relying on any information regarding the Property provided by SAISD’s employees and representatives. Offeror shall rely on its own inspection and the representations and the warranties, if any, contained in the lease and this RFP. The District makes no representation as to the accuracy of the size of the Property. The approximate area of the Property, if provided, is a general statement of the quantity of space, more or less. Proposals will not be adjusted based on the actual square footage of the Property.

Facility Conditions Assessment To aid in the development of a comprehensive and realistic proposal, all applicants are required to review the Facility Conditions Assessment (FCA) for their Property of interest. The FCA for each Property can be found linked in

1 This solicitation is not an offer to lease the Property. Rather, submitted proposals are considered offers to SAISD to lease the Property for the intended project and in accordance with the RFP requirements. SAISD reserves the right to give other parties the opportunity to make an offer to lease the Property as may be required by applicable law.

This document provides a summary report on the physical condition of the building, including structural integrity, roofing, HVAC systems, plumbing, and electrical infrastructure. The FCA reflects SAISD’s opinion based on available data. Such FCA does not form a warranty, express or implied, of any kind.

Community and District Alignment and Data Proposals must demonstrate a clear understanding of the community's expressed needs and how the proposed project or use will fulfill them, as well as any benefit to the District’s interests. We strongly recommend that all applicants review the results of the SAISD Community Repurposing Survey to inform their proposals. The survey data provides a detailed breakdown of community preferences (which also furthers District objectives) by facility and zip code, which will be a significant factor in the evaluation process. Proposals that do not align with these expressed priorities will be given lower preference.

Financial and Operational Responsibilities Lessees will be solely responsible for all financial and operational obligations related to the Property. This includes, but is not limited to:

• All utility costs (electricity, water, gas, internet, etc.).

• All insurance costs, including liability and property insurance.

• All regulatory and compliance costs, including permits and licenses.

• All maintenance and repair costs, including the maintenance of the building's envelope, grounds, and all building systems, such as the HVAC system.

Proposal Requirements Each proposal must include, but is not limited to, the following sections:

• Executive Summary: A concise overview of your organization and the proposed project.

• Organizational Information: Details about your organization's mission, experience, and legal structure.

• Project Description: A detailed plan for the proposed use of the property, including a timeline for development and implementation.

• Project Timeline: A description of the project timeline and schedule for completion.

• Lease type and length: A detailed description of the proposed lease type and length. SAISD will consider the following lease types:

o Full Facility Lease – Leasing entire facility for alternative uses that align with district goals and community needs.

o Full Facility Lease with Sub-Leasing Option - Leasing entire facility, and sub-leasing specific areas within the facility for educational, community, or commercial use.

o Ground Lease Agreements – Long-term leasing of land for development or adaptive reuse, while retaining district ownership.

• Community Alignment Statement: A specific section detailing how the proposal aligns with the community survey data and what District and community benefits will be provided.

• Financial Plan: A comprehensive budget including projected costs for renovation, operations, and a clear revenue model to ensure sustainability. This budget should reflect the findings of the facility conditions assessment. Financial plans should also include intent to sublease if applicable.

• Maintenance and Security Plan: An outline of how your organization will maintain the property and ensure its security.

• Required Appendices: Include floor plans, zoning requirements, and any other relevant documentation if modifications to the buildings are being proposed.

Evaluation Process and Criteria. Proposals will be evaluated and selected based on the following criteria and procedure:
