Compensation is structured at up to $6,600 per year based on completion of specified milestones, with invoices due within 30 days of milestone completion and receipts required for approved expenditure reimbursement. The ICCG member is classified as an independent contractor with no employee benefits, responsible for all applicable taxes, insurance, and withholdings. The agreement includes standard intellectual property provisions protecting VentureWell's ownership of work product while allowing the ICCG member to retain pre-existing intellectual property and release any rights to performers' scientific intellectual property. Confidentiality obligations apply to all information obtained during the engagement, and a Conflict of Interest Disclosure Form must be completed and updated annually. The agreement is governed by Massachusetts law with dispute resolution in Hampshire County courts, and VentureWell retains liability limitations capping damages at the total contract amount.
