About this file

This is an AIA Document A101-2017 Standard Form of Agreement Between Owner and Contractor, a template contract document for construction projects based on stipulated sum (fixed price) payment arrangements. The document serves as the master agreement framework that incorporates by reference the AIA Document A201-2017 General Conditions of the Contract for Construction and establishes the foundational contractual relationship between an owner and contractor. The agreement is designed for projects where specific work scopes, drawings, specifications, and contract sums are defined in associated contract documents. The template includes provisions for designating the date of commencement (either the agreement date, a date in a notice to proceed, or an established date), with contract time measured from commencement and substantial completion requirements to be specified by the contracting parties. The document permits partial substantial completion of work portions with separate completion dates if needed and establishes liquidated damages provisions for failure to achieve substantial completion timelines.

The contract sum is presented as a fixed stipulated amount subject to additions and deductions, with provisions for alternates, allowances, unit prices, and potential bonus or incentive adjustments. Progress payments are made monthly based on applications for payment certified by an architect, with retainage withholding permitted until substantial completion. The agreement requires submission of a schedule of values allocating the entire contract sum across work portions and specifies that payment timing depends on application receipt dates relative to architect certification. Final payment is due within 30 days of the architect's final certificate for payment upon completion of all work except contractor corrections. The template includes provisions for dispute resolution through mediation and binding dispute resolution via arbitration or litigation, contract termination for owner convenience with associated termination fees, work suspension rights, and incorporation of comprehensive insurance and bonding requirements through Exhibit A. The agreement addresses electronic notice delivery, representative designation and change notification, and requires identification of key contract documents including drawings, specifications, and addenda in Article 9.
