SPRMM1-21-R-HB01

1. This combined synopsis/solicitation is prepared in accordance with the format in Subpart 12.6 in conjunction with Subpart 13.5 of the Federal Acquisition Regulations (FAR) as supplemented with additional information included in this notice. This announcement constitutes the only solicitation;

quotations are being requested and a written solicitation will not be issued. This is a Request for Proposal (RFP) and the solicitation number is SPRMM1-21-R-HB01. All references to “offers” are changed to “proposals”.

2. This notice incorporates provisions and clauses in effect through Federal Acquisition Circular (FAC) 2021-03 effective January 14, 2021 and the Defense Federal Acquisition Regulation Supplement (DFARS) DPN 20201001 edition and the Defense Logistics Acquisition Directive (DLAD) Current to Revision 5 and PROCLTR 2020-13. 3. Description of Requirement: This Request for Proposal (RFP) is being issued to establish a single firm-fixed price (FFP), Indefinite Delivery, Indefinite Quantity (IDIQ), Long-Term Contract (LTC) for a bench top, two-channel, 100 MHz real time digitizing oscilloscope in compliance with SCAT 4308 Purchase Description and Attachment 0001: Technical Data Package (TDP). Exhibit A: SCAT 4308 Purchase Description and Attachment 0001: Technical Data Package (TDP) apply to this acquisition.

4. Annual Demand Quantities (ADQ): The estimated 5-year award value is $1,225,500.00. The ADQ represents the Government’s estimate of the total quantities to be ordered during the performance period indicated and should be considered for planning purposes only. Refer to Federal Acquisition Regulation (FAR) 16.504, Indefinite Quantity Contracts, for additional information. The ADQ set forth in the solicitation are GOOD FAITH ESTIMATES ONLY based on the best data available to the Contracting Officer at the time of issuance of this solicitation and do not constitute guarantees that this quantity will be ordered. Refer to FAR 52.216-22. Offerors must consider any business risks associated with the estimates and include them within the breadth of their proposals.

5. Delivery Orders: Each delivery order will be placed as a stand-alone delivery order and subject to the terms and conditions of the resultant award. This solicitation and resulting award will not be obligating any funds. Funding will be provided on each delivery order placed under the IDIQ.

6. Production Lot Testing (PLT): All references to PLT in the TDP shall hereby be referred to as Product Sample Testing (PST).

7. Inspection/Acceptance: IAW E06 Inspection and Acceptance at Source (JUN 2018), Inspection and

Acceptance shall be conducted at Origin.

8. FOB: IAW FAR 52.247-29, delivery shall be made FOB Origin and pricing should be reflected as such. The shipping address for marking purposes will be identified in each individual delivery order.

9. Packaging and Marking Requirements: All products shall be packaged and marked In Accordance With (IAW) the packaging code listed on page 3 of this solicitation as supplemented by Attachment 001:

Technical Data Package (TDP). Commercial packaging is not authorized.

10. Deliveries: Accelerated and partial deliveries at no additional cost to the Government are accepted and encouraged.

11. Traceability: All suppliers, with the exception of the Original Equipment Manufacturer (OEM), shall provide complete traceability back to the OEM IAW DLAD Procurement Note C03, Contractor Retention of Supply Chain Traceability Documentation (JUN 2020), found on page 6 of this solicitation. Offers submitted without the required traceability documentation may be considered non-responsive and may be ineligible for award.

12. Warranty: Refer to FAR 52.246-19 Warranty of Systems and Equipment under Performance Specifications or Design Criteria.

13. Covered Defense Information (CDI): Note regarding DFARS 252.204-7008 and DFARS 252.204-7012: The Government not including or identifying CDI for this item does not constitute a lack of CDI for this solicitation/award.

14. Guaranteed Minimum: The guaranteed minimum for the resultant award is $24,500.00 or however many units will amount to this dollar amount.

15. Maximum Award: The maximum dollar value is $1,837,500.00.

17. Set Aside: This acquisition is an unrestricted procurement.

18. Ordering Period/Period of Performance: The period of performance for the resultant award will consist of a three-year base period with two one-year option periods. The term “year” as used in this solicitation mean a period of 365 days beginning on the award start date and every 365 days thereafter, except for a leap year, in which the year shall be 366 days.

19. System for Award Management (SAM): IAW FAR 4.1102, Offerors shall be registered in SAM at the time an offer or quotation is submitted, during performance, and through final payment of any award resulting from this solicitation. Offerors may obtain information on registration and annual confirmation requirements via the internet at https://www.sam.gov/SAM/.

20. Annual Representations and Certifications: IAW FAR 4.1201, Offerors are required to complete electronic annual representations and certification in SAM as part of the required registration. Registration in this database shall remain active and can be accessed at https://www.sam.gov/SAM/.

21. Financing: IAW FAR 32.003, contract financing will not be provided.

22. Invoicing and Payment: Invoicing and Payment will be made via Wide Area Work Flow (WAWF). The successful Offeror must be registered in WAWF for the purpose of processing vendor payment requests.

23. Discontinued Items: If the contractor is a dealer and the manufacturer intends to discontinue manufacturing an item, the contractor agrees to provide the Government with immediate, written notification. The Government has the option to make a last time order, or series of orders, within sixty

(60) days after receiving written notice of the discontinued item, after which the contract will be cancelled for convenience without cost to either party. The contractor shall honor any last time order, unless it is returned to the ordering office within ten (10) days of issuance with written notice stating the full quantity is not available for shipment. The parties will negotiate the terms of such orders, including but not limited to changes to the delivery schedule and maximum quantity available for shipment.

DLAD Proc Note C03 Contractor Retention of Supply Chain Traceability Documentation (JUN 2020)

(1) By submitting a quotation or offer, the contractor agrees that, when the contractor is not the manufacturer of the item, it is confirming that it currently has or will obtain before delivery and shall retain documented evidence (supply chain traceability documentation) that the item is from the approved manufacturer and conforms to the technical requirements. The retention period is five years after final payment under this contract.

(2) At a minimum, the supply chain traceability documentation for the item shall include: basic item description, part number and/or national stock number, manufacturing source, manufacturing source’s Commercial and Government Entity (CAGE) code, and clear identification of the name and location of all supply chain intermediaries between the manufacturer to the contractor to item(s) acceptance by the Government. The documentation should also include, where available, the manufacturer's batch identification for the item(s), such as date codes, lot codes, or serial numbers.

(3) Examples of acceptable supply chain traceability documentation can be found at:

(4) The contractor shall immediately make available documentation upon request of the contracting officer. The contracting officer determines the acceptability and sufficiency of documentation. If the contractor fails to retain or provide the documentation or the contracting officer finds the documentation to be unacceptable, corrective action may be taken including, but not limited to, cancellation of undelivered orders or rejection of delivered supplies.

Because this contract does not have a specified delivery date, the basic contract is not rated; however, orders placed against it that include a delivery date are rated orders under FAR 52.211-15, Defense Priority and Allocation Requirements (APR 2008), as of the date of receipt by the supplier.

FAR 52.212-1 Instructions to Offerors – Commercial Items (JUN 2020). Addenda to FAR 52.212-1 the following paragraphs are replaced in their entirety:

(c) Period of acceptance of offers. The Offeror agrees to hold prices in its offer firm for 90 calendar days from the date specified for receipt of offers.

(d) Product samples. When required by the solicitation, product samples shall be submitted within 15 days of being notified by the Contracting Officer. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender’s request and expense, unless they are destroyed during preaward testing.

(f)(2) Quotations received after the solicitation due date/time may be considered until the evaluation process has begun. Once the evaluation process has begun, late quotations will only be considered if the contracting officer determines that it is in the best interest of the Government and that considering the late quotation would not unduly delay the award.

(g) Contract award. The Government intends to evaluate quotations and issue an award based on simplified acquisition procedures in FAR 13.106. The Contracting Officer reserves the right to utilize reverse auctioning to negotiate price under DLAD Procurement Note L09 Reverse Auction (OCT 2016). If the Contracting Officer does not conduct a reverse auction, award may be made on initial quotations or following negotiations with one or more offerors of the Government’s choice. The Contracting Officer will not use formal source selection procedures described in FAR Part 15.

(h) Multiple awards. The Government does not intend to issue multiple awards for different line items since this is a simplified acquisition.

FAR 52.252-5 Authorized Deviations in Provisions (APR 1984)

(a) The use in this solicitation of any Federal Acquisition Regulation (48 CFR Chapter 1) provision with an authorized deviation is indicated by the addition of"(DEVIATION)" after the date of the provision.

(b) The use in this solicitation of any DFARS (48 CFR Chapter 2) provision with an authorized deviation is indicated by the addition of "(DEVIATION)" after the name of the regulation.

OFFER SUBMISSION INSTRUCTIONS: Quotes must include the following items. Submission of a quote that does not contain all items requested below may result in elimination from consideration for award.

a. Quotes may be submitted in contractor format and shall include:

1. Company name, address, telephone number, and e-mail address

2. Solicitation number

3. Commercial and Government Entity (CAGE) code

4. Completed Schedule of Supplies with unit prices

5. If you are not the OEM of the material being offered, you must complete the traceability documentation and include it with your offer.

6. Signed acknowledgements of amendments (applicable only if any amendments are issued against this solicitation)

b. Contractors are required to include a copy of the FAR provision 52.212-3 Offeror Representations and

Certifications – Commercial Items and FAR provision 52.204-24 Representation Regarding Certain Telecommunications and Video Surveillance Services or Equipment with its offer or may indicate completion of the representations and certifications on the internet at www.sam.gov/SAM/. Failure to include the certifications along with the quote or to complete the certifications on the internet may result in elimination from consideration for award.

FAR 13.106-2 – Evaluation of Quotes: The Government intends to evaluate quotes in response to the solicitation and will award one (1) FFP contract to the Lowest Price Technically Acceptable (LPTA) Offeror whose quote is technically acceptable and represents the lowest evaluated price. Therefore, only offers that meet the requirements of Exhibit A: SCAT 4308 Purchase Description and Attachment 0001: Technical Data Package (TDP) will be considered technically acceptable. Product Sample Testing (PST) will confirm that offers submitted are technically acceptable. Technical acceptability will be evaluated on a go/no go basis and will not be rated. Any Offeror who has been determined technically acceptable (go) on their technical information will then have their quote evaluated for price. The total evaluated price will be calculated by first calculating the average proposed unit price for each subCLIN, and multiplying it by Average ADQ of 70 for each subCLIN. Those amounts will be totaled for each year. Then the totals for Years 1 through 5 will be added together to arrive at a total evaluated price. If FAR Provision 52.212-2, Evaluation-Commercial Items, is included, Offerors must submit all information requested therein in order for the Government to determine technical acceptability.

To meet the minimum requirements of the solicitation, the Offerors shall clearly show within their submitted quotes that they will be able to meet the Government's product requirements, specifications, quality assurance requirements, delivery requirements, and all other requirements identified in the solicitation and Exhibit A: SCAT 4351 Statement of Work and Attachment 0001: Technical Data Package (TDP).

Offerors should thoroughly read and understand the terms and conditions contained in the solicitation. Offerors should ensure that the information contained in their quotes are factual, accurate, and complete. Prior to the closing date and time, Offerors shall submit a quotation and any other supporting documentation. Failure to provide any information requested in the solicitation, or failure to submit on time, may render an Offeror’s proposal technically unacceptable and preclude it from any further consideration for contract award. If an Offeror takes exceptions to any of the solicitation terms, the Offeror shall include a list setting out exceptions.

Technical-Product Sample Testing:

a. The purpose of the Product Samples is to provide a demonstration of the Offeror’s ability to design and build an audio frequency synthesized signal generator in compliance with the solicitation. The product samples should be as representative to the designs that will be put into production as possible. Any significant deviations from the actual production designs shall be described in the quotation.

b. The Contractor shall deliver two (2) units of Lot/CLIN 0001 within 15 days of being notified by the Contracting Officer to the Government at Naval Research Lab CD 5524, Attn: Joe Molnar, 4555 Overlook Ave. SW, Bldg. 12 Rm. 13, Washington, DC 20375-5000. Product labels and manuals conforming to the solicitation requirements shall be emailed to the Contract Specialist listed on page three of this solicitation within 15 days of being requested by the Contracting Office. The shipping documentation for the product samples shall be marked with the solicitation number, the Offeror’s identification, and Lot/Item identifications. The characteristics that the product sample must meet and the testing requirements are found in Exhibit A: SCAT 4308 Purchase Description. The government will compare the information presented in the written proposal to the performance of the product samples to verify the accuracy of the information, the claimed capabilities, and the feasibility of the proposed improvements.

The Government will provide each Offeror with a performance evaluation report of its product samples.

Any Offeror whose performance evaluation report indicates the samples do not meet the performance indicators listed in SCAT 4308 Purchase Description must provide the Government with a detailed plan of how it plans to achieve the performance specifications prior to product sample testing. If the Contractor fails to deliver any product sample on time, or the Contracting Officer disapproves any product sample, the Contractor shall be deemed technically unacceptable.

c. Within 45 calendar days after the Government receives the product samples, the Contracting Officer shall notify the Contractor, in writing, of the approval or disapproval of the product sample. A notice of disapproval shall cite the reasons for disapproval. If the Government fails to act within 45 calendar days after receiving the product sample, the Contracting Officer will notify the Contractor of the delay and provide a justification for the delay as well an estimated timeframe for the completion of testing.

d. If the product sample is disapproved, the Contractor, upon Government request, shall submit an additional lot of product samples for testing. After each request, the Contractor shall make any necessary changes, modifications, or repairs to the product sample or select another product sample for testing. All costs related to these tests are to be borne by the Contractor, including any and all costs for additional tests following a disapproval. The Contractor shall furnish any additional product sample to the Government under the terms and conditions and within the time specified by the Government. The

Government reserves the right to consider the Offeror technically unacceptable and ineligible for award if the product sample is disapproved.

e. The product samples will not be available for return to the Offeror until 10 days after award.

f. The Offeror may request a waiver of the product sample testing where supplies identical or similar to those called for in the schedule have been previously furnished by the Offeror/Contractor and have been accepted by the Government. The request for waiver of the product sample testing should identify the contract that the item was provided on as well as any detailed information of the item (recent FAT tests, issues with the items themselves, etc.). The Government will then choose to accept or deny the waiver of the product sample testing. If the waiver is denied, the Offeror shall provide a product sample in accordance with the solicitation.

Unit Prices

Proposed unit prices for the Digitizing Oscilloscope shall be for a period of five years from the award date. All orders placed for spares during this time period shall be issued as priced delivery orders. Therefore, for each subCLIN proposed, the Offeror should provide firm-fixed prices for every range and every year. All parts necessary to supply the spares shall be furnished by the contractor and shall be considered to have been included in the proposed unit price of the item. Compliance with all the provisions contained within the solicitation shall also be included in the proposed unit prices.

Offerors Other Than The OEM For any item that an Offeror submits a proposal for that it does not manufacture, the Offeror shall demonstrate in its proposal its ability to provide the proposed products for the entire contract period and submit supply chain traceability documentation that clearly indicates all supply chain intermediaries between the manufacturer to the contractor, to item acceptance by the Government.
