Summary: Justification for Other Than Full and Open Competition

This document is a justification for awarding a follow-on contract using other than full and open competition under the authority of 41 U.S.C. 1901. The U.S. International Development Finance Corporation (DFC) seeks to continue its Private Equity Reporting System (PERS) contract on a commercial, firm-fixed-price basis for a one-year base period from July 15, 2026, through July 14, 2027, with four option years. The total estimated contract value is redacted in the document.

DFC requires continued access to and support for its existing production PERS and associated support services to collect, store, analyze, manage, and report data across the lifecycle of private investment fund holdings for OIF portfolio operations. The system must support fund-level and portfolio-company-level data, transactions, holdings, cash flows, fair market value reporting, reconciliation, and ad hoc reporting, while performing core private capital calculations including IRR, contributions and distributions, unfunded commitments, recallable distributions, MOC, TVPI, DPI, NAV, and VAR. Required support services encompass configuration, interface development, integration with DFC financial and analytics environments, testing, training, documentation, organizational change management, data conversion and migration, and ongoing operational support. Market research identified multiple firms offering private markets data and reporting capabilities; however, the government determined that only the current contractor could meet the requirement without requiring replacement implementation, major reconfiguration, report redevelopment, workflow redesign, retraining, loss of historical continuity, or unacceptable disruption to mission support. The government will determine fair and reasonable pricing through price analysis, comparison with prior pricing, and review of the commercial nature of services.

EFFORTS MADE TO SOLICIT AS MANY POTENTIAL SOURCES AS PRACTICABLE

Market research included prior experience with the current platform, stakeholder input regarding workflow and reporting dependencies, and review of product literature and other publicly available commercial materials for firms active in the private capital data and reporting market. The research confirmed that multiple firms offer private markets data, analytics, benchmarking, and reporting capabilities. However, the relevant inquiry was whether another source could meet the requirement without requiring a replacement implementation, major reconfiguration, report redevelopment, workflow redesign, retraining, loss of historical continuity, or unacceptable disruption to mission support. Based on that analysis, the Government did not identify any alternative source capable of doing

so. A notice of this proposed action will be publicized in accordance with FAR Subpart 5.2.

DETERMINATION THAT THE ANTICIPATED COST TO GOVERNMENT WILL BE FAIR

AND REASONABLE

The Contracting Officer will determine the anticipated cost to be fair and reasonable through price analysis of the contractor’s proposal, comparison with prior pricing, review of the commercial nature and scope of the services, and any other authorized pricing techniques deemed appropriate.

DESCRIPTION OF THE MARKET RESEARCH CONDUCTED

Market research determined that the requirement is commercial in nature because the Government is acquiring an established private equity reporting platform and associated implementation, support, and administrative services offered in the commercial marketplace. The research further determined that, although other firms provide private markets information and reporting capabilities, those alternatives would constitute replacement implementations rather than continuation of the existing production environment. As a result, the alternatives reviewed were not found to be reasonably interchangeable for this follow-on requirement.

ANY OTHER SUPPORTING FACTS

The Government has already incurred the implementation burden for the current environment.

Transition to another provider would require substantial reimplementation effort, including interface rebuilding, data remapping, report redevelopment, retraining, testing, validation, and parallel operations, resulting in duplicate cost not expected to be recovered through competition. Transition would also create unacceptable delay and operational risk by disrupting portfolio monitoring, reporting continuity, historical comparability, accuracy, compliance, and decision support.

SOURCES THAT EXPRESSED INTEREST IN THE ACQUISITION

Market research identified multiple firms operating in the broader private capital data and reporting marketplace. Sources reviewed included However, only was identified as capable of satisfying the full requirement within the existing production environment and required timeframe without unacceptable disruption.

ACTIONS TO OVERCOME BARRIERS TO COMPETITION

The agency will continue to conduct market research for future requirements to determine whether subsequent acquisitions can be structured to permit greater competition. Future acquisition planning may consider whether portions of the requirement can be modularized, whether long-range transition planning can reduce dependence on current custom configurations, and whether evolving commercial offerings can meet the Government’s needs with less transition burden.
