About this file
This is a Justification for Restricting Competition Not Exceeding the Simplified Acquisition Threshold, submitted by the U.S. Department of State's Overseas Post in Bangkok, Thailand.
The U.S. Mission to Thailand seeks to award a sole-source contract to PriceSanond Limited, a locally-headquartered Thai law firm, for legal advisory services pertaining to host government labor law and human resources matters. The contract period runs from September 1, 2026, through August 31, 2027, with an estimated value of $27,000. Services to be provided include updates on local labor law changes affecting the Mission, interpretation of Thai labor law, handling of disciplinary and termination cases, review of retirement and compensation entitlements, review of HR policies and procedures, comprehensive review of the LE Staff Handbook, and Thai translation services. PriceSanond, established in Bangkok in 1969, is identified as one of Thailand's oldest and most respected independent law firms with a dedicated labor and employment practice and serves as the exclusive Thailand member of the Employment Law Alliance (ELA).
The justification for sole-source award cites PriceSanond's specialized expertise in Thai employment compliance, Personal Data Protection Act (PDPA) workplace rules, and executive labor relations. Market research identified two qualified firms—PriceSanond and Baker McKenzie—both capable of providing required services. However, PriceSanond's proposed partner rate of approximately $305 per hour substantially undercuts Baker McKenzie's rate of approximately $878 per hour. Additionally, the Department prefers locally-headquartered, independent Thai firms to mitigate conflict-of-interest risks associated with international firms. The Contracting Officer has determined the anticipated cost to be fair and reasonable. Both the Regional Human Resources Officer and the Contracting Officer have certified the accuracy and completeness of the justification.

It has a dedicated labor and employment practice with deep expertise advising multinational corporations and international organizations. PriceSanond offers highly specialized, partner-led expertise in local employment compliance, Personal Data

SECTION 5: DEMONSTRATION THAT THE PROPOSED CONTRACTOR’S

USE OF THE AUTHORITY CITED
Mission Thailand requires a change in local legal counsel to enhance our local legal support framework. Post conducted market research to identify qualified legal service providers capable of providing Thai labor and employment legal services. Two firms, PriceSanond and Baker
McKenzie, were contacted and evaluated based on their relevant labor and employment expertise, experience advising multinational organizations and foreign missions, proposed scope of services, and cost.
Both firms demonstrated the technical capability to provide the required services. PriceSanond is a local Thai law firm with a dedicated Labor and Employment practice and is the exclusive
Thailand member firm of the Employment Law Alliance (ELA). Baker McKenzie also demonstrated extensive Thai employment law expertise and experience advising foreign missions in Bangkok.
PriceSanond's proposed partner rate of approximately $305 per hour is substantially lower than
Baker McKenzie's proposed lead partner rate of approximately $878 per hour. In addition, PriceSanond Limited offers highly specialized, partnered expertise in local employment compliance, Personal Data Protection Act (PDPA) workplace rules, and executive labor relations. Their status as the exclusive Thailand member of the Employment Law Alliance
(ELA) provides a superior resource framework for our complex interagency workforce needs.
Transitioning to PriceSanond allows the Mission to maintain partner-level advisory services at highly competitive rates, while strictly adhering to the Department's preference to select a locally headquartered, independent Thai firm to mitigate potential conflict-of-interest risks associated with international firms.
