1. PRICE AND PAYMENT
1.1 VALUE ADDED TAX
VALUE ADDED TAX. Value Added Tax (VAT) is not included in the CLIN rates. Instead, it will be priced as a separate Line Item in the contract and on Invoices. Local law dictates the portion of the contract price that is subject to VAT; this percentage is multiplied only against that portion. It is reflected for each performance period. The portions of the solicitation subject to
VAT are:
1.2 The Contractor shall provide an estimate of 1000 hours per year to be given at a firm fixed price per session of USD______________________________.
Sessions shall be one hour in length and shall be scheduled between Monday and Friday 7:30 am to 6:00 pm. No more than four (4) students will be part of any class, unless mutually agreed upon by the Contractor and the Government. The minimum guarantee would be five (5) classes per week.

1.3 PAYMENT
The Contractor shall not submit an invoice for payment until all requirements identified in this contract have been completed and delivery to the COR is complete. The COR shall calculate the number of words which the contractor shall include in its invoice.
The Contractor shall submit an invoice for payment in the proper amount in USD to the following address:

Definitions:
"COR" means Contracting Officer's Representative; see FAR 52.212-4 Contract Terms and
Conditions – Commercial Items, in Section 2.
"Government" means the United States Government unless otherwise stated.
2. PERFORMANCE WORK STATEMENT
Summary: The Contractor shall provide French, Modern Standard Arabic, and Lebanese Arabic language instruction to adult American students, specific to the level and goals of the student.
Instructor shall develop speaking, listening, and reading skills to allow for basic comprehension of reading materials and prepare students for face-to-face meetings or daily tasks. All instruction shall also include job relevant language terminology and usage of students’ designated field of interest.
The contractor shall perform these duties in accordance with the following statement of work and terms and conditions of this contract.
a. Classes: The Contractor shall instruct adult Americans in reading, speaking and listening in
Lebanese Arabic, Modern Standard Arabic, or French. Classes will range from beginner to advanced and be conducted in both groups and single student sessions as determined by the
Post Language Officer (PLO) and Human Resources Officer. A class session is one hour, and each student typically takes two hours per week. The number of class hours and percentage of group and single student classes will differ depending on the number of students and whether students are in Language Designated Positions. Historically about 30-
40 students take class in any given semester.
b. Curriculum: Instructors will teach students in 6- month semester time periods (Fall/Winter and Spring/Summer). Instructors will provide a written lesson plan to the Post Language
Officer/Human Resources Officer prior to the start of classes and will also provide a copy to students at the beginning of each semester. Instruction will be tailored to the level and needs of the students, and shall include exercises in speaking, listening, and writing.
Instructors must provide original teaching materials, as well as lesson materials from authentic texts such as local newspapers etc. The curriculum may be subject to review by the Post Language Officer or the Embassy Human Resources Officer. Instruction will include recommending appropriate classes for students’ levels, monitoring and reporting progress.
c. Testing: Not all students will be required to take a formalized test, although instructors are required to monitor progress for all students, which may include a quiz or progress test.
Students who will take standardized tests in the foreign language will be tested by the
Department of State, Foreign Service Institute or the Department of Defense Language
Institute. Instructors may be asked to prepare students for foreign language exams but will not be asked to administer the exams.
d. Goals: The Contractor shall provide foreign language instruction services at the firm fixed prices shown in this contract. The objectives of training under this contract are to prepare all American students as efficiently and effectively as possible to accomplish the personal and professional goals of students, which may include: 1) Reception, greetings; 2) Social conversation; 3) Reading comprehension; 4) Daily personal tasks; and 5) Professional contact and conversation in consular, administrative, political and economic topics.
e. Field Trips: The Contractor, in coordination with the Post Language Officer of Human
Resources Officer, shall design and recommend extra-curricular activities, including trips outside the U.S. Embassy, for students based on their level(s) and interest(s). The contractor will be compensated for extra-curricular activities at the same firm fixed price as classroom instruction and will not be compensated for transportation or other related expenses.
f. Reporting: The Contractor shall be responsible for reporting student attendance by requiring students to sign attendance sheets. The Contractor is compensated for reported teaching hours only, and not for teaching prep or administrative time.
3. PERIOD OF PERFORMANCE
Class shall be given between Monday and Friday between 8a.m. and 6:00 p.m. on the premises of the U.S. Embassy in Beirut. Field trips or extra-curricular activities may be conducted outside of normal class hours as mutually agreed upon by the Contractor and the Post Language
Officer/Human Resources Officer. Classes are given all year except on official U.S. Embassy holidays. The schedule will be mutually agreed upon by the contractor and the Post Language
Officer, but the Contractor must be flexible to accommodate student demands and the constantly changing schedules of Embassy personnel.
Classes cancelled with 24-hour notice will not be considered conducted classes for the purpose of compensation. For classes in which students do not attend without prior notification, or with less than
24-hour notice, the Contractor will be compensated at the firm fixed price.
At no time is the Contractor guaranteed any number of hours during the course of any week.
The total number of hours awarded off of this solicitation may be higher or lower than the estimated hours shown in the pricing section.
4. PROPERTY
4.1 CONTRACTOR FURNISHED PROPERTY

5. INSTRUCTORS
5. 1 The Contractor shall provide qualified instructor(s) who have at least two (2) years of full time or four (4) years of part-time foreign language instruction in the target language, preferably to non-native speakers. Instructors should be well versed in foreign language teaching methods and target language grammar and may have expertise or knowledge of a topic of interest such as politics, economics or education. Instructors are expected to use participatory, student-focused teaching methods common in American classrooms.
5.2 The Contractor shall supervise the performance of those who work under the contract, perform quality assurance, and consult with the Post Language Officer or Embassy Human
Resources Officer before adding or deleting instructors from the list. Contractors should supply the CV/resumes of at least two instructors in response to this solicitation.
5.3 The Contractor's instructor(s) shall be responsible for counseling each student in the student’s performance, and for preparing and discussing with the student any corrective actions that may assist the student in the improvement of their performance. The contractor shall share the progress of students with the Post Language Officer and the Human Resources Office.

6.2 CONTRACTING OFFICER’S REPRESENTATIVE (COR)
The Contracting Officer’s Representative (see clause 652.242-70 in Section 2
Addendum) will provide specific guidance and answer questions relative to the requirement described in paragraph 6.1, above. The COR for this contract is:

7.1. QUALITY ASSURANCE AND SURVEILLANCE PLAN (QASP)
This plan provides an effective method to promote satisfactory contractor performance. The
QASP provides a method for the Contracting Officer's Representative (COR) to monitor
Contractor performance, advise the Contractor of unsatisfactory performance, and notify the
Contracting Officer of continued unsatisfactory performance. The Contractor, not the
Government, is responsible for management and quality control to meet the terms of the contract.
The role of the Government is to monitor quality to ensure that contract standards are achieved.
Performance Objective Scope of Work Para Performance Threshold
Services.
Performs all language services set forth in the scope of work.
1. thru 19.
All required services are performed and no more than one
(1) customer complaint is received per month.
7.1.1 SURVEILLANCE
The COR will receive and document all complaints from Government personnel regarding the services provided. If appropriate, the COR will send the complaints to the
Contractor for corrective action.
7.1.2 STANDARD
The performance standard is that the Government receives no more than one (1) customer complaint per month. The COR shall notify the Contracting Officer of the complaints so that the
Contracting Officer may take appropriate action to enforce the inspection clause (FAR 52.212-4, Contract Terms and Conditions-Commercial Items), if any of the services exceed the standard.
7.1.3 PROCEDURES.
(a) If any Government personnel observe unacceptable services, either incomplete work or required services not being performed they should immediately contact the COR.
(b) The COR will complete appropriate documentation to record the complaint.
(c) If the COR determines the complaint is invalid, the COR will advise the complainant.
The COR will retain the annotated copy of the written complaint for his/her files.
(d) If the COR determines the complaint is valid, the COR will inform the Contractor and give the Contractor additional time to correct the defect, if additional time is available. The COR shall determine how much time is reasonable.
(e) The COR shall, as a minimum, orally notify the Contractor of any valid complaints.
(f) If the Contractor disagrees with the complaint after investigation of the site and challenges the validity of the complaint, the Contractor will notify the COR. The COR will review the matter to determine the validity of the complaint.
(g) The COR will consider complaints as resolved unless notified otherwise by the complainant.
(h) Repeat customer complaints are not permitted for any services. If a repeat customer complaint is received for the same deficiency during the service period, the COR will contact the Contracting Officer for appropriate action under the Inspection clause.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor
Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the
Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause.
