1. SCOPE OF CONTRACT
The Contractor shall complete all work, including furnishing all labor, material, equipment and services required under this purchase order for the following firm fixed price and within the time specified. This price shall include all labor, materials, all insurances, overhead and profit. The performance period will be one base year plus one option year for a total two years.

2. VALUE ADDED TAX (VAT)
The Government will not reimburse the Contractor for VAT under this contract. The Contractor shall not include a line for VAT on Invoices as the U.S. Embassy has a tax exemption certificate with the host government.

DESCRIPTION/SPECIFICATIONS/WORK STATEMENT
SECTION 1 – THE SCHEDULE
1. INTRODUCTION
The U.S. Embassy Seoul requires Storm Ditch Cleaning Services at the Yongsan Embassy
Housing (YEH) compound of the U.S. Embassy Seoul, Korea.
The Contractor shall remove all sediments and debris within the YEH compound storm ditch system. The Contractor will report to the COR any part of the ditch structure that is above existing ground level, and locations where there is standing water. The Contractor shall furnish all the necessary materials, labor, investigation, supervision, equipment, transportation, etc.
The Contractor’s employees will be escorted by the Embassy staff throughout the time they are at the work site. The Contracting Officer’s Representative (COR) will oversee the performance of the work in progress.
2. DESCRIPTION OF WORK
2.1. CLEANING AND REPAIR WORK
2.1.1. The Contractor shall open all the ditch covers and remove sediment, debris including dried leaves, dirt, trash, etc., from the ditch and catch basin throughout the entire YEH compound, total
3.5km (2.1miles). The contractor is also responsible for disposing of collected debris and sludge in accordance with local environmental law without additional cost.
2.1.2. The Contractor shall open the storm sewer manholes and clean and remove all sediment, debris, tree root less than three inch, and other foreign material at #4930-1 to #4923 and from 4927 to 4941, 4942, 4949, 4906, 4907, and 4908.
2.1.3. The Contractor shall use sewer maintenance/cleaning truck and mobile/robotic CCTV camera equipment to survey and perform the required work specified in 2.1.4. below. The quality of the cleaning shall be acceptable level that allows COR to see the conditions inside the sewer line.
2.1.4. The Contractor shall survey the storm sewer line with a mobile CCTV camera from manhole to manhole as specified in 2.1.2 and 2.1.3and shall clean and remove all sediment, debris, tree roots and other debris from the storm sewer line. If the CCTV inspection is not available due to small size of sewer line, then report to the COR so that a government representative can inspect the cleanup on site.

2.1.5. The Contractor shall submit the final report to the COR with photolog and video files per segment of sewer lines.
2.1.6. The Contractor shall replace concrete ditch covers, total of 25 pieces, as directed by project supervisor.
2.1.7. The Contractor will ensure that all efforts will be taken to protect the surrounding grounds and ditch from potential rain flooding/wash out during the repair process.
2.1.8. The contractor shall repair any damages at their own expense in the event that the contractor causes any damages at the site.
2.2. ADDITIONAL DITCH COVER
2.2.1. The Contractor shall fabricate and replace cracked or broken concrete ditch covers as needed and the dimensions are to be measured and verified on site by the contractor and should be matched with the existing condition.

Note: New concrete ditch covers must contain #4(Ø5.8) x 6”x6” rebar reinforcement and the sizes shown above are for the cost estimate purpose only.
2.2.2. The Government will not provide storage space for this project; the contractor is responsible for delivering necessary materials and tools to the project site for each work site.
2.2.3. The Contractor shall clean the work site after each job is complete.
3. EXAMINATION OF THE SITE
The Contractor acknowledges that he has satisfied himself as to the nature of materials and methods of the existing construction noted for repair or replacement, and to the obstacles likely to be encountered, insofar as this information is reasonably ascertainable from an inspection of the specified structures and or premises. The Contractor shall carefully study and compare the
Contract Documents with each other and with information furnished by the USG. Before commencing activities, the Contractor shall: (1) take field measurements and verify field conditions; (2) carefully compare this and other information known to the Contractor with the
Contract Documents; and (3) promptly report errors, inconsistencies or omissions discovered to the USG.
3.1 DELIVERIES OR PERFORMANCE
The Contractor shall be required to:
(a) Commence work under this contract on the start date
(b) Prosecute the work diligently, and,
(c) Complete all work and have space ready for use no later than 60 calendar days from the start date.
4. QUALITY CONTROL
Quality Control is the means by which the Contractor ensures that the service, to include that of subcontracts and suppliers, complies with the requirements of the contract. The controls shall be adequate to cover all service operations, including both on-site and off-site fabrication.
5. WORKING HOURS
All non-disruptive work shall be performed during Monday through Friday, 08:30 to 17:00.
No work is allowed in the housing compound on Saturdays, Sundays, and Korean and U.S.
holidays.
Other hours, if requested by the Contractor, may be approved by the Contracting Officer's
Representative (COR). The Contractor shall give 24 hours in advance to COR who will consider any deviation from the hours identified above. Changes in work hours, initiated by the Contractor, will not be a cause for a price increase.
6. PROGRESS SCHEDULE AND REPORTS
The contractor site supervisor must be on site at all times during the service period and must supervise the site on a daily basis, including quality control, schedule and report preparation.
Contractor Daily Quality Control Report shall be developed and submitted to the COR no later than 11:00 A.M. the following workday after construction begins. A report is required for every calendar day of the contract duration. For days when no contract activities take place, the COR may waive the requirement for daily report.
7. SAFETY MANAGEMENT PLAN
Contractor shall submit a safety management plan based on the latest version of U.S. Army Corps of Engineers Safety and Health Requirements Manual, EM 385-5-5, in effect on the date of the solicitation.
7.1 Safety (FAR 52.236-13 Accident Prevention)
The Contractor shall provide and maintain work environments and procedures which will:
(a) Safeguard the public and Government personnel, property, materials, supplies, and equipment exposed to Contractor operations and activities.
(b) Avoid interruptions of Government operations and delays in project completion dates.
(c) Control excess costs in the performance of this contract.
Contractor shall comply with all pertinent provisions of the latest version of U.S. Army Corps of
Engineers Safety and Health Requirements Manual, EM 385-1-1, in effect on the date of the solicitation.
Whenever the Contracting Officer becomes aware of any noncompliance with these requirements or any condition that poses a serious or imminent danger to the health or safety of the public or
Government personnel, the Contracting Officer shall notify the Contractor orally, with written confirmation, and request immediate initiation of corrective action.
This notice, when delivered to the Contractor or the contractor's representative at the work site, shall be deemed sufficient notice of the noncompliance and that corrective action is required. After receiving the notice, the Contractor shall immediately take corrective action.
If the Contractor fails or refuses to promptly take corrective action, the U.S.G. Contracting Officer may issue an order stopping all or part of the work until satisfactory corrective action has been taken. The Contractor shall not be entitled to any equitable adjustment of the contract price or extension of the performance schedule on any stop work order issued under this clause.
8. INSURANCE
The Contractor is required by FAR 52.228-5, "Insurance - Work on a Government Installation" to provide whatever insurance is legally necessary. The Contractor shall at its own expense provide and maintain during the entire performance period the following insurance amounts:

8.2 The foregoing types and amounts of insurance are the minimums required. The Contractor shall obtain any other types of insurance required by local law or that are ordinarily or customarily obtained in the location of the work. The limit of such insurance shall be as provided by law or sufficient to meet normal and customary claims.
8.3 The Contractor agrees that the Government shall not be responsible for personal injuries or for damages to any property of the Contractor, its officers, agents, servants, and employees, or any other person, arising from an incident to the Contractor's performance of this contract. The Contractor shall hold harmless and indemnify the Government from any and all claims arising therefrom, except in the instance of gross negligence on the part of the Government.
8.4 The Contractor shall obtain adequate insurance for damage to, or theft of, materials and equipment in insurance coverage for loose transit to the site or in storage on or off the site.
8.5 The general liability policy required of the Contractor shall name "the United States of America, acting by and through the Department of State", as an additional insured with respect to operations performed under this contract.

(d)Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1)The Comptroller General of the United States, or an authorized representative of the Comptroller
General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2)The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3)As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.229-12 Tax on Certain Foreign Procurements—Notice and Representation (Feb 2021)
(a) Definitions. As used in this clause—
Foreign person means any person other than a United States person.
United States person, as defined in 26 U.S.C. 7701(a)(30), means–
(1) A citizen or resident of the United States;
(2) A domestic partnership;
(3) A domestic corporation;
(4) Any estate (other than a foreign estate, within the meaning of 26 U.S.C. 7701(a)(31)); and
(5) Any trust if-
(i) A court within the United States is able to exercise primary supervision over the administration of the trust; and
(ii) One or more United States persons have the authority to control all substantial decisions of the trust.
(b) This clause applies only to foreign persons. It implements 26 U.S.C. 5000C and its implementing regulations at 26 CFR 1.5000C-1 through 1.5000C-7.
(c)(1) If the Contractor is a foreign person and has only a partial or no exemption to the withholding, the Contractor shall include the Department of the Treasury Internal Revenue Service Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, with each voucher or invoice submitted under this contract throughout the period in which this status is applicable. The excise tax withholding is applied at the payment level, not at the contract level. The Contractor should revise each IRS Form W-14 submission to reflect the exemption (if any) that applies to that particular invoice, such as a different exemption applying. In the absence of a completed IRS Form W-14 accompanying a payment request, the default withholding percentage is 2 percent for the section 5000C withholding for that payment request. Information about IRS Form W-14 and its separate instructions is available via the internet at www.irs.gov/w14.
