SECTION 1 - THE SCHEDULE
CONTINUATION TO SF-1449
RFQ NUMBER 191S7020Q0002 PRICES, BLOCK 23
I. Scope of Services
The Contractor shall provide vehicle fuel and deliver high grade heating fuelto the U.S. Embassy
Jerusalem as described in this solicitation. The contract type will be a fixed price with economic price adjustment indefinite quantity/indefinite delivery under which may be placed firm fixed-price delivery orders. The price listed below shall include all labor, materials, insurance (see
FAR 52.228-4 and 52.228-5), overhead, profit, and transportation necessary to supply at various gas stations all the required vehicle fuel and to supply and deliver Deiesel fuel for generators to the American Embassy Jerusalem. In consideration of satisfactory performance of all scheduled services required under this contract, the Contractor shall be paid a firm fixed-price for each delivery. The Contractor shall be compensated monthly upon receipt of a proper invoice for all deliveries made under delivery orders during the month.

VIII CONTRACT MINIMUM AND MAXIMUM AMOUNTS:
1. Contract Minimum: During the contract period, the Government shall place orders for a minimum of NIS 10,000. This is the contract minimum for this period of performance and for each option year.
2. Contract Maximum: During the contract period, the amount of all orders shall not exceed NIS 1,000,000. This is the contract maximum for this period of performance and for each option year.
VIV VALUE ADDED TAX
VALUE ADDED TAX. Value Added Tax (VAT) is not applicable to this contract and shall not be included in the CLIN rates or Invoices because the U.S. Embassy has a tax exemption certificate from the host government.

SCHEDULE OF SUPPLIES/SERVICES, BLOCK 20
DESCRIPTION/SPECIFICATIONS/WORK STATEMENT
I. Scope of Work
For each year of the contract, the U.S. Government guarantees a minimum order 10,000 liters of
95 - Octane fuel, 1,000 liters of 98 - Octane fuel and 10,000 liters of Diesel fuel The maximum amount of fuel ordered under each year of the contract shall not exceed 550,000 liters of fuel.
The Contracting Officer may issue oral orders that will be confirmed in writing.
The fuel provided at the various contractor stations will be 95 - Octane, 98 – Octane and Diesel fuel. The Generator fuel delivered shall be Diesel fuel.. The contractor will supply this fuel directly from depot fuel stations throughout Israel to designated Embassy vehicles equipped with contractor-supplied electronic equipment that allows for direct charge of fuel to the Embassy.
For this fuel and for the supply and delivery of the generator fuel, the Contractor shall be paid the fixed price per unit as listed above. This price is not to exceed any official rate, as set by laws enacted by the government of Israel
Delivery:
The Contractor shall deliver Generator fuel to the U.S. Embassy Branch Office located at 71
Hayarkon St., Tel Aviv. Delivery must be made between the hours of 09:00 – 16:00, Monday through Friday. The Contractor shall promptly deliver the diesel fuel by tanker truck on the date and time that are specified on delivery orders issued under the contract. Any contractor personnel involved with the delivery of the oil shall comply with Embassy regulations for receiving supplies. The Contracting Officer's Representative (COR) will be responsible for instructing contractor personnel at the time deliveries are made. The driver of the tanker truck must submit invoice delivery receipt to the COR for approval at the time any delivery is made.
Price Adjustment:
(a) The unit price per litre for 95 - Octane, 98 - Octane and Diesel fuel may be adjusted based on increases or decreases in the official price of vehicle and Generator fuel, mandated by the government of Israel.
(b) To request an adjustment in price, the Contractor must provide written notification of the price change to the Contracting Officer at least one week before the new price is to be effective.
This notification must be accompanied by a copy of the official announcement of the price change, showing the new price and its effective date. The officer or general partner of the
Contractor having overall responsibility for the Contractor's affairs shall certify the submission by written signature.
(c) The U.S. Government will make no adjustment to the contract price that relates to any wages, overhead, fixed costs, general and administrative expenses, materials, or profit. Only the amount which is a direct result of an increase or decrease in the price of oil to be delivered under this contract shall be considered by the U.S. Government as the basis for contract price adjustments.
(d) The Contractor may not request an adjustment under this clause after final payment has been made under this contract.
(e) This clause shall only apply to laws enacted by the government of Israel which meet the criteria set forth above. The U.S. Government will make no adjustments in contract price due to currency devaluations or fluctuations in exchange rates.
(f) This price adjustment will affect the actual fuel rate. The markup rate per liter shall be a firm fixed price and will not be subject to any adjustment.
(g) Electronic fuel charging system
The contractor shall be responsible for installing to the Government an electronic fuel charge system in approximately 302 US Government vehicles that will allow direct charge of the fuel supplied to the Embassy at the contractor’s various stations. The Contractor will coordinate this installation with the COR.
QUALITY ASSURANCE AND SURVEILLANCE PLAN (QASP)
This plan provides an effective method to promote satisfactory contractor performance. The
QASP provides a method for the Contracting Officer's Representative (COR) to monitor
Contractor performance, advise the Contractor of unsatisfactory performance, and notify the
Contracting Officer of continued unsatisfactory performance. The Contractor, not the
Government, is responsible for management and quality control to meet the terms of the contract.
The role of the Government is to monitor quality to ensure that contract standards are achieved.
Performance Objective Scope of Work Para Performance Threshold
Services.
Performs all fuel supply services set forth in the scope of work.
All required services are performed and no more than one three (3) customer complaint is received per month.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the
Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor
Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the
Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the
Schedule. Such orders may be issued from date of award through base period or option periods if exercised.
(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) If mailed, a delivery order or task order is considered "issued" when the
Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.
52.216-19 ORDER LIMITATIONS (OCT 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $10, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor--
(1) Any order for a single item in excess of $100,000;
(2) Any order for a combination of items in excess of $100,000; or
(3) A series of orders from the same ordering office within five (5) days that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.
(c) If this is a requirements contract (i.e., includes the Requirement clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.
(d) Notwithstanding paragraphs (b) and (c) above, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within [Note to Contracting Officer: Insert number of days] days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.
52.216-22 INDEFINITE QUANTITY (OCT 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”
(c) Except for any limitations on quantities in the Order Limitations clause or in the
Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order.
The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after one year beyond the contract’s effective period.
