This is a Time-and-Materials (T&M) Contract as defined in Federal Acquisition Regulation (FAR) 16.601.
The contract also includes firm-fixed price components under Other Direct Costs. The annual number of hours on the pricing schedule will be directly based on the number of hours per post on the Attachment 03 Guard Schedule. Any changes to the number of hours on the pricing schedule per post/location by the contractor shall be rejected by the cognizant Contracting Officer. If there is an error in the number of hours on the pricing schedule which does not match with the guard schedule, the contractor shall notify the COR and the CO in writing.
B.2 PAYMENT, CEILING, AND WITHHOLDING
The Government will pay the Contractor for the number of hours worked. (See Section I, FAR 52.232-7). The Government will make no withholding/retainage pursuant to FAR 52.232-7(a)(7), "Payments Under Time-and-Materials and Labor-Hour Contracts." The Contractor shall not exceed the ceiling prices, shown in pricing schedule Section J, Attachment 01 either in total or for any category, unless the Contracting Officer (CO) signs a written contract modification to increase the ceiling. The Government shall impose a deduction from the amount of payment for each instance of unacceptable performance or non-performance in accordance with Attachment 2 titled Contract Deduction Method.
B.3 MINIMUM WAGE RATES AND FRINGE BENEFITS
Physical Security at the Department of State is of the utmost importance in countering the domestic and international terrorist threats. To ensure a stable and experienced work force, the Contractor shall maintain the minimum wage rates and fringe benefits identified in the current CBA and MOU for all employees covered under the CBA in accordance with FAR 22.1008-2. The contract is subject to an existing Collective Bargaining Agreement (CBA). Please see FAR 22.1002-3 and FAR 22.1008-2 for more information regarding the CBA.
B.4 EMPLOYEE SALARY AND BENEFITS
The Government shall have no responsibility or liability for payment of any wages or benefits to Contractor's employees. The Government, its agencies, agents, and employees shall not be part of any legal action or obligation regarding these benefits, which may subsequently arise.
