SECTION 1 - THE SCHEDULE

CONTINUATION TO SF-1449

PRICES, BLOCK 23

1. PERFORMANCE WORK STATEMENT

The purpose of this firm fixed price contract is to provide technical installation, repair and support services for SKY, cable Television, AFN, telephone and computer systems/equipment at the U.S. Government-owned and/or leased buildings in Italy (detailed list under Enclosure A – Locations).

2. PERIOD

The contract will be for a one-year period from the date of the contract award, with four one-year options.

3. QUALITY ASSURANCE AND SURVEILLANCE PLAN (QASP)

This plan provides an effective method to promote satisfactory contractor performance. The QASP provides a method for the Contracting Officer's Representative (COR) to monitor Contractor performance, advise the Contractor of unsatisfactory performance, and notify the Contracting Officer of continued unsatisfactory performance. The Contractor, not the Government, is responsible for management and quality control to meet the terms of the contract. The role of the Government is to monitor quality to ensure that contract standards are achieved.

Services.

Performs all assistance services set forth in the scope of work.

Entire Scope of Work

All required services are performed and no more than one (1) customer complaint is received per month.

1.SURVEILLANCE. The COR will receive and document all complaints from Government personnel regarding the services provided. If appropriate, the COR will send the complaints to the Contractor for corrective action.
2.STANDARD. The performance standard is that the Government receives no more than one (1) [Note to Contracting Officer: Insert other number if desired] customer complaint per month. The COR shall notify the Contracting Officer of the complaints so that the Contracting Officer may take appropriate action to enforce the inspection clause (FAR 52.212.4, Contract Terms and Conditions-Commercial Items (May 2001), if any of the services exceed the standard.
3.PROCEDURES.
(a)If any Government personnel observe unacceptable services, either incomplete work or required services not being performed they should immediately contact the COR.
(b)The COR will complete appropriate documentation to record the complaint.
(c)If the COR determines the complaint is invalid, the COR will advise the complainant. The COR will retain the annotated copy of the written complaint for his/her files.
(d)If the COR determines the complaint is valid, the COR will inform the Contractor and give the Contractor additional time to correct the defect, if additional time is available. The COR shall determine how much time is reasonable.
(e)The COR shall, as a minimum, orally notify the Contractor of any valid complaints.
(f)If the Contractor disagrees with the complaint after investigation of the site and challenges the validity of the complaint, the Contractor will notify the COR. The COR will review the matter to determine the validity of the complaint.
(g)The COR will consider complaints as resolved unless notified otherwise by the complainant.
(h)Repeat customer complaints are not permitted for any services. If a repeat customer complaint is received for the same deficiency during the service period, the COR will contact the Contracting Officer for appropriate action under the Inspection clause.]

1. PRICING

In consideration of satisfactory performance of the services required under this contract, the Contractor shall be paid a firm fixed-price (FFP) per month/per hour as stated in the schedule below.

1.1 VALUE ADDED TAX

Value Added Tax (VAT) is not applicable to this contract and shall not be included in the rates below or invoices. The U.S. Embassy will request a tax exemption certificate from the Italian Ministry of Foreign Affairs and will furnish the Contractor with the certificate. NOTE: the contractor shall strictly follow the procedures mandated by the MFA in order to benefit of the VAT exemption.

DESCRIPTION/SPECIFICATIONS/WORK STATEMENT

I. Scope of Work

1. The Contractor shall provide installation, support and repair services for Internet, SKY, cable Television and AFN systems/equipment (including cable boxes, decoders, antennae and satellite dishes) at the U.S. Government-owned and/or leased buildings in Italy as specified in Enclosure A - Locations.

2. The service provider shall be an authorized SkyTV provider with an expert knowledge of:

a. The operation, installation, maintenance of satellite dishes on rooftops;

b. The operation, installation, maintenance of cable boxes, televisions and speakers;

c. The running of cables from roof top to apartments (utilizing the existing conduits, external running of cable is not admissible) and room-to-room; and

d. The opening, closing, changing and maintaining of internet and cable television services.

3. Special Requirement: The service provider shall also have the experience, technical knowledge and ability to properly install PowerVu decoder products from Scientific Atlanta/Cisco used for transmission of the Armed Forces Network.

4. The contractor shall provide a supervisor/liaison with the Embassy who shall be fluent in both English and Italian language. When a team is sent to perform the work at least one person shall have sufficient English language to interact with apartment occupants.

5. The employment of sub-contractors is acceptable for locations outside of Rome (i.e. Florence, Naples and Milan) provided that the Contractor retains full responsibility for the completion of the work requirements. The Contractor shall give written assurance to the Contracting Officer that all subcontractors and others performing work on or for the project have obtained all requisite licenses and permits and shall provide certifications as specified in Section 3. Para. A.2 for all subcontractor personnel to be employed.

6. Specific services to be provided include (but are not limited to):

(a) Technical support/trouble shooting includes, but is not limited to, the following:

· Check / reconnection of:

· Internet / telephone cables

· TV cables

· A/V cables

· Check / reset / tuning of:

· Internet ISP router

· Wireless devices

· SKY / AFN decoders

· Check of ISP service availability and/or failures

(b) Satellite Dish System - includes installation, repair and replacement of satellite dishes and receivers. Included in this would be the possibility of using fiber or coax cabling and the use of signal splitters units and power injectors, if needed, to have the signal go to more than one location for both AFN and SKY.

(c) Antenna - includes installation, operation, repair and replacement of antennae, at times on rooftops.

(d) Cable/conduit – includes installation, repair and replacement of cables/conduits as needed.

(e) Hook up the Armed Forces Network decoder to a television

(f) Existing cabling shall be used for internet service when available, unless there are performance issues

(g) Included in the above would be the possibility of using fiber or coax cabling and the use of signal splitters units and power injectors, if needed, to have the signal go to more than one location for both AFN and SKY

(h) SKY boxes shall be compatible with AFN decoders, if possible.

(i) An Audio-Visual Distribution System will be installed as appropriate to the specifications for each resident/apartment.

(j) “As-built” drawings of all cable (including cable already in place) will be provided for each installation.

(k) The vendor must train either the Embassy employee or staff member or final user on how to use the controls to operate the decoder with the television and other remote controls, if applicable, once for each new/improved installation. Additional training sessions, if required, will be paid at the per hour rate for repairs.

(l) Vendor will be provided with a “Resident Verification of Installation” form, to be returned to the COR with each invoice submitted for payment of installation services.

(m) Malfunctioning of equipment: The Contracting Officer shall make final determination as to whether downtime is the responsibility of the Contractor or is due to causes beyond the control of the Contractor. If requested by the Contracting Officer, the Contractor shall provide documentation to support claims of excusable downtime. For downtime determined to be the Contractor’s responsibility, the Contracting Officer may elect to assess a credit for each instance of non-performance.

7. Additional Expectations.

· Appointments should be made with the residents of each apartment/residence, with vendor providing a two-hour window to the resident

· Should the existing conduits not be large enough to contain the cables for all the systems, the Contractor shall support TV channels and SKY with one same cable.

· Cables’ running outside of the buildings is not acceptable, unless approved by the COR.

· Should an installation present extraordinary problems, the Contractor shall explain reasons why and make sure that the estimate for performance of that work gets special approval by the COR before starting performance.

· If so requested, the Contractor shall purchase materials needed to meet the needs of the specific assignment (e.g. satellite dish, Sky decoders, connector cables, plug adapters, fiber optic cables, signal transceivers, coaxial cabling, signal splitters, etc).

· Response Time: The vendor is expected to take action within

· 5 working days when required to provide major items;

· 3 working days when required to perform routine works;

· 24 hours when required to perform emergencies.

· GovernmentFurnished Equipment (GFE): Should the Government decide to provide the Contractor with necessary equipment/materials to perform the services an accurate inventory will be prepared by the COR/GTM each time and countersigned by the authorized Contractor’s representative. At the end of the work, the COR/GTM will inspect the site to ensure proper utilization of the Government-owned property and will sign the inventory for release of Contractor’s responsibility

· Coordination with landlord and/or residence managers to ensure that there are no regulations prohibiting the installation of or replacement of a satellite dish/antenna on the roof or balcony.

· Vendor will be expected to ensure the quality of the video signal is very strong to maintain the brightness, color and higher resolution pictures on the televisions, as well as the proper quality of the internet connection. Our locations do not all have the same material used in connections for cable routing. Some use limited digital coaxial cable but primarily fiber optic connections. The vendor is required to have all equipment necessary to test the fiber optic connections, transceivers, satellite receivers, etc. in order to troubleshoot all aspects of the installations and components and make a final test before declaring the work is completed.

· Release of Information. The Contractor’s organization shall not divulge or release any information regarding the services covered by this contract, nor any data and information proprietary to the US Government, or of such a nature that its dissemination or use, other than in performance of this contract, would be adverse to the interests of the Government or others, except to authorized Government personnel or upon written approval of the Contracting Officer. The Contractor will not use, disclose, or reproduce proprietary data which bears a restrictive legend, other than as required in the performance of this contract.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items.
