JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
JUSTIFICATION
1. Contracting Activity
The Naval Sea Systems Command (NAVSEA), Undersea and Unmanned Systems Contracts Division, SEA 026.
2. Description of the Action Being Approved
Award of contract modification to Rite Solutions on a sole source basis under contract N00024-18-C-6418 to add 37,400 labor hours for Inter Subsystem Monitoring Tool/On Board Team Trainer-Master Controller (ISMT/OBTT-MC) future baselines engineering technical services for United States Navy (USN). The additional hours are to be performed within the current contract's Period of Performance (POP).
3. Description of Supplies/Services
The ISMT subsystem monitors the interfacing between the various Submarine Warfare Federated Tactical System (SWFTS) subsystems and provides inter-subsystem troubleshooting to the sailor, and the OBTT-MC provides end-to-end combat system operator training through simulated navigation mathematical models of ship parameters and maneuvering capabilities.
Rite Solutions is the contractor currently performing engineering support for both legacy and future production baselines of the AN/BYG-1 ISMT/OBTT-MC Subsystem from TI-18 through TI-22 on contract N00024-18-C-6418. The proposed contract modification to contract N00024-18-C-6418 will provide additional labor hours in support of the ISMT/OBTT- MC TI development, delivery, and sustainment of prior and future baselines, inclusive of TI-22 development activities occurring in FY23 and FY24. Specifically, the modification includes engineering and technical efforts necessary to support ISMT/OBTT for USN LOS ANGELES, SEAWOLF, OHIO, VIRGINIA, and COLUMBIA Class submarines.
The Government's minimum needs have been verified by the certifying technical and requirements personnel.
CONTRACT USN LABOR HOURS (FY23 - FY24)
*FY23 & FY24 in Support of TI-22 Development & Prior Baseline Sustainment Efforts

FY23 FY24 Total Current LOE 16,500 5,500 51,700 Required LOE 29,700 29,700 89,100 Delta 13,200 24,200 37,400 Appropriation (RDT&E) $1,281,456 $2,363,130 $3,644,586
4. Statutory Authority Permitting Other Than Full and Open
Competition
10 U.S.C. § 3204(a)(1): Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority
In accordance with FAR 6.302-1(a)(2) and FAR 6.302- 1(a)(2)(iii), full and open competition need not be provided when services required by the agency are available from only one responsible source. Rite Solutions is currently performing ISMT/OBTT-MC development under contract N00024-18-C-6418, awarded using small business set-aside competition procedures. TI-22 software development efforts as outlined within the current SOW will commence in April 2022 and the Navy requires additional labor hours added to the contract not later than Q4, FY22 to support the software development cycle and planned Fleet integration in Ql, FY25. The award of TI-22 ISMT/OBTT development to another vendor would result in an unacceptable schedule delay to the Fleet.
The award of TI-22 ISMT/OBTT development to another vendor would result in a minimum delay of 27 months (15 months for a competitive award plus 12 months for contract transition). The 15 month competitive award is based on the minimum number of months expected to competitively award a separate contract for TI-22 development effort. The 12 month contract transition is the time required for a new vendor to reconstruct the software baseline, and planning and scheduling new Systems Engineering Technical Review
(SETR) events. The contract transition time is based on the contract schedule during transition of the previous contract.
Based on the timeline above, another vendor would be unable to meet the required Ql, FY25 TI-22 delivery schedule and would therefore cause significant impacts to the TI development and integration cycle. Any software development delay would significantly impact the Fleet by forcing submarines to operate with older software builds that reduce submarine warfighting capability.
Pursuant to FAR 6.302-1(a)(2) (iii) (A), award to any other source would result in the incurrence of substantial duplicate costs that are not expected to be recovered through competition. Rite Solutions has the knowledge, experience, and the specialized lab software development environment already in place. For another contractor to perform the Navy's TI-22 software development requirement, NAVSEA estimates a duplication of $2.3 million for procuring a second set of TI lab hardware, setting up a second lab environment for TI-22 software development configuration, reconstituting the baseline software development environment including test equipment software to support TI-22, and transition costs for new plans such as planning and scheduling new SETR events, Navy security and development engineering processes, and PMS 425 performance requirements. This estimate is based on historical costs incurred and information from historical contracts. The Government does not expect to recover these duplicated costs through competitively selecting another vendor and setting up another lab, especially considering the limited required hours of 37,400 over a two year period of performance.
For the above reasons, the Government has determined that Rite Solutions is the only responsible source capable of meeting the Government's minimum needs without incurring unacceptable schedule delays and duplicate costs not expected to be recovered through competition.
6. Description of Efforts Made to Solicit Offers from as Many
Offerors as Practicable
Based on the rationale provided in paragraph 5, it is not practicable for the Government to compete the immediate requirement as a separate new contract. No market research was conducted because it is not practicable, for the reasons discussed in paragraph 5 above, for any company other than Rite Solutions in the timeframe required.
Rather, the Subsystem requirement will be procured via modification to the current contract, N00024-18-C-6418.
A waiver in accordance with DFARS PGI 206.302-l(d) was approved and the proposed requirements were synopsized on the SAM.GOV website on 6 April 2022 in accordance with FAR
5.2. To date, no responses have been received.
7. Determination of Fair and Reasonable Costs
The Contracting Officer has determined that the anticipated cost to the Government for the effort covered by the J&A will be fair and reasonable.
8. Actions to Remove Barriers to Competition
As described in paragraph 5, Rite Solutions is the only sources capable of meeting the Government's immediate TI-22 needs for this Subsystem requirement. However, the Government intends to compete the requirement for the TI- 24/26 scope as a follow-on to N00024-18-C-6418. The anticipated award date is Ql, FY24. This competitive approach is facilitated by the Navy's efforts to maintain a minimum of Government Purpose Rights (GPR) for all data products developed and delivered under the ISMT contract.
