Questions and Responses PBGC Financial Advisor Engagement

Question 1: With regard to Organization Conflicts of Interest. Would PBGC consider it a conflict if the awardee was advising a party interested to the PG&E bankruptcy but not a creditor? If so, would a mitigation plan, should it be deemed acceptable, be permissible to put in place?

Response: PBGC does not believe that representing a non-creditor in the bankruptcy automatically renders a vendor ineligible for award; however, all conflicts and mitigation plans will ultimately be considered on a case-by-case basis.

Question 2: Is a U.S. citizen who also has citizenship of another country (a so-called “dual citizen”) considered a Foreign National? [ref: H.10 PBGC 52.237-7002, paragraph (a)(1)]

Response: No, a U.S. Citizen who also has citizenship of another country is not considered a Foreign National.

Question 3: At what stage in the process (prior to or after contract award) will our personnel need to be “appropriately cleared by PBGC’s Security through the pre-screening process”? [ref: H.10 PBGC 52.237-7002, paragraph (b)(4)]

Response: The PBGC Security pre-screening process takes place following the contract award.

Question 4: How many key personnel may be designated as a “Senior Managing Director” (or equivalent)? [ref: H.9 PBGC 52.237-7000; also L.2, Factor 2, as described in the first paragraph on page 67 of the RFP]

Response: PBGC anticipates one proposed Senior Managing Director.

Question 5: When the collective requirements for the proposed staff under Factor 2 refer to “significant” debtor, creditor, or creditor committee advisory work (i.e. item 5), as well as “significant” bankruptcies (i.e. item 6), what does the word “significant” mean? [ref: Factor 2, requirements 1 – 8 for overall proposed staff, as they appear on page 67 of the RFP]

Response: Requirements for the proposed staff should have collective experience for transactions of $1 billion or greater of funded debt.

Question 6: Would you please explain what is meant by the phrase “prime market” in the Organizational Capabilities Table? [ref: Attachment A to Section L, as it appears on page 70 of the RFP]

Response: The phrase “prime market” as used in the solicitation (Attachment A Section L) defines transactions of $1 billion or greater.

Question 7: Section L.2: Can Offerors submit supplemental materials (e.g., a PowerPoint presentation) in addition to the written proposal?

Response: No. However, the number of pages for the Volume I – Technical Proposal Page Limitation technical proposal is increased from thirty-five (35) to forty (40).

Question 8: Section L.2.1: Does the PBGC plan to negotiate fees with Offerors prior to awarding the contract?

Response: PBGC may enter into discussions regarding price with Offerors prior to award or may award without discussions.

Question 9: Section L.2: Is it acceptable to include experience for the Offeror’s proposed staff from direct deals managed by such individuals while employed at prior firms?

Response: Yes, it is acceptable. Please provide a proposal in accordance with the solicitation.

Question 10: Would PBGC consider extending the deadline for submittal. This is a complex request and situation additional time would be appreciated to complete a proposal.

Response: The due for receipt of proposals has been extended until August 5, 2019 at 9:00 am.
