Questions for Clarification (JCAS)

Soliciation Section (when cited by contractor) Question(s) Answer(s)

May a nonprofit or not-for-profit organization qualify for a small business set-aside contract with Job Corps if it meets the size standards? Moreover, can a nonprofit entity participate in a small-business set-aside bid for the Job Corps Center contract?

This solicitation is set-aside for Small Businesses. Small Businesses are defined at FAR 52.219- 1 Small Business Program Representations (a)(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121. The North American Industry Classification System (NAICS) code that interested parties must be registered to for consideration under this acquisition is 611519 and the small business size standard is $47M.

Given PRH Change Notice # 22-06 in which ‘Admissions Services’ or ‘Admissions Services staff’ replaced ‘Outreach and Admissions’ and ‘Admissions Counselor’, will an amendment to this solicitation be issued revising the common descriptions for Job Corps positions on both Attachments J-4 and J-28 to correspond to this PRH Change Notice guidance?

In accordance with the instructions found on the introduction tab of the J-28, Where offeror’s position titles differ, actual titles should be entered in the “Remarks” column. The Staffing Chart J-4 describes functions. In the event that a position is so unique that it does not fit any title on the chart, place the position in the appropriate place on the chart.

Attachment J-4 On Attachment J-4, should lines with unused positions be deleted? Yes, unused positions can be removed.

Page 84 Factor 4 Business Management Proposal

Page 84, Factor 4 Business Management Proposal, paragraph a4, offerors are to submit Attachment J.28.

Please confirm therefore that a Staff Compensation Plan narrative is not required for this submission.

Yes, the J.28 must be submitted. The narrative is not required; however, it is typically provided to justify the submission as the Contracting Officer may award a contract on the basis of initial proposals received, without discussions or any opportunity to make a further submission.

Page 84 Factor 4 Business Management

Page 84, Factor 4 Business Management Proposal, paragraph a4, Offerors are to propose staff salaries and health and welfare benefits with a yearly escalation factor of not less than 3%. Does this include proposed SCA positions?

Yes, that is correct. All salaries and Health and Welfare benefits must include at least a 3% escalation.

J.28 Staff Compensation Plan?

Should NTC personnel be listed and assigned a position number on the J.28 Staff Compensation Plan? N/A. There are no NTC at Kittrell.

For the various forms or documents requiring signature such as the Transmittal Letter, SF33/30, ETA 8554 (Atch J-2), SF 1413 (Atch J-8), and Statement from the Lending Institution, will the Government accept electronic signatures?

Yes, the Government will accept electronic signatures for the various forms or documents requiring a signature.

Page 86 Factor 4 Business Management

Page 86, Factor 4 Business Management Proposal, paragraph d, as may be appliable to the Offeror, is a Prime/Sub teaming agreement or Joint Venture Agreement required to be submitted with the proposal?

Yes, a Prime/Sub teaming agreement or Joint Venture Agreement is required to be submitted with the proposal.

Please clarify if operators are required to pay student workers on center SCA rates and H&W benefits?

Yes, operators are required to pay student workers who work on center SCA rates and H&W benefits.

Which wage determination should be used for satellite locations such as OA/CTS offices or remote workers?

Please clarify and provide those wage determinations as appropriate.

Satellite locations are identified by the interested parties. The applicable wage determination can be found at the SAM.gov website by the State and applicable county that the OA/CTS office will be located. The government is unable to determine the appropriate wage determination location without a request. Requests are typically sent with the questions to the solicitation for incorporation into the amendment.

Clause I.10 Far 52.222-42 Statement of Equivalent Rates for federal Hires

Will the government provide the “classes of service employees expected to be employed under the contract” as indicated in Clause I.10 FAR 52.222-42 Statement of Equivalent Rates for federal Hires

The J-4 attachment that was issued with the solicitation lists those positions that are applicable on a Job Corps Center. It is up to the offeror to propose and determine which positions, based on the J-4, as to whether it falls under the SCA and map those back to the SCA wage determination issued with the solicitation.

The RFP indicates the Construction Wage Determinations will be incorporated upon issuance of a CRA project.

Previously, we have had specific construction wage determinations included with the RFP. Please verify this will not be addressed until post-award.

Applicable Construction Wage Determinations will be addressed post-award.

Will the govt allow Past Performances to be within the last 5 years?

In accordance with the instructions of the solicitation, For Past Performance, Projects identified should include work experience within the three (3) years preceding the submission of this proposal, and for at least one year in duration.

There is uncertainty about future costs to FFP contracts, especially in the current environment where inflation or CPI is 8.5%. Contractors try to include risk premiums in their bids to ensure viability through these unprecedented circumstances, causing overall higher bid prices. In accordance with FAR 16.203-1, will the government consider adding an Economic Price Adjustment (EPA) or Price Adjustment Clause to the contract?

The Government is not including FAR 52.216-4 Economic Price Adjustment-Labor and Material at this time. However, the Government has mandated a minimum 3% escalation rate and contractors should use their own business judgement in determining proper escalation beyond 3%.

Attachment J-4 To be consistent with Attachment J-4 staffing chart, can unused positions be deleted from Attachment J-28? Yes, unused positions can be deleted from the Attachment J-28.

The requirement in the Business Management Proposal (BMP) to provide assurance of compliance with basic health and safety codes, including disciplinary measures is similar to the requirement for Technical Approach, Safety and Security. Will the Government clarify their expectations for this requirement in the BMP?

What is required in the BMP response that is not provided in the Technical Approach?

Rather than repeat a lengthy narrative from the Technical Approach, will a statement acknowledging compliance constitute “assurance” to satisfy the requirement?

The information provided by the offeror in response to Business Management Proposal Factor 4.a.10 is at the discretion of the offeror. The response should adequately address the question.

Please confirm if small business will be able to invoice the government twice monthly for CLIN XX02? All Firm Fixed Price contracts are invoiced once a month regardless of business size.

On Aug. 30, 2023, DOL released its highly anticipated proposed overtime rule. This rule, if finalized, would increase the minimum salary amount required to be paid for these employees to be considered exempt from the Fair Labor Standards Act (FLSA) overtime pay requirements.

DOL is also proposing automatic updates to these amounts every three years. Should offerors consider these changes or rely solely on the SCA wage determination?

This rule has not yet been finialized. The offeror should use their own business judgement in determining proper wages/salaries to propose.

Will the Government please clarify the language in the 2nd paragraph. Should REAs from new WDs include a Management Fee or not include a Management Fee? On page 21 of the solicitation, in accordance with G.2 FEES Payment of Management Fees:

The contractor will earn a 1% Management Fee for Center Operations ONLY (CLIN XX02), in accordance with WIOA. The contractor shall include this 1% Management Fee in the Center Operations CLINs (xx02).

Equitable Adjustments to the contract price resulting from new Wage Determinations (in accordance with contract clause FAR 52.222-41) or increases to the Federal Minimum Wage (in accordance with contract clause FAR 52.222-55) shall not include G&A or Profit, to include the 1% Management Fee.

From reading, Reg. 29 CFR 4.173., for vacation accrual purposes, contractors are required to recognize previous hire dates for work performed on the contract regardless of which contractor operated the center. In addition, the WD states 2 weeks paid vacation after 1 year of service with a contractor or successor. Is this regulation applicable to this implementation and should the hire/vacation accrual date be when the employee originally was hired on the contract (regardless of which contractor operated the center) or should the hire/vacation accrual date be when the employee was hired with the current contractor?

As a general rule, a service employee’s eligibility for vacation benefits is based on the total length of time the employee has been in the employer’s service (commercial work and federal contract) and, where applicable, the total length of time the employee has been employed in any capacity in the continuous service of any predecessor contractor who carried out similar contract functions at the same facility. Please see 29 CFR 4.173.

Attachment J-4

To be consistent with Attachment J-4 staffing chart can unused positions be deleted from Attachment J-28? Yes, the J-28 can be made consistent with the J-4 by removing unused positions.

Attachment J-4 Can positions not being proposed be deleted from the J.4? Yes, they can be deleted.

Will the Government please provide Wage Determination for all counties in the NEAP zone?

The government will provide the applicable wage determinations. Additional Wage Determinations for all counties identified in the NEAP are attached as J-16s with the amendment.

Attachment J-18 states the WIOA goals are in Mississippi.

Would the Government please clarify if this should be North Carolina?

The referenced WIOA goals should be for the state of North Carolina.

Should the offeror omit substitutes and paid WBL students from the J-28? No, all proposed Center employees should be listed on the J-28.

Attachment J-28 Can positions not being proposed be deleted from the J.28? Yes, they can be deleted from the J-28.

Attachment J-28 Should NTC personnel be listed in the J.28 and be given a “Position Number?” N/A. There are no NTC at Kittrell.

By minimizing long term unknown inflationary risks factors from the contractor, the need for inflationary risk contingency costs is eliminated, resulting in a more realistic and competitive overall bid price.

The Government is not including FAR 52.216-4 Economic Price Adjustment-Labor and Material at this time. However, the Government has mandated a minimum 3% escalation rate and contractors should use their own business judgement in determining proper escalation beyond 3%.

Will the Government please confirm that SCA wages and H&W rate should increase by a minimum of 3% every year in the proposal?

Yes, that is correct. All salaries and Health and Welfare benefits must include at least a 3% escalation for each proposed year in the proposal.

In our experience, some states do not fully recognize the sales tax exemption that should be available to DOL contractors. Should bidders include sales taxes in their pricing, or will the Government allow an REA in the event the State of North Carolina requires the winning bidder to pay sales tax on purchases made in the course of contract performance?

Successful offerors, when requested, are provided with a Letter to Contractor Regarding Taxation by States or Subdivisions Thereof. This letter advises of the requirements of Public Law 113-128, Section § 686.930, of the Workforce Innovation and Opportunity Act (WIOA) of 2014 (formerly Section § 158(d) of the WIA 1998). Section § 686.930 of the Workforce Innovation and Opportunity Act (WIOA) of 2014 retains the same requirements as those found at 20 CFR 670.945, and sets forth the following prohibition regarding said contract: § 670.945 Are Job Corps operators and service providers authorized to pay State or local taxes on gross receipts?

(a) A private for-profit or a non-profit Job Corps service provider is not liable, directly, or indirectly, to any State or subdivision for any gross receipts taxes, business privilege taxes measured by gross receipts, or any similar taxes in connection with any payments made to or by such service provider for operating a center or other Job Corps program or activity. The service provider is not liable to any State or subdivision to collect or pay any sales, excise, use, or similar tax imposed upon the sale to or use by such deliverer of any property, service, or other item in connection with the operation of a center or other Job Coprs program or activity. [WIA sec. 158(d), sic. WIOA sec. 686.930)]

(b) If a State or local authority compels a center operator or other service provider to pay such taxes, the center operator or service provider may pay the taxes with Federal funds, but must document and report the State or local requirement according to procedures issues by the Secretary.

Attachment J-1 Attachment J-1: Cell G42 on the Evaluated Tab does not include a formula. Are offerors allowed to add the formula?

On the J-1 evaluated price tab, the formula in cell G42 will be added. An updated J-1 is provided with this amendment.

Attachment J-28 Attachment J-28: On the Staffing Calculator Tab, the individual Subtotals and Grand Total do not include formulas. Are offerors allowed to add the formulas?

Yes, offerors are allowed to add the value and/or formulas.

Attachment J-28 J28- Can the offeror delete unused positions from the template? Yes, they can be deleted from the J-28 template.

C.2.I Over the past two years, awarded contracts maintained a three month grace period for OBS. Will the Government reconsider the grace period allowance?

On page 25 of the solicitation, in accordance with G.9 PRICE ADJUSTMENT FOR LESS- THAN-100% ON BOARD STRENGTH (The contractor will be permitted a grace period of three (3) months, for which the contractor can bill at the 100% OBS price, regardless of the actual average OBS for the month billed. The three month period shall begin during the first full month of center operation). Does not apply to incumbent contractor.
