About this file
This is a Justification and Approval (J&A) document for a sole source contract modification for the USS GREEN BAY (LPD-20) Fiscal Year 2025 Dry Docking Selected Restricted Availability (DSRA). The document authorizes BAE Systems San Diego Ship Repair Inc. to add one new work item (441-90-010) for Communications as a Service (CaaS) Installation at a firm fixed price. The modification is critical for enabling the ship to implement new tactical data link and communication systems while maintaining legacy interoperability, as directed by the Chief of Naval Operations.
The J&A provides detailed rationale for the sole source award, including that BAE is uniquely positioned to perform the work during the ongoing ship repair availability, and that introducing another contractor would result in duplicative costs and potential schedule disruptions. A Sources Sought Notice posted on June 3rd, 2025 yielded no alternative vendors interested in the work. The contract modification is to be executed under 10 U.S.C. § 3204(a)(2), with the work scheduled to begin on July 7th, 2025 and be completed by November 6th, 2026, aligning with the ship's overall availability timeline which runs from February 10th, 2025 to December 1st, 2026.

c. The work will begin 07 July 2025, or as soon as authorized to place on contract and be completed by 06 November 2026. The USS GREEN BAY (LPD-20) FY25 DSRA start of the availability was 10 February 2025 with a delivery date of 01 December 2026.
d. The Governments minimum needs have been certified as complete and accurate by the technical and requirements personnel.
4. STATUTORY AUTHORITY PERMITTING OTHER THAN FULL AND
OPEN COMPETITION
N00024-25-C-4411
The statutory authority permitting other than full and open competition is 10 U.S.C. § 3204 (a)(2) as implemented by the Federal Acquisition Regulation (FAR) 6.302-1 this authority applies in those situations where only one responsible source and no other supplies or services will satisfy agency requirements and precludes full and open competition, and delaying in award would result in serious injury to the Government. This availability is the last opportunity to complete this upgrade during the ships availability window and this work is needed to fulfill required operational capability.
5. RATIONALE JUSTIFYING USE OF CITED STATUTORY AUTHORITY.
Request for Contract Change (RCC) 152N was generated to address the need to install hardware and modify cabling to provide new Communications as a Service (CaaS) capabilities to the crew of the USS GREEN BAY. The provision of new CaaS hardware onboard the USS GREEN BAY is required to support the secure receipt and delivery of critical data using one cloud-based communications platform. This will streamline the means through which the USS GREEN BAY communicates with other elements of the fleet, improve the capacity of the ship to fulfill its operational role and providing the warfighter with new capabilities, as directed by the Chief of Naval Operations (CNO). If not installed during this availability, the platform will not have CaaS, which enables Fire Control over existing tactical data link and communication systems to meet new mission requirements, while retaining legacy interoperability. Thus, installation during this availability is critical to the ships operational mission.
All the hardware necessary to provide new CaaS capabilities onboard the USS GREEN BAY has been procured and made available for delivery to . The Government projects installation of the hardware itself to take 15 days, and installation of CaaS software to take an additional 5 days. With more than 450 days remaining before the Work Complete project milestone of 06 November 2026, there is sufficient time within this DSRA to receive, install, and connect the relevant hardware. However, completing this installation as soon as possible in the availability schedule will alleviate duplication of costs and overlapping repair schedules.
CaaS hardware will be installed in the Communication Center (02-54-0-C) onboard the USS GREEN BAY. Production work assigned to BAE commenced in the Communication Center on March 31st, 2025 when BAE began to disconnect electrical equipment tied to the Hull, Mechanical, and Electrical (HM&E) network to support replacement of this equipment as directed on basic work item 409-90-001. As reported on a copy of BAEs Integrated Production Schedule which records progress up to June 20th, 2025, production work assigned to BAE has continued in earnest within the Communications Center. BAE would be required to work closely to coordinate and oversee any third party contractor hired by the Government to install the CaaS hardware within the Communications Center in order to prevent disruptions in the production schedule of the USS GREEN BAY FY25 DSRA. Introducing this additional level of oversight and coordination at this stage in the DSRA has the potential to create unacceptable delays.
Of significant importance is that awarding the CaaS installation requirement to an outside contractor would result in duplicative costs that are unlikely to be recouped through competition. As indicated on Attachment J-4 of Section J of the basic contract, the Government has provided BAE with to provide temporary service support for basic production work requirements. This temporary service support includes the provision of compressed air, electricity, lighting, and ventilation throughout the ship. The availability of this temporary service equipment throughout the ship dramatically reduces the cost to set up and provide temporary service support for growth work
N00024-25-C-4411 on the USS GREEN BAY FY25 DSRA. If the Government introduces an outside contractor at this stage of the availability, the outside contractor will also provide their own temporary service support personnel and equipment, which will result in duplicative costs to the Government.
Introducing another contractor at this stage would also require the Government to provide additional funding to cover warehousing, transportation, administration, and similar expenses incurred by the awardee to support installation of CaaS hardware. As detailed in Note D of Section B of the basic contract for the USS GREEN BAY FY25 DSRA, any support functions provided by BAE shall be considered to be included in BAEs fully burdened ship repair labor rate. If the Government introduces an outside contractor at this stage of the availability, the outside contractor will also provide their own warehousing, transportation, administration efforts, which will result in duplicative costs to the Government.
Review of historical pricing indicates that awarding CaaS installation to an outside contractor will require the Government to pay almost in duplicative costs for indirect support labor. On their COPA for RCC 152N, BAE proposed hours of labor or to connect, maintain, and disconnect temporary service equipment to support CaaS installation. With expenses tied to direct labor included, BAE charges a total of to install CaaS hardware. Technical representatives from NIWC report that CaaS installation by the Alteration Installation Team on a FY24 CNO Availability for the USS NEW ORLEANS (LPD-18) cost the Government a total of to accomplish. Representatives from NIWC confirmed that the scope of production work required to install CaaS hardware on both projects was comparable and that any additional fees included to CaaS installation on the USS NEW ORLEANS consisted of indirect costs.
Representatives from NIWC also confirmed that AITs held responsibility for CaaS installation in support of the FY24 CNO Availability for the USS NEW ORLEANS which limited the amount of indirect support that the awardee of that availability could provide.
Between the paid to BAE to provide temporary service support throughout the vessel, and the inclusion of indirect support functions in BAEs fully burdened ship repair labor rate, the Government has already paid BAE to provide indirect support similar to that associated with CaaS installation. Award of this requirement to an offeror other than BAE would render resources for which the Government has partially paid BAE to provide unavailable. This in turn would prompt the Government to pay an estimated in duplicative costs.
No other source has expressed interest in satisfying the Agencys requirements. On June 3rd, 2025, a Sources Sought Notice was posted to the System for Award Management (SAM) to establish the availability of additional vendors to accomplish production work tied to 152N. As of June 26th, 2025, no vendors have communicated any interest in assisting with the accomplishment of this requirement. In contrast, BAE has agreed to accomplish the scope of RCC 152N as part of an ongoing DSRA and has submitted a proposal to do so with pricing that the Administrative Contracting Officer has determined fair and reasonable. Given BAEs unique capacity to accomplish production work tied to RCC 152N without any additional administrative costs, and the lack of interest communicated by other vendors to accomplish said production work, the Administrative Contracting Officer considers BAE the one responsible source available to accomplish RCC 152N in a timely manner.
The RCC was sent to the Contractor on 03 June 2025, and an acceptable proposal was received on 18 June 2025 for a total price of .
