1 SECTION 1 - SERVICES AND PRICES

1.1 BRIEF DESCRIPTION OF SERVICES
The purpose of this solicitation is to award a multiple-award Blanket Purchase Agreement (BPA) for legal resources and additional services.
1.2 ORDER TYPE PREFERENCE
The orders (also referred to as “calls”) under this BPA shall be Time and Material, Labor Hour, or Firm- Fixed Price.
1.3 TYPE OF SERVICES
Individual orders under this BPA are for severable services.
1.4 PURCHASE LIMITATION
The limitation for individual call orders under this BPA is $2,000,000.
1.5 BPA UNIT PRICE
The Contractor shall be paid at the order level in accordance with the labor rates as shown herein.

2 SECTION 2 - DESCRIPTION/SPECIFICATIONS
2.1 INTRODUCTION/BACKGROUND
OGC is the legal team of DHHS, providing quality representation and legal advice on a wide range of highly visible national issues. The OGC's broad mission is to support the programs of the Department through litigation (mostly defense work), Federal Register drafting and legal advice and legislative services. OGC has an extraordinarily interesting agenda as a result of the breadth of the Department's activities and the work involved with national issues. Recent issues addressed by OGC include health care reform, tobacco regulation, fetal tissue research, breast implants, Native American tribal self-determination, Head Start, needle exchange, organ donation and transplantation, federally-funded abortion, programs for the aging, affirmative action in science training and nursing home quality of care enforcement. Working for OGC provides individuals with the opportunity to serve the public and support its legal health care interests.
The following pages represent the technical statement of work for the provision of Legal Resources Professional Services, in the Office of the General Counsel (OGC), Department of Health and Human Services (DHHS). The headquarters of OGC, DHHS is located at 200 Independence Avenue, S.W.
Washington, D.C. 20201, with eight (8) division offices and ten (10) regional offices located around the country. The division offices include: Children, Family and Aging, Centers for Medicare and Medicaid, Civil Rights, Ethics, Food and Drug, General Law, Legislation and Public Health Divisions. The regional offices are located in Atlanta; Boston; Chicago; Dallas; Denver; Kansas City, MO; New York;
Philadelphia; San Francisco; and Seattle. Each regional office is a miniature representation of the OGC headquarters and requires the same level of support and services. The Contractor is responsible for understanding the missions of the various office locations and responding to their needs and requests in an appropriate, professional manner.
2.2 SCOPE OF WORK
The Contractor shall provide experienced and qualified professionals to perform legal resources and additional services, which shall encompass, but are not limited to the following:
• Paralegal and Legal Administrative Support Services
• Formal Facilitation of Focus and Other Types of Groups
• Technical Writing and Editing
• Human Resources Support
• Information Technology Support
• Budget Support
The following defines a set of services to be provided and describes the role of the Contractor in providing these services.
2.3 Tasks
2.3.1. Paralegal and Legal Administrative Support Services
The Contractor shall supply paralegal and legal assistants in support of OGC research and litigation activities. These individuals will include professional and paraprofessional personnel. They will perform litigation and related legal and paralegal duties as described by the National Association of Legal Assistants and as described by the American Bar Association in 1997, and “will perform specifically delegated substantive, legal work for which a lawyer is responsible.” Contractor’s paralegals and legal assistants will perform legal services, which while not strictly legal work, will render the OGC lawyers more effective by freeing them to concentrate on the law. Research materials include court records, depositions, interrogatories, law books, serials, journals, technical and legal documents including legal precedents in any given case, audio-visual, maps and data sheets.
The Contractor shall use OGC-supplied computers to access the on-line legal databases including Lexis/Nexis, Westlaw, and other DHHS databases, the Department of Justice databases, and/or the current OGC integrated law library system. The Contractor shall utilize all available software and databases to conduct legal research to reach maximum output.
The Contractor’s paralegal staff and legal clerks shall establish a security system that provides for the safety and security of materials that pertain to on-going litigation or any case under appeal. These materials will be held in a secure location within the building and will not be allowed out of the building without the permission of the General Counsel (GC) or designee.
2.3.2. Formal Facilitation of Focus and Other Types of Groups
Provide brief or extended group facilitation services for OGC’s legal community. Participate in the planning and conduct of formally structured groups to achieve a variety of legal management and training objectives. The group facilitator will have completed the necessary course work and supervised practice to qualify for certification by a nationally-recognized accrediting organization as an organization development management consultant, training or focus-group facilitator. The group facilitator will meet with project managers to review the goals and purposes of the group(s), the recruitment and selection of group members, the logistics (frequency, scheduling considerations, environmental conditions, space, furnishings, and other equipment) of holding the group meetings, any exercises, training materials or simulations to be used in stimulating legal group participation, interaction, learning or consensus as appropriate, and the means of recording group interactions, opinions and/or recommendations (the data).
A formal report will be prepared that documents the legal groups membership, participation, interactions, methods for recording input, analyzes the data received from the group(s) (frequency and intensity of input), and the rationale for any recommendations being made by either the group or the consultant as a facilitator/observer
2.3.3. Technical Writing and Editing
The Contractor shall edit technical reports written for specialists into secondary versions suitable for the general reading public. Some research products have applicability to a wider audience of state and local officials, and members of other non-governmental organizations. The original form of these products is often written in a technical style suitable only for those who have studied public policy at an advanced level. Working from the original report, a technical writer/editor would translate key findings into a more readable and widely accessible version for broad dissemination. Such a writer would be highly skilled at analyzing technical reports, distilling major points and developing a jargon-free, non-technical version.
The writer must have outstanding interpersonal communication skills and the ability to work collaboratively with the authors of the original report.
2.3.4. Human Resources Support
The Contractor shall provide human resource staff with expertise in training, performance management, staffing, classification, and recruitment support services to OGC in order to fill key hard to fill positions within OGC. The contractor shall provide Program Managers to coordinate OGC’s Training Committee, along with oversight and administration of a 360-degree feedback instrument, development of staff IDP’s;
and coordination of vendor training. These individuals will assist in the development of performance management plans that support the Departments e-performance tool; along with measurable performance metrics; develop an OGC Incentive Awards Program in accordance with federal, HHS, and OGC regulations and expectations and coordinate annual/semi-annual OGC Awards Ceremonies. In addition, the contractor shall provide staff to develop position management, classification, and employment laws; assist in the recruitment and retainment of highly skilled staff to carry out the Department’s mission; prepare and coordinate vacancy announcements professional independent assessment of position and develop criteria for recruitment, assessment and selection processes; and provide all documentation to OGC’s Office of Legal Resources; make recommendations on recruitment strategy aimed at attracting a wide pool of qualified candidates; and fully assist the OLR Director and managerial staff along with other OGC staff as appropriate in the recruitment process until appropriate candidates are selected to accept the position.
2.3.5. Information Technology Support
• Serves as a technical expert and focal point for the installation and configuration of hardware and software on personal computers and for personal data assistants associated with assigned systems
• Serves as an administrator responsible for planning, coordinating, modifying, implementing, and troubleshooting in order to meet customer needs
• Serves as a technical expert on multiple operating systems and computer platforms
• Determines equipment and communications requirements and interfaces with other systems.
• Evaluates machine usage and develops plans for the necessary acquisition to support future automation (hardware and software) requirements
• Assisting with interpreting IT policies, standards and guidelines computer network systems
• Assisting with system analyses and recommending resolutions for complex IT issues affecting information security
• Assisting in the testing and optimizing of the functionality of systems, networks and data.
• Assisting with identifying and defining business or technical requirements for the design, development implementation, management and support f systems and networks
• Develop application software solutions that automate and integrate work processes; 4) Preparing user help guides, system descriptions, technical specifications, and instruction guides to support organizational and IT initiatives
• Serves as a senior technical expert supporting Federal Enterprise Architecture foundation technology
• Documents the Enterprise Architecture (EA) infrastructure, including the business units and key processes, using modeling techniques
• Conducts reviews with business users, business architects and system architects, leads and developers
• Provides technology and product and guidance to all agency resources including both business and IT resources
• Provides EA guidance, support, and coordination to customers and IT project teams. Promotes and educates customers and stakeholders on the use and value of the EA.
2.3.6. Budget Support
• Provides budgetary analysis to ensure that budgets are formulated properly, presented in an accurate and professional manner that complies with appropriate instructions, regulations, and laws.
• Analyzes new or proposed legislation or regulations to determine the impact of operations and management.
• Reviews, analyzes, and edits budget materials for accuracy of technical treatment and format, mathematical accuracy, adequacy of narrative justification, and conformance with budgetary policy and guidelines.
• Tracks and controls overhead expenses and all associated analysis.
• Tracks and controls reimbursement income from HHS components.
• Prepares and presents written and oral reports, briefings, and recommendations summarizing findings and conclusions.
• Provides supporting material with incumbent's evaluation and recommendations, including proposals, position papers, testimony, briefing papers, talking points, reports, correspondence, etc. on various managerial, operational, and policy matters as needed.
• Provides reviews, analysis, and edits budget request estimates, including GPRA plans, to determine compliance with OMB and Departmental budgetary policy, to assure adequacy of justification and conformance with technical guidance, and to ascertain consistency among the various activity-based, account-based, and consolidated documents included in the Department's budget presentations.
• Prepares analyses and recommendations on special work projects assigned by the Chief Operating Officer.
• Prepares written and oral comments on controlled correspondence and responds to information requests.
2.4 LABOR CATEGORIES
2.4.1. Project Management
The Contractor shall supply a Project Management team capable of managing all the SOW activities in a competent, professional manner. The team will consist of the following positions and/or positions related to the descriptions below:
• Project Manager (PM) - With little or no corporate guidance the PM shall be capable of managing a large team of professionals in providing a wide range of services to OGC. He/she is responsible for all aspects of project performance (i.e. technical, contractual, administrative, financial, etc.) Responsible for supervising personnel involved in all aspects of the project activity. He/she organizes and assigns responsibilities to subordinates, oversees the successful completion of all assigned tasks, establishes and maintains technical and management reports to demonstrate to OGC that the Contractor is fulfilling its corporate performance responsibilities. Provides leadership to project team, ensures conformance to performance requirements and assists in the overall direction to all project level activities and personnel.
2.4.2. Paralegal and Legal Administrative Support Services
• Paralegal Assistants - These individuals shall be certified by the National Association of Legal
Assistants and shall be qualified to perform lower level legal tasks under the supervision of an attorney. Researches law, investigates facts and prepares documents to assist attorneys.
Researches and analyzes law sources such as statutes, recorded judicial decisions, legal articles, treaties, and legal codes to prepare legal documents. They shall be capable of drawing up draft and preliminary legal documents, preparing case materials for trial and supporting an attorney in the daily carrying out of his legal responsibilities.
• Law Clerks - At a minimum, shall have been educated at the junior college level in this clerical responsibility. Review agreements or proposed agreements for conformity with legal requirements.
They shall be capable of setting up legal documents in the correct format and in preparation of legal correspondence, reports and shall also be certified as Notary Publics.
• Management Assistant - Responsible for managing effective input, tracking and research in processing regulation controls. Understand organizational structure, mission, objectives, and terminology and management practices to recognize probable areas of communication to cross-reference controls. Evaluate methods and techniques in a business office to perform surveys of projects or office programs. They shall identify, categorize, and analyze quantitative data using business systems to associate effects of funding level to staffing levels and related office resource needs.
• General Legal Assistants - Shall possess, at a minimum, a high school diploma and shall have a minimum of three years’ experience working in a law office or equivalent legal operation. Researches and prepares cases relating to administrative appeals of civil service members. They shall have experience in dealing with the courts, bailiffs, law enforcement personnel, and other legal officials with whom they might come in contact. They shall be responsible for maintaining information about the OGC legal calendar, judge’s staff telephones and office addresses and information about local jurisdictions.
• Legal Secretary (I – IV) - At a minimum has a high school education. He/she assists lawyers by preparing legal papers and correspondence of a legal nature, such as summonses, complaints, motions and subpoenas using typewriter, computer/word processor. May review law journals and other legal publications to identify court decisions pertinent to pending cases and may present articles to attorneys. Candidate should have excellent secretarial skills coupled with basic knowledge of law and legal procedures. He/she must be computer literate and have a strong understanding of the English language.
• Executive Assistant - The Executive Assistant will support program/project management by performing such secretarial/administrative services as scheduling meetings; maintaining files;
preparing travel orders and vouchers; reserving conference rooms; receiving callers; assisting with graphics preparation and presentations; photocopying; completing reports; and other Assistant general office duties as assigned. He/she must be able to work independently and follow through to completion those duties assigned. Executive Assistants must be proficient in the MS Office Suite and be quick learners on varied computer software. The Executive Assistant must have a minimum of five years of experience.
• Senior Executive Assistant - Support program/project management by performing such secretarial/administrative services as scheduling meetings; maintaining files; preparing travel orders and vouchers; reserving conference rooms; receiving callers; assisting with graphics preparation and presentations; photocopying; completing reports; and other general office duties as assigned. He/she must be able to work independently and follow through to completion those duties\assigned. Senior Executive Assistants must be proficient in the MS Office Suite and be quick learners on varied computer software. The Senior Executive Assistant must have a minimum of eight years of experience.
• Legal Administrative Assistant - Experienced in legal office administration and developing graphic/artistic presentations for publications and documents. Supports program/project management by maintaining personnel and other files, prepares reports, resumes and other legal documentation.
Assists in graphics preparation and presentations. This person shall answer telephones, schedule meetings, make travel arrangements for senior staff, complete required reports and assemble legal information for briefings. Experienced in using automated word processing, graphics systems and spreadsheet applications. Minimum two years’ experience. High school graduate.
• Information Resource Specialist - Responsible for assisting with data collection systems, including assisting with data collection packets and materials; tracking status of data submissions; performing data entry; updating and maintaining program databases of directories and labels; serving as information support liaison for Information internet dissemination; responding to general requests for information bye-mails as well as other means; coordinating and tracking warehouse inventories of materials; using computerized tools and systems to efficiently manage information, including computerized templates and formatting database reports; coordinating with selected contractors to help ensure information responsibilities are efficient; and utilizing a wide range of software and automation equipment to support information and office functions. The Junior Information Resource Specialist must have a minimum of one year of experience.
• General Clerk - Performs any combination of the following and similar clerical duties requiring limited knowledge of systems or procedures: Writes, types, or enters information into computer, using keyboard, to prepare correspondence, bills, statements, receipts, checks, or other documents, copying information from one record to another. Proofreads records or forms. Counts, weighs, or measures material. Sorts and files records. Addresses envelopes or packages, stuffs envelopes, answers telephone, conveys messages, and runs errands. Stamps, sorts, and distributes mail.
Photocopies documents, using photocopier.
• Legal Records Clerk - Files, indexes and codes legal documents. Assists in quality check and proper storage of documents. Provides attorneys and legal staff with requested information on a daily basis. Relies on instructions and pre-established guidelines to perform the functions of the job. Works under immediate supervision. Typically reports to a supervisor.
2.4.3. Human Resources Support
• Senior Program Manager/Analyst - Training - Responsible for coordination with senior OGC managers, the Leadership Development Council and the Training Committee as necessary in developing mentoring programs, establishing the OGC Training Program, and writing policy and procedures to govern the newly established program. Oversight and administration of a 360-degree feedback instrument to include collection of individual data, final reports of findings, and identification of individual strengths and developmental needs targeted to participant Individual Development Plans (IDP=s). Oversight of and assistance with the development of staff IDP=s as the basis for training and assignment decisions. This activity includes tracking the accomplishment of IDP activities, and targeting formal training opportunities based on the IDP needs assessment. Coordination of vendor training across the HQ, Division and Regional office staff; liaison with HHS University to revise the training program for new employees and develop a quarterly training program for all employees.
Oversee OGC participation in executive development opportunities available through the Federal Executive Institute (FEI), the National Defense University (NDU), and other institutions.
• Senior Program Manager/Analyst - Performance Management - Responsible for assisting in the production of a Performance Management Plan and the development of performance metrics for performance work plans and supports the Department performance tool. Assists OGC managers in developing measurable performance metrics and accessing the performance management system and completing tasks in accordance with established HHS and OGC performance management policies and procedures. Develops the OGC Incentive Awards Program in accordance with federal, HHS, and OGC regulations and expectations, to include consideration of bargaining and non-bargaining unit parameter. Coordinates annual/semi-annual OGC Awards Ceremonies.
• Senior Program Manager/Analyst-Staffing Specialist - Responsible for developing position management, classification, and employment laws. Assists in the recruitment and retainment of highly skilled staff to carry out mission. Oversee workflow to ensure timeliness on processing human resources needs. Experience in developing position descriptions. Prepare and coordinate vacancy announcements.
• Analyst/Management Analyst - Responsible for a variety of comprehensive analytical assignments in support of program operations. The Management Analyst will be responsible for, but not necessarily limited to, performing the following duties: review and analyze procedures and operating policies to assess their effectiveness; provide evaluations, information, and written recommendations to effectively manage administrative operations; study, interpret, develop, and implement new and existing administrative directives; write instructions related to personnel matters based on established policies and procedures; respond to inquiries; research and resolve problems; analyze reports; and analyze procedures pertaining to a variety of administrative and personnel areas including, but not limited to: personnel actions, printing and reproduction, records management system, property management, telephone and personal equipment inventory, training, travel, and procurement. The Management Analyst generally works independently as part of a project team and may function as a task leader. The Management Analyst must have a minimum of three years of experience. An undergraduate degree is required. Four additional years of experience may be substituted for the undergraduate degree requirement.
• Junior Management/Business Analyst - Responsible for a variety of comprehensive analytical assignments in support of program operations. The Junior Management Analyst will be responsible for, but not necessarily limited to, performing the following duties: review and analyze procedures and operating policies to assess their effectiveness; provide evaluations, information, and written recommendations to effectively manage administrative operations; study, interpret, develop, and implement new and existing administrative directives; write instructions related to personnel makers based on established policies and procedures; respond to inquiries; research and resolve problems;
analyze reports; and analyze procedures pertaining to a variety of administrative and personnel areas including, but not limited to: personnel actions, printing and reproduction, records management system, property management, telephone and personal equipment inventory, training, travel, and procurement. The Junior Management Analyst generally works under the supervision of a more senior analyst. The Junior Management Analyst must have a minimum of one year of experience. An undergraduate degree is required. Four additional years of experience may be substituted for the undergraduate degree requirement.
2.4.4. Information Technology Support
• Business Analyst - Serves as a focal point for the installation and configuration of hardware and software on personal computers and for personal data assistants associated with assigned systems.
Assists with system analyses and recommends resolutions for complex IT issues affecting information security. Supports, coordinates and documents Federal Enterprise Architecture foundation technology. Assists in the testing and optimizing of the functionality of systems, networks and data. Assists with identifying and defining business or technical requirements for the design, development implementation, management and support of systems and networks. Prepares user help guides, system descriptions, technical specifications, and instruction guides to support organizational and IT initiatives. Conducts reviews with business users, business architects and system architects, leads and developers. Will be responsible for tasks as described in Section C.2.5 Information Technology Support above.
• Software Developer - Develops application software solutions that automate and integrate work processes.
2.4.5. Budget Support
• Budget Analyst - Ensures that budgets are formulated properly, presented in an accurate and professional manner that complies with appropriate instructions, regulations, and laws. Tracks and controls overhead expenses and reimbursement income from HHS components. Prepares and presents written and oral reports. Provides reviews, analysis, and edits of budget request estimates, including GPRA plans, to determine compliance with OMB and Departmental budgetary policy. Will be responsible for tasks as described in Section C.2.6 Budget Support above.
2.5 QUALITY ASSURANCE SURVEILLANCE PLAN (QASP)
The Government intends to utilize a Quality Assurance Surveillance Plan (QASP) for each BPA Call to monitor the quality of the Contractor’s performance. The oversight provided for in the QASP will help to ensure that service levels established in each BPA Call are achieved and maintained throughout the term of each BPA call. Further, the QASP provides the COR with a proactive way to avoid unacceptable or deficient performance, and provides verifiable input for the required Past Performance Information Assessments. The QASP will be developed by the quoter at the call order level and a final agreed upon QASP will be incorporated into the order at time of award. The QASP is a living document and may be updated by the Government as necessary.
2.6 HHS-CONTROLLED FACILITIES AND INFORMATION SYSTEMS SECURITY
(a) To perform the work specified herein, Contractor personnel are expected to have routine (1) physical access to an HHS-controlled facility; (2) logical access to an HHS-controlled information system; (3) access to sensitive HHS data or information, whether in an HHS-controlled information system or in hard copy; or (4) any combination of circumstances (1) through (3).
(b) To gain routine physical access to an HHS facility, logical access to an HHS-controlled information system, and/or access to sensitive data or information, the Contractor and its employees shall comply with Homeland Security Presidential Directive (HSPD)-12, Policy for a Common Identification Standard for Federal Employees and Contractors; Office of Management and Budget memorandum (M-05-24); and Federal Information Processing Standards Publication (FIPS PUB) Number 201; and with the personal identity verification and investigation procedures contained in the following documents:

(c) This contract/order will entail the following position sensitivity level(s): Level 1 - Minimum
(d) The personnel investigation procedures for Contractor personnel require that the Contractor prepare and submit background check/investigation forms based on the type of investigation required. The minimum Government investigation for a non-sensitive position is a National Agency Check and Inquiries (NACI) with fingerprinting. More restricted positions--i.e., those above non-sensitive, require more extensive documentation and investigation. The Contractor shall notify the Contracting Officer in advance when any new personnel, who are subject to a background check/investigation, will work under the contract and if they have previously been the subject of national agency checks or background investigations.
(e) Investigations are expensive and may delay performance, regardless of the outcome of the investigation. Delays associated with rejections and consequent re-investigations may not be excusable in accordance with the FAR clause, Excusable Delays--see FAR 52.249-14. Accordingly, the Contractor shall ensure that any additional employees whose names it submits for work under this contract have a reasonable chance for approval.
(f) Typically, the Government investigates personnel at no cost to the Contractor. However, multiple investigations for the same position may, at the Contracting Officer's discretion, justify reduction(s) in the contract price of no more than the cost of the additional investigation(s).
(g) The Contractor shall include language similar to this ``HHS-Controlled Facilities and Information Systems Security'' language in all subcontracts that require subcontractor personnel to have the same frequency and duration of (1) physical access to an HHS-controlled facility; (2) logical access to an HHS-controlled information system; (3) access to sensitive HHS data/information, whether in an HHS-controlled information system or in hard copy; or (4) any combination of circumstances (1) through (3).
(h) The Contractor shall direct inquiries, including requests for forms and assistance, to the Contracting Officer or designee.
(i) Within 7 calendar days after the Government's final acceptance of the work under this contract, or upon termination of the contract, the Contractor shall return all identification badges to the Contracting Officer or designee.''
3 SECTION 3 – PACKAGING AND MARKING

4 SECTION 4 – INSPECTION AND ACCEPTANCE
4.1 INSPECTION AND ACCEPTANCE (COMMERCIAL)
Pursuant to 52.212-4, all work described in the SOW/PWS/SOO to be delivered under this BPA is subject to final inspection and acceptance by an authorized representative of the Government. The authorized representative of the Government is the Government's COR, who is responsible for inspection and acceptance of all services, materials, or supplies to be provided by the Contractor.
5 SECTION 5 – DELIVERIES OR PERFORMANCE
5.1 PERIOD OF PERFORMANCE
The period of performance shall be for a base period of sixty (60) months with four, as follows:

5.3 OBSERVANCE OF FEDERAL HOLIDAYS
No services shall be performed at any Government site or deliveries made on the Federal holidays listed below. When a deliverable due date occurs on a weekend or Federal holiday, the deliverable will be due on the following Government business day. If the date falls on a Saturday, the Government holiday is the preceding Friday. If the date falls on a Sunday, the Government holiday is the following Monday. Any adjustments necessary due to a leap year will be coordinated between the Contractor and the COR.

In addition to the days designated as holidays, the Government observes the following days:

It is understood and agreed between the Government and the Contractor that observance of such days by Government personnel shall not otherwise be a reason for an additional period of performance, or entitlement of compensation except as set forth within the TO. In the event the Contractor's personnel work during the holiday, they may be reimbursed by the Contractor, however, no form of holiday or other premium compensation will be reimbursed either as a direct or indirect cost, other than their normal compensation for the time worked. This provision does not preclude reimbursement for authorized overtime work if applicable to this TO.
When the Federal, State, Local or other Governmental entity grants excused absence to its employees, assigned Contractor personnel may also be dismissed. The Contractor agrees to continue to provide sufficient personnel to perform critical tasks already in operation or scheduled, and must be guided by the instructions issued by the CO or COR.
If Government personnel are unavailable due to furlough or any other reason, the Contractor must contact the CO or the COTR to receive direction. It is the Government's decision as to whether the TO price/cost will be affected. Generally, the following situations apply:
(1) Contractor personnel who are able to continue TO performance (either on-site or at a site other than their normal workstation), must continue to work and the TO price shall not be reduced or increased.
(2) Contractor personnel who are not able to continue TO performance (e.g., support functions) may be asked to cease their work effort. This may result in a reduction to the TO price.

In fulfillment of this effort, the Contractor shall complete the following deliverables. All deliverables shall be submitted to the COR, unless otherwise agreed upon.
Paralegal and Legal Administrative Support Services, the Contractor shall work closely with the OGC Lead Attorney in various capacities to achieve TO goals. Deliverables may include, but are not limited to legal briefs, draft documentation, legal research, and on-going legal support services.
Human Resource Support, the Contractor shall work closely with the OGC HR staff in various capacities to achieve TO goals. Contractors will be expected to support the OGC HR staff responsible for implementing strategies and policies relating to the management of individuals. Deliverables may include, but are not limited to the development of the OGC training program, policy and procedures to govern newly established programs, performance metrics, position descriptions, and vacancy announcements.

6.1.2.1 Contracting Officers’ Representative Authority
(a) Performance of work under this BPA must be subject to the technical direction of the Contracting Officer’s Representative identified above, or a representative designated in writing. The term “technical direction” includes, without limitation, direction to the contractor that directs or redirects the labor effort, shifts the work between work areas or locations, fills in details and otherwise serves to ensure that tasks outlined in the work statement are accomplished satisfactorily.
(b) Technical direction must be within the scope of the specification(s)/work statement.
The Contracting Officer’s Representative does not have authority to issue technical direction that:
(1) Constitutes a change of assignment or additional work outside the specification(s)/statement of work;
(2) Constitutes a change as defined in the clause entitled “Changes”;
(3) In any manner causes an increase or decrease in the BPA price, or the time required for BPA performance;
(4) Changes any of the terms, conditions, or specification(s)/work statement of the BPA;
(5) Interferes with the contractor's right to perform under the terms and conditions of the BPA; or
(6) Directs, supervises or otherwise controls the actions of the contractor's employees.
