07 – PROVISIONS AND CLAUSES
This Solicitation incorporates one or more provisions and clauses by reference, as listed below, with the same force and effect as if they were given in full text. The full text of a provision or clause may be accessed electronically at this address: https://www.acquisition.gov/?q=browsefar.
7.1 The provision at 52.252-5, Authorized Deviations in Provisions (Apr 1984), applies to this solicitation, and is provided in full text as follows:
(a) The use in this solicitation of any Federal Acquisition Regulation (48 CFR Chapter 1) provision with an authorized deviation is indicated by the addition of “(DEVIATION)” after the date of the provision.
(b) The use in this solicitation of any Federal Acquisition Regulation (48 CFR Chapter
52) provision with an authorized deviation is indicated by the addition of
“(DEVIATION)” after the name of the regulation.
7.2 The provision at 52.212-1, Instructions to Offerors-Commercial Items (Jan 2017) (DEVIATION), applies to this solicitation.
7.3 The provision at 52.212-2, Evaluation-Commercial Items (Oct 2014), applies to this solicitation, and is incorporated into this solicitation by full text as follows:
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. Technical and past performance, when combined, are approximately equal when compared to price. The following factors shall be used to evaluate offers:
(I) TECHNICAL CAPABILITIES AND EXPERIENCE. Experience is differentiated from past performance in that it is factual, documented information about specific work the quoter has performed, which demonstrates the quoter’s technical ability to accomplish the work, including the relavent experience of Quoter’s key personnel. Quoter shall have minimum of 5 years’ experience in planting trees on public lands. Key personnel assigned to the project shall have a background in planting trees on public lands, and at least one key personnel shall have experience supervising/leading a field crew planting trees on public lands.
NOTE: The proposed key personnel is/are the individual(s) the Government expects to work with during performance of the contract. Should there need to be a change to contractor’s key personnel after award, the contractor shall notify the appointed
Contracting Officer’s Representative (COR) immediately. The contractor shall submit the proposed replacement key personnel resume(s) showing qualifications/experience specific to planting trees on public lands and at all times in performance of the project at least one of the key personnel shall have experience leading/supervising a crew planting trees on public lands. The newly proposed key personnel shall be approved by the COR.
(II) PAST PERFORMANCE. Past performance is the measure of the degree to which a contractor has satisfied its customers in the past. Past performance includes projects of comparable size and scope as described in the Scope of Work. The Government will evaluate past performance as a measure of the degree to which the quoter satisfied its customers in the past and complied with Federal, State, and Local laws and regulations. In the case of a quoter who states they have no record of relevant past performance or for whom information on past performance is not available, the quoter will not be evaluated favorable or unfavorably on past performance. Quoters are permitted to provide information on any problems encountered on the identified contracts and the Quoter’s corrective actions. The Government may contact https://www.acquisition.gov/?q=browsefar sources listed by the quoter and/or other sources of information including, but not limited to, Federal, State and Local governments, better business bureaus, published media, and electronic databases to determine if they believe that the Offeror:
a. Demonstrated the ability to maintain cost control, stay on schedule, and successfully meet project deadlines, including timely submittals and complete pay requests;
b. Has an excellent safety record;
c. Was capable, reasonable, and cooperative during the performance period;
d. Demonstrated high quality workmanship and performance conforming to the terms and conditions of the contract.
(III) PRICE. A price evaluation will be performed to determine the reasonableness of the proposed price. Reasonableness will be determined considering other competitive prices received and comparison to the Independent Government Estimate (IGE). The Government will look at whether a quoted price is too high and may also consider whether a quoted price is too low in relation to the level of effort proposed, since this might indicate a lack of technical understanding on the Quoter's part or a performance risk associated with the quotation that the agency may not be willing to accept. Whether a price is too high or too low may be considered in the context of comparison to other price quotes as well as to the
IGE or to any other information the contracting officer deems useful in his or her discretion.
If multiple contract line items are included in the price schedule, prices will also be evaluated to determine whether any line items are unbalanced. Quoters are cautioned to distribute costs appropriately. The intent is that what gets awarded is what is available for this entire project – there is no budget available for post award change orders.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the
Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
