(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records - Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement.
Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) of this paragraph in a subcontract for commercial items.
Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-
(i) 52.203-13, Contractor Code of Business Ethics and Conduct (OCT 2015) (41 U.S.C. 3509).

(a) The Contractor shall, at its own expense, provide and maintain during the entire performance of this contract, at least the kinds and minimum amounts of insurance required in the schedule or elsewhere in the contract.
(b) Before commencing work under this contract, the Contractor shall notify the Contracting Officer in writing that the required insurance has been obtained. The policies evidencing required insurance shall contain an endorsement to the effect that any cancellation or any material change adversely affecting the Government's interest shall not be effective (1) for such period as the laws of the State in which this contract is to be performed prescribe, or (2) until 30 days after the insurer or the Contractor gives written notice to the Contracting Officer, whichever period is longer.

(b) The Contracting Officer will designate a Contracting
Officer's Representative (COR) at time of award. The COR will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the https://acquisition.gov/
Contractor. Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.
(c) The COR is not authorized to perform, formally or informally, any of the following actions:

(2) Waive or agree to modification of the delivery schedule;

Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.
(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.
(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the COR.
(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor's risk.

Payment requests must be submitted electronically through the U. S. Department of the Treasury’s Invoice Processing Platform System (IPP).
"Payment request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice: Purchase order number, contract line item number(s), invoice number and amount.
The Contractor must use the IPP website to register access and use IPP for submitting requests for payment. STATEMENT OF WORK
Termite and Control services contract
1. Background. The National Park Service (NPS), Colonial National Historic Park (COLO). COLO currently uses termite bait stations with a non-liquid insecticide. Due to water tables and underground aquifers, it is hazardous to the ecosystems to use liquid insecticides. Liquids are limited to be used on historic structures and on National Park Service grounds that contain archeological findings. This contract is necessary to keep the buildings from getting infested with termites due to the high concentration of termites, damp soil conditions, and high humidity in this region. Use bait stations to protect buildings from termites in an environmentally friendly manner.
The facilities that have termite bait stations are located in the Village of Yorktown, Yorktown Maintenance area, and Jamestown.
Most of the facilities contain irreplaceable historic artifacts, historic landmarks, and workspaces.
The current bait station system has been in place at most of the buildings since approximately 2000-2001. Other buildings were added to the contract at various times since that date. It is unclear whether chemical barriers were used prior to 2000, but it is presumed that any potential chemical barriers are no longer providing protection.
2. Required Services.
Contractor will utilize current termite control service system bait stations.

If bait stations need to be replaced, this includes providing, installing and maintaining bait stations on the outer perimeter of all buildings, in accordance with the manufacturer’s guidance and directives.
Contractor will provide all necessary labor, equipment, materials, and supplies to protect forty-five (45) buildings.
Contractor will conduct bi-monthly inspections of the bait stations, looking for evidence of termite infestation. Prior to conducting bi-monthly bait station inspections, the Contractor shall give at least two (2) full business days’ notice to the primary or secondary Contracting Officer’s Representative (COR) who may, at their sole discretion, accompany the contractor.
Contractor will conduct an annual exterior and interior visual inspection of the buildings (to include basements and crawl spaces).
Prior to conducting the annual building inspections, the Contractor shall give at least twenty-one (21) calendar days’ notice to the primary or secondary COR. This will give the COR time to coordinate access to each building (some of which are leased to businesses, some have controlled access, and some are private COLO staff residences). The COR will accompany the contractor on all annual building inspections.
Contractor will inform COR about any trenching or other ground penetrating/disturbing activity. Any such activity must be scheduled through the COR at least ninety (90) calendar days in advance for consultation with and/or observation by the NPS Archeologist/Cultural Resources Manager (CRM). If the contractor finds any signs of termite infestation, the contractor responds and uses additional bait stations, or other appropriate methods to control termite infestation to eliminate the colony, this contract covers replacement of termite bait stations at no additional cost to the government.
Contractor is responsible for meeting all requirements of the Miss Utility program. Additionally, in the event of any archeological finds or uncovering of human remains, cease work in that area immediately and contact the COR.
The existing bait stations are not the property of the government and will be removed by the incumbent contractor at the termination of the existing contract.
New bait stations must be installed in the same locations currently in use. They must be the same shape and size so that no new digging is required, as many sites may be archaeologically sensitive.

3. Contractor Responsibilities:

5. Business Hours. The contractor shall coordinate specific on-site work schedule, during normal business hours, with the Contracting Officer, COR, ES. While on site, the ES or COR may be reached by mobile phone during normal business hours.
Contractor will be responsible for all travel related expenses for this project.
6. Management. The contractor shall manage the total work effort in accordance with effective and efficient management principles and safe working practices to ensure on-time completion of this contract.
7. Safety & Environmental Compliance.
The contractor shall comply with pertinent provisions of the Occupational Safety and Health Act (OSHA), and state, local, safety, laws.
The contractor shall comply with pertinent Environmental Protection Agency laws and regulations.
The Park safety officer has the authority to issue restraint or cease-and-desist orders to the contractor when violations or unsafe acts are present and threaten Government and contractor employees or damage to Government property.
The contractor shall immediately report to the District Representative, and COR all accidents resulting in employee injury or death or damage to property while performing this contract.
8. Insurance. The Contractor shall be insured in accordance with State of Virginia insurance regulations. The Government is not responsible for damage to Contractor’s equipment, vehicles, tools or materials or their employees and the personal property brought on-site. The Government will not accept any liability due to contractor employee negligence.
Workers Compensation: The contractor shall furnish proof of workers compensation insurance to the Contracting Officer for those employees performing work related to this contract and shall comply with the Workman’s Compensation Laws of the State of North Carolina.
Liability: The Contractor shall maintain a level of insurance that will protect the contractor and the Government from any claims as a result of bodily injury (including death) and property damage which may arise from and during the performance of this contract, and shall submit proof of insurance to the Contracting Officer.
9. Replacement of Contractor Employee for Security Reasons. The Government retains the right to request removal of the contractor’s employee(s), regardless of prior clearances.

10. Non-Payment for Additional Work. Any additional contractor performed services not specified in this contract, either at its own volition or at the request of an individual other than an appointed Contracting Officer, except as may be explicitly authorized in the contract, shall be performed at the financial risk of the contractor. Only an appointed Contracting Officer is authorized to bind the Government to a change in specifications, contract terms, or conditions.
11. Conflict of Interest. The contractor shall not employ off-duty COR’s or other Government employees if such employment would create a conflict of interest or be contrary to the policies contained in conflict-of-interest directives.
12. Quality Control. The contractor shall provide potential frameworks, templates, methodology to assist with decision process.
The Performance Requirements Summary establishes performance standards that are the minimum requirements for acceptable performance of required services. The contractor’s QCP shall address methods for remedying poor performance. The Contractor shall develop QCP and submit with solicitation package. The Contractor’s QCP includes:

13. Quality Assurance. The COR will monitor the contractor’s performance under this contract using the quality assurance procedures specified in the Government’s Quality Assurance Surveillance Plan (QASP). The QASP may be modified after contract award upon review and acceptance of the contractor’s QCP to ensure both plans are mutually supportive. The purpose of the QASP is to ensure that the required services are performed in accordance with the contract requirements. The plan ensures reliable and continued operation by precluding unnecessary complaints and unacceptable performance. Government’s QASP includes:
Acceptance of the contractor’s quality control plan Random inspection of the contractors work Communicating customer complaints Progress meetings with the contractor
The implementation of this QASP does not relieve the contractor of its responsibility to implement and abide by the QCP incorporated into this contract, and to provide acceptable performance of all required services listed herein. At the CO’s discretion, the contractor may incur a payment deduction for lack of compliance with the QCP, PWS or PRS.

(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Commercial and Government Entity (CAGE) Branch to identify a commercial or government entity; or
(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as a NATO CAGE (NCAGE) code.
Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.
Successor means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

52.212-2 Evaluation - Commercial Items. (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible quoter whose quote conforming to the solicitation will be most advantageous to the Government. Price, qualifications, past performance, and project approach factors shall be used to evaluate quotes:
Factor 1– Cost
The Vendor will be evaluated based on the cost .The award determination shall be based on technical and price factors, not necessarily the lowest price.
Factor 2 – Qualifications
1. Contractor and subcontractor personnel engaged in the activities specified by this contract shall be also required to possess certificates of training, licenses, and permits as required by the state, county, parish, city, and other local jurisdictions.
Factor 3 – Past Performance
Ensure correct phone numbers and email addresses are provided for all client points of contact.
Submit a copy of references.
1. Provide three client references (from within the two past years)
2. Provide the client’s name, as well as address and telephone number for a point of contact who can provide information regarding the Vendor’s role on the providing services.

(b) Options. The Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that a quote is unacceptable if the option prices are significantly unbalanced.
