FWS

This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested and a separate written solicitation will not be issued.

U.S. Fish and Wildlife Service is issuing a request for Quotes for Naval architect consultant services for Chipps trawler Services located at FWS Lodi Fish and Wildlife Office Lodi CA. The anticipated performance period is from 06/3/2024-6/2/2025. The performance period includes a one-year Base period and 2 one-year option periods (if Exercised).

This Request for Quotation (RFQ) is a TOTAL SMALL BUSINESS SET ASIDE and is conducted under the procedures of FAR Parts 12 and 13, incorporating provisions and clauses in effect through Federal Acquisition Circular 2022-06. The NAICS code is 541330 and the small business size standard is $39.5 Million.

Instructions All responsible small business sources may submit a quote, which shall be considered by the agency. Award will be made as a firm-fixed-price contract. The basis of award is the tradeoff method, where consideration of price and the additional evaluation factors described on the next page will result in the selection of the quote most beneficial to the government. Award will be made to a responsible source pursuant to FAR subpart 9.1. Offers will be evaluated in accordance with FAR provision 52.212-2 – Evaluation -- Commercial Items. See requirements on page 2 & 3.

PERFORMANCE WORK STATEMENT (PWS)

Lodi Fish and Wildlife Office (LFWO) Research Vessel Trawler Acquisition Consultation Services

Part 1

General Information

1. GENERAL: This is a non-personnel services: Contractor shall provide services of a Naval Architect or approved equal to advise LFWO on the design, assessment of bids, monitoring of build, and water test of a 40’-45’ research vessel trawler. The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.

1.1 Description of Services/Introduction: The contractor shall provide all personnel, supervision, and other items and non-personal services necessary to perform consultation services as defined in this Performance Work Statement (PWS) except for those items specified as government furnished property and services. The contractor shall perform to the standards in this contract.

1.2 Background: The LFWO is seeking to acquire a research vessel trawler similar in design to our current R/V Confluence. This trawler is needed to support U.S. Fish and Wildlife Service’s (USFWS) contractual obligations for biological sampling and monitoring of the California Delta and San Francisco Estuary by the Lodi Fish and Wildlife Office (LFWO). There is currently only one vessel in our fleet capable of performing the required sampling operations at our Chipps Island site as part of our Delta Juvenile Fish Monitoring Program. A second trawler is needed to increase resiliency and reduce the number of missed sampling days as R/V Confluence is approximately 17 years old.

1.3 Objectives:

1.3.1 Advise LFWO on the specifications and design of a vessel to meet our sampling objectives prior to submitting a solicitation for shipyard bids via SAM.gov.

1.3.2 Assist LFWO in the evaluation and assessment of shipyard bids received.

1.3.3 Monitor and inspect the build progress of the trawler in conjunction with LFWO personnel.

1.3.4 Perform sea trials with shipyard and LFWO personnel.

1.4 Scope: Contractor shall provide all personnel, equipment, software, and perform all necessary services to accomplish the objectives listed above. The contractor will use specifications from R/V Confluence and LFWO in the design of the trawler.

1.5 Period of Performance: 6/3/2024 to 6/2/2025 with two (2) 12-month option pending acquisition progress.

1.6 General Information

1.6.1 Quality Control: The contractor shall develop and maintain an effective quality control program to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s quality control program is the means by which he assures himself that his work complies with the requirement of the contract.

1.6.2 Quality Assurance: The government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is primarily focused on what the Government must do to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).

1.6.3 Recognized Holidays: Contractor is not required to perform services on holidays.

1.6.5 Place of Performance: The work to be performed under this contract will be performed at a variety of locations. Design and assessment can be done remotely. Monitoring, inspecting and sea trials will be done at or near the shipyard selected, which may require travel and overnight stays.

1.6.10 Contracting Officer Representative (COR): The (COR) will be identified by separate letter.

The COR monitors all technical aspects of the contract and assists in contract administration The COR is authorized to perform the following functions: assure that the Contractor performs the technical requirements of the contract: perform inspections necessary in connection with contract performance: maintain written and oral communications with the Contractor concerning technical aspects of the contract: issue written interpretations of technical requirements, including Government drawings, designs, specifications: monitor Contractor's performance and notifies both the Contracting Officer and Contractor of any deficiencies;

coordinate availability of government furnished property, and provide site entry of Contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.

DEFINITIONS & ACRONYMS

2. DEFINITIONS AND ACRONYMS:

2.1. DEFINITIONS:

2.1.1. CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the government. The term used in this contract refers to the prime.

2.1.2. CONTRACTING OFFICER. A person with authority to enter, administer, and or terminate contracts, and make related determinations and findings on behalf of the government. Note:

The only individual who can legally bind the government.

2.1.3. CONTRACTING OFFICER'S REPRESENTATIVE (COR). An employee of the U.S. Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor if that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.

2.1.4. DEFECTIVE SERVICE. A service output that does not meet the standard of performance associated with the Performance Work Statement.

2.1.5. DELIVERABLE. Anything that can be physically delivered but may include non-manufactured things such as meeting minutes or reports.

2.1.6. KEY PERSONNEL. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS. When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.

2.1.7. PHYSICAL SECURITY. Actions that prevent the loss or damage of Government property.

2.1.8. QUALITY ASSURANCE. The government procedures to verify that services being performed by the Contractor are performed according to acceptable standards.

2.1.9. QUALITY ASSURANCE Surveillance Plan (QASP). An organized written document specifying the surveillance methodology to be used for surveillance of contractor performance.

2.1.10. QUALITY CONTROL. All necessary measures taken by the Contractor to assure that the quality of an end product or service shall meet contract requirements.

2.1.11. SUBCONTRACTOR. One that enters into a contract with a prime contractor. The Government does not have privity of contract with the subcontractor.

3.5 Materials: R/V Confluence specifications, LFWO trawler desired specifications, photos, shipyard bids (once received), and any other documents required by consultant to better fulfill this contract’s objectives.

PART 4

CONTRACTOR FURNISHED ITEMS AND SERVICES

4. CONTRACTOR FURNISHED ITEMS AND RESPONSIBILITIES:

4.1 General: The Contractor shall furnish all personnel, supplies, equipment, software and services required to perform work under this contract that are not listed under Section 3 of this

PWS.

4.2 Secret Facility Clearance: Not Applicable

4.3. Material: The Contractor shall furnish materials, supplies, and equipment necessary to meet the requirements under this PWS. The Contractor will provide LFWO with all designs, drawings, and any other documents used or created during this contract.

4.4. Equipment: The Contractor shall furnish any equipment required by the Naval Architect or approved equal to perform their consultation services.

PART 5

SPECIFIC TASKS

5. Specific Tasks:

5.1. Advise and Prepare Technical Specifications of Trawler. The contractor shall provide a Naval Architect or approved equal to advise LFWO in the design of a 40’-45’ research vessel trawler.

Contractor will prepare a technical specification to provide to shipyards as part LFWO solicitation. Contractor will use R/V Confluence specifications along with LFWO desired specifications in the design of the technical specifications.

5.2. Evaluate Shipyard Bids. The Contractor shall assist in the evaluation of bids received for the building of the trawler. Contractor will assist LFWO in the selection of a bid that best meets specifications, durability, performance, and competitive pricing. Final selection will be the responsibility of LFWO.

5.3 Monitor and Inspect Trawler Build. The Contractor will provide LFWO representation during construction and monitor all shipyard/LFWO correspondence and provide technical feedback.

The Contractor shall provide a Naval Architect or approved equal to travel to selected shipyard to monitor and inspect the building process at regular intervals with LFWO personnel.

Appropriate intervals will be identified in consultation with Naval Architect or approved equal and the chosen shipyard.

5.4 Dock and Sea Trials. The Contractor shall travel to the shipyard and perform all necessary tests and sea trials with LFWO personnel and builder personnel providing technical feedback.

Location and body of water will be chosen based on shipyard location and in consultation with shipyard, LFWO, and consultant.

Performance Requirements Summary The contractor service requirements are summarized into performance objectives that relate directly to mission essential items. The performance threshold briefly describes the minimum acceptable levels of service required for each requirement. These thresholds are critical to mission success.

The contractor shall assist LFWO in evaluating bids received for building of trawler.

The contractor shall identify bids that best meet specifications, performance, durability, resiliency and competitive pricing (in that order).

The contractor shall monitor build progress and represent LFWO’s interests. Inspect boat at intervals to be determined by contractor, LFWO, and shipyard.

The contractor shall monitor all correspondence between LFWO and shipyard. The contractor will provide technical feedback throughout the build process. The contractor will provide a Naval Architect or approved equivalent to travel to shipyard at specified intervals with LFWO personnel to inspect progress and identify any potential problems.

The contractor shall perform dock and sea trials with shipyard and LFWO personnel at a location to be determined once shipyard contract has been awarded.

The contractor shall provide feedback during testing and identify potential problems to be fixed by shipyard prior to delivery to LFWO.

Local Clauses

USFWS R7 Environmentally Preferable and Energy-Efficient Products and Services Policy

Whenever cost effective, the contractor should provide products and/or services that are energy efficient, promote water conservation and are bio-based. The use of nonhazardous and recovered materials is encouraged.

Electronic Invoicing and Payment Requirements – Invoice Processing Platform (IPP)

Payment requests must be submitted electronically through the U.S. Department of the Treasury’s Invoice Processing Platform System (IPP).

“Payment request” means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions – Commercial Items included in commercial item contracts. The IPP website address is: https://www.ipp.gov.

Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice:

1. Invoice billed according to contract line items and rates.

2. If final payment is billed, the last invoice shall state “FINAL”

The Contractor must use the IPP website to register access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contract (as listed in SAM) will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) prior to the contract award date, but no more than 3 – 5 business days of the contract award date. Contractor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email IPPCustomerSupport@fiscal.treasury.gov or phone (866) 973-3131.

If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.

The Government may require continued performance of any services within the limits and at the rates specified in the contract. (a) The Government may extend the term of this contract by written notice to the Contractor within 60 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.

(d) Comptroller General Examination of Record. DIAR 1452.215-71 USE AND DISCLOSURE OF PROPOSAL INFORMATION -- DEPARTMENT OF THE INTERIOR

(APR 1984)

(a) Definitions. For the purposes of this provision and the Freedom of Information Act (5 U.S.C. 552), the following terms shall have the meaning set forth below:

(1) "Trade Secret" means an unpatented, secret, commercially valuable plan, appliance, formula, or process, which is used for making, preparing, compounding, treating or processing articles or materials which are trade commodities.

(2) "Confidential commercial or financial information" means any business information (other than trade secrets) which is exempt from the mandatory disclosure requirement of the Freedom of Information Act, 5 U.S.C. 552. Exemptions from mandatory disclosure which may be applicable to business information contained in proposals include exemption (4), which covers "commercial and financial information obtained from a person and privileged or confidential," and exemption (9), which covers "geological and geophysical information, including maps, concerning wells."

(b) If the offeror, or its subcontractor(s), believes that the proposal contains trade secrets or confidential commercial or financial information exempt from disclosure under the Freedom of Information Act, (5 U.S.C.

552), the cover page of each copy of the proposal shall be marked with the following legend:

"The information specifically identified on pages ______ of this proposal constitutes trade secrets or confidential commercial and financial information which the offeror believes to be exempt from disclosure under the Freedom of Information Act. The offeror requests that this information not be disclosed to the public, except as may be required by law. (f) The Government assumes no liability for the disclosure or use of information contained in a proposal if not marked in accordance with paragraphs (b) and (c) of this provision. If a request under the Freedom of Information Act is made for information in a proposal not marked in accordance with paragraphs (b) and

(c) of this provision, the offeror concerned shall be promptly notified of the request and given an opportunity to provide its position to the Government. (a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

There will be one order awarded to the party whose proposal is responsive to the solicitation and is determined to be the best value to the government. Selection of the best value will be achieved through a process of evaluating each proposal against the Evaluation Criteria described below. Proposals will be evaluated on and must include the following: 1. Past Experience and Performance : A. Past experience and demonstrated past performance with providing Naval Architect services to include advising/consulting on design, assessment of bids, monitoring of builds, and testing of research vessel trawlers. B. Past experience and demonstrated past performance with providing Naval Architect Services. C. List 4 Naval Architect Consulting projects the Project Manager has managed during the last four (4) years. Provide the name and location of the offices for which the work was completed. Include a point of contact (name and telephone number) for the Project Manager for those projects. D. Ability and past performance in being flexible and adaptive to meet tight schedules (timeliness), control costs, and balance workloads. Include brief examples involving the project manager and proposed core team members. 2. Technical Capabilities : A. The proposal must demonstrate the Project Manager, contractor staff and subcontractor experience and expertise with the Naval Architect consulting process, including reviewing and consulting on the design, assessment of bids, monitoring of build, and water test of research vessel trawlers for biological monitoring. Include suggestions and methodology for efficiently accomplishing these tasks. B.

Demonstrate the adequacy of the proposed staffing (Project Manager, core team members, and other staffing), including the appropriate size, skill levels, and experience with Naval Architect consulting services for federal agencies effectively and efficiently complete the project within the specified timeframe. At a minimum, include the following: 1. Resumes of key personnel: Project manager and the core team. 2. List any subcontractors or teaming the prime contractor plans to use. Provide their relevant experience, or a resume. (Any subcontractors or contractor teaming used on the project, who are not listed on the proposal, must be approved by the Service). 3. Demonstrate a commitment to assign the listed personnel and subcontractors to this project, for the duration of this project. If any personnel or subcontractor listed should leave your company (or if subcontractors should depart), show an understanding that they will be replaced by equally qualified personnel, and will be subject to Service approval.
