This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation;

quotes are being requested and a written solicitation will not be issued. This is a request for quote in accordance with FAR part 12, Commercial Items and FAR part 13.5, Simplified Acquisition Procedures. 8. INVOICE INSTRUCTIONS

Payment requests shall be submitted electronically through the U.S. Department of the Treasury's Internet Payment Platform System (IPP). The IPP website address is: https://www.ipp.gov To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts.

At a minimum a proper invoice shall include:

- Name and address of the Contractor;

- Invoice date and number;

- BIE Contract number:

- Description, quantity, unit of measure, unit price and extended price of the items delivered.

- Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading.

- Terms of any discount for prompt payment offered;

- Name and address of official to whom payment is to be sent;

- Name, title, e-mail and phone number of person to notify in event of defective invoice; and

- Taxpayer Identification Number.

Additional Invoice Requirements:

a. The Contractor shall attach an itemized invoice to each IPP payment request.

b. Invoices shall be submitted on a monthly basis.

c. Improper invoices may result in rejection of a payment request.

The Contractor shall promptly correct invoices upon notice of rejection.

The Contractor must use the IPP website to register access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in SAM) will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) within 3 - 5 business days of the contract award date. If the company SAM registration Point of Contact information is not current or correct, the designated company representative may not receive the email notice. Contractor assistance with enrollment or technical support can be obtained by contacting the IPP Production Helpdesk via email IPPCustomerSupport@fiscal.treasury.gov or phone (866) 973-3131.

If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.

9. Contractor Performance Assessment Reporting System (CPARS)

Pursuant to FAR 42.1502, the Government shall conduct Contractor performance evaluations. Performance evaluations shall be entered into CPARS within 60 days after the end of a performance period. The Government may complete an interim or final past performance evaluation, and the evaluation will be accessible at https://www.cpars.gov/. The designated Contractor representative may provide comments in response to the evaluation or return the evaluation without comment.

Response is due within 60 calendar days after receipt of a CPARS notice. If the Contractor would like to discuss a past

Project Title performance evaluation, a meeting request shall be submitted in writing to the CO no later than seven (7) days following the receipt of an evaluation. The meeting will be held via conference call during the 60-day review period.

10. CONTRACT CLOSEOUT

The contract closeout process shall begin as soon as possible after the contract is physically completed.

This means that the contractor has delivered the required supplies/services and the Government has inspected and accepted them. At the outset of this process, the Contractor and Government shall review the contract funds status of any excess funds the Government might de-obligate.

Partial Closeout: Upon expiration of a contract line-item number (CLIN) the Contractor and Government shall perform partial closeout to de-obligate excess funds, as applicable. The Government will execute a bilateral modification and present it to the Contractor for signature. The Contractor shall review and process the modification in a timely manner. In the event of a discrepancy, the Contractor shall promptly notify and work with the Government to quickly resolve the discrepancy to allow for closeout.

Final Closeout: Upon expiration of the contract, base year and each exercised option, the Contractor and Government shall commence with final contract closeout. The Government will execute a bilateral modification to de-obligate excess funds and present to the Contractor for signature. The Contractor shall review and process the modification in a timely manner. In the event of a discrepancy, the Contractor shall promptly notify and work with the Government to quickly resolve the discrepancy to allow for closeout.

CPARS: If the contract is subject to Contractor Performance Assessment Reporting, the Contractor shall ensure that full cooperation is being provided to allow for timely completion if performance evaluations.

Payment and Claims: To allow for timely closeout, the Contractor shall submit all invoices, credits, and claims in a timely manner during contract performance as well as submit a final invoice upon completion of the base year and each exercised option year. The Contractor shall actively monitor invoices or claims submitted to the Government to ensure all payments due were received.

(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.

(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award. The COR will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the Contractor. Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.

(c) The COR is not authorized to perform, formally or informally, any of the following actions:

(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;

(2) Waive or agree to modification of the delivery schedule;

(3) Make any final decision on any contract matter subject to the Disputes Clause;

(4) Terminate, for any reason, the Contractor's right to proceed;

(5) Obligate in any way, the payment of money by the Government.

(d) The Contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum. The Contractor need not proceed with direction that it considers to have been issued without proper authority. The Contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the Contractor considers to exceed the COR's appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.

(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.

(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the COR.

(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor's risk. (End of clause)

1452.228-70 Liability Insurance. (Jul 1996)

(a) The Contractor shall procure and maintain during the term of this contract and any extension thereof liability insurance in form satisfactory to the Contracting Officer by an insurance company which is acceptable to the Contracting Officer. The named insured parties under the policy shall be the Contractor and the United States of America. The amounts of the insurance shall be not less than as follows:

(b) Each policy shall have a certificate evidencing the insurance coverage. The certificate shall identify the contract number, the name and address of the Contracting Officer, as well as the insured, the policy number, and a brief description of contract services to be performed. (d) Comptroller General Examination of Record. Background

This contract is for solid waste services at various schools in Belcourt, ND. The school or program service falls under the Department of the Interior, Bureau of Indian Education. The location of service is within the tribal reservation boundary of Turtle Mountain Band of Chippewa Indians of North Dakota, Rolette County.

Statement of Work

The Contractor shall provide solid waste collection services at the BIE Turtle Mountain Schools.

This includes pick-up, haul, dump, and cleaning of waste receptacles at various locations on campus.

Services shall be provided in accordance with all applicable laws and regulations as it relates to solid waste services within the state of North Dakota.

General Requirements:

Check-In: The contractor/subcontractor shall check-in with security prior to trash collection and sign/date/time stamp the visitor check-in list.

Containers (bins): The contractor shall provide waste bins. Standard commercial industry type of heavy gauge metal construction, with lids, and designed for mechanized handling. The contractor shall maintain, clean, and replace any damaged lids or bins with holes, as identified and reported by the COR. All lids to the bins shall be closed each time the bins are emptied and set back down in its designated place.

Disposal: The contractor shall disposal of all trash at appropriate landfills or sites designated for solid waste.

The disposal site shall be code compliant in accordance with city, county, state, federal, regulations and laws as it pertains to solid waste landfills or disposal sites.

Schedule:

Routine services shall be performed between Monday through Friday from 6:00 a.m. to 6:30 p.m. When it is necessary to perform work outside of the regular working hours the contractor shall notify the COR at least forty-eight (48) hours in advance to obtain approval.

Removal time and frequency may be altered to meet the needs of the government.

In the event of inclement weather, federal/state/local holidays, or special events which prevents service from occurring on a scheduled day the contractor shall provide service on the next available business day.

Contractor Vehicles:

The contractor shall possess and utilize vehicles specifically designed for refuse collection and disposal.

Vehicles shall be compliant with applicable laws and regulations as required by the state of North Dakota and EPA.

Vehicles shall be equipped in a manner which prevents loss of trash, debris, and spillage during transport.

Permits / Licensure:

The Contractor/subcontractor shall possess and maintain permits & licensure, as applicable, to transport and dispose of solid waste.

Cleanliness of Collection Area:

Collection stations shall be left in a neat and orderly manner. All solid waste in the vicinity of the collection areas, including spillage and debris left in the area by the contractor, shall be picked up by the contractor.

Minimum Qualifications:

The contractor shall ensure that drivers have a valid driver’s license. The contractor shall meet the Environmental and OSHA requirements; be under Executive Order 134.23, Strengthening Federal Environmental, Energy, and Transportation Management; and follow the Environmental Management System (EMS) required by EPA.

Workplace Safety:

1. Due to the nature of the educational environment of the facility and daily operations, all work shall be under common safe work practice according to OSHA for Safety and Health Programs to prevent accidents or injuries.

2. The contractor shall comply with all applicable Federal laws, and with such additional measures, the COR may determine to be necessary. The contractor is required to implement a ZERO INJURY PROGRAM for these services.

3. Safety and Security. Contractor Employee Identification. All drivers must wear identifying apparel with the company logo visible. The contractor’s logo shall be visible on all vehicles used in the performance of this service. The contractor shall show a valid North Dakota State photo ID for review to security/school official, upon request.

Reporting:

The Contractor shall provide evidence “receipts” of waste disposal from a state authorized solid waste landfill or disposal site.

Documentation shall include disposal site company name, address, telephone number, date of disposal, time of disposal, printed name, and signature of disposal site representative. The contractor shall provide a monthly report which lists the total tonnage of solid waste collected & disposed. The reports, receipts, and supporting documents shall be made available to the COR by the 10th of each month.

Review and Approval:

The COR or POC shall review and approve services during the duration of the scheduled work (i.e., COR will notify the contractor of performance issues such as but not limited to bin lids are not closed after service or damaged and when debris has fallen out of the bin during pick-up and not cleaned up, etc.).

52.204-17 Ownership or Control of Offeror. (AUG 2020)

(a) Definitions. As used in this provision– Commercial and Government Entity (CAGE) code means–

(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Commercial and Government Entity (CAGE) Branch to identify a commercial or government entity by unique location; or

(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as a NATO CAGE (NCAGE) code.

Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

(b) The Offeror represents that it □ has or □ does not have an immediate owner. If the Offeror has more than one immediate owner (such as a joint venture), then the Offeror shall respond to paragraph (c) and if applicable, paragraph (d) of this provision for each participant in the joint venture.

52.204-20 Predecessor of Offeror. (AUG 2020)

(a) Definitions. As used in this provision– Commercial and Government Entity (CAGE) code means–

Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.

Successor means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
