This is a request for proposals (RFP) in accordance with FAR Part 12, Acquisition of Commercial Products and Commercial Services, FAR Part 15, Contracting by Negotiation, and FAR Part 16, Types of Contracts. This solicitation is for Adjunct Instructors and Professional Tutoring Services for Haskell Indian Nations University (HINU) located at Lawrence, KS. Each trimester will be funded on individual Task Orders.

This requirement is set-aside for 100% Indian-Owned Small Business Economic Enterprises (ISBEE).

The Department of the Interior (DOI), Bureau of Indian Education (BIE), Division of Acquisitions anticipates awarding an Indefinite Delivery – Indefinite Quantity (IDIQ) contract with Firm Fixed

Price (FFP) CLINs for Adjunct Instructors & Professional Tutors at HINU as a result of this opportunity.

B.6. PRICE SCHEDULE

The total annual Amount identified is considered to be an all-inclusive rate. All-inclusive is defined as all cost/expenses to include but not limited to labor, supplies, materials, Federal/Local/State tax, travel, and all other fees necessary to complete the work.

In addition to the providing the Total Annual Amount & Grand Total below, the Offeror shall furnish a price breakdown as referenced in Attachment No. 3 – Course Listing per Credit Hour Price List.

D.1. PAYMENT OF POSTAGE AND FEES

All postage and fees related to submitting information forms, reports, etc., to the Contracting

Officer or the Contracting Officer’s Representative shall be paid by the contractor.

D.2. MARKING

All information submitted to the Contracting Officer or to the Contracting Officer’s

Representative shall clearly indicate the Contract Number of the contract for which the information is being submitted.

D.3. PACKAGING

All shipments of materials, equipment and/or supplies to the project site shall be addressed to the Contractor and not the Government. Preservation, packaging and packing shall be in accordance with standard practices for commercial packaging.

Government personnel are not authorized to accept deliveries for the contractor, nor are they responsible for off-loading shipments. A contractor representative must be present to accept deliveries.

G.2. ORDERING PROCEDURES

The government anticipates issuing task orders against the IDIQ contract to fulfill their need prior to beginning of each trimester. The task orders issued, and quantities identified are estimates only and the contractor is entitled to payment for actuals provided/delivered under each order.

The orders shall be governed by and written in accordance with, all terms and conditions of this Indefinite

Delivery – Indefinite Quantity contract, as well as all applicable attachments to this document. The ordering limitations and Government’s and Contractor’s responsibilities are outlined in the following

FAR clauses: FAR 52.216-18, FAR 52.216-19, and FAR 52.216-22.

Each order issued against this contract shall contain the following information:

• Date of order.

• Contract number and order number.

• For supplies and services, line item number, subline item number (if applicable), description, quantity, and unit price or estimated cost and fee (as applicable). The corresponding line item number and subline item number from the base contract shall also be included.

• Delivery or performance schedule.

• Accounting and appropriation data.

In the instance a discrepancy arises between the terms and conditions of an individual order and the terms and conditions of this contract, the terms and conditions of this contract shall take precedence in resolving the discrepancy.

Nations University acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the

Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement.

Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)

(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph

52.216-8 Ordering (Aug 2020)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of task orders by the individuals or activities designated in the Schedule. Such orders may be issued from January 1, 2025 through July 31, 2029.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered "issued":

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

52.216-19 Order Limitations (Oct 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $10,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor-

(1) Any order for a single item in excess of $2,000,000.00;

(2) Any order for a combination of items in excess of $2,000,000.00; or

(3) A series of orders from the same ordering office within 10 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.
