ADDENDUM TO 52.212-1, INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS

1. SPECIAL NOTICE TO CONTRACTORS

The Government intends to evaluate quote and award a contract without discussions. The Government intends to make award to the offeror that presents the quote that provides the best value and is the most advantageous to the Government, in accordance with FAR Part 13 procedures. Therefore, the Contractor’s initial quote should contain the Contractor’s best terms from a technical and price standpoint. The Government reserves the right to conduct discussions if the CO (Contracting Officer) later determines them to be necessary.

1.1 Quote shall clearly demonstrate that the Contractor understands both the general and specific technical requirements of the Performance of Work Statement (PWS).

1.1.1 Failure to explain Contractor’s ability to meet all requirements may result in the Contractor's quotation not being considered. Clarity and completeness of quotations are of the utmost importance. Therefore, quotations must be written in a practical, clear, and concise manner.

1.1.2 Quotes which merely restate the requirement or state that the requirement will be met without providing supporting rationale are not sufficient.

1.2 This requirement is being awarded utilizing the procedures established in FAR Part 13 procedures.

1.3 Contractor’s may be asked to clarify certain aspects of their quote to resolve minor or clerical errors and will not constitute discussions.

1.4 Upon receipt, all quotations become Government property. In accordance with FAR Subpart

4.8 (Government Contract Files), the Government will retain the original of all unsuccessful quotations. Unless the Contractor requests otherwise, the Government will destroy remaining copies of such unsuccessful quotations.

1.5 Request for Quote (RFQ) pricing for base and option contract line item numbers (CLINs).

1.5.1 The Contractor agrees to hold the prices in its quotation firm for 120 calendar days from the date specified for receipt of quotations unless another time is specified in an addendum to the solicitation. Any quotation providing less that the specified acceptance period will be considered non-responsive, will not be evaluated, and will be ineligible for award.

1.6 Pre-Proposal Conference and Site Visit.

1.6.1 As indicated in clause 1352.270-71, Pre-bid/Pre-proposal Conference and Site Visit the Government is conducting a site visit/pre-proposal conference during which potential contractors may obtain a better understanding of the work required. Contractors are strongly urged to attend to fully inform themselves about the location and conditions under which the work is to be performed. The site visit will be held at 11:00 AM MST on 06 Dec 2022. All site visit attendees will meet at the ditch in front of the NOAA Observatory building.

1.6.2 NIST Boulder is a secure facility. Potential contractors are to provide a list of individuals planning to attend the site visit to the Contracting Officer (CO) Julie.morris@nist.gov no later than 10:00 AM Mountain, 01 Dec 2022, to ensure the names are added to the access list at the front gate. If this information is not sent as required, personnel will be denied entry onto the campus. NOTE: Attendees must be US Citizens.

Allow 45 minutes for processing.

Site Visit attendees will be required to comply with NIST visitor and Contractor Protocols for Mitigating COVID-19 Exposure on NIST Campuses. Further information can be accessed at:

https://www.nist.gov/about-nist/visit/nist-visitor-and-contractor-protocols-mitigating-covid-19-exposure-nist-campuses

1.6.3 Contractors are cautioned that, notwithstanding any remarks, clarifications, or responses given at the site visit, all terms and conditions of this solicitation remain

PAGE 14 OF 55 1333ND23QNB190029

unchanged unless they are changed by amendment (See 2.3). Additionally, it is the responsibility of each Contractor, prior to submission of its quotation, to seek clarification of any ambiguity created by amendment of the solicitation.

2. INQUIRIES AND QUESTIONS

2.1 The CO is the only approved point of contact for this acquisition. Address any questions or concerns you may have to the CO via e-mail to: julie.morris@nist.gov.

2.2 All requests for clarification, inquiries, and questions concerning this solicitation shall be submitted in writing via e-mail to: julie.morris@nist.gov by 10:00 AM MST, 13 Dec 2022.

2.3 All questions and responses to questions shall be provided, in writing, without identification of the questioner. Questions and responses will be published to Contract Opportunities (sam.gov) in the form of an amendment to the solicitation. Even if provided in other form, only the question responses included in the amendment(s) to the solicitation will govern performance of the contract.

3. SOLICITATION RESPONSE REQUIREMENTS

3.1 The Government will evaluate quotations based on comparative analysis between all quotes received in consideration of the factors and requirements outlined in this RFQ.

3.1.1 Any quotation that does not provide sufficient detail to meet the stated solicitation requirements or performance objectives will be considered ineligible for award unless the deficiency is corrected through discussions (See paragraph 1).

3.2 QUOTATION REQUIREMENTS

3.2.1 Quotations are expected to conform to solicitation provisions and be prepared in accordance with this section. To aid in evaluation, the quotation shall be clearly and concisely written, neatly presented, indexed (cross-indexed as appropriate), and assembled as required by this instruction to offerors. All pages of each part shall be appropriately numbered and identified with the name of the Contractor, the date of the quotation, and the solicitation number.

3.2.2 Format. Text shall be single-spaced, and able to fit on 8½” x 11”, with a minimum one-inch margin all around (should the Government need to print). Each page with content shall count as a single page. Pages shall be numbered consecutively. Text shall be no smaller than 11 font. Bolding, underlining, and italics may be used to identify topic demarcations or points of emphasis. Graphic presentations, including tables, while not subject to the same font size and spacing requirements, shall have spacing and text that is easily readable.

3.2.3 Restriction of Disclosure/Proprietary Information. If the Contractor wishes to restrict the disclosure or use of its quotation, use the legend permitted by FAR 52.215- 1(e). Individual subcontractor/vendor proprietary information may be submitted via separate binders. The information contained in these binders must be referenced (by binder title, page, and section number as appropriate) within the main quotation where the information would have been included if it were not subcontractor/vendor proprietary. The information in these separate binders is subject to all other requirements of the RFQ, will be included in the page count for the appropriate volume, and must be well-marked to clearly indicate any special handling instructions.

3.2.4 The Contractor shall submit one (1) electronic version compatible with the Microsoft Office 2016 Software Suite and/or Adobe Acrobat (PDF), by email.

3.2.5 Submission Address. Quotes are due by email to julie.morris@nist.gov.

FACSIMILE QUOTATIONS ARE NOT AUTHORIZED

ADDENEDUM TO 52.212-2 EVALUATION – COMMERCIAL ITEMS

I GENERAL

1. The Government anticipates awarding a firm-fixed-price contract to the contractor whose quotation is found to be the best value and most advantageous to the Government, price and other factors considered. The Government will evaluate quotations based on comparative analysis between quotes received in consideration of the factors and requirements outlined in this RFQ.

2. The Government intends to evaluate the quotations and issue a contract based on the initial quotations received. Therefore, the initial quotation should contain the best terms from a technical and price standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. This statement is not to be construed to mean that the Government is obligated to conduct discussions or exchanges.

3. Failure to provide a reasonable and complete quotation may reflect a lack of understanding of the requirements and may result in elimination from further consideration.

4. Quotations which merely restate the requirement or state that the requirement will be met, without providing supporting rationale, are not sufficient.

5. The Contractor shall submit a firm-fixed-price quotation according to the Addendum to 52.212-1 Instructions to Offerors. The factors identified below shall be used to evaluate the quotation.

6. This acquisition is being conducted under FAR Part 13, Simplified Acquisition Procedures.

Principles and procedures of FAR Part 15 do not apply. A contractor may be eliminated from consideration without further exchanges if its quotation is not among those considered most advantageous to the Government based the requirements of this solicitation.

7. The contract resulting from this solicitation will be awarded to the responsible Quoter whose quotation conforms to the solicitation and is determined to be the best value to the Government considering Price (Factor A), Technical Details (Factor B), and Past Performance (Factor C).

8. By submission of its quotation, the contractor is required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. Failure to meet a requirement may result in a quotation being ineligible for award. Contractors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The evaluation process shall proceed as follows:

II FACTOR A – PRICE:

1. Price submittals will be subjectively evaluated to determine the reasonableness of the quotations for overall price and individual CLIN pricing. The Government will not conduct price realism analysis as part of its price evaluation. The Government will evaluate the quotation using price analysis techniques to determine fairness and reasonableness in relation to the PWS requirements. One or more of the following techniques will be used to ensure a fair and reasonable price:

1.1 Comparison of quoted prices received in response to the Solicitation.

1.2 Comparison of quoted prices with the IGE.

1.3 Comparison of quoted prices with available historical information.

1.4 A total contract price or individual CLIN price that is found to be either unreasonably high or low in relation to the proposed work may be indicative of an inherent lack of understanding of the solicitation requirements and may result in the overall quotation being removed from further consideration.

2. Any inconsistency, whether real or apparent, between quoted performance and price/cost must be clearly explained in the price quotation. For example, if unique and innovative approaches

PAGE 20 OF 55 1333ND23QNB190029

are the basis for an apparently unbalanced/inconsistently priced quotation, the nature of these approaches and their impact on price must be completely documented.

3. A quotation whose price is determined to be unbalanced across CLINs (i.e., unreasonably high for one CLIN and unreasonably low for one CLIN) may not be considered for award and may be rejected if the contracting officer determines that the lack of balance poses an unacceptable risk to the Government.

4. The Government reserves the right to ask for any additional price related information to determine a price to be fair and reasonable.

III NON-PRICE / TECHNICAL EVALUATION

1. The Government shall evaluate the non-price / technical portion of the quotation. This evaluation shall be conducted by comparison of submitted technical details for Factor B.

Factor C shall be evaluated by comparison of information available to the CO (CPARS, FAPIIS, SAM, etc.) Any aspect evaluated that does not meet the requirements of the RFQ may render the entire quotation as unawardable. Only those quotations determined, either initially or as a result of discussions, as meeting the RFQ requirements will be considered for award. However, contractors are reminded that the Government reserves the right to award this effort based on the initial quotations, as received, without discussions.

2. The quotations shall be evaluated against the following technical factor:

2.1 FACTOR (B) - TECHNICAL DETAILS

2.1.1 Evaluation of this factor is a subjective evaluation of the Offeror’s understanding of the contract requirements (clauses, provisions and the PWS) and demonstrated ability to meet contract requirements and PWS tasks based on its proposed technical details.

2.1.2 Technical details which do not adequately address how the Quoter proposes to meet the requirements may not be deemed as a best value to the Government. A technical approach which is primarily a copy and paste version of the PWS requirements and performance standards will not be considered for award.

2.1.3 Technical approach should demonstrate experience with managing similar projects of same or larger scope, such as stormwater ditch construction or maintenance; use of proper equipment for the work.

2.1.4 Schedule: should show a sequence of events pertinent to the work required, and the ability to accomplish all work in the PWS for the base and each option year.

2.2 FACTOR (C) – PAST PERFORMANCE

2.2.1 Evaluation of this factor shall be accomplished by the Government, including but not limited to the resources identified in FAR Part 13. The past performance evaluation will assess the relative risks associated with an offeror's likelihood of success in fulfilling the solicitation's requirements as indicated by the offeror's record of past performance. In this context, "offeror" refers to the prime contractor. Present and past performance shall be evaluated as a measure of the Government's confidence in the offeror's ability to successfully perform based on previous and current contract efforts.

2.2.2 Past performance will be determined to be relevant if it demonstrates performance on a contract involving work that is similar in nature, size, and complexity to the requirements being procured under this solicitation. Past performance will be determined recent if the relevant work was performed within the past three years.

2.2.3 If an offeror has no record of recent or relevant past performance, the offeror will not be evaluated favorably nor unfavorably. During comparative evaluation, offerors that can demonstrate recent and relevant past performance will be evaluated more favorably.

2.2.4 Offerors are reminded that the Government will review any or all of a combination of past performance information submitted by offeror as required per the solicitation and past performance data available in the Contractor Performance Assessment Reporting System (CPARS) at https://www.cpars.gov/ and in the Federal Awardee Performance and Integrity

PAGE 21 OF 55 1333ND23QNB190029

Information System (FAPIIS) at https://www.fapiis.gov/. The Government reserves the right to obtain past performance information from any available source besides those specified and may contact customers other than those identified by the offeror when evaluating past performance. Offerors are reminded that the burden of proving low performance risk rests upon the offeror.

2.2.5 The offeror shall provide up to three references which shall be for recent work performed and shall be relevant to the complexity, size, and scope of this solicitation’s requirements (if previous work of this nature has been performed).

2.2.6 For references, offerors shall list:

i. Name/address of organization contract was with

ii. Contract or project number/title

iii. Period of performance of contract

iv. Brief description of contract/project scope and dollar value (total contract value inclusive of any options)

v. Point of contact information for reference (name/title/phone number/e-mail address)

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (OCT 2022) The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision-- "Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Economically disadvantaged women-owned small business (EDWOSB)concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who…
