THE TERMINOLOGY REQUEST FOR QUOTE (RFQ) AND REQUEST FOR
PROPOSAL (RFP) ARE USED INTERCHANGBLY THROUGHOUT THIS
DOCUMENT AND HAVE THE SAME MEANING FOR THE PURPOSE OF THIS
SOLICITATION.
(ii) The solicitation number and a statement that the solicitation is issued as a request for quotation (RFQ) conducted under the authority of FAR 13, Simplified Acquisition Procedures. All communications and documents must include the proposed solicitation number 1333ND20QNB680153.
(iii) This RFQ, incorporated provisions, and clauses are those in effect through Federal Acquisition Circular (FAC) 2020-04, January 15, 2020.
(iv) The associated 811219 Other Electronic and Precision Equipment Repair and Maintenance, has a small business size standard of $22 million. This requirement is a full and open competition.

(vii) A Description of the requirements for the items to be acquired:
See enclosed Statement of Work (SOW).
(viii) Date(s) and place(s) of delivery, acceptance, and FOB point are required in accordance with this RFQ. No reimbursement for delivery charges will be authorized.
(ix) The provision at FAR 52.212-1, Instructions to Offerors—Commercial Items (JAN 2017), applies to this acquisition. Addenda to this provision is as follows:
All offerors shall submit their quotations on letterhead to the email address stated herein by the date and time specified herein. All quotations shall contain, at a minimum, the information detailed below. If a quotation is missing any of the elements listed below, the quotation may be deemed unacceptable and may not be evaluated further.
Quoters shall clearly demonstrate their ability to meet the technical requirements and deliverable schedule as outlined in this solicitation. The quotation shall include shipping costs. However; NIST reserves the right to ship under NIST provided account.
BASIS OF AWARD:
The award will be made to the Lowest Price Technically Acceptable (LPTA) quoter, based upon the technical specifications as detailed within the attached SON and Drawings, if applicable. NIST intends to award a firm-fixed-price (FFP) purchase order.
The Government intends to evaluate quotations and issue a purchase order based on the initial quotations received. Therefore, the quoter's initial quotation should contain the quoter's best terms from a price and technical standpoint. The Government reserves the right to request revised quotations from, or negotiate final purchase order terms with, one or more, but not all, quoters if later determined by the Contracting Officer to be necessary.
TECHNICAL CAPABILITY: Defined as the vendor's demonstration of the understanding and capability to provide the required items and services as identified in the specifications / statement of work / statement of need. This includes the authority to provide the required items (i.e. authorized dealer/seller/reseller), the authority to provide maintenance and repair services, capability and method to meet all contract requirements successfully; this include required delivery schedule, installation, warranty, and all other requirements
SUBMITTAL REQUIREMENTS: The vendor shall submit technical approach and capability documentation which may include a narrative, charts, graphs, tables, drawings, product / service literature, and demonstrated authority to provide the necessary items and perform the required services identified in the specification / statement of work. The documentation shall clearly describe, in sufficient detail, the vendor's authority, proposed items, resources and methods to successfully fulfill the requirements including specifications, performance capability requirements, delivery schedules, warranties and all service requirements per the Request for Quotations.
BASIS OF EVALUATION: Evaluation of this factor is a subjective evaluation of the vendor's demonstrated resources, capability and methods to meet all requirements. This

The vendor's submittals will be evaluated to determine whether the proposed technical approach demonstrates a clear and unambiguous understanding and a demonstrated ability to meet the minimum requirements. Failure to demonstrate a clear and unambiguous technical approach to meeting the requirements will result in an "Unacceptable" rating for this factor. Product data sheet(s) will be evaluated.
PRICE:
The Contractor shall provide a firm fixed price for each line item and a total price for the sum of all line items.
EVALUATION OF PRICE:
The price(s) quoted in response to the solicitation will be evaluated through price analysis. A price realism analysis will not be conducted.
Contractors shall submit an FFP quotation in addition to the summary price quotation, if applicable. The price quotation shall include complete support documentation, which clearly identifies major materials, components, and services along with their associated prices. The price quotation shall also identify any elements that will be subcontracted.
The price quotation documentation shall clearly substantiate how the total price was derived.
(x) The provision at FAR 52.212-2, Evaluation -- Commercial Items (OCT 2014), applies to this acquisition. The Government will award an FFP contract resulting from this solicitation to the responsible Offeror with the LPTA quote, based upon the technical specifications as detailed within the attached SOW.
In addition, the contractor price quotation shall also identify any requested payment schedule terms. All payment schedule terms shall be directly tied to contract deliverables and/or major contract milestones.
(xi) Offerors shall include a completed copy of the provision at 52.212-3, Offeror Representations and Certifications -- Commercial Items, with its offer. The Offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.sam.gov/portal. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.
(xii) The clause at 52.212-4, Contract Terms and Conditions -- Commercial Items, applies to this acquisition.
(xiii) The clause at 52.212-5, Contract Terms and Conditions Required To Implement Statutes Or Executive Orders -- Commercial Items, applies to this acquisition and the following additional FAR clauses cited apply to the acquisition are cited in the clauses section of the SF1449 RFQ.

STATEMENT OF WORK
ASML 5500/80 WAFER STEPPER PREVENTATIVE
MAINTENANCE SERVICE
1. Background Information:
a. The Boulder MicroFabrication Facility (BMF) provides access to microelectronic fabrication capabilities for the entire NIST-Boulder research community. One of the most critical fabrication tools in the BMF is the ASML 5500/80 Wafer Stepper. A Wafer Stepper is the primary fabrication tool for patterning microelectronic circuits and is a very complex mechanical, optical and electronic instrument. For both safety and operational reasons, this tool requires routine periodic preventive maintenance service. In addition, should the tool experience any problems, it is vital that it be repaired as quickly as possible, since any “downtime” will significantly impact the work in the BMF. Therefore, we require a standard post warranty extended service contract on this tool, to cover both routine maintenance and emergency repair.
2. Scope of Work:
a. Objectives:
i. The goal of this contract is to provide a service contract for the BMF’s ASML 5500/80 wafer stepper (serial number: 7949) to cover both regular periodic maintenance and emergency repairs.
b. General:
i. The Contractor shall:
1. Provide personnel that has been trained in the service and maintenance of an ASML 5500/80 wafer stepper by the original manufacturer (ASML). This condition shall be supported by appropriate documentation.
2. Provide personnel that pass required government background checks to be issued badges for work on-site.
3. Provide a proposal which details all planned materials, travel, labor, equipment, and expenses.
4. The Contractor employee shall be responsible for knowing and complying with all installation safety prevention regulations. Such regulations include, but are not limited to, general safety, fire prevention, and waste disposal.

ii. Specifications for the Work:
1. NIST is a restricted campus. An identification badge is required for access for entry into buildings and also is shown to the armed Security Police when entering the campus. NIST Security must badge all staff from the selected vendor(s).
2. Contractor employees shall comply with NIST identification and access requirements. No one may enter the site without a badge.
Each Contractor employee shall wear a visible identification badge provided by the NIST Security Office.
3. All Contractor employees must register their vehicles with the NIST Security Office to gain access to the campus. A valid driver’s license, Government-furnished civilian ID, proof of insurance and current registration must be presented to the NIST Security Office, at which time a NIST vehicle pass will be issued.
The pass shall be displayed on the vehicle in accordance with the NIST Security Office instructions.
4. The work shall be scheduled with the Technical Point of Contact (TPOC) or Contracting Officer Representative (COR) prior to arrival to do the work.
c. Specific Requirements:
i. The Contractor shall provide a one-year post warranty extended service contract, with the option of four additional years, for the Government’s ASML 5500/80 wafer stepper. As part of this service contract, the Contractor shall:
1. Provide preventive maintenance (PM) as per the original manufacturer (ASML) specifications for this tool.
2. Repair any equipment as needed such that the ASML 5500/80 wafer stepper performs to the manufacturer’s specifications or better. The Contractor shall be responsible for all parts, labor, and travel, excluding the parts listed below:
i. Consumable parts and supplies as defined by ASML.
ii. Projection Lens.
iii. Light Source.
3. Install any software upgrades as required by the manufacturer.
ii. After the Contractor completes a service visit or a repair, the tool must operate according to Original Equipment Manufacturer’s (OEM) standards or better. The Contractor shall provide written service reports following each service visit.
iii. The Contractor shall provide unlimited phone and e-mail support within core business hours defined as 9:00 am – 5:00 pm Monday through Friday, Mountian time in Boulder, CO, USA.
iv. The Contractor shall provide personnel on all issues that require on-site technical support within 48 hours after the initial report of a problem, excluding Saturdays, Sundays, Federal Holidays, and days that the site is closed. The on-site support shall occur Monday through Friday, 8 hours a day, in a time period between 8:00 am and 6:00 pm local time in Boulder, PAGE 9 OF 30 1333ND20QNB680153
CO, USA. Work can be performed outside of these hours if both the Government and Contractor agree. At the end of the visit, the tool must operate according to OEM standards or better.
v. The Contractor shall provide a formal maintenance plan that outlines all maintenance to be performed on the system until the tool has met the test and calibration standards according to OEM normal specifications.
vi. Within one week of each service visit, the Contractor shall provide a written service report detailing all of the services that were performed.
3. Period of Performance:
a. 1-year After receipt of order (ARO) and four, one-year option, if exercised. See clause 1352.270-70 Period of Performance.
4. Place of Performance:
a. All work shall be performed at 325 Broadway, Boulder, Colorado, 80305.
b. Access to Building 81 will be granted to the Contractor for the entire period of performance of this contract.
c. The day-to-day supervision and direct control over the work performed by the on-site Contractor personnel shall be the sole responsibility of the Contractor.
5. Government Furnished Property:
a. None
6. Deliverables:
a. Within one week of each service visit, the Contractor shall provide a report detailing all of the services that are performed.

The BMF’s ASML 5500/80 wafer stepper operates at OEM specifications or better and if the tool is inoperable, the Contractor shall provide emergency maintenance in accordance with the guidelines in Section 2.c.
The technical requirements defined in the statement of work section 2 are performed in a timely manner as defined in Section 2.c.
The BMF’s ASML 5500/80 wafer stepper operates at OEM specifications or better. Repairs or replacements are completed with OEM parts by factory trained staff.
Visual verification of the completed work and the ASML 5500/80 wafer stepper operates at OEM specifications or better.

9. Travel:
a. The Contractor shall cover all travel expenses. This is a Firm-Fixed-Priced contract.
10. Contractor Supplied Materials:
a. The Contractor shall supply all materials required for the service and maintenance of the ASML 5500/80 wafer stepper with the exception of:
i. Consumable parts and supplies
ii. Projection Lens
iii. Light Source
11. Contractor’s Minimum Qualifications:
a. The Contractor shall:
i. Provide personnel that has been trained in the service and maintenance of an ASML 5500/80 wafer stepper by the original manufacturer (ASML).

a. The information developed under this contract is the property of the U.S.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (DEC 2019)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v)) of this provision.
(a) Definitions. As used in this provision-- "Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
"Economically disadvantaged women-owned small business (EDWOSB)concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror.
Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
"Inverted domestic corporation," means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.
"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L.
110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate-
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
"Sensitive technology"
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically-
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
"Service-disabled veteran-owned small business concern"
(1) Means a small business concern
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
"Small business concern" means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
"Small disadvantaged business concern, consistent with 13 CFR 124.1002," means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
"Subsidiary" means an entity in which more than 50 percent of the entity is owned
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
"Veteran-owned small business concern" means a small business concern
(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C.
101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
"Women-owned small business concern" means a small business concern --
(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and
(2) Whose management and daily business operations are controlled by one or more women.
"Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127)," means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.
(b)(1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.
(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov.
