SECTION B: SUPPLIES OR SERVICES AND PRICE
B.1 GENERAL
The United States Census Bureau (USCB) intends to issue a competitive acquisition for commercial housing data in accordance with the procedures provided in the Revolutionary
Federal Acquisition Regulation Overhaul (RFO FAR) Subpart 12.2.
The primary NAICS code that applies to this requirement is NAICS Code 518210 – Computing
Infrastructure Providers, Data Processing, Web Hosting, and Related Services.
B.2 CONTRACT TYPE
This is a Firm Fixed Price type contract with an Optional CLIN with a Not-To-Exceed Amount for Special Projects.
B.3 CAR 1352.270-70 PERIOD OF PERFORMANCE (ARP 2010)
The 5-year life cycle includes a 12-month Base Period and four (4) one-year option periods as follows:

B.4.1 CLIN Descriptions
CLIN 0001 – Housing Dataset
CLIN 0001 is a Firm-Fixed Price line item to cover the cost associated with the requirements outlined in section C. Refer to Contract Section G for invoicing procedures.
CLIN 0001 – Technical Support
CLIN 0001 is a Firm-Fixed Price line item to cover the cost associated with the requirements outlined in section C.3.4. Refer to Contract Section G for invoicing procedures.
OPTIONAL CLIN 0002
Optional CLIN 0002 is a line item for surges and special projects in dataset requirements beyond the Standard Core Requirements covered under CLINs 0001. Support provided under Optional
CLIN 0002 includes the requirements outlined in section C. The Government may require this optional requirement at any time during the performance of this Contract, and upon the execution of a bilateral modification that obligates funding for such needs, in accordance with an approved
Technical Directive.
Based on historical data and current projections, the Government has estimated the Not-To-
Exceed ceiling values by period of performance for Optional CLIN 0002 in Section B.4 Pricing.
The Government expects the actual needs for Special Projects (i.e. Additional Dataset Needs) for Optional CLIN 0002 will be defined at time of need via a Technical Directive. Each
Technical Directive will be priced on a Fixed Price Basis for the needs defined within the
Technical Directive.
Given the dynamic nature of the administration’s requests and priorities as well as the ever-changing data-driven environment, the Not-To-Exceed amount under this CLIN could increase or decrease throughout the life cycle of this Contract in order to allow for currently unforeseen workload fluctuations and evolving survey-related needs. As a result, the awarded Contract value may increase or decrease accordingly. The Government has the right to not execute Optional
CLIN 0002 if the need does not arise.
B.5 PERFORMANCE OF SERVICES DURING EMERGENCY SITUATIONS AND
CRISIS DECLARED BY NATIONAL SECURITY.
On occasion, services may be required to support an activation or exercise of contingency plans outside the normal duty hours. Emergency situations (i.e., accident and rescue operations, civil disturbances, terrorist attacks and natural disasters may necessitate the Contractor to provide increased or reduced support as determined by the Contracting Officer. The Government will negotiate an equitable adjustment with the Contractor for the cost of these emergency requirements.
B.6 PRIME CONTRACTOR RESPONSIBILITIES
The Contractor shall be held responsible for the procurement of all services required under this
Contract. The Contractor alone shall be held responsible for performance of all Contractor obligations under any term of the contract. The Government, in turn, shall render payments due for services performed solely to the Prime Contractor.

SECTION C: PERFORMANCE WORK STATEMENT
C.1 BACKGROUND
The U.S. Census Bureau (USCB) serves as the leading source of quality data about the nation’s people and economy. It is the largest statistical agency in the United States. The USCB’s mission is built around large-scale surveys and censuses. It collects, tabulates, and disseminates a large volume and wide variety of statistics about the people, housing, and economy of the U.S. These statistics provide basic yardsticks needed to measure, understand, anticipate, and respond to changes to the U.S. economy and American society.
Under U.S. Code Title 13 § 6, the USCB conducts research and production work using administrative records and third-party data to enhance numerous programs and statistical products. The USCB enters into agreements with data providers, including federal, state, and private entities, to acquire data files. This data is used to support planning and conducting future decennial censuses, current surveys such as the American Community Survey (ACS) and the
American Housing Survey (AHS), the development of survey frames, the maintenance of USCB geographic data, and other USCB demographic, geographic, and economic research and production work. Linking the housing data to survey data may reduce the need to directly ask respondents certain survey questions, such as housing unit type, lot size, financing, and number of stories in the structure.
C.2 PURPOSE AND SCOPE
The purpose of this contract is to acquire commercial datasets containing housing data for the 50 states, the District of Columbia, Puerto Rico, and the U.S. territories – to the extent that the information for such territories is available. The USCB will use the data acquired via this contract to continue carrying out the production work underway, which aims to reduce respondent burden and data collection costs, as well as to continue research to find new uses for the data obtained.
C.3 TECHNICAL REQUIREMENTS
C.3.1 General Requirements
The data furnished under this contract shall be sourced from local public records (ex: property tax assessments) and non-public sources (ex: Multiple Listing Services (MLS) listings). The data shall be enhanced by the data providers, most importantly by the provision of estimated home values from a vetted automated valuation model. The USCB will rely on the data provisioner’s expertise to fully understand the data-generating process underlying the data to meet USCB statistical quality standards. It is of utmost importance that the contractor thoroughly understands the process by which public records are obtained, collated, harmonized, and enhanced to produce the files finally delivered to the USCB.
The Contractor shall provide data file(s) as specified below.

G-1 The Contractor shall provide readily available datasets from public records or other sources which can be linked to USCB-held data at the person, property, or housing unit level.
G-2 In consideration of the data format, the contractor shall deliver the data as either (1) a single file or (2) as few files as practicable by the required schedule date. Upon delivery, the data file shall be available for immediate use without additional processing needed by the USCB.
G-3 The contractor shall deliver the preliminary data file(s) within 30 calendar days of contract award.
G-4 The vintage of the records in the databases shall be the most current available. The contractor shall attest that the most current information is provided at the time of delivery.
G-5 The Quality Standard: The data elements shall consist of no errors 98% of the time.
C.3.2 Dataset Requirements

D-1 Metadata: The contractor shall deliver a data dictionary or description of data fields with valid values with each delivery. The metadata shall include, at a minimum, the following:
a. All relevant information
b. The last date of update for each variable
c. A flag indicating how the value was obtained and processed (i.e.
Collected directly from data source (list source), compiled from other vendors (list vendors), edited/estimated/imputed (provide documentation on methodology applied), or if the value was not applicable.)
D-2 Vintage: The contractor shall deliver the most current information in each data file delivery.
D-3 Data File Format: The contractor shall deliver the data file in a single, fixed-length ACSII format or shapefile/GeoJSON format, where possible, via a secure file transfer protocol like Managed File Transfer (MFT).
D-4 Linkage keys between different units of analysis (parcels, assessment records, housing units) shall be included in all files, where available, or crosswalks between different unit types shall be delivered separately.
C.3.3 Data Elements
The table below lists the requirements for data elements.

DE-1 Public records, including property tax assessment and sales, mortgage information, and foreclosure data—This requirement includes data available through public records. It includes, at a minimum, information about property tax assessments, deeds, mortgages, assignments & releases, pre-foreclosure and foreclosure variables.
It includes data elements covering, at a minimum, year built, owner occupied status, mortgage amount, mortgage terms, mortgage interest rate, mortgage outstanding balance, mortgage loan size at origination, lot size, type of building and number of units, land use, names and addresses of owners, assesses, lenders, buyers and sellers, dates of transactions, assessed, market and last transaction value, property taxes paid, housing unit characteristics including number of bedrooms, number of bathrooms, living space in square feet, heating and cooling information on basements, garages, date of transaction, and other property characteristics. In-scope properties include both residential and non-residential uses. Additional record types covering topics such as eviction notices, code violations, building and renovation permits, mortgage servicing, homeowners insurance premiums and state, local or federal tax incentives or other subsidies are desired but are not required.
DE-2 Rental data—This requirement includes, at a minimum, information on rental units, rental unit characteristics including number of bedrooms, bathrooms, and square footage, other unit characteristics including in-unit laundry or air conditioning, and monthly rent (including whether utilities are included in rent), and date of lease or availability. This may be sourced from rental unit listings or other sources. This information shall include building-level address information and, to the extent possible, the unit-level address.
DE-3 Modeled Housing Value data—This requirement includes, at a minimum, the current estimated property value, the date the value estimate was produced, and the confidence score for the value estimate. There may be multiple models used to estimate the value of a property. If multiple models are used to estimate the value of a property, the contractor shall include each value.
DE-4 Open Liens—This requirement includes, at a minimum, information from open liens modeling, as well as the characteristics of open liens, such as the lien position and amount remaining. Additional data elements related to these addresses, such as the first lien amount and the date of the first lien, are desired, but not required.
DE-5 Multiple Listing Service data—At a minimum, this includes information submitted by property owners to their local MLS affiliate including, at a minimum, the number of bedrooms, description, list price, date of listing, Homeowners
Association/Condominium Owners Association (HOA/COA) dues (if applicable), number of bathrooms, days on the market, and the off-market date. This includes units offered for sale and units offered for rent.
DE-6 Parcel Boundaries data and associated attributes including, at a minimum, the following: site addresses including unit designation, any attributes about the structure type (e.g. single family home, farmland, empty lot etc.), parcel zoning or use, number of structures with the parcel, by tax parcel. This Parcel data shall be linkable to the deeds and assessment records. Parcel data shall also include a geographic representation of the spatial boundaries of the parcel. Parcel boundary information shall be delivered as a geospatial file or series of files, in ESRI shapefile or similar format (GeoJSON, ESRI GeoDatabase, and GPKG formats are also acceptable).
DE-7 Master Address list for each parcel - this requirement shall include a list of valid addresses at that tax parcel, including unit level designations.
DE-8 Homeowners Association/Condominium Owners Association listing data—This requirement includes, at a minimum, the status of whether an address is a member of an HOA/COA, as well as the dues for that association at that address, if available.
Additional data elements related to homeowners/condominium associations, such as the association name, are desired but not required.
DE-9 Vacancy/occupied status—This requirement includes an indicator of the vacancy status for each address, and details on what sources informed this status.
DE-10 Enhanced Characteristics List—This requirement includes any files that utilize modeling or alternate data sources to generate characteristics of properties. In particular, this includes information on modelled risk of exposure to natural hazards such as floods or wildfires, access to local amenities such as libraries, parks or open space, or enhanced information on the final business owner(s) of rental properties.
Enhanced Characteristics Lists may be considered Special Projects and may be subject to C.3.5.
C.3.4 Technical Support
The Contractor shall provide technical support for questions and/or issues relating to all aspects of the data delivered under this contract. Topics of questions/issues may include topics related to file structure and delivery, file contents and completeness, metadata, file formatting, technical download/delivery issues, and data consistency over time. The contractor shall acknowledge submission of an inquiry/issue within 8 business hours of submission. The contractor shall work to resolve technical issues/provide complete responses within 48 business hours of being notified. All support shall be provided via email, teleconference, or virtual meeting.
C.3.5 Special Projects
The Government may require this optional requirement at any time during the performance of this Contract in accordance with an approved Special Project (also referred to as a “Technical
Directive”) and upon the execution of a modification that obligates funding for such needs.
In satisfying the USCB’s mission to deliver statistical data, the Government may require additional data at any time during the performance of this Contract to support additional in-scope data needs as well as currently unforeseen data needs as they arise. The objective of the “Special
Projects” CLIN is to provide a streamlined way for acquiring additional related Data whilst ensuring the continued uninterrupted delivery of Commercial Housing Data. Examples of
Special Projects may include, but are not limited to, the following:
- New Federal Government, Department of Commerce, or Census Bureau programs, priorities, executive orders, Inter-Agency Agreements (IAAs) directives or laws that require the procurement of additional commercial housing data and/or increases to the general requirements (C.3.1), the dataset requirements (C.3.2), the data elements (C.3.3), the technical support (C.3.4) or the deliverables and work products (F.5)
- Special projects may be required to adapt to changes in the IT security environment and/or to support the Census Bureau in response to natural disasters or other large-scale emergencies that utilize commercial housing data.
- DE-10.
As a need is identified, the Contractor shall work in collaboration with the COR and TPoCs to initiate a Special Project. Following approval, the Special Project will become effective. Optional
CLIN 0003 will be activated via the execution of a modification obligating funding to CLIN
0003.
C.4 Intended Data Uses
The usage of the data will meet USCB Disclosure Avoidance standards. The USCB will not release any identifiable information obtained through this contract. The USCB will not use the data for marketing or compliance purposes. The USCB will not resell the data.

C.4.1 Data Usage and Retention Rights
The USCB will commingle the data obtained through this contract with existing USCB data. The USCB will not segregate the furnished data from USCB or other data; therefore, the data will, in effect, become the property of the USCB to be used for any approved Title 13 purpose.
Data will only be used within the USCB’s restricted network environment and accessed by only approved users.
The contractor shall provide data usage rights to the data, allowing the USCB to share with other Federal Agencies and publish papers on topics that utilized the data files in the course of research. The USCB and all other Federal Agencies with access to the data
Data files obtained through this contract will not be released containing any identifiable information obtained through this contract. ,The USCB will not use the data for marketing or compliance purposes, resell the data, or publish or release comparisons of purchased data.

The USCB will retain the data acquired under this contract indefinitely. Upon delivery, the contractor gives the USCB the right to retain and use the purchased data files indefinitely. All financial considerations shall be included in the Contractor’s proposed pricing and the subsequent fixed price of the Contract award.
C.5 Sub-Contracting Plan
The Contractor shall submit and negotiate a subcontracting plan, that separately addresses subcontracting with small business, veteran-owned small business (VOSB), service-disabled veteran-owned small business (SDVOSB), HUBZone small business, small disadvantaged business (SDB), or women-owned small business (WOSB) concerns (if applicable). If the Contractor is submitting an individual subcontracting plan, the plan must separately address subcontracting with small business, veteran-owned small business, service-disabled veteran-owned small business, HUBZone small business, small disadvantaged business, or women-owned small business concerns, with a separate part for the basic contract and separate parts for each option. The Contracting Officer will include the subcontracting plan in and make it a part of the resulting contract.
The Contractor shall provide a justification if Sub-Contracting opportunities are not available.

SECTION D - PACKAGING AND MARKING
D.1 PAYMENT OF POSTAGE AND FEES
All postage and fees related to the submission of information, including forms, reports, etc. to the
Contracting Officer, the COR, or the person(s) designated to receive, shall be the responsibility of the Contractor.
D.2 PACKING FOR DOMESTIC SHIPMENT
Material shall be packed for shipment in such a manner that will ensure acceptance by common carriers and safe delivery at destination. Containers and closures shall comply with the Interstate
Commerce Commission regulations, Uniform Freight Classification rules, or regulations of other carriers as applicable to the mode of transportation.
D.3 MARKING DELIVERABLES
The Contract number shall be placed on or adjacent to all exterior mailing or shipping labels of deliverable items called for by the Contract, except for reports.

Delivery locations for deliverables specified in this Contract (such as reports, papers, and documentation) shall be via email directly to the COR and any technical points of contact as designated by the COR.
DELIVERY OF DATA/DATASETS
All data/data set deliveries shall be delivered electronically to the Census Bureau via the Census
Bureau’s “Managed File Transfer” (MFT) process/system. Refer to Attachment J.3 – MFT User
Guide for instructions. The contractor shall also alert the COR via email when deliveries have been made through the MFT process/system.

E.2 RESPONSIBILITY FOR INSPECTION AND ACCEPTANCE
Inspection and acceptance of all items and services under this contract will be accomplished by the Government’s designated Contracting Officer’s Representative (COR). The COR will inspect and be responsible for the review and acceptance of all deliverables under the contract.
Acceptance testing will be specified, if required.
The stated objectives in Section F.7, Performance Requirements Summary, must be met or exceeded by the Contractor. To ensure that the minimum performance levels are met, the COR will monitor performance and review the required status reports. Any deviations from the stated objectives must be fully documented and explained by the Contractor.
E.3 GOVERNMENT CONTRACT QUALITY ASSURANCE
Notwithstanding the requirements in Subsection E.2. above, the RFO FAR Subpart 12.105
Quality Requirements, and as applicable under RFO FAR 52.212-4 Terms and Conditions—
Commercial Products and Commercial Services, quality assurance under this contract will be performed in accordance with the Quality Assurance Surveillance Plan (QASP), Attachment J.2.

F.2 PLACE OF PERFORMANCE & REMOTE ACCESS CLAUSE (LOCAL TITLE
13)
Services provided under this contract may be performed off-site at the Contractor’s designated place(s) of business or via access to the United States Census Bureau’s (USCB) Virtual Desktop
Infrastructure (VDI), and/or both. Use of the Census Bureau’s virtual desktop infrastructure
(VDI) must be approved in advance by the Contracting Officer’s Representative (COR) or
COR’s designee. Contractor(s) may only perform services for the Census Bureau from approved locations. Accessing VDI at any location other than the authorized place of performance or in a public place is prohibited. When VDI access is granted, contractors must adhere to all applicable
Census Bureau Data Stewardship, Title 26, and Information Technology (IT) Security Policies, as well as complete the Census Bureau’s VDI, Data Stewardship, and IT Security Awareness training prior to accessing any USCB networks and annually thereafter. All required training shall be coordinated with the COR. The COR is responsible for ensuring the required training and documentation are completed for every Contractor authorized to work remotely; and the
Contractor’s access to Census Bureau IT resources and data assets will be terminated for non-compliance.
Services may also be provided or required under this Contract on-site at Census Bureau
Headquarters, if required. On-site staff will be required to clear security procedures and checks needed to obtain entry badges to access the Headquarters facility. On-site services will be performed at the USCB Headquarters located at 4600 Silver Hill Road, Suitland, MD, 20746 or via Virtual Desktop Infrastructure (VDI).
The COR may authorize the performance of services under this Contract at facilities not managed by the Census Bureau provided those services do not involve access to or use of:
Census Bureau data protected under Title 13 United States Code (U.S.C.); Federal Tax
Information protected under Title 26. U.S.C.; any system that stores or processes data protected under Title 13 or Title 26; or the Census Bureau’s corporate information technology (IT) network. Contractors are always prohibited from accessing any of these data or assets from non-authorized locations.
Furthermore, the COR may authorize performance of services under this contract (including services that require electronic access to information protected by Title 13 U.S.C. and if authorized by the Internal Revenue Service information protected by Title 26 U.S.C.) at the
Contractor’s individual place of residence. To facilitate performance of these services, access to
Census Bureau IT resources may, subject to Division or Office Chief approval, be granted via a
Virtual Private Network (VPN) enabled Census Bureau-issued Laptop or through the Virtual
Desktop Infrastructure (VDI).
Except as described above, the performance of any service(s) at locations not managed by the
U.S. Census Bureau that involve access to or use of: data protected under Title 13 U.S.C.;
Federal Tax Information protected under Title 26. U.S.C.; any system that stores or processes data protected by Title 13 or Title 26; or the Census Bureau’s corporate IT network, may be subject to the following additional approvals:
• Review and approval of the physical security controls at the remote location by the
Census Bureau’s Office of Security. This review may include an on-site inspection.
• Review and approval of the IT security controls in place at the remote location by the
Census Bureau’s Office of Information Security. This review may involve the authorization of any system(s) that will handle and process the Census Bureau’s data, or that will connect to the Census Bureau’s network.
• Review and approval by the Internal Revenue Service if the services to be performed involve access to, or use of, Federal Tax Information protected under Title 26 U.S.C.
• Review and approval by the Census Bureau’s Policy Coordination Office and/or Data
Stewardship Executive Policy Committee.
Contractors are not authorized to work remotely with Federal Tax Information (FTI) protected by
Title 26 U.S.C. unless executed by federal government contingency planning due to uncertain events and approval from the Internal Revenue Service (IRS). If allowed to work remotely with
FTI, the applicable language for safeguarding Federal Tax Information as mentioned in IRS
Publication 1075, Exhibit 7 (https://www.irs.gov/pub/irs-pdf/p1075.pdf) is included in the
Contract.
F.3 HOURS OF OPERATION
The following general guidelines apply to the hours of operation. However, exceptions to these guidelines may be required as approved by the COR.
The USCB work hours are from 6:00 AM to 7:00 PM Monday - Friday (except for Federal
Holidays). Access to the Census Bureau after hours and to other facilities requires additional security authorization and approval from the Contracting Officer and/or COR. b. In addition to the annual Holidays, the Government may observe additional days as Holidays to include:
• Any other day designated by Federal Statue.
• Any other day designated by Executive Order.
• Any other day designated by the President’s Proclamation.
c. Unless otherwise authorized by the Contracting Officer, observance of Holidays by
Government Personnel shall not otherwise be a reason for an extension to the Period of
Performance, delivery schedule, or entitlement of payment by the Government to the
Contractor. In the event the Contractor’s Personnel (including Subcontractor) work during the Holiday, they may be compensated for the work in accordance with the Contractor’s operational/employee/business procedures; however, no form of Holiday or other premium compensation will be paid by the Government, either as an additional direct or indirect cost, over the payments authorized in the contract.
d. When the Government grants excused absence to its Employees (e.g., office closing due to inclement weather), on-site Contractor Personnel may be dismissed by the Contractor at its discretion. However, such a dismissal will not be an excuse to change any service or delivery requirements under the contract. The Contractor is cautioned that only those hours actually worked may be billed to the Government. The Contractor agrees to continue to provide sufficient Personnel to perform critical tasks already in operation or scheduled, unless otherwise authorized by the Contracting Officer.
e. Extension of a contract Period of Performance or Delivery Schedule will not be provided for
Federal Holidays in paragraph (a) or (b) above. However, if necessary, and with approval of the COR, extension of the Period of Performance or Delivery Schedule may be granted by the Contracting Officer on a case-by-case basis for closings described in paragraph (d) above.

F.6 QUALITY STANDARDS
The Government will work with the Contractor to define any specific quality standards for each work product and/or deliverable produced. For any documents, the Government expects them to be timely, thorough, and accurate. The Contractor shall provide work products and/or deliverables within the acceptance criteria and quality measures identified below:
• Value – Work products/deliverables shall directly address objectives as jointly agreed-to by the COR.
• Completeness – Work products and deliverables shall address all content as mutually agreed-to by the COR.
• Clarity – Work products and deliverables shall be designed to achieve agreed-to objectives, tailored to identified audience(s), avoid materials not germane to the objective, and be of high quality with regard to grammar and sentence structure.
• Timeliness – Work products and deliverables shall be available in complete form on or before specified and mutually agreed-to due dates.
• Format – Work products and deliverables shall be submitted in hard and/or soft copy, as agreed-to between the COR and Contractor Project Manager (C/PM). Both hard and soft copy formats shall follow specified guidance, directives, and/or policies.
F.7 PERFORMANCE REQUIREMENTS SUMMARY
The Contractor service requirements are summarized into performance objectives that relate directly to mission essential items and are applicable to the services performed and/or work products/deliverables delivered under this Contract. The performance threshold briefly describes the minimum acceptable levels of service required for each requirement. These thresholds are critical to mission success.

F.8 DELIVERY METHOD
Deliverables/work products shall be provided electronically to the COR. If electronic delivery is not possible, the contractor shall contact the COR to obtain guidance and approval for an alternate delivery methodology. Electronic and hard copy delivery shall be submitted in CSV or
Parquet files delivered via AWS, Azure or Census MFT. Microsoft (MS) Word, MS Project and/or MS Excel format unless the Government requests a different format (e.g., Adobe).
F.9 REVIEW AND ACCEPTANCE
Deliverables shall be submitted to the COR and any designated Technical Point of Contacts
(TPOCs) for inspection, review, and/or acceptance. Final acceptance will occur upon COR signature. All deliverables become the property of the Federal Government, and the Contractor
(for no additional charge) shall remove any/all company identifiable marks on documentation, upon request by the COR. The Government will provide timely comments on deliverables, as necessary. In the event of rejection of any deliverable, the Contractor will be notified, in writing by the COR, of the specific reasons why the deliverable is unacceptable. The Contractor must return a revised deliverable to the COR within five (5) business days of the rejection notice, unless otherwise directed by the COR.
After the delivery of the data, the Government will review and accept the data or provide the
Contractor with a list of any required revisions and/or corrections. If revisions and/or corrections are required, the Contractor then will have an agreed upon duration to make these corrections and re-deliver the data to the Government. However, the Contractor is encouraged to review the data with the COR or the COR’s designee, reducing the likelihood that the data will be found deficient, and therefore reducing re-work for all parties.
The absence of acceptance or required revisions and/or corrections from the Government by 8:00 a.m. ET on the 15th business day after delivery by the Contractor constitutes acceptance.
F.10 NOTICE REGARDING LATE DELIVERY
In the event the Contractor anticipates that it will not meet the schedule as specified in the Work
Products/Deliverables listing or performance requirements identified in the contract, the
Contractor shall immediately notify the Contracting Officer and the COR orally and in writing giving pertinent rationale and proposed corrective action(s) and adequate consideration. This notice shall not be construed as a waiver by the Government of any of its rights or remedies available under the contract including termination.

G.4 PROCEDURES FOR INVOICING - DEPARTMENT OF COMMERCE

Payment requests must be submitted electronically through the U.S. Department of the
Treasury's Invoice Processing Platform System (IPP).
"Payment request" means any request for contract financing payment or invoice payment by the
Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable payment request or invoicing instructions, Prompt
Payment clause included in the contract, RFO FAR 32.905 Payment Documentation and Process, or the RFO FAR Clause 52.212-4 Terms and Conditions - Commercial Products and
Commercial Services included in commercial item contracts. At the discretion of the Contracting
Officer or the Contracting Officer’s Representative, additional documentation or information may be required.
