1. AGENCY AND CONTRACTING ACTIVITY. Department of the Navy, Space and Naval Warfare Systems Center (SPAWARSYSCEN) Atlantic.
2. NATURE/DESCRIPTION OF ACTION(S).
This is a fair oppo1iunity exception to extend the performance period of Task Order N6523618F3046 with Grove Resource Solutions, Inc. (GRSi) under the Battlespace Awareness (BA) Pillar Small Business Set-Aside (SBSA) multiple award contract. The proposed modification will extend perfo1mance through December 11, 2019 with an esti1nated ceiling of$2,590,000.00.
3. DESCRIPTION OF SUPPLIES/SERVICES.
Suppo1i is required for JnwServicc Engineering Activity (ISEA) Integrated Logistics Support (ILS)) Configuration Management (CM), Engineering and Certification and Accreditation (C&A) in support of hardware and software components of the Afloat Signals Exploitation Integrated Product Team (!PT).
4. IDENTIFICATION OF EXCEPTION TO FAIR OPPORTUNITY.
D (a) The agency's need for supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays.
[ZJ (b) Only one awardee is capable of providing the supplies or services at the level of quality required because the supplies or services ordered are unique or highly specialized.
D (c) The order must be issued on a sole-source basis in the interest of economy and efficiency, because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order.
D {d) It is necessary to place an order to satisfy a minimum guarantee.
JUSTIFICATION:
GRSi is the contractor that has been supporting the implementation and installation of the Ship's Signals Exploitation Equipment (SSEE) Family of Systems and Cryptologic Cany-On Program (CCOP) for the past ten years. The se1vices provided by GRSi includes configuration management, logistics engineering) program management, casualty response (CASREP), ILS certification, Configuration Data Managers Database-Open Architecture (CDMD-OA), Integrated Master Schedule (IMS), information assurance) and training administrative support. Currently, the SSEE Increment (INC) E system has an Ao (operational availability) of and the threshold requirement is . The SSEE INC-F has an Ao of and a threshold of . The SSEE program has systems deployed on approximately 120 ships and is going through a major system upgrade. GRSi currently provides the SSEE program with a highly knowledgeable integrated Logistics and CM team capable of adapting rapidly to the SSEE program's speeialized requirements. In order to meet accelerated Ship Main Process installations ILS requirements and avoid any unacceptable degradation in Fleet Support, the ASE-IPT must maintain the current uniquely qualified ILS I CM team of experienced SSEE program Acquisition Life Cycle subject matter experts.
GRSi is the only sow·cc capable of providing the services at the level of quality required without a break in service. The proposed extension will ensure the current team can provide sustained seamless ILS, CM, and PM support. Award to any other contractor would result in at least a one-year slip in schedule due to the time it will take to ramp up a ne\v team on the baseline and obtain the required Top Secret/Sensitive Compartmented Information clearances required to v;ork on the SSEE and CCOP programs. Any intetTuption in support to the SSEE and CCOP programs would have a significant impact on completing ongoing system ILS, CM, CASREPs, information assurance, and training support. Further, the ability to rapidly respond to and resolve critical fleet systems fielding and sustainment issues would be negatively impacted and the Fleet's overall Intelligence, Surveillance and Reconnaissance (JSR) and Information Operations (IO) readiness would degrade significantly making it extremely difficult for Fleet personnel to operate and maintain the systems. This would result in significantly reduced Indications and Warnings (I& W) capability of our deployed ships, making them more susceptible to attack by our adversaries. increased CASREPs would also result; directly impacting fleet operational readiness.
5. DETERMINATION OF FAIR AND REASONABLE COST.
The proposal will be analyzed in accordance with FAR 15.404. It is anticipated that the government will use various cost/price analysis techniques, including but not limited to: (1) comparison of proposed prices to historical prices paid; (2) comparison of proposed prices v-.rith independent government cost estimate amounts; and (3) comparison of proposed prices obtained through market research for the san1c or similar items, such that the anticipated cost to the government will be fair and reasonable.
6. ANY OTHER FACTS SUPPORTING THE JUSTIFICATION.
None.
7. ACTIONS TAKEN TO REMOVE OR OVERCOME BARRIERS THAT LEAD TO THE EXCEPTION TO FAIR OPPORTUNITY.
The proposed action will provide for continued !LS, CM, engineering, and C&A support for SSEE INCE, INC F, and CCOP. A future requirement for similar services will be competed under the Cyber Mission Engineering multiple a\vard contract; allowing all awardccs a fair opportunity to compete.
Other than the situation described herein, future orders under the multiple award contract will be competitive to the n1aximum extent possible.

Purpose of Form: Pursuant to FAR 16.505, each order exceeding the simplified acquisition threshold shall be placed on a competitive basis, unless there is justification for an exception to fair opportunity and is supported by a written determination. The SW4200/1 O Fair Opportunity Exception serves as the written determination approved at the appropriate signature level determined by FAR 16.505(b)(2)(i).
